Resolution providing for the sale of Bonds, setting parameters for the sale of Bonds, and
approving a bond purchase agreement and an official statement
WHEREAS, the City of Burlington (the "City"), in Des Moines County, State of Iowa,
proposed to enter into a loan agreement (the "Essential Purpose Loan Agreement #1"), pursuant to the
provisions of Section 384.24A of the Code of Iowa, and to borrow money thereunder in a principal
amount not to exceed $16,750,000 for the purpose of paying the costs, to that extent, of (a) undertaking
flood protection improvements; (b) acquiring and equipping ambulances; and (c) acquiring and
equipping vehicles for the municipal public works / street department; and pursuant to law and a notice
duly published, the City Council has held a public hearing on such proposal on April 6, 2026; and
WHEREAS, the City also proposed to enter into a general obligation corporate purpose loan
agreement (the "RecPlex Field Lighting Loan Agreement") and to borrow money thereunder in a
principal amount not to exceed $400,000, pursuant to the provisions of Section 384.24A of the Code of
Iowa, for the purpose of paying the costs, to that extent, of undertaking field-lighting improvements at
the municipal RecPlex, and in lieu of calling an election upon such proposal, has published notice of
the proposed action, including notice of the right to petition for an election, and has held a hearing
thereon, and as of April 6, 2026, no petition had been filed with the City asking that the question of
entering into the RecPlex Field Lighting Loan Agreement be submitted to the registered voters of the
City; and
WHEREAS, the City heretofore proposed to enter into a loan agreement (the "Essential
Purpose Loan Agreement #2") pursuant to the provisions of Section 384.24A of the Code of Iowa and
to borrow money thereunder in a principal amount not to exceed $6,000,000 for the purpose of paying
the costs, to that extent, of (a) constructing street, sidewalk, storm water drainage, bridge and other
related public infrastructure improvements; and (b) acquiring and installing street lighting, signage and
signalization improvements, and pursuant to law and duly published notice of the proposed action has
held a hearing thereon on April 7, 2025; and
WHEREAS, the City also proposed to enter into a loan agreement (the "General Purpose Loan
Agreement") pursuant to the provisions of Section 384.24A of the Code of Iowa, and to borrow money
thereunder in a principal amount not to exceed $400,000 for the purpose of paying the costs, to that
extent, of undertaking alert system improvements at municipal fire protection facilities, and in lieu of
calling an election upon such proposal, has published notice of the proposed action and has held a
hearing thereon, and as of April 7, 2025, no petition had been filed with the City asking that the
question of entering into the General Purpose Loan Agreement be submitted to the registered voters of
the City; and
WHEREAS, the City heretofore proposed to enter into a General Obligation Loan Agreement
(the "Fire Station I Emergency Services Loan Agreement," and together with the Essential Purpose
Loan Agreement # 1, RecPlex Field Lighting Loan Agreement, Essential Purpose Loan Agreement #2,
and General Purpose Loan Agreement, the "Loan Agreements"), in a principal amount not to exceed
$7,000,000, pursuant to the provisions of Sections 384.24A of the Code of Iowa, for the purpose of
paying the costs, to that extent, of constructing, furnishing and equipping a municipal fire station /
emergency services building, and pursuant to law and duly published notice, the City has held a
successful election on said proposal on November 7, 2023; and

WHEREAS, pursuant to the provisions of Section 384.28 of the Code of Iowa, the City intends
to combine its authority under the Loan Agreements and to enter into a single loan agreement (the
"Loan Agreement"); and
WHEREAS, a Preliminary Official Statement (the "P.O.S.") has been prepared to facilitate the
sale of General Obligation Corporate Purpose Bonds, Series 2026A (the "Bonds") in evidence of the
obligation of the City under the Loan Agreement, and it is now necessary to make provision for the
approval of the P.O.S. and to authorize its use by Piper Sandler & Co. (the "Underwriter"); and
WHEREAS, the form of a bond purchase agreement (the "Bond Purchase Agreement")
between the City and the Underwriter has been prepared for the purchase of the Bonds by the
Underwriter, and it is now necessary to make provision for the approval of the Bond Purchase
Agreement, with such final terms to be determined at the time of the sale of the Bonds;
NOW, THEREFORE, Be It Resolved by the City Council of the City of Burlington, Iowa, as
follows:
Section 1. The Loan Agreements are hereby combined into the Loan Agreement. The City
Manager and City Clerk are hereby authorized to take such action as shall be deemed necessary and
appropriate, with the assistance of the City's legal counsel and the Underwriter, to prepare and finalize
the P.O.S. and a final Official Statement describing the Bonds and providing for the terms and
conditions of their sale, and all action heretofore taken in this regard is hereby ratified and approved.
Section 2. The use by the Underwriter of the P .O.S. in substantially the form as has been
presented to and considered by the City Council is hereby approved, and the City and the Underwriter
is authorized to use a final Official Statement for the Bonds substantially in the form of the P .O.S. but
with such changes therein as are required to conform the same to the terms of the Bonds and the
resolution, when adopted, providing for the sale and issuance of the Bonds, and the City Manager is
hereby authorized and directed to execute a final Official Statement for the Bonds, if requested. The
P.O.S. as of its date is deemed final by the City within the meaning of Rule 15(c)(2)-12 of the
Securities and Exchange Commission.
Section 3. The Mayor and City Clerk are authorized and directed to execute and deliver the
Bond Purchase Agreement, the final form of which shall be subject to final approval by the City
Manager, in consultation with the Underwriter and the City's legal counsel, and which shall set forth
the principal amount of the Bonds in the approximate par amount of $17,525,000, original issue and/or
discount, underwriter's discount, maturity dates, coupon rates and such other terms and provisions
deemed appropriate by the City Manager all of which shall result in a True Interest Cost on the Bonds
of not to exceed 5.00%.
Section 4. Further action with respect to the Loan Agreement and the Bonds is hereby
adjourned to the City Council meeting scheduled for August 17, 2026.
Section 5. All resolutions or parts thereof in conflict herewith are hereby repealed to the
extent of such conflict.

A RESOLUTION APPROVING PUBLIC IMPROVEMENT PROJECT AND PERMANENT
EASEMENT TO CONSTRUCT/ MAINTAIN JEFFERSON STREET RAILROAD
CROSSING AND ACQUISITION OF PROPERTY AND PROPERTY INTERESTS BY THE
USE OF EMINENT DOMAIN
WHEREAS, the City of Burlington, Iowa, in coordination with the Iowa Department of
Transportation and BNSF Railway Company, is proposing a permanent easement needed at 857
Washington Street, Burlington, Iowa, owned by MIZS Iowa Transfer, LLC.
WHEREAS, the purpose of the proposed public improvement project is to upgrade the
public trail crossing to meet ADA compliance standards and as part of that effort, the railroad track
crossing signal mast will need to be replaced; and
WHEREAS, the City has determined that the completion of the public improvement project
and permanent easement requires the use of eminent domain to acquire title to or an interest in the
property identified, described, and depicted upon the property exhibits attached hereto and
incorporated by this reference, belonging to the owner specified therein and described as follows:
• Permanent Easement: 857 Washington Street, Burlington, IA 52601
(Parcel No. 11-32-460-002) from MIZS Iowa Transfer, LLC
WHEREAS, the City Council has authorized the City Engineer, or designee, to coordinate
the inspection and valuation of relevant property and property interests; and hereafter, upon such
inspection and valuation, to make an offer for the affected property or property interests to any
such landowner who does not voluntarily agree to an acquisition or easement for this project, in
accordance with Iowa Code 6B. Section 4. The City Council has authorized the City Engineer, or
designee, to coordinate the inspection and valuation of relevant property and property interests;
and hereafter, upon such inspection and valuation, to make an offer for the affected property or
property interests to any such landowner who does not voluntarily agree to an acquisition or
easement for this project, in accordance with Iowa Code 6B.
WHEREAS, pursuant to the provisions of Iowa Code 6B.2C, the authority to condemn is
not conferred, and condemnation proceedings shall not commence, unless the governing body for
the acquiring agency approves a preliminary or final route or site location of the proposed public
improvement, approves the use of condemnation, and finds that there is a reasonable expectation
the applicant will be able to achieve its public purpose, comply with all applicable standards, and
obtain the necessary permits; and,
WHEREAS, the City has provided funding to study, plan, and construct this public
improvement project, as well as funding to acquire any property that may be needed for the project.
City staff has analyzed conceptual design options for how to proceed with this project. The studies
and planning have reached the point where conceptual designs now indicate that it may be
necessary to acquire certain property or property interests. Any public comment will be considered
in preparing the detailed designs, particularly as private property may be affected. The City has
decided to fund the final site-specific design for the public improvement and designated property
or property interests which it may acquire by voluntary acquisition, easement, or forcible
condemnation, if necessary, subject to a public hearing on the matter; and,
WHEREAS, Chapter 6B of the Iowa Code provides a process by which a city may
proceed with the acquisition of property by eminent domain.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Burlington,
Iowa, as follows:
1. The City Council has heard from persons interested in the above-described public
improvement project concerning their views and objections regarding the
commencement and location of the proposed project, and regarding the proposed
acquisition of property or property interests for the project by easement, purchase, or
eminent domain.
2. The City Council finds that there is a reasonable expectation that the city will be able
to achieve its public purpose, comply with all applicable standards, and obtain all
necessary permits.
3. The City Council hereby approves and authorizes the public improvement project as
herein above described, over the route and upon the site herein above identified, which
project is to be known as the 130 Project RR04 (225) I Jefferson Street Signal Mast,
and further authorizes and approves the acquisition of that property and/or those
property interests required for completion of the project as shown in the property
exhibits attached hereto and incorporated herein, by voluntary acquisition, easement,
or forcible condemnation, if necessary.
4. Multiple offers have been made to the above-mentioned landowner. Therefore, the City
Engineer, City Attorney, and other designees, shall proceed with the acquisition of the
above property interest(s) by eminent domain pursuant to Iowa Code 6B to conclude
the transfer and filing a Petition pursuant to Iowa Code 6B.3.

SUBJECT: Resolution Authorizing Acquisition of Permanent Easement by Eminent Domain-
Jefferson Street Railroad Crossing Improvement Project
PREPARED FOR
COUNCIL WORK SESSION MEETING: July 13, 2026
BACKGROUND/DESCRIPTION:
The attached resolution requests City Council authorization to proceed with acquisition of a
permanent easement located at 857 Washington Street through the eminent domain process as
authorized under Chapter 6B of the Iowa Code.
The easement is required for the Jefferson Street Railroad Crossing Improvement Project, a
federally funded Section 130 Railroad Safety Improvement project administered in coordination
with the Iowa Department of Transportation Rail Bureau and BNSF Railway. The project
includes replacement of the railroad crossing signal mast and associated ADA improvements and
supports infrastructure necessary to maintain Burlington's railroad quiet zone.
The required property interest consists of approximately 173 square feet and represents the
minimum easement necessary to construct, operate, inspect, and maintain the public
improvement.
Acquisition History
City staff retained ProSource Technologies to administer the acquisition process in accordance
with federal and state right-of-way requirements. Over approximately nine months, the City
pursued voluntary acquisition before requesting authority to proceed with eminent domain.
• November 20, 2025 - Easement plat prepared.
• December 2, 2025 - General Information Notice issued.
• December 2, 2025 Notice of Intent issued.
• December 2, 2025 Initial Offer to Purchase transmitted.
• December 8, 2025 Compensation Estimate completed and compensation established.
• February 6, 2026 - Final Offer transmitted.
• February 13, 2026- Purchase Agreement executed by the property owner.
• February through July 2026 - Continued follow-up efforts to complete the easement without
condemnation.
Despite the City's repeated efforts and the execution of a purchase agreement, the permanent
easement has not been completed. Staff and the City's acquisition consultants have exhausted
reasonable opportunities to finalize the transaction voluntarily.
Public Interest
While the easement itself is relatively small, it is essential to completion of the Jefferson Street
Railroad Crossing Improvement Project. Failure to obtain the easement could delay construction,
increase project costs, affect the City's Section 130 grant funding, and delay improvements
supporting Burlington's railroad quiet zone. The City has already invested significant time and
resources in engineering, grant administration, environmental coordination, and right-of-way
acquisition. Completing the project remains an important public safety objective.
Fiscal Impact
Acquisition costs are included within the project budget and are eligible under the Iowa
Department of Transportation Section 130 Railway-Highway Crossings Program. Delays in
obtaining the easement may impact project scheduling, construction costs, and the City's
investment in railroad safety infrastructure.
JUSTIFICATION/ RECOMMENDATION:
Staff recommends approval of the attached Resolution authorizing acquisition of the required
permanent easement through the eminent domain process. Although the property interest being
acquired is minimal in size, it is critical to completion of a federally funded railroad safety
project. After approximately nine months of good-faith efforts to voluntarily complete the
acquisition, staff believes authorization under Chapter 6B of the Iowa Code is necessary to
protect the public interest, preserve grant funding, maintain the construction schedule, and allow
this important public safety improvement to move forward.

PURCHASE AGREEMENT
FOR AND IN CONSIDERATION OF One Dollar ($1.00) in hand paid, receipt of which is hereby acknowledged, MIZS
Iowa Transfer, LLC., an Iowa limited liability company, OWNER, (hereinafter referred to as GRANTOR) of the
following described property:
A part of Lot 980 in Rand's Subdivision in the original City of Bur1ington, Des Moines County, Iowa, and located
between the South right of way line of Hawkeye Street and the North right of way line of Jefferson Street.
hereby agrees to grant to the City of Burtington, lowe (hereinafter referred to as CITY), a perpetual and continual
easement on a portion of the above-described property located at 857 Washington Street, Burtington, Iowa 52601,
more particularly described as follows:

upon the following conditions, terwit:
1. The area disturbed by the project will be graded, shaped and seeded upon completion of the project by the
CITY.
2. The CITY agrees to pay GRANTOR the sum of $5,000.00 for the land by permanent easement, as a
requirement for the 130 Project RR04(225) / Jefferson Streets Signal Mast.
3. The compensation and rights herein described shaU be binding upon the GRANTOR, its heirs and assigns.
4. That the permission is valid for the area described above.
5. GRANTOR grants and warrants that there Is no known burial site(s), well(s), solid waste disposal slte(s),
hazardous substance(s), nor underground storage tank(s) on the premises described and sought herein.
6. The GRANTOR shalt have five-years from the date of said settlement to renegotiate construction or
maintenance damages not apparent at the time of the signing of this contract as required by Section 6B.52
of the Code of Iowa.
7. The GRANTOR agrees to disclose the project details, including timelines, improvements, and impacts, to
any and all individuals with a leasehold interest in the subject property.
8. This Agreement may be executed in any number of counterparts as the case may be, each of which shall be
deemed a duplicate original and which together shall constitute one and the same instrument In addition,
the parties agree that this Agreement may be executed by electronic, pdf or facsimile signatures by any party
and such signature will be deemed binding for all purposes hereof without delivery of an original signature
being thereafter required.

EMPLOYEE DEPARTURE
REIMBURSEMENT AGREEMENT
The City of Burlington, Iowa, hereinafter referred to as "City" and DEREK
BECKMAN, hereinafter referred to as "Employee", enter into this agreement.
THE INTENT OF THIS AGREEMENT IS TO PROVIDE FOR THE
TRAINING OF THE EMPLOYEE AS A FIREFIGHTER AND AS A
PARAMEDIC AND TO SPECIFY THE CONSIDERATION THAT THE
EMPLOYEE PROVIDES THE CITY IN RETURN FOR THE
TRAINING. IT SHALL NOT BE CONSTRUED IN ANY WAY AS AN
EMPLOYMENT AGREEMENT, WHICH WOULD PROFFER A
PROPERTY RIGHT OR INTEREST ON THE EMPLOYEE.
1. The City agrees that Employee will attend an Iowa Accredited Paramedic
Program and, if required, an Iowa Accredited Emergency Medical Technician
Program. The Employee shall be required to obtain an Emergency Medical
Technician Paramedic certification within three (3) years of the Employee's date
of hire. The City agrees to pay the cost of the tuition, books, associated materials,
and testing fees required to obtain the proper certification, and wages earned (less
minimum wage of $7 .25 per hour for all hours worked in training) while attending
class during regularly scheduled on-duty hours. These will be considered the
"total training expenses" of the City. Total training expenses will be based on
actual costs incurred by the City. Attachment "A" is an estimate of the total
training expenses.
2. Employees will not be compensated for required course attendance during
regularly scheduled days off.
3. In consideration for this Emergency Medical Technician and/or Paramedic
training, the Employee agrees to work for the City as a Firefighter for at least five
(5) years from the date of hire.
4. The City agrees that Employee will attend the Illinois Fire Service Institute Fire
Academy. The Employee shall be required to obtain full graduation status/level
of the program. The City agrees to pay the cost of tuition, books, lodging, meal
per diem, testing fees required to obtain graduation completion status, and wages
earned (less minimum wage of $7.25 per hour for all hours worked in training)

while attending class during regularly scheduled on-duty hours (Employee shall ·~
be on a 40-hour work week training schedule during this time). These will be ,.,,,,
considered the "total training expenses" of the City. Total training expenses will
be based on actual costs incurred by the City. Attachment "B" is an estimate of
the total training expenses.
5. In the event the Employee does not successfully complete the training programs,
the Employee shall be discharged from employment with the City, and Employee
shall reimburse the City for its "total training expenses" incurred to that date in
accordance with the terms set forth in Section 8.
6. In the event the Employee voluntarily resigns from the Burlington Fire
Department without having served as a Firefighter for at least five (5) years after
the date of hire, the Employee shall reimburse the City for total training expenses
incurred per the following Schedule:
A. If a Firefighter resigns three (3) years or less from the date of hire, one
hundred ( 100%) percent of the total training expenses.
B. If a Firefighter resigns more than three (3) years from the date of hire
but less than four (4) years from the date of hire, seventy-five (75%)
percent of the total training expenses.
C. If a Firefighter resigns more than four (4) years from the date of hire ;j
but less than five (5) years from the date of hire, fifty (50%) percent of
the total training expenses.
D. At the end of five (5) years of service from the date of hire, the amount
owed for training expenses by Employee shall be zero dollars ($0.00).
7. If the Employee is dismissed for cause during the probationary period, or at any
time prior to the first five (5) years of the date of hire, the Employee shall
reimburse the City for the total training expenses incurred. If the Employee is
dismissed for any other reason, such as a reduction in force, the Employee shall
not be required to pay the City for any unpaid training costs owed.
8. Payment of any training costs owed to the City by the Employee shall be made in
consecutive monthly payments in accordance with the following Schedule:

The first payment shall be due 30 days after the Employee's date of termination
and on the same date each month thereafter. Interest shall commence with the
Employee's date of termination and shall be calculated on the unpaid principal

balance to the date of each installment paid, with payments being credited first to
accrued interest and then to the reduction of principal.
9. If Employee is killed or permanently and totally disabled as defined by Chapter
411 of the Iowa Code, while in the employ of the City, any training expenses
owed shall cease.
10. This agreement may be amended or canceled only upon agreement of both the
City and the Employee.
11. Employees shall notify the City of the Employee's place of residence while in the
employ of the City and/or until such time as the debt for total training expenses is
satisfied in full.
12. If reimbursement is not made in accordance with this agreement, the Employee
understands that the City, at its option, may seek to use all legal means to recover
its loss, including the obtaining of a court judgment, wage garnishment following
judgment, collection agency, and Iowa Offset Program. Employee agrees to
reimburse the City for reasonable attorney's fees in collecting the amounts owing
under the agreement.
13. This contract is governed by Iowa Law and the parties hereto agree that any
action, suit, or proceeding based upon any matter, claim, or controversy arising
under this agreement shall be brought solely in the state courts located in Des
Moines County, Iowa.

A RESOLUTION DESIGNATING THE EAST DOORS OF CITY HALL AS THE
OFFICIAL LOCATION FOR POSTING PUBLIC MEETING NOTICES
WHEREAS, Iowa House File 2490, effective July 1, 2026, requires governmental bodies
to annually designate an official, prominent, and conspicuous location where notices of public
meetings will be posted and visible to residents; and
WHEREAS, the City Council finds that the East Doors of City Hall provide a prominent,
accessible, and conspicuous location for the physical posting of public meeting notices; and
WHEREAS, the City will continue to post meeting notices on its official internet
presence and provide notice to news media that have requested such notice, all in accordance
with applicable provisions of Iowa law; and
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Burlington,
Iowa, that the East Doors of City Hall are hereby designated as the City's official physical
location for posting notices of public meetings as required by Iowa Code Chapter 21 and House
File 2490.
BE IT FURTHER RESOLVED that this designation shall remain in effect until modified
or superseded by subsequent action of the City Council, and the City Clerk is authorized to
implement this designation and ensure compliance with applicable public notice requirements.

BURLINGTON BASEBALL ASSOCIATION, INC., AGREEMENT FOR THE
USE OF COMMUNITY FIELD FOR PROSPECT LEAGUE BASEBALL
GAMES AND RELATED ACTIVITIES
This agreement is entered into between the City of Burlington, Iowa, an Iowa
Municipal Corporation, hereinafter called "City" and Burlington Baseball Association,
Inc., hereinafter called "Association."
It is agreed to and covenanted between the parties hereto as follows:
1. The City is the owner and leaseholder of the outdoor stadium commonly referred to as
"Community Field" and the real estate upon which it is located, on Mt. Pleasant Street
in the City of Burlington, Iowa. Such right is prescribed under City Contract No. 5322
entered into with American Legion Community Field, Inc., on the twenty-fourth day of
February, 1997 assigning their rights, title and interest to a lease agreement dated the
eighth day of October, 1945 entered into with the Voiture 76 Forty and Eight. The
provisions of City Contract No. 5322 are incorporated by reference and made a part of
this agreement.
2. The City hereby grants to the Association, for the effective period of this
agreement, the right to the full use of Community Field, including all outbuildings
and parking lots for all regularly scheduled Prospect League home games and
related activities. The Association may use the stadium for exhibition games, practice
sessions, promotional events, and other activities hosted or sponsored by the
Association that do not conflict with other City uses of the premises. The City shall be
required to provide at least seven (7) days advanced notice of intended use. The
Association shall be responsible for scheduling all events sponsored by the
Association.
3. The Association shall be permitted to collect admission at the stadium for the events
directly sponsored by the Association and retain the revenues therefrom.
4. The Association is hereby granted the right to operate the concession business at the
stadium during any event at the stadium, including the contracting of such services to
another entity. The sale of alcohol, however, is permitted only when the stadium is
being used for Prospect League baseball games or related activities (including but not
limited to exhibition games, practice sessions, promotional events, and other activities
hosted or sponsored by the Association that do not conflict with other City uses of the
premises). All concession activities must be conducted in accordance with and subject
to the laws of the City, the State of Iowa, and the United States government.
5. The Association may have the use of all offices, storage areas and related areas
located in and at Community Field to the extent this does not conflict with the City's
reserved right of use set forth in paragraph 2 above.
6. The Association shall be solely responsible for the maintenance, upkeep, repair,
and replacement of the stadium and all appurtenances thereto, including but not
limited to fences, scoreboards, lights and light towers, screens, bleachers,
advertising signs, out-buildings, fixtures, and related facilities.
7. As good and valuable consideration for the obligations set forth in this agreement and
to off-set the costs of operations and promotions of the city owned facility, the City
agrees to pay the Association the sum of Seventy-Five Thousand Dollars ($75,000) per
contractual year for the three years of the agreement, FY27 - FY29. This amount may
be payable in one annual installment in approximately August of each year.
8. In the event of loss or destruction for which insurance proceeds are paid to the
City and the City and Voiture 76, 40 & 8 decide that the damage due to such
loss or destruction is to be repaired or reconstructed, the City will use the
insurance proceeds to reconstruct a permanent stadium facility of the
premises. If it is decided that the premises are not to be repaired or
reconstructed, this agreement is automatically terminated.
9. It is agreed that the City will at all times have Fire and Extended Coverage
insurance on the permanent structures and appurtenances at said
Community Field. The City further agrees to relieve the Association from
any possible subrogation by the City's insurance carrier.
1O. It is agreed that the Association will carry General Public Liability insurance
and provide the City with a Certificate of Insurance as proof of coverage. In
addition, the Association will carry Dram Shop insurance as it relates to the
sale of alcohol with the Association as a named insured and the City as an
additional insured.
11. The Association may make temporary or permanent improvements to the stadium or its
appurtenances, provided such improvements do not hinder or impair the City's use of
the premises and are subject to the City's prior review and approval. Capital
improvement projects for Community Field shall be identified and prioritized through
mutual agreement between the City and the Association and may, but are not required
to, be included in the City's Capital Improvement Plan (CIP). Inclusion of a project in
the CIP shall not constitute a commitment to fund or construct the project, and all such
projects shall remain subject to City Council approval and appropriation through the
annual budget process or other authorized action. The City may, but shall not be
obligated to, allocate funding for mutually agreed-upon capital improvements at
Community Field, subject to annual budget approval.
12. The City shall designate a member of its council to serve as a fully voting
member of the Association's Board of Directors having all the rights, privileges,
duties, and responsibilities of a Board member.
13. It is agreed that the Association will save, indemnify, and hold the City harmless from
any claim for liability, which might arise out of conducting Prospect League baseball
or related activities.
14. The Association, its heirs, successors and assigns, specifically agree to save and hold
harmless the City of Burlington, Iowa from any and all claims for personal injury,
property damages or any other damages incidental to or arising out of the operation
conducted on said premises by the Association or arising out of any other such use of
the premises by the Association, and the Association further agrees to indemnify the
City of Burlington, Iowa for any loss sustained by the City by reason of any claim for
personal injury, property damage, costs, attorneys' fees, or any other damages
incidental to or arising out of the operation conducted upon said premises by the
Association or arising out of any other use of the premises by the said Association.
15. The term of this agreement shall be for three years and expire on June 30, 2029, but
may be renewable for three-year terms should the City extend its lease of the premises
as referred to in paragraph 1 of this agreement. This agreement is automatically
terminated upon the termination, rescission or invalidation of the Contract with Voiture
76 Forty and Eight dated October 8, 1945 and assigned to the City on February 24,
1997 under City Contract 5322.
