Subject: Winooski River Bridge/COBRI Intersection – Condemnation Process
BACKGROUND:
We are currently moving forward with the Burlington Winooski Bridge Project (Bridge Project)
and Colchester/Riverside/Barrett Intersection Project (COBARI/Intersection Project). VTrans is
responsible for the design, construction, and management of this project. The Department of
Public Works (DPW) is providing this information regarding the involvement of the DPW staff on
the Bridge and Intersection projects as we engage the City Council and the Mayor in the Right-
Of-Way (ROW) acquisition process, as well as the City’s responsibilities under the Finance and
Maintenance Agreement with the State.

FINANCE AND MAINTENANCE AGREEMENT:
After obtaining Council approval on 4/15/24, DPW executed a Finance and Maintenance
Agreement (FMA) with the State of Vermont for both projects in spring of 2024. Under the terms
of the FMA, the City will support and assist the State in the acquisition of right-of-way required
to complete the project, including managing the necessity hearing and condemnation processes.
The City is being reimbursed for 95% of our costs with the Bridge project and 100% of the costs
associated with intersection project for work under this process.
The Intersection Project is funded through VTrans Highway Safety Division, which will fund the
project 100% for all participating costs. DPW estimates future need for local funds of
approximately $505,000 to cover contaminated soil disposal and 1% for public art.
The funding split for the Bridge Project is 80% Federal, 10% State, 5% Burlington, and 5%
Winooski through the Rebuilding American Infrastructure with Sustainability and Equity (RAISE)
Grant. The funding split minimized the costs to Burlington where under other circumstances we

would have been responsible for 50% of the replacement costs shared with the City of Winooski.
Burlington will be responsible for the 5% local match, anticipated contaminated soils in
Burlington that are non-participating, and 1% towards the local art ordinance based on the local
share costs for a total of roughly $3.7 million.
For both projects, City Project staff will continue to work with the Capital Program Director and
the Capital Committee to secure annual local match each year of the project. A draft budget for
these nonparticipating costs was shared at the 4/15/24 Council meeting and will continue to be
updated as the Projects advance and the funding needs are solidified.
RIGHT-OF-WAY ACQUISITION PROCESS:
DPW supports the project and the advancement of the right-of-way acquisition phase to
necessity. This process identifies if there are any temporary or permanent property rights that
are needed to construct the proposed project(s). There are various parcels being impacted by
the two projects, which included two that the City of Burlington owns.
IMPACTED PARCELS:
All impacted parcels are shown in Attachment 1. The project will need both temporary
construction easements and permanent highway and utility easements. These easements
accommodate new bridge/intersection/road geometry, retaining wall, sidewalk as well as utility
changes/connections for water/sewer or electrical/communication undergrounding. Many of
these easements for utilities are related to utility easements that already exist. Both types of
easements are highlighted in the attachment.
For any parcels that have not already signed an agreement for purchase in lieu of condemnation,
the process involves first finding Necessity and then determining Compensation. These two steps
are needed for both Projects individually. This Necessity and Compensation process is under the
purview of the City Council with Mayor Presiding based on City Charter which you can find in
Section 44: “[I]n all proceedings by the City Council for the purpose of taking lands or other
property for public purposes, the Mayor shall preside and shall vote as other members thereof.”
This meeting will set the process in motion for both Necessity and Compensation for both
Projects which will advance concurrently.
Offer Status:
VTrans is leading the ROW process and making offers to property owners. Parcels are split out by
impacts from the Intersection Project or the Bridge Project.
The status, as of 4/4/26, of the offers to the 15 total property owners for the intersection:
- 9 parcels have signed or are pending signature
- Pending: 1 parcel is City of Burlington owned (approved 3/23/26 by CC)
- 2 have options awaiting payment in exchange for deed
- 4 unsigned due to:
o Communication problems (2)
o Requested changes by owner
o Signature is imminent

The status, as of 4/6/26, of the offers to the 7 total property owners (8 parcels) for the bridge
(this includes parcels within both Burlington and Winooski):
- 5 parcels have signed or are pending signature
o Pending: 1 parcel is City of Burlington owned (approved 3/23/26 by City
Council) and 2 are owned by the City of Winooski
- 3 parcels unsigned
o Chase Mill/Catamount Holdings (2 parcels): Working through design and
cost estimates for work within parcel (City of Burlington)
o Woolen Mill (City of Winooski): Counteroffer received 3/30
TIMELINE:
While the Bridge and Intersection Projects are separate Federally funded projects, the project
team is advancing them together to maximize efficiencies and reduce impacts of the work. The
Bridge Project has a stricter funding timeline that is dictating the schedule – some of the funding
has a date constraint to obligate construction funds by September 15th, 2026. The following
process outlines the steps taken thus far and next steps that align with meeting this September
2026 timeline. This timeline ensures that we are able to move the project along at no fault of
the City of Burlington.
Overall Right-of-Way Process:
- Property owner meetings (Spring ’25)
- Property owners received offers (Aug./Sept. ’25)
- Subsequent property owner meetings (Ongoing)
- 4/13/26 Meeting – City Council with Mayor Presiding (CC w/ MP)
o Request that a hearing date is set for the following:
▪ Necessity Hearing Burlington Winooski Bridge
▪ Compensation Hearing Burlington Winooski Bridge
▪ Necessity Hearing COBARI
▪ Compensation Hearing COBARI
o NOTE: Compensation ends mid-June to meet project timeline)
- Specific notice sent to property owners and public following 4/13/26 meeting
(Attachment 3)
- 5/21 Special Meeting of CC w/MP
o This meeting opens the 4 hearings noted above. It includes:
▪ a mandatory site visit,
▪ presentation by the project team to explain why the property takings are
necessary,
▪ questions by Councilors and Mayor,
▪ testimony by property owners.
o This occurs for each of the 4 hearing types. There is some efficiency that the
overall presentation for necessity will cover both projects and the site visit is in
the same area. The questions and testimony need to stay organized within the
hearing they are associated with.
- 6/1, 6/15, or 6/29, 2026 Continuation of any Hearings
o Information provided as a continuation are usually shorter topics but allow for
staff to bring requested information/clarity from questions and testimony or allow
CC w/MP to formally vote.

o It is not required to act on these hearings in a public setting, but DPW believes it
is best with this project to keep conclusions during one of the warned meetings.
- VTrans compiles ROW files and submits documents to Federal Highway Administration
(FHWA) (July 31, 2026)
- FHWA reviews documents and submits project change of status to obligate the
Construction Phase funding (no later than Sept 15, 2026)
VTrans is still able to negotiate and settle with property owners throughout the Necessity and
Compensation Process. Only at the conclusion of the Compensation hearing does the
negotiations process conclude and compensation offered a property owner will be what is
determined by the CC w/MP. FHWA requires that the Compensation Hearing be closed to allow
VTrans to advance the project. Any additional appeals can be handled through the Vermont
Superior Court as the project advances and construction obligation is met for funding.
A memo describing this process further can be found in Attachment 4.
URGENCY TO ADVANCE THROUGH RIGHT-OF-WAY PHASE:
FHWA will not obligate construction funding until VTrans has issued a ROW Clearance Certificate.
In order for VTrans ROW to issue the ROW Clearance Certificate, all acquisitions for the project
need to be completed through negotiations and/or a decision on condemnation must be made
by the City and recorded after which VTrans must issue compensation to the property owner or
place the funds in escrow.
If this obligation deadline is missed there is NOT an opportunity for an extension. Based on
direction from FHWA, this is a firm deadline and there will be no opportunity for a project-specific
extension, so any remaining RAISE Grant funds that are not obligated by September 2026 will be
lost. To date, only $4M in federal funds have been obligated by FHWA out of the $24.8M in
federal funds awarded through the RAISE Grant. If any portion of the RAISE grant funds are lost,
VTrans does not have sufficient funds available to advance this project.
Regarding timing on the RAISE Grant funding obligation, the terms and conditions of the
agreement state:
RAISE grant program funding that was appropriated in division J of the Infrastructure Investment
and Jobs Act, Pub. L. No. 117-58 (Nov. 15, 2021), lapses and is unavailable for obligation, by
statute, after September 30, 2026.
From a logistical standpoint, the process of requesting funding obligation from FHWA goes
through the FHWA Financial Management and Information Systems (FMIS) which typically shuts
down in mid-September in advance of the end of the federal fiscal year, so September 15th is the
final date to meet our obligation. Additionally, FHWA needs to be provided time to review the
ROW Clearance and final Request for Proposal documents, therefore needs to be submitted no
later than August 1, 2026, for their review and approval.
Note that the Intersection Project is a different funding source that does not have the same
funding constraints, if parcels associated with that project are held up. The Bridge Project could
still advance without the Intersection Project but it would not be possible to meet the RAISE
grant funding obligation deadline due to the significant time and effort that it would take to
rework the plans, RFP documents, and utility relocation to remove the intersection work at this

stage of development. Additionally, there are serious repercussions involved if the intersection
and bridge are not advertised for construction together, particularly with costs (note the project
is 100% federally funded but it would drastically increase the overall cost of the intersection for
the State’s programming) and schedule (it could be mid-2030s for intersection reconstruction
just to complete the design, go through all the required permitting, and get the rest of the ROW)
for the intersection project, if it had to go alone.

PLEASE TAKE NOTICE that—pursuant to 19 V.S.A. Chapter 7 —the City of Burlington plans
to hold a public hearing to consider condemning certain parcels of land for the purpose of a
bridge to replace the current Burlington-Winooski Bridge over the Winooski River, and, if so, to
determine the damages sustained by those owning or interested in the parcels. Based on
municipal records, both parcels are located in Burlington, Vermont at 1 Mill Street. Pursuant to
such condemnation, the City of Burlington will consider whether it is necessary for public use
and benefit to take the subject parcels on both a temporary and permanent basis for use in
construction of said bridge replacement. Such temporary basis will last until a project completion
date of July 1, 2030, but may be extended depending on project needs. The permanent basis will
be needed to accommodate the new bridge configuration and associated geometry changes. The

Necessity/Compensation Process

On April 13 2026, the Burlington Department of Public Works will ask the City Council to in-
stitute proceedings to acquire, by condemnation, a set of property interests needed to complete
construction of a federal/state/local transportation projects known as the Burlington-Winooski
Bridge and Colchester/Riverside/Barrett Intersection (the “Project”). This Memorandum pro
vides a brief overview of the Project, and outlines the steps necessary to complete the property
acquisition process.
I. The Project
The Project involves the redesign, alteration and re-construction of the intersection located at
Colchester/Riverside/Barrett as well as replacement of the bridge over the Winooski River that
connects Burlington to Winooski. While these are two separate projects with different funding
sources, they are advancing together and will undergo separate but identical property acquisition
processes and as such will be referred to throughout this memo as one Project. More information

Under the terms of Finance and Maintenance Agreements governing various aspects of the
Project, VTrans is primarily responsible for the design and construction of the Project, while the
City is responsible for assisting VTrans in securing the necessary right of way, and for mainte-
nance of the completed Project.
To date, VTrans has secured most of the right of way necessary to construct the Project. Only a
limited set of temporary and permanent easements from four nearby parcels remain. To keep the
Project on schedule, VTrans and the City have determined that it is necessary to institute
condemnation proceedings to secure the remaining property interests.
The municipal condemnation process is governed primarily by statute and the Vermont City
Charter. Generally speaking, municipalities seeking to acquire land for highway projects such as
this must first determine that the projects are supported by a finding of “necessity.” Vermont
law defines “necessity” as follows:

“Necessity” means a reasonable need which considers the greatest
public good and the least inconvenience and expense to the
condemning party and to the property owner. Necessity shall not
be measured merely by expense or inconvenience to the
condemning party. Necessity includes a reasonable need for the
highway project in general as well as a reasonable need to take a
particular property and to take it to the extent proposed.
The Vermont Supreme Court has described this standard as something less than absolute
necessity. The term “does not mean an imperative, indispensable or absolute necessity but only
that the taking be reasonably necessary to the accomplishment of the end in view under the
particular circumstances.” Cersosimo v. Town of Townshend, 139 Vt. 594, 597 (1981).
Once a municipality determines that a project is supported by necessity, it must then determine
the compensation to which affected property owners are entitled. Such “damages” for the
condemnation of property are defined by statute to be the:
value for the most reasonable use of the property or right in the
property, and of the business on the property, and the direct and
proximate decrease in the value of the remaining property or right
in the property and the business on the property. The added value,
if any, to the remaining property or right in the property which
accrues directly to the owner of the property as a result of the
taking or use, as distinguished from the general public benefit,
shall be considered in the determination of damages.

III. The Hearing Process
A. Initiation
The City Council initiates the necessity hearing process by motion. See Burlington City Char-
ter § 234 and 19 V.S.A. § 709.
B. Notice
1. Time/Manner of Service
The City Charter and the municipal condemnation statute spell out two separate notice
requirements. Under the statute, notice must be provided to all affected property owners at least
30 days prior to the site visit. 19 V.S.A. § 709. Under the Charter, the City Council must issue a
“citation” (that includes a list of all persons to whom notice is to be provided) at least 12 days
before the site visit. Charter §§ 252-53. Under the statute, service of the notice may be by
certified mail, while the Charter requires service by “sheriff or constable” (or through acceptance
of service by those notified).
The notice must also be given to the Planning Commission and posted in the City Clerk’s office.
At least 10 days prior to the site visit, the notice must be published in a local newspaper. 19
V.S.A. § 709.
In the past, to comply with both the Charter and the statues, the City has sent the notice (in the
“citation” form required by the Charter) first by certified mail at least 30 days before the hearing,
along with an acceptance of service form. For those who have not returned the acceptance of
service form within 10–12 days, the City has then served the citation by sheriff/constable.
Moreover, because the notices will refer to the final Project right of way plans, notice cannot be
completed until a final version of VTrans’ right of way plans is filed with the City Clerk’s office.
2. Form
Again, the City Charter requires that the notice take the form of a “citation” and must list all
persons to whom the notice is being provided. The City will provide a notice form, as well as an
accompanying cover memo explaining, in basic terms, the Project and the
necessity/compensation process.

C. The Hearing
The purpose of the hearing is for the City Council to hear interested parties on both “necessity”
and “damages” (see definitions above). Prior to the hearing, City staff will provide the Council,
as well as members of the public, with additional information about the Project and the issues to
be discussed at the hearing, including comments discussing the “necessity” and “damages”
issues.
The hearing itself should be presided over by the presiding officer. City staff and/or consultants
will offer comments/testimony generally describing the purpose and need of the Project and will
introduce relevant written materials and exhibits into the record. The condemnation statute’s
“interested parties” language suggests that the Council should also allow any member of the
community a reasonable opportunity to offer comments on issues related to the necessity of the
Project. City staff and/or consultants may then be permitted to respond to concerns or comments
voiced by the interested landowners or members of the community. The hearing should be
recorded through normal City Council means.
Once the hearing is complete, the City Council will consider the comments and materials entered
into the record at the hearing and City staff will prepare a draft written decision—addressing
both the “necessity” of the Project as well as compensation to affected landowners—for the
Council’s approval at a subsequent meeting. If the Council approves the written decision, it will
be recorded at the City Clerk’s Office. The decision will include a list of the property interests
acquired and the compensation to be tendered to affected landowners.
IV. Appeals
If any affected landowner disagrees with the City Council’s decision on either necessity or
damages, that person may appeal the decision to the Vermont Superior Court, or if concerned
only about damages, may first seek arbitration of the damage award before appealing to the
superior court.

Importance of Securing Property Rights
• FHWA will not obligate construction funding until VTrans has issued a ROW
Clearance Certificate. In order for VTrans ROW to issue the ROW Clearance
Certificate, all acquisitions for the project need to be completed through
negotiations and/or a decision on condemnation must be made by the City
and recorded after which VTrans must issue compensation to the property
owner or place the funds in escrow.
