Board City of Columbia New Century Meeting Minutes August 24, 2016 Fund, Inc. Board I. CALL TO ORDER Call to Order by Chair Neidel at 8:00 AM. Present: 9- Stephen Ferris, John Gillispie, Andrew Grabau, Brianna Lennon, Lori Neidel, Robert Nolte, William Tillotson, Matthew Williams and Brian Treece II. APPROVAL OF AGENDA Chair Neidel moved the approval of the agenda. No second was noted in the approved Minutes. Unanimous approval. III. OLD BUSINESS Suggested edits/amendments to the NCF Bylaws were offered by various members, small language details to clarify roles and make the wording consistent throughout the document. It was recommended to replace the word President with Chairperson throughout, and that the date of approval/revision be included at the bottom of the Bylaws. It was recommended to clarify one line, Article V., Section 3., Letter C., to read: "One director shall be a CPA, attorney, or bank trust officer, any of whom must have experience in the operation of a 501(c)(3) corporation or in the administration of a charitable trust." The only significant amendment is to change the board from ten members to seven in Article V., Section 3. Gillispie moved to approve the amendments as stated, seconded by Nolte. Unanimous approval. IV. ADJOURNMENT Prior to Adjournment, staff liaison Baker mentioned that the NCF is to meet in October to secure new leadership for 2016-17. The NCF is losing Neidel, Williams, and Ferris, who each have served for two full terms. One new member will be sought, who is to be an accountant or attorney, or bank trust officer, and who has experience with the workings of a nonprofit organization.
