New Business: IURA Budget A. 2025 IURA Financial Audit Bohn walked through some key points: • The audit was a clean audit with no deficiencies or recommendations. • Financial statements were prepared on an adjusted accrual basis, which aligns well with grant-based accounting. • IURA financial position remains stable. • A modest increase in the balance sheet was noted due to limited loan activity in 2025. Governance Committee April 17, 2026 Page 2 of 8 • Future operating deficits are anticipated due to inflationary pressures and timing delays in reimbursements for urban renewal projects. • Federal funding uncertainty remains, as proposed Federal budgets continue to recommend eliminating CDBG and HOME funding. • Emphasis on growing importance of non-grant activities, such as urban renewal projects and small business lending, to maintain financial stability. McCollister moved, seconded by McGonigal: Approval of 2025 IURA Financial Audit Report WHEREAS, the Ithaca Urban Renewal Agency (IURA) derives the majority of its finances from grants awarded to the City of Ithaca, and WHEREAS, for financial reporting purposes, the IURA is a blended component unit of the City of Ithaca whose financial activity is reported in the Special Grant Fund, a governmental fund of the City of Ithaca financial statements, and WHEREAS, the IURA contracts separately from the City to have its finances audited within 90 days of the end of its fiscal year to comply with the Public Authorities Accountability Act, and WHEREAS, the IURA received an audited 2025 IURA financial report on April 3, 2026, and WHEREAS, at its April 17, 2026 meeting, the IURA Governance Committee reviewed the financial report and attached correspondence; now, therefore, be it RESOLVED, the IURA hereby approves the Financial Report of the Ithaca Urban Renewal Agency for the period January 1, 2025 through December 31, 2025, prepared by the accounting firm of Insero & Co. CPAs, LLP. Carried Unanimously: 3-0 B. Review of Investment Guidelines Bohn walked through some key points: • All funds are held in FDIC-insured bank accounts. • Balances exceeding insured limits are fully collateralized through a tri-party agreement. • Investment practices are conservative, as required by HUD. • Any interest earned over $500 annually on HUD funds is returned to HUD. Schlather moved, seconded by McCollister: Approval of IURA Investment Guidelines WHEREAS, pursuant to the Public Authorities Accountability Act, as amended, the IURA is required on an annual basis to review its investment guidelines and report, and 2 Governance Committee April 17, 2026 Page 3 of 8 WHEREAS, the IURA originally adopted Investment Guidelines on March 25, 2011, and WHEREAS, the Director of Community Development prepared an annual 2025 IURA Investment Report, and WHEREAS, at their April 17, 2026 meeting, the IURA Governance Committee reviewed the IURA Investment Guidelines and the 2025 Investment Report; now, therefore, be it RESOLVED, that the IURA hereby reaffirms its approval of the IURA Investment Guidelines. Carried Unanimously: 3-0 C. 2025 Public Authorities Law (PAL) Reporting Bohn explained that certain reporting questions do not apply to the IURA due to its size and structure. McGonigal moved, seconded by McCollister: Approval of Reports Submitted to NYS Authorities Budget Office (ABO) WHEREAS, pursuant to the Public Authorities Accountability Act, as amended, the IURA is required on an annual basis to submit reports to the New York State Authorities Budget Office (ABO), and WHEREAS, the IURA Director of Community Development is designated to certify accuracy of the reporting, and WHEREAS, the reporting is due to be submitted within 90 days of the end of the fiscal year, and WHEREAS, it is appropriate that IURA members exercise oversight over the staff reporting to the ABO, and WHEREAS, at its meeting of April 17, 2026, the IURA Governance Committee reviewed the reporting and recommends the following action; now, therefore, be it RESOLVED, that the IURA hereby approves FY2025 IURA public authority reports submitted to the New York State Authorities Budget Office, including the following reports: • Budget report • Annual report • Procurement report • Investment report • Certified financial audit report Carried Unanimously: 3-0 3 Governance Committee April 17, 2026 Page 4 of 8 D. Amendment to Independent Contractor Agreement for Accounting Services (Amber Moore) Bohn described the transition from an employee accountant to an independent contractor accountant, citing recruitment challenges related to benefits. He walked through some key points: • Independent contractor works approximately 22 hours per week. • Staff proposed amending the contract to reimburse mileage at the IRS rate when the contractor is required to travel to the office to deliver payroll checks and HUD drawdown documentation. • No reimbursement would be provided for travel time, only mileage. • Estimated travel would occur approximately once every two weeks. • Arrangement would be reviewed annually. Members agreed the proposal was reasonable and supported bringing the matter forward for formal IURA Board consideration at its next meeting. VI. Other Business A. City Policy Priorities Bohn explained that Common Council recently adopted a new set of policy priorities (as described in resolution pasted further below), including: (1) establishing citywide minimum residential density requirements; (2) creating a comprehensive zoning reform package to modernize land use regulations; and (3) consideration of new design standards to streamline and improve the residential and mixed-use property development process. Review of IURA Financials: February 2026 Bohn walked through the Grants Summary and explained that the left-hand “On Schedule” column calls out any projects that are not on schedule and may need attention. The vast majority of projects have been progressing well in terms of expenditures and project completion. Bohn reported all Loan Payments and Lease Payments are current as of today. 7 Governance Committee April 17, 2026 Page 8 of 8 C. Community Development Block Grant (CDBG) Program Timely Expenditure — Report Bohn explained that IURA staff has been paying particular attention to this year’s CDBG timely expenditure deadline requirement (including reprogramming certain funds to faster-moving projects) and appears to be in a relatively good position to meet the deadline by June 1st. D. Staff Report Bohn reported the City/IURA finally received official notice of Ithaca’s FY2026 HUD Entitlement Funding allocations, both of which fortunately increased compared to FY2025: • Community Development Block Grant (CDBG) Program $715,084.00 • HOME Investment Partnerships Program (HOME) $286,155.57 Bohn reported the Seneca Street Garage will most likely need some significant maintenance work and future investment. Bohn. 8 MEMORANDUM OF UNDERSTANDING Between The City of Ithaca & The Ithaca Urban Renewal Agency For Joint Projects THIS MEMORANDUM OF UNDERSTANDING is entered into on ___________________, 2026, by The City of Ithaca Department of Planning & Development (“City”), a department of a municipal corporation with offices at 108 E. Green Street, Ithaca, NY 14850 and the Ithaca Urban Renewal Agency, an urban renewal agency formed pursuant to the provisions of the General Municipal Law, having its principal office at 108 E. Green Street, Ithaca, New York 14850, known as “IURA.” WHEREAS, the City and IURA have had a positive and collaborative relationship since the inception of the IURA; and WHEREAS, historically the CITY and IURA have collaborated on various projects governed by independent agreements; and WHEREAS, the City and IURA entered into a Professional Services Agreement (“Agreement”) in 2013 formally authorizing the IURA to administer the City’s HUD Entitlement Grant program in compliance with all applicable regulations and laws; and WHEREAS, the Agreement was amended in 2016 to authorize IURA staff to assist the City on certain activities beyond the HUD Entitlement grant program; and WHEREAS, the IURA staff has developed expertise in a variety of economic and community development functions; and WHEREAS, from time-to-time, the City may benefit from utilizing IURA staff resources for general municipal projects; and WHEREAS, the IURA is experiencing a net operating deficit due to a steady erosion of federal HUD Entitlement grant funding support combined with annual inflationary increases in operating expenses; and WHEREAS, IURA adopted a resolution on September 4, 2025 directing staff to identify potential opportunities for City/IURA collaboration that provide IURA financial support to address a current and projected IURA operating deficit and further authorized the Chair to enter into agreements with the City to provide IURA staff assistance, including reimbursement of IURA staff expenses, on City projects/activities that align with the IURA mission statement; and WHEREAS, the City has a vested interest in maintaining IURA’s stability as it is a valuable partner assists the City in carrying out core governmental functions. 1 WHEREAS, the IURA desires to continue performing community and economic development services and the City has determined that IURA can beneficially provide such specified services. NOW, THEREFORE, in consideration of the covenants herein contained, the parties hereto do mutually agree as follows: Term 1. This agreement shall begin on January 1, 2026 and run for a period of five (5) years, expiring on December 31, 2030. 2. This agreement may be extended by mutual written agreement of the parties. Scope 3. The City and IURA shall mutually identify projects where the City will benefit from IURA’s expertise. 4. IURA shall provide a scope of work for each project to the City. Each scope of work shall contain at a minimum: a. a general description of the project b. a timeline of project completion, if applicable c. IURA staff who will work on the project d. the hourly cost of IURA staff who will work on the project e. an estimated total not to exceed cost for the project 5. Each scope of work shall be executed by the Chair of the IURA and appropriate City officials and attached to this agreement as an Exhibit. 6. Each fully executed exhibit shall be subject to all the terms and conditions of this agreement. Payment 7. The IURA shall be paid for providing such services set forth in each scope of work that is fully executed and incorporated into this agreement as an exhibit. 8. Reimbursements will be made only upon receipt of a City Request for Payment Voucher form. Each request for payment shall specify the costs incurred and include appropriate documentation to evidence the nature of the costs (e.g., timesheets, and/or other documentation) in a format acceptable to the City. General Terms and Conditions 9. The relationship of the Consultant to the City is that of an independent contractor. As such, the IURA shall receive no fringe benefits from the City including but not limited to medical insurance, retirement benefits, workers’ compensation, disability, unemployment insurance or any other benefits or remuneration other than that set forth in paragraph 7 above. 2 10. The City may terminate this MOU at any time without cause, in which case the IURA shall be paid pro rata for the satisfactory work performed to the date of termination. 11. The IURA agrees to fully defend, indemnify and hold harmless the City of Ithaca, and its respective elected officials, public officers, boards, committees, employees, members and agents from and against all claims, actions, suits, demands, damages, liabilities, obligations, losses, settlements, judgments, costs and expenses (including without limitation reasonable attorney’s fees and costs), whether or not involving a third party claim, which any or all of them may incur, resulting from bodily injuries (or death) to any person, damage (including loss of use) to any property, other damages, or contamination of or adverse effects on the environment, caused by the acts or omissions of IURA or IURA’s employees, agents or subcontractors, in connection with this Agreement. To the extent the City is negligent, IURA’s duty to indemnify the City of Ithaca shall not extend to the proportion of loss attributable to the City’s negligence. 12. IURA shall not assign, convey, transfer or otherwise dispose of this agreement to any person or entity without the prior written consent of the City. 13. A condition for entry into this Agreement is the presentation by the IURA to the City of proof that the IURA provides the levels of workers’ compensation and disability insurance coverage required by the State of New York. 14. This Agreement shall be governed by and construed in accordance with the laws of the State of New York. If a dispute arising out of this Agreement is to be litigated then the venue for such litigation shall be the Supreme Court of the State of New York located in Tompkins County. 15. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original and all of which, taken as a whole, shall constitute one and the same. IURA staff will make best efforts to complete agreed upon tasks in a timely manner; however, activities related to administration of CPD funds will take priority and any consequent delay in completion of other activities will not be cause for termination of this agreement. Department of JusƟce, et al., 1:25-cv-00345 (D.R.I.), the Department of Housing and Urban Development (HUD) has agreed to stay enforcement and applica on, in Plain ff States and their respec ve subdivisions and instrumentali es, of the immigra on status verifica on requirements outlined under the Person Responsibility and Work Opportunity Reconcilia on Act of 1996 (PRWORA) as to the HOME Investment Partnerships Program, un l the date on which judgement on the merits has been issued by the district court. Further, pursuant to those s pula ons regardless of the outcome of the subject li ga on, HUD will never enforce or in any way apply PRWORA’s immigra on status verifica on requirements in the Plain ff States as to, inter alia, the HOME Program, related to (1) conduct occurring prior to the district court judgement date; (2) funds expended prior to the district court judgement date; or (3) any other ac ons taken in reliance on the s pula ons prior to the district court judgement date. This stay of enforcement and applica on of PRWORA’s immigra on verifica on condi ons as to the HOME Program pertains only to the Plain ff States, and their respec ve subdivisions and instrumentali es, in the New York, et al. v.
