ROLL CALL All subcommittee members were present. The meeting was called to order at 10:00 a.m. Present Quinn Adamowski, Priscilla Cordero and Megan Millen 2. APPROVAL OF MINUTES Attachments: Minutes_Bylaws_08.11.2021 A motion was made by Quinn Adamowski, seconded by Megan Millen, to approve COUNCIL MEMO #TMP-5761: Meeting Minutes from the August 11, 2021 Arts Commission - Bylaws Subcommittee.. The motion carried by the following vote: Aye: Adamowski and Millen Abstain: Cordero 3. CITIZENS TO BE HEARD ON AGENDA ITEMS This section is for anyone wanting to speak regarding agenda items and are allowed a maximum of 4 minutes. It is not a question and answer period and staff, and the Commission members do not generally respond to public comments. The City Clerk has a copy of the public speaking procedures; please note, speakers who engage in conduct injurious to the harmony of the meeting shall be called to order by the Presiding Officer and may forfeit the opportunity to speak. 4. OLD BUSINESS 5. NEW BUSINESS A. Discussion on Potential Changes to the Arts Commission Bylaws and Future Restructuring of Subcommittees. Commissioner Millen provided an overview of the need to restructure the Commission so it can better establish quorum and focus on a set of attainable goals. One of the changes discussed was the elimination of non-commission members. Potential for looking into a future reduction of Commission members was discussed but not finalized. The subcommittee also discussed removing the cap limiting the number of commissioners that can serve on a subcommittee. Attachments: Bylaws Memo for 05.11.2023 Meeting A motion was made by Cordero and seconded by Adamowski to recommend amending the Bylaws to allow more than four commissioners to serve on a subcommittee, if necessary, and remove non-commission members from serving on subcommittees. The motion passed by a vote of 3-0. The motion carried by the following vote: Aye: Adamowski, Cordero and Millen Attachments: Charter Ordinance Attachments: Art Commission Bylaws-CLEAN A motion was made by Cordero and seconded by Adamowski to recommend changing the number of subcommittees from six to five, and establish the following subcommittees, Bylaws, Vision, Funding, Events, Public Art and Policy. The motion carried by a vote of 3-0. NEW OR OLD BUSINESS, NOT FOR FINAL ACTION OR RECOMMENDATION Staff liaison Heitner stated that he will get clarity on the City's remote participation policy for future meeting. 7.
