Roll Call Present (11) - Coggs, Morris, Flores, Fraker, Heding, Kose, Kosarzycki, Layden, McSweeney, Murphy, Tovar Excused (2) - DeLind, Souffrant Absent (2) - Garcia, Phillips Also present: Sally Svetic, DCD Terri Grote, DCD Chris Hillard, LRB It was mentioned that the meeting was Ms. Grote's last, that she was leaving, and members thanked her for her service to the board and City. 2. Review and Approval of Previous Meeting Minutes The meeting minutes from October 11, 2022 were approved without objection. 3. New Business a. Presentation from Darryl Davidson on Office of African American Affairs Mural Project Mr. Davidson gave an overview of the OAAA office that he chairs, current activities, and community partners. OAAA was now operational on the 1st and 2nd floors at 4828 W. Fond Du Lac Ave. and having classes and trainings there. OAAA is proposing for a 15 ft. x 15 ft. interchangeable mural installation on their building wall next to the parking lot on the south side that could be switched out as needed as themes City of Milwaukee Page 1 MILWAUKEE ARTS BOARD Meeting Minutes December 13, 2022 changes or to promote activities and events throughout the year. $50,000 in ARPA funds was allocated for beautification of the office towards this mural for 2024 with completion to occur in 2025. He would welcome input from the board, especially on connecting with local artists. Vice-chair Morris commented. The Public Arts Subcommittee had a list and could help solicit for local artists. PAS would take further review of the proposal and would need further information on stipend amounts for the artists, the artist selection process, and (recommended) a schedule of murals for the first year. She would be in touch. Chair Coggs said she could also forward a list of Bronzeville artists. b. Approve 2023 MAB meeting dates Ms. Svetic presented the following 2023 meeting dates and important deadlines and events as follows: January 3rd - 2023 Public Art Conservation Application (rolling deadline) 10th - 3:00pm Public Art Subcommittee (PASC) Meets; 4:00pm Regular meeting of the MAB February 14th - 3:00pm PASC Meets; 4:00pm Regular meeting of the MAB 9th or 16th - 1:00pm Virtual Grant Application Workshop – Held on Teams March 13th - Deadline for Sustaining Grant Applications 14th - 3:00pm PASC Meets; 4:00pm Regular meeting of the MAB: Decide on 2023 Sustaining Grant panel to review applications, complete rankings, verify eligibility and note conflicts. April 11th- 3:00pm PASC Meets; 4:00pm Regular meeting of the MAB: Vote on Friends of the Arts Award & Artists of the Year May 9th - 3:00pm PASC Meets; 4:00pm Regular meeting of the MAB: Vote on Grant Panel recommendations June 13th - 3:00pm PASC (if needed); 4:00pm Brief meeting of the MAB (if needed) @ Marcus Center-tentative; 4:30pm Annual Awards Reception Registration; 5:00pm Awards Program Begins, Friends of the Arts, Artists of the Year Awards, Grant Awards July 11th - 3:00pm PASC Meeting; 4:00pm Regular meeting of the MAB August (No scheduled meetings) September 12th - 3:00pm PASC Meeting; 4:00pm Regular meeting of the MAB City of Milwaukee Page 2 MILWAUKEE ARTS BOARD Meeting Minutes December 13, 2022 October 10th - 3:00pm PASC Meeting; 4:00pm Regular meeting of the MAB November 14th - 3:00pm PASC Meeting; 4:00pm Regular meeting of the MAB December 12th - 3:00pm PASC Meeting; 4:00pm Regular meeting of the MAB Members discussed the format of meetings going forward, concluded that meetings remain virtual to be flexible with everyone's schedules and to help with quorum, and that perhaps there can be one meeting in-person in June for everyone to acquaint themselves to each other. Member Flores moved approval of the 2023 MAB meeting dates and virtual format. There was no objection. c. Review and approve 2023 Sustaining Grant Guidelines and Application Ms. Svetic gave an overview as follows: Grant application would be done via website electronically. Application deadline was before midnight March 13, 2023. Grant guidelines and application was reviewed by the subcommittee, and changes were made accordingly. A virtual workshop for applicants would be done in February (TBD). On the website applicants would be able to save and return back to complete applications. The application website listed further information regarding required materials checklist, purpose of the MAB grant program, information about MAB, applicant organization eligibility, what MAB would support and would not support, program overview, application deadline, review process, reporting requirements, funding process, conflict of interest, appeals and extensions, and contractual obligations. The application section would ask for general information (name and contact information), narrative responses to questions, and required materials that could be uploaded and attached electronically. Finally at the end applicants would provide signature to certify board authorization and acknowledge organizational assurances. Overall board eligibility and grant period would be the same as 2022. Panel review of applications would be from mid-March to the end of April. MAB would review panel recommendations and make approvals at the May 9th meeting. Interim reporting would remain eliminated. Final reporting deadline was June 30, 2023 for 2022 applicants and June 30, 2024 for 2023 applicants. Grant payment (75% of awarded amount) is made approximately six weeks after the receipt of 2023 signed contracts. Funding will not be available before July 1, 2023. Final grant payment (25% of awarded amount) is made following receipt of a signed Final Report due June 30, 2024. The MAB reserves the right to withhold final payment if the organization is no longer operating as of that date, or if the organization has moved out of the City of Milwaukee. New applicants or those with address changes would have to submit a new W-9. The narrative questions were updated to reflect ordinance changes. Applicants would be able to upload up to 3 different documents. Member Layden questioned the framing and community input/review on the narrative questions (particularly on responding to the needs of historically underrepresented or underserved communities). City of Milwaukee Page 3 MILWAUKEE ARTS BOARD Meeting Minutes December 13, 2022 Ms. Svetic said that the community organizations were aware of that particular question, there was concern that they would be unable to serve populations or meet that purpose, MAB wanted this purpose included, that criteria was included on the scoring forms, and that criteria would be shared to organizations and at the workshops. Member Layden moved approval of the 2023 Sustaining Grant Guidelines and Application. There was no objection. 4. Old Business a. MAB ordinance update and bylaws drafting – Chris Hillard, LRB Mr. Hillard and Svetic gave an update. The by-law draft received much feedback and changes were made to improve upon it. Some changes were minor relating to things like spelling and typos. Chair Coggs inquired about the selection of the chair and vice-chair and the by-laws (under Article V, Section 3) restricting the ability to vote to only those present when the voting took place (which was commonly allowed and practiced at Council related meetings). Mr. Hillard and Svetic replied that there were no by-laws to address elections of the chair and vice-chair, the new by-laws specified in Article III that nomination and election of those positions be done by the full board. Robert's Rules of Order may allow for subsequent voting by members who were not present at the time of voting. Mr. Hillard would verify, report back, and eliminate that provision. Mr. Hillard and Svetic said that notable changes for the board to consider would include requiring a majority or all of the members be city residents under Article I (Composition, Objectives and Duties), requiring or not requiring 3-year term limits with option to reinstate (corresponding to the MAB term) under Article VI, Section 1 (Public Art Subcommittee membership), and requiring Artist of the Year be a City of Milwaukee resident under Article VII (Grants, Designs and Awards). Members discussed that current MAB membership was all Milwaukee residents, Milwaukee residency has been practiced and have been an unwritten rule for quite some time, those that did not reside in the City mutually left the board, and the Mayor's Office preferred for most meeting bodies (with exceptions) have all of their membership be Milwaukee residents only. Member Layden moved to amend the by-laws and/or the City ordinance to require all membership to the MAB be only Milwaukee residents. Seconded by member Flores. There was no objection. Members discussed that having terms and renewal terms with MAB oversight and evaluation was good for the Public Art Subcommittee. Terms would bring accountability, new opportunities, and new ideas. Renewed terms would be allowed. PAS membership would coincide with a member's MAB membership. Member McSweeney moved to amend the by-laws to set 3-year terms to PAS membership, for PAS membership to coincide with a member's MAB membership, and for MAB to have oversight of PAS membership. There was no objections. City of Milwaukee Page 4 MILWAUKEE ARTS BOARD Meeting Minutes December 13, 2022 Members concurred that an Artist of the Year awardee be a Milwaukee resident, a Friends of the Arts awardee be open to someone outside the City (which was welcomed regardless of residency), that awards have practiced this preference as an unwritten rule, and it made sense to finally codify this practice. Vice-chair Morris moved to amend the by-laws to require that an Artist of the year be a Milwaukee resident. There was no objection. 5. Announcements a. 2022 MAB meeting attendance stipend checks Ms. Svetic said that stipends would be mailed in January, members were encouraged (optional) to donate the stipends back to the contribution fund to provide stipends for the Artist of the Year awards, that it was a customary practice to donate the stipends back, that the donation would help fund future years for the award stipends, and to send and endorse the stipends back to her office at her attention. Member Tovar said that stipends were given to some boards customarily, and some more than others. Vice-chair Morris said for there to be a press release on the Conservation Fund.
