INFORMATION ABOUT OKLAHOMA CITY ZOOLOGICAL TRUST MEETINGS
The Oklahoma City Zoological Trust meets on the fourth Wednesday of each month at 4:30 p.m. in the Zoo
Administration Building, located at 2000 Remington Place, Oklahoma City, Oklahoma 73111. Free parking
is available in the Zoo parking lot.
It is the policy of the Oklahoma City Zoological Trust to ensure that communications with participants and
members of the public with disabilities are as effective as communications with others. Anyone with a
disability who requires an accommodation, a modification of policies or procedures, or an auxiliary aid or
service in order to participate in this meeting should contact the Zoo at 405-425-0231 as soon as possible, but
not later than 48 hours (not including weekends or holidays) before the scheduled meeting. The Zoo will give
primary consideration to the choice of auxiliary aid or service requested by the individual with disability. If
you need an alternate format of the agenda or any information provided at said meeting, please contact the
Zoo at 405-425-0231 at least 48 hours prior to the scheduled meeting.
ADDRESSING THE OKLAHOMA CITY ZOOLOGICAL TRUST
Citizens may address the Trust on certain items by signing up to speak and providing the agenda item number,
their reason for appearing, and their address, but all comments must be relevant to the item. Citizens may
also address the Trust at the end of the agenda under “Citizens to be heard.” Please contact the Zoo at 405-
425-0231 at least 48 hours prior to the meeting, and leave a message that includes your name, the agenda item
number, and the reason you would like to speak. Staff will submit requests received to the Chair. Please limit
your comments to three (3) minutes or less.
The Chair or presiding officer may, in his or her discretion, prohibit a person from addressing the Trust, or
have any person removed from the Auditorium, if that person commits any disorderly or disruptive behavior.
Disorderly conduct includes, but is not limited to, any of the following: speaking without being recognized by
the Chair or presiding officer; continuing to speak after notice that the speaker’s allotted time has expired;
presenting comments or material not relevant to the item under discussion; failing to comply with the lawful
instructions of the Chair or presiding officer; or engaging in other conduct, activity, or speech that delays,
disturbs, interferes, or disrupts the effective or timely conduct of the meeting, or is otherwise violent,
threatening, abusive, obscene, or jeopardizes the safety of self or others. A person may also be subject to

arrest and removal from the Auditorium for violation of Oklahoma City Municipal Code 2020, § 3081 –
Disorderly conduct and/or violation of 21 Okla. Stat. § 280 – Willfully Disturbing, Interfering With or
Disrupting State Business, Agency Operations or Employees.
TRUST ACTIONS
Official action can be taken only on items which appear on the agenda. The Trust may adopt, approve, ratify,
deny, defer, recommend, amend, strike, or continue any agenda item. Other actions may also be taken.
When more information is needed to act on an item, the Trust may refer the matter to the Executive
Director/CEO or the Municipal Counselor. The Trust may also refer items to standing committees of the
Trust for additional study.
Under certain circumstances, items are deferred to a specific later date or stricken from the agenda entirely.
CONSENT DOCKET
Items listed under “Consent Docket” are usually approved as a group with the proper motion from a member
of the Trust. Members of the Trust may request discussion or separate action on any item on the Consent
Docket.

A. Trustee Derek Albro heard great comments on the Sip & Stroll event and Trustee Jon Trudgeon congratulated the
Zoo on the attendance record.
V. Staff Reports
A. Animal Care – Jennifer D’Agostino gave the report; Our lion cubs had their first exams and are doing great, very
spicy personalities and should be on habitat soon. Vet team and Carnivore team was able to get a successful blood
draw from Augustus, the honey badger. Our baby Galapagos tortoises are on habitat in the Herpetarium. Asha, the
elephant, went into pre-mature labor on Saturday and unfortunately delivered her calf which was stillborn. However,
she is back with the family group and doing better. Achara’s pregnancy is progressing well and is due next July.
B. Conservation & Science – Dwight Lawson gave the update; Nature Explorers Preschool is set to open on August
12th and we still have spots open. We have a successful partnership with the OU School of Engineering where they
have created several animal enrichment equipment for us. Sri Lanka Elephant Project is doing well with a National
Geographic Grant and a new field guide was created for tourists. Milkweed project to find and to reintroduce the
plant back into nature is doing well. The Zoo is hosting the OK Monarch Summit in August.
C. Human Resources – Tammy Burnett presented HR news; Turnover is at 19% which is below the 24% average of
other AZA institutions. The Zoo currently has 381 employees and the volunteer program continues to do well.
D. PR & Marketing – Greg Heanue provided the PR & Marketing update; While attendance was just shy of our June’s
goal, we ended the year with a new record, over 1.1 million Zoo Guests. While the Museum for All program
wrapped up at the end of June, a new discount for Oklahomans who participate in the SNAP/EBT/WIC programs
will begin and they will receive 50% off of admission. We hosted 250 birthday parties and 22 picnics his year. Sip
& Stroll set a new attendance record and raised over $21,000 for Texas Horned Lizard Research. Our July 4th
Enrichment Day was popular and the advertisement value that our PR team generates is equaled to 5.6 million
dollars.

E. OZS – Mandy Heaps gave the OZS update; Three big gifts to kick off the new fiscal year! the Making Tracks
program received $100,000 from Chesapeake Energy, the Lion Cub Club has so far raised over $13,000 and closes
on July 31, and an individual donor gave $10,000. We are nearing the end of our selection process for a provider
for investment and endowment services. ZOObrew tickets go on sale on August 1st and VIP pre-sale is July 31st.
and we have currently raised over $74,000 in sponsorships.

SUBJECT: Amendment No. 1 Oklahoma City Zoo Logical Trust 1% for Art-Public Art
Commission Agreement Zoo Shore to Sea Exhibit
Background: The Trust and the Artists, Matt Goad and Stan Carroll, entered into an
Agreement on April 26, 2023, for the design, fabrication, delivery, and
installation of a multimedia sculptural installation. Due to changes in the
Artists’ concept and design, the Parties have determined the need to amend
the Agreement to reflect such changes.
Amendment No. 1 would incorporate the replacement location within the
exhibit, replace the Artist’s concept, and an updated schedule. The Artists
have also included a replacement preliminary maintenance plan for the art
pieces.

AMENDMENT NO. 1
OKLAHOMA CITY ZOOLOGICAL TRUST
1% FOR ART-PUBLIC ART COMMISSION AGREEMENT
ZOO SHORE TO SEA EXHIBIT
This amendment (“Amendment No. 1”) to the Oklahoma City Zoological Trust 1% for Art-
Public Art Commission Agreement Zoo Shore to Sea Exhibit (“Agreement”) is entered by and
between the Oklahoma City Zoological Trust, (“Trust”), and artists Stan Carroll and Matt Goad,
dba CarGo Labs, LLC (“Artists”), each a “Party” and collectively, the “Parties.”
WITNESSETH:
WHEREAS, the Parties entered into an Agreement on April 26, 2023, for the design,
fabrication, delivery, and installation of a multimedia sculptural installation; and
WHEREAS, the Artists were selected pursuant to a competitive process by the Trust; and
WHEREAS, due to changes in the Artists’ concept and design, the Parties determined a
need to amend the Agreement to reflect such changes; and
WHEREAS, the Chief Financial Officer position for the Trust has been reassigned and the
Parties wish to amend the Agreement to incorporate the assigned individual for processing the
Artist’s invoices; and
WHEREAS, Section V-GENERAL CONDITIONS, Subsection B of the Agreement,
authorizes amendments and modifications to the Agreement upon mutual consent of the Parties.
NOW, THEREFORE, in consideration of the mutual covenants contained in the
Agreement and this Amendment No. 1, the Parties agree as follows:
I. Amend any reference to the design, fabrication, delivery and installation of the
multimedia sculptural installation titled “Fluid Dynamics” to be replaced with the
title “Sea Change.”
II. Amend Section III-COMPENSATION AND PAYMENTS, Subsection B: to read
as follows:
B. Artists shall send invoices directly to Rebecca McReynolds, the Trust’s

Agreement, the provisions in this Amendment No. 1 will control.
IN WITNESS WHEREOF, the Parties affirm their understanding of the terms herein
described by executing this Amendment No. 1 as of the date written below.

Exhibit C
Estimated Schedule
The design phase shall begin from time of receipt of a Purchase Order and an official Notice to
Proceed. The maximum time will depend on the collaboration with the project design team and
approval of the Artist’s Concept. This shall approximately take place between April of 2023 and
November of 2024.
Fabrication of the central sculpture cannot begin until the site geometry data is received by
Artists. Fabrication will require approximately 16 months from the time the geometry data is
received.
Installation shall begin from the time that Artists are notified by the project General Contractor
and by the Arts Liaison that installation may proceed. During the installation of the Work Artists
shall, by prior arrangement with the General Contractor, have access to the site from 8 a.m. to 5
p.m. from Monday through Friday of each week excluding holidays.
The Parties further acknowledge and understand that the estimated schedule is subject to change
and depends on the construction site’s status.

Preliminary Maintenance Plan
Sculpture - stainless steel suspended plates and base: At the beginning of each year and as needed
depending on soiling. Power wash surfaces as necessary with plain clean water to remove any
soiling that might occur over time. Avoid spraying any electrical equipment directly with power
washer. If stubborn soiling is encountered, use a mild cleaner if necessary. Pre-test any cleaner in
an inconspicuous area on each type of finish prior to applying to the entire surface to assure
compatibility. Rinse with clean water and wipe dry.
Water Drop: Clean gently with a general purpose glass cleaner and a soft cloth as needed.

Background: SHINE is a non-profit group working to divert incarceration by providing
supervised work opportunities for non-violent offenders. They have been
assisting the zoo with various landscaping services that were much needed.
The SHINE Program was established to make central Oklahoma a better,
safer, and cleaner place to live by deploying volunteer and community service
resources in an organized manner to provide beautification services.
Term: The initial term of this Agreement shall be for one year, commencing on July
1, 2024, and continuing through June 30, 2025. Either party may terminate
this Agreement at any time by providing thirty days advance written notice to
the other party.
Cost: Not to exceed $48,000.

SHINE Agreement
between the Oklahoma City Zoological Trust and Oklahoma County
This Agreement is made and entered into this 10th day of July� 2024, by and between
the Oklahoma City Zoological Trust, an Oklahoma public trust (hereinafter referred to as
"the Trust" or "Trust"), and Oklahoma County, Oklahoma (hereinafter referred to as "the
Couuty" or "County").
WITNESS:
WHEREAS, the Oklahoma City Zoological Trust is an Oklahoma public trust created and
established by an Agreement and Declaration of Trust dated January 7, 197 5 (as subsequently
amended and restated, "Trust Agreement"), and The City of Oklahoma City ("City") is the Trust's
sole beneficiary; and
WHEREAS, said Trust Agreement empowers the Trustees of the Oklahoma City
Zoological Trust to hold, manage, operate, and develop the Oklahoma City Zoo and Botanical
Garden ("Zoo") in such marmer as will, in the opinion of the Trustees, best serve the interest of
the City; and
WHEREAS, Oklahoma County has established the Oklahoma County SHINE (Start
Helping Neighborhoods Everywhere) Program to make central Oklahoma a better, safer, and
cleaner place to live by deploying volunteer and community service resources in an organized
manner to provide beautification services and save taxpayer dollars; and
WHEREAS, the Trustees of the Oklahoma City Zoological Trust have determined that it
is in the best interest of the City to contract with the Couuty for the provision of Oklahoma Couuty
SHINE Program services at the Zoo.
NOW, THEREFORE, the parties agree as follows:
ARTICLE I.
Term of Agreement
A. The term of this Agreement shall be for one (1) year commencing on July 1, 2024 and
continuing through June 30, 2025.
B. Either party may terminate this Agreement at any time by providing thirty (30) days'
advance written notice to the other party.
ARTICLE II.
County Services
A. The County agrees to provide the following services to beautify the grounds of the
Oklahoma City Zoo and Botanical Garden: removal of trash, debris, brush, and

RESOLUTION ESTABLISHING A NEW ANNUAL SALARY AND EFFECTIVE
DATE FOR EXECUTIVE DIRECTOR/CEO, DWIGHT LAWSON, AND
CONTINUING EMPLOYMENT BENEFIT AGREEMENTS
WHEREAS, the Oklahoma City Zoological Trust appointed Dwight Lawson as
Executive Director/CEO effective May 27, 2014; and
WHEREAS, the Oklahoma City Zoological Trust set the annual salary of the
Executive Director/CEO at $181,125 effective August 24, 2016, and provided certain
additional benefits; and
WHEREAS, the Oklahoma City Zoological Trust conducted an annual review of
the Executive Director/CEO’s performance and compensation; and
WHEREAS, the Oklahoma City Zoological Trust desires to set a new rate of pay
for the Executive Director/CEO at an annual salary of $____________to be effective ___
1, 2024; and
WHEREAS, the Oklahoma City Zoological Trust desires that, in addition to his
annual salary, the Executive Director/CEO shall continue to receive, without change, all
other benefits as provided at the time of his review on August 28, 2024; and
WHEREAS, an annual review of the Executive Director/CEO’s performance and
compensation shall be conducted by June 1st of each year, or as soon thereafter as
practical.
NOW, THEREFORE, BE IT RESOLVED by the Oklahoma City Zoological
Trust that:
