INFORMATION ABOUT OKLAHOMA CITY ZOOLOGICAL TRUST MEETINGS
The Oklahoma City Zoological Trust meets on the fourth Wednesday of each month at 4:30 p.m. in the Zoo
Administration Building, located at 2000 Remington Place, Oklahoma City, Oklahoma 73111. Free parking
is available in the Zoo parking lot.
It is the policy of the Oklahoma City Zoological Trust to ensure that communications with participants and
members of the public with disabilities are as effective as communications with others. Anyone with a
disability who requires an accommodation, a modification of policies or procedures, or an auxiliary aid or
service in order to participate in this meeting should contact the Zoo at 405-425-0231 as soon as possible, but
not later than 48 hours (not including weekends or holidays) before the scheduled meeting. The Zoo will give
primary consideration to the choice of auxiliary aid or service requested by the individual with disability. If
you need an alternate format of the agenda or any information provided at said meeting, please contact the
Zoo at 405-425-0231 at least 48 hours prior to the scheduled meeting.
ADDRESSING THE OKLAHOMA CITY ZOOLOGICAL TRUST
Citizens may address the Trust on certain items by signing up to speak and providing the agenda item number,
their reason for appearing, and their address, but all comments must be relevant to the item. Citizens may
also address the Trust at the end of the agenda under “Citizens to be heard.” Please contact the Zoo at 405-
425-0231 at least 48 hours prior to the meeting, and leave a message that includes your name, the agenda item
number, and the reason you would like to speak. Staff will submit requests received to the Chair. Please limit
your comments to three (3) minutes or less.
The Chair or presiding officer may, in his or her discretion, prohibit a person from addressing the Trust, or
have any person removed from the Auditorium, if that person commits any disorderly or disruptive behavior.
Disorderly conduct includes, but is not limited to, any of the following: speaking without being recognized by
the Chair or presiding officer; continuing to speak after notice that the speaker’s allotted time has expired;
presenting comments or material not relevant to the item under discussion; failing to comply with the lawful
instructions of the Chair or presiding officer; or engaging in other conduct, activity, or speech that delays,
disturbs, interferes, or disrupts the effective or timely conduct of the meeting, or is otherwise violent,
threatening, abusive, obscene, or jeopardizes the safety of self or others. A person may also be subject to
arrest and removal from the Auditorium for violation of Oklahoma City Municipal Code 2020, § 3081 –
Disorderly conduct and/or violation of 21 Okla. Stat. § 280 – Willfully Disturbing, Interfering With or
Disrupting State Business, Agency Operations or Employees.
TRUST ACTIONS
Official action can be taken only on items which appear on the agenda. The Trust may adopt, approve, ratify,
deny, defer, recommend, amend, strike, or continue any agenda item. Other actions may also be taken.
When more information is needed to act on an item, the Trust may refer the matter to the Executive
Director/CEO or the Municipal Counselor. The Trust may also refer items to standing committees of the
Trust for additional study.
Under certain circumstances, items are deferred to a specific later date or stricken from the agenda entirely.
CONSENT DOCKET
Items listed under “Consent Docket” are usually approved as a group with the proper motion from a member
of the Trust. Members of the Trust may request discussion or separate action on any item on the Consent
Docket.

IV. Items from Trustees
A. Trustee Jon Trudgeon and others congratulated the Zoo staff on our AZA Accreditation. Trustees Dustin Fredrick
and Vicki Howard complimented the Zoo Amphitheatre. And Trustee LaShawn Thompson gave acclamation for
the Sri Lanka presentation.
V. Staff Reports
A. Capital Projects – Dwight Lawson gave the Capital Projects update, Shore to Sea ready for construction to begin
once all subcontractor bids are received. The Tent is progressing and working through issues. The preschool still
has open spots but is running well.
B. Animal Care – Jennifer D’Agostino shared Animal news, the giraffe and hoofstock introductions are going well and
tomorrow ostriches will be out tomorrow. Our Ploughshare Tortoises, the most endangered tortoise, are out on
habitat. One of our fishing cats, Boon is on the mend from liver and gallbladder issues and the lion family intro-
ductions went well and will start being on habitat together. We have a new male rhino and Joel Sartore was here
last week to take pictures of two species of fish and our Galapagos tortoise babies.
C. Human Resources – CHRO, Tammy Burnett, explained the HR updates, currently our turnover is at 2.5% for the
month and 3.4% for the YTD which is high for us. The volunteer program continues to grow.
D. PR & Marketing – Greg Heanue gave the PR & Marketing update, the exit survey given to visitors has hit a satis-
factory rate of 90%, which is about the national average. World Elephant Day was a success and the Zoo hosted
the Oklahoma Monarch Summit. Haunt the Zoo starts on October 5th and the Pack Pint run was so successful it
will return for Safari Lights. We hosted PBS’s Nature Cat and 2200 guests came out to meet the character. And our
Smart Park digital map will soft launch during ZOObrew then full product will be available the first full week of
October.
E. OZS Update – Executive Director, Mandy Heaps, shared OZS news, we recently received a $15,000 gift for the
Zoo Lake Park, $20,000 in sponsorships for Haunt the Zoo, and Homeland become a first-time sponsor with a
$15,000 donation for Safari Lights. OZS was recently recognized at the Journal Record Beacon Awards for Non-
profits serving Nonprofits. ZOObrew is Friday!

Broker for Matters related to Zoo Employee Health Plan Options; and
authorizing the Zoo Executive Director/CEO to act upon health plan
recommendations in the amount not to exceed $100,000 that are necessary
or appropriate for Zoo employee health benefit plans that best serve the
Trust.
Background: The Oklahoma City Zoological Trust’s Lease and operating agreement
confers certain powers and authority to the Zoo Executive Director/CEO
for the expedient operation of the Zoo. From time to time health plan
options become available that are recommended by the Trust’s Benefits
broker and it would be in the best interest of the Trust to authorize the Zoo
Executive Director/CEO to receive recommendations from the Trust’s
benefits broker and revise necessary or appropriate Zoo employee health
plan options that do not exceed $100,000 and best serve the Trust.
It is recommended that the Trustees of the Oklahoma City Zoological Trust
give authorization to the Zoo Executive Director/CEO to make these
decisions.

RESOLUTION AUTHORIZING THE ZOO EXECUTIVE
DIRECTOR/CEO TO RECEIVE RECOMMENDATIONS FROM THE
OKLAHOMA CITY ZOOLOGICAL TRUSTS’ BENEFITS BROKER FOR
MATTERS RELATED TO ZOO EMPLOYEE HEALTH PLAN OPTIONS;
AND AUTHORIZING THE ZOO EXECUTIVE DIRECTOR/CEO TO ACT
UPON HEALTH PLAN RECOMMENDATIONS IN THE AMOUNT NOT
TO EXCEED $100,000 THAT ARE NECESSARY OR APPROPRIATE FOR
ZOO EMPLOYEE HEALTH BENEFIT PLANS THAT BEST SERVE THE
TRUST.
WHEREAS, the Oklahoma City Zoological Trust, (“Trust”) manages, operates, and
develops the Oklahoma City Zoo and Botanical Garden (“Zoo”) on behalf of the City of Oklahoma
City (“City”) pursuant to an Agreement and Declaration of Trust dated January 7, 1975 (as
subsequently amended and restated, “Trust Agreement”), and a Lease and Operating Agreement
dated July 1, 1975 (as subsequently amended and restated, “Lease and Operating Agreement”);
and
WHEREAS, Pursuant to Article VII of the Trust Agreement, the powers and duties of the
Trustees include altering, enhancing, diminishing, or restructuring its employees’ health plan
benefits when the Trustees find such action(s) to be in the best interest of the Trust; and
WHEREAS, the Lease and Operating Agreement confers certain powers and authority to
the Zoo Executive Director/CEO for the expedient operation of the Zoo; and
WHEREAS, from time to time health plan options become available that are
recommended by the Trust’s benefits broker; and
WHEREAS, it would be in the best interest of the Trust to authorize the Zoo Executive
Director/CEO to receive recommendations from the Trust’s benefits broker and revise necessary
or appropriate Zoo employee health plan options that do not exceed $100,000 and best serve the
Trust.
NOW, THEREFOR, BE IT RESOLVED that the Trustees of the Oklahoma City
Zoological Trust hereby authorize the Zoo Executive Director/CEO to receive recommendations
from the Trusts’ benefits broker for matters related to Zoo employee health plan options; and
authorize the Zoo Executive Director/CEO to act upon health plan recommendations in the amount
not to exceed $100,000 that are necessary or appropriate for Zoo employee health benefit plans
that best serve the Trust.

SUBJECT: Resolution of the Oklahoma City Zoological Trust extending the time to
award subcontractor (trade partner) contracts for good cause and awarding
subcontractor contracts, as recommended by the construction manager for
Project MZ-0069, OCZT-STS “Shore to Sea” trade packages.
Background: On February 28, 2024, the Trust authorized negotiation of an agreement with
the top-ranked proposer, JE Dunn Construction Company, and a finalized
Agreement for At-risk Construction Management Services with JE Dunn
Construction Company was presented to and approved by the Trust’s Board
on April 24, 2024. JE Dunn prepared individual trade bid packages for the
Project pursuant to Oklahoma law and the Contract, and subcontractor trade
bids were received and opened at the Zoo on September 19, 2024 and on
October 15, 2024. JE Dunn has recommended awarding construction
subcontracts to the lowest responsible bidder for each of the subcontractor
trade packages identified in the attached Exhibit Bidder Recommendation
Letter (Exhibit “A”).
The Oklahoma Public Competitive Bidding Act of 1974, 61 O.S. § 101 et seq.,
states that a contract for construction of a public improvement must be
awarded by the awarding public agency within 30 days after opening bids or
within 45 days for good cause, or the awarding public agency may award
within 120 days upon mutual written agreement between the lowest
responsible bidder(s). These contracts were delayed due to necessary review
period requirements and the meeting schedule of the Trust, therefore
preventing awards being made within 30 days of the bid opening. Letters
agreeing to honor each of the bids for an additional 120 days will be received
from each of the lowest responsible bidders whose contracts are attached. JE
Dunn’s recommendations and bid tabulation have been reviewed by the
Project’s Architect and Engineer, Beck Design, and the Zoo staff.

RESOLUTION EXTENDING THE TIME TO AWARD SUBCONTRACTOR
(TRADE PARTNER) CONTRACTS FOR GOOD CAUSE AND AWARDING
SUBCONTRACTOR CONTRACTS, AS RECOMMENDED BY THE
CONSTRUCTION MANAGER FOR PROJECT MZ-0069, OCZT-STS “SHORE TO
SEA” TRADE PACKAGES.
WHEREAS, the Oklahoma City Zoological Trust (“Trust”) is a public trust created
pursuant to its Trust Indenture under the authority of laws of the State of Oklahoma, and The City
of Oklahoma City (“City”) is the Trust’s sole beneficiary; and
WHEREAS, on January 17, 2024, the Trust authorized the issuance of a Request for
Qualifications for at-risk construction management services for Project No. MZ-0069, OCZT-STS
“Shore to Sea Exhibit” (“Project”) at the Oklahoma City Zoo and Botanical Garden, which is a
new penguin and sea lion habitat, as specified in the Final Plans and Specifications; and
WHEREAS, on February 28, 2024, the Trust authorized negotiation of an agreement with
the top-ranked proposer, JE Dunn Construction Company, and a finalized Agreement for At-risk
Construction Management Services (“Contract”) with JE Dunn Construction Company
(“Construction Manager”) was presented to and approved by the Trust’s Board on April 24, 2024;
and
WHEREAS, the Construction Manager prepared individual trade bid packages for the
Project pursuant to Oklahoma law and the Contract, and subcontractor trade bids were received
and opened by the Construction Manager at the Zoo on September 19, 2024, and on October 15,
2024; and
WHEREAS, the Construction Manager has recommended awarding construction
subcontracts to the lowest responsible bidder for each of the subcontractor trade packages
identified in the attached “Exhibit A – OCZT - Project No. MZ-0069 “Shore to Sea” Exhibit Bidder
Recommendation Letter”, dated October 21, 2024; and
WHEREAS, the Oklahoma Public Competitive Bidding Act of 1974, 61 O.S. § 101 et

Letters of Intent with the listed subcontractors (trade partners), and once executed, the contracts
and bonds will be approved by the Trust at a later date.
NOW, THEREFORE, BE IT RESOLVED by the Trustees of the Oklahoma City
Zoological Trust that the Trust does hereby extend the time to award subcontractor (trade partner)
contracts for good cause and awards the attached subcontractor (trade partner) contracts as
recommended by the Construction Manager for Project MZ-0069, OCZT-STS “Shore to Sea” trade
packages.
