INFORMATION ABOUT OKLAHOMA CITY ZOOLOGICAL TRUST MEETINGS
The Oklahoma City Zoological Trust meets on the fourth Wednesday of each month at 4:30 p.m. in the Zoo
Administration Building, located at 2000 Remington Place, Oklahoma City, Oklahoma 73111. Free parking
is available in the Zoo parking lot.
It is the policy of the Oklahoma City Zoological Trust to ensure that communications with participants and
members of the public with disabilities are as effective as communications with others. Anyone with a
disability who requires an accommodation, a modification of policies or procedures, or an auxiliary aid or
service in order to participate in this meeting should contact the Zoo at 405-425-0231 as soon as possible, but
not later than 48 hours (not including weekends or holidays) before the scheduled meeting. The Zoo will give
primary consideration to the choice of auxiliary aid or service requested by the individual with disability. If
you need an alternate format of the agenda or any information provided at said meeting, please contact the
Zoo at 405-425-0231 at least 48 hours prior to the scheduled meeting.
ADDRESSING THE OKLAHOMA CITY ZOOLOGICAL TRUST
Citizens may address the Trust on certain items by signing up to speak and providing the agenda item number,
their reason for appearing, and their address, but all comments must be relevant to the item. Citizens may
also address the Trust at the end of the agenda under “Citizens to be heard.” Please contact the Zoo at 405-
425-0231 at least 48 hours prior to the meeting, and leave a message that includes your name, the agenda item
number, and the reason you would like to speak. Staff will submit requests received to the Chair. Please limit
your comments to three (3) minutes or less.
The Chair or presiding officer may, in his or her discretion, prohibit a person from addressing the Trust, or
have any person removed from the Auditorium, if that person commits any disorderly or disruptive behavior.
Disorderly conduct includes, but is not limited to, any of the following: speaking without being recognized by
the Chair or presiding officer; continuing to speak after notice that the speaker’s allotted time has expired;
presenting comments or material not relevant to the item under discussion; failing to comply with the lawful
instructions of the Chair or presiding officer; or engaging in other conduct, activity, or speech that delays,
disturbs, interferes, or disrupts the effective or timely conduct of the meeting, or is otherwise violent,
threatening, abusive, obscene, or jeopardizes the safety of self or others. A person may also be subject to

arrest and removal from the Auditorium for violation of Oklahoma City Municipal Code 2020, § 3081 –
Disorderly conduct and/or violation of 21 Okla. Stat. § 280 – Willfully Disturbing, Interfering with or
Disrupting State Business, Agency Operations or Employees.
TRUST ACTIONS
Official action can be taken only on items which appear on the agenda. The Trust may adopt, approve, ratify,
deny, defer, recommend, amend, strike, or continue any agenda item. Other actions may also be taken.
When more information is needed to act on an item, the Trust may refer the matter to the Executive
Director/CEO or the Municipal Counselor. The Trust may also refer items to standing committees of the
Trust for additional study.
Under certain circumstances, items are deferred to a specific later date or stricken from the agenda entirely.
CONSENT DOCKET
Items listed under “Consent Docket” are usually approved as a group with the proper motion from a member
of the Trust. Members of the Trust may request discussion or separate action on any item on the Consent
Docket.

A. Resolution waiving formal competitive bidding and authorizing the open market purchase of kiosk and associated
equipment and approving the agreement with M3 Technology Solutions, LLC, estimated cost $95,300, December
3, 2025 through December 2, 2028.

IV. Items from Trustees
A. Trustee Derek Albro shared multiple people mentioning their excitement over Safari Lights and Trustee Pama
Palmer concurred her excitement. Trustee Camal Pennington congratulated Mandy Heaps and LaShawn Thomp-
son on being named two of the most powerful women in OKC. He also spoke about the upcoming Olympics and
a town hall was suggested for the community to discuss possible issues like safety, etc. Trustee Vicki Howard
mentioned she is also excited about Safari Lights and wishes everyone a happy holiday season.
V. Staff Reports
A. Animal Care – A North American porcupine joined our Animal Ambassador collection and our waddled crane pair
can now be seen enjoying the savanna. The zebra herd welcomed a foal over the weekend and Lola, the Sumatran
tiger has entered her birth window. Due to an aggressive strain of avian influenza susceptible birds are being cared
for in their indoor habitats.
B. Capital Projects – Current projects include Devon deck getting new composite decking and the HVAC system is
getting replaced at Great Escape. Other small projects include pathway fencing and a new roof at the lakeside
building. An update on the Well House, Cat Forest, Stingray Bay, and the Penguin projects were given.
C. Human Resources – Turnover has risen to 10.6% and our engagement survey has wrapped up recently, so we are
expecting to receive the results soon. Volunteer program numbers were shared, including 927 volunteers for Haunt
the Zoo who donated 4,659 hours.
D. PR & Marketing – November had a record attendance and our membership sales are ahead of its goal. Events on
track to meet their goals and our guest satisfaction survey remains at 89%. A new round up for conservation coin
case was created as a symbolic tool for guests to contribute wooden coins into slots representing different conser-
vation organizations. Sensory friendly night for Safari Lights is Thursday, December 4th and the Breakfast with
Santa series has been popular. The Safari Lights advertising budget has been divided into TV, social media, and
billboards.

E. OZS Update – Safari Lights set a new sponsorship record! Devon Energy renewed, two benches were recently sold,
and bricks sold out very quickly. The 1902 Society Breakfast is being rescheduled for the spring to avoid the possible
inclement weather tomorrow morning. ZooBrew numbers were overall over goal and underbudget with $25,000
going to two different primate organizations and over $6 going to AAZK.

SUBJECT: Revocable Permit between the Oklahoma City Zoological Trust and the
Oklahoma Monarch Society.
Background: On September 25, 2024, the Oklahoma City Zoological Trust approved a
Revocable Permit with the Oklahoma Monarch Society to allow the
organization to utilize space within the Rosser Conservation Education
Center at the Zoo and desires to utilize one cubicle carrel. On February 26,
2025, the Trust approved Amendment No. 1 which allowed the Oklahoma
Monarch Society to utilize additional space in the Rosser Conservation
Education Center and to correct the wording of the Revocable Permit by
removing a reference to subletting.
The Oklahoma Monarch Society is the Zoo’s primary partner for pollinator
conservation efforts across Oklahoma. The Zoo desires to continue the
relationship with the Oklahoma Monarch Society with the renewal of the
permit which facilitates communication, collaboration and further supports
the Zoo’s mission. Included is updated language covering fee consideration
and the term to be retroactive to January 2, 2026 with termination on January
1, 2027.

REVOCABLE PERMIT
This Revocable Permit is entered into on the 2nd day of January 2026, retroactively by and
between the Oklahoma City Zoological Trust, an Oklahoma public trust (hereinafter “OCZT”),
and the Oklahoma Monarch Society, Inc., an Oklahoma not-for-profit corporation (hereinafter
“Permittee”).
WITNESS:
WHEREAS, OCZT operates the Oklahoma City Zoo and Botanical Garden, located at
2000 Remington Place, Oklahoma City, Oklahoma 73111 (hereinafter the “Zoo”); and
WHEREAS, OCZT desires to allow Permittee to utilize one (1) cubicle carrel and the
Executive Office located within the Rosser Conservation Education Center at the Zoo, which is
further depicted in Exhibit A (hereinafter the “Premises”) attached hereto; and
WHEREAS, OCZT and Permittee desire to further define the rights and responsibilities
of each Party for this Revocable Permit.
NOW, THEREFORE, the Parties agree:
1. GRANT OF PREMISES
A. OCZT hereby grants to Permittee, and Permittee hereby accepts, use of one (1)
cubicle carrel within the Zoo’s Rosser Conservation Education Center, and use of
the office space known as the “Executive Office” as more particularly depicted in
Exhibit A (the “Premises”). Permittee’s use of the Premises shall be consistent with
the terms of this Permit. Permittee acknowledges that the Premises are within an
office area that is or will be shared by other occupants.
2. REVOCABLE PERMIT TERM
A. The term of this Permit shall be retroactive to January 2, 2026, and terminate on
January 1, 2027.
3. AMENDMENT
A. This Revocable Permit may only be amended by written agreement by both Parties.
4. CONSIDERATION
A. Permittee shall pay no fee to occupy the Premises for its use during the term of this
Permit, in recognition of the public benefit Permittee provides and the benefit to
OCZT.

B. Permittee is the OCZT’s primary partner for pollinator conservation efforts across
Oklahoma. This Permit facilitates communication, collaboration and further
supports the OCZT’s mission.
5. USE OF PREMISES
A. The Permittee shall utilize the Premises as general office space to advance goals
that are compatible with those of the Oklahoma City Zoological Trust. Permittee
agrees to the following provisions:
1. With prior reservation and approval of OCZT’s Executive Assistant or other
designee, Permittee may, from time to time, utilize the Rosser Conference
Room within the office area. Permittee acknowledges that the Rosser
Conference Room will also be utilized by OCZT trustees, employees,
guests, and other Permittees.
2. If Permittee utilizes the kitchenette within the Rosser Conference Room,
Permittee will maintain the kitchenette’s cleanliness and will remove all
trash, debris, and food items immediately. Permittee shall ensure that the
Rosser Conference Room is always kept ready for potential meetings.
3. Permittee may store items in Permittee-provided file cabinets in the office
area’s work room. Permittee shall not be allowed to store items in office
spaces other than Permittee’s one (1) designated cubicle carrel, the
Executive Office, and Permittee’s file cabinets in the work room.
4. Permittee shall not play music that is audible to other occupants, or
otherwise unreasonably interfere with other occupants’ quiet enjoyment of
the office area.
5. Permittee may utilize parking spaces not otherwise reserved, but Permittee
shall not park along the curb adjacent to the Rosser Conservation Education
Center. Permittee acknowledges that parking is available on a first-come,
first-served basis; and that, during peak periods, business parking may only
be available at an extended distance, potentially at Remington Park.

A. OCZT’s authorized agent(s) shall have the right, but not the duty, to enter or inspect
the Premises at any time for any official purpose, including, but not limited to,
verifying compliance with this Permit.
7. OPERATING HOURS
A. Permittee’s use of the Premises shall be consistent with the Zoo’s normal hours of
operation.
8. CONDITION OF PREMISES: MAINTENANCE AND REPAIR
A. Permittee accepts the Premises “as-is” and without warranty. OCZT shall not be
liable for any latent or patent defect at the Premises.
B. Except as expressly provide herein, all maintenance, repair, security, cleaning, and
debris removal at the Premises shall be at Permittee’s expense. Permittee shall
maintain the Premises to a standard acceptable for its intended use.
C. OCZT will provide to Permittee, as available and at OCZT’s discretion, the
following: custodial staff, building security, ability of Permittee to come and go
during normal hours of Zoo operation, network access, and participation in Zoo
activities.
D. Permittee shall dispose of its office trash daily.
E. Permittee agrees to provide its own telephone service, additional furniture needed
beyond the provided workstations, equipment, and supplies needed or used at the
Premises.
F. Permittee shall ensure that the outer doors of the office area are locked and secured
when the office area is unoccupied.
9. PERMITTEE MODIFICATIONS AND IMPROVEMENTS
A. Permittee shall not undertake any permanent improvement, modification, or
construction related activities on the Premises.
10. OCZT IMPROVEMENTS
A. OCZT makes no commitment to alter, improve, or repair the Premises. However,
OCZT reserves the right, at any time, to alter, improve, or repair the Premises.
B. The Zoo’s Executive Director shall notify Permittee in advance of any such
improvements or construction-related activities. OCZT shall not be liable for any

cost or operational disruption incurred by Permittee from such construction or
related activities.
11. CHEMICAL SUBSTANCES OR HAZARDOUS MATERIALS
A. Permittee shall not use or permit any chemical substances or hazardous materials
at the Premises without prior, written approval of the Zoo’s Executive Director,
whose approval shall not be unreasonably withheld. Permittee shall provide a
Safety Data Sheet (SDS) for all products, substances, or materials to be applied or
used at Premises.
B. Permittee warrants that any application of chemical substances or hazardous
materials at the Premises shall be done by a person who is a Certified Chemical
Applicator in the state of Oklahoma. Proof of the applicator’s current license shall
be provided, along with the SDS sheet referenced in Subsection 9.A.
12. NO ADVERSE CONDITIONS
A. Permittee shall not allow any condition at the Premises that adversely affects the
future development, improvement, operation, or maintenance of the Rosser
Conservation Education Center by OCZT or its authorized agents.
13. REVOCATION FOR CONVENIENCE
A. This Permit may be revoked by OCZT at any time by providing written notice to
Permittee.
14. REVOCATION FOR CAUSE
A. Permittee shall comply with all terms of this Permit. Permittee’s failure to do so
shall constitute a breach of this Permit. In such case, the Zoo’s Executive Director
or designee shall notify Permittee in writing to correct the breach within ten (10)
calendar days. If Permittee does not correct the breach within the written-notice
period, OCZT may terminate this Permit immediately without cost or liability. If
so, this Permit shall become void, and Permittee shall promptly cease occupying or
using the Premises.
B. If Permittee has made substantial progress toward correcting any breach of this
Permit within the written-notice period, Permittee shall have a reasonable time to
fully correct such breach.

C. OCZT may waive any breach of this Permit. However, waiver shall not constitute
a continuing waiver of such breach, or similar breaches, of this Permit. OCZT may
subsequently require Permittee to comply with any previously waived breach of
this Permit.
15. CONDITION UPON EXPIRATION OR REVOCATION; PERSONAL PROPERTY
A. Upon the expiration or revocation of Permit, Permittee shall peaceably surrender
the Premises to OCZT free of any claim, lien, or encumbrance and the Premises
shall be in as good a condition or better as it existed on the effective date of this
Permit, normal wear and tear excepted.
B. Permittee shall remove all personal property from the Premises within ten (10)
calendar days. After notifying Permittee that any personal property remains after
ten (10) calendar days, OCZT may dispose of such personal property within a
reasonable time thereafter, without liability.
C. Permittee’s rights to, and interests in, the Premises, or any permanent
improvements thereon, shall terminate and be conveyed to, and vest in, OCZT.
16. NO ASSIGNMENT
A. This Permit shall not be assigned or transferred.
17. PERMITTEE INSURANCE
A. Permittee shall provide a comprehensive general liability insurance policy
sufficient to meet the City’s and OCZT’s maximum liability under the Tort Claims
Act as it may be amended. The current required minimum general liability coverage
is three hundred seventy-five thousand dollars ($375,000) per person for injury or
death, seventy-five thousand dollars ($75,000) per person for property damage, and
two million dollars ($2,000,000) for all claims arising from a single occurrence, to
be effective during the Permit term. Permittee shall pay any required insurance
premiums or deductibles.
B. Permittee’s insurance policy shall name “The City of Oklahoma City” and the
“Oklahoma City Zoological Trust” as additional insured. Permittee shall not cancel,
fail to renew, nor decrease the limits by endorsement without thirty (30) calendar
days’ prior written notice to OCZT pursuant to Section 21.

C. Permittee shall provide employers’ liability insurance and workers’ compensation
insurance as required by state law.
D. Permittee shall ensure that any contractor it uses at the Premises provide the City
and OCZT with the insurance coverage required in this section, as applicable.
E. Consistent with the other requirements of the Section, Permittee shall provide a
certificate of insurance to OCZT’s authorized agent(s) before this Permit is
approved by the OCZT. (See Exhibit B, attached hereto.)
18. INDEMNITY
A. Permittee shall release, defend, indemnify, and hold harmless The City of
Oklahoma City (hereinafter, the “City”) and OCZT, and their officers, agents, and
employees, for any property damage or loss, for any injury or death, and for any
claims or liabilities arising from any activities under this Permit. This provision
shall survive the expiration or termination of this Permit, not be limited by any other
provision of this Permit, and be binding upon Permittee’s heirs, successors,
representatives, and assigns.
19. EMPLOYMENT NON-DISCRIMINATION
A. Permittee shall not discriminate against any employee or applicant for employment
because of age; race religion; creed; color; sex (to include sexual orientation, gender
identity, or gender expression); national origin; ancestry; or disability as defined by
the Americans with Disabilities Act (ADA), as it may be amended. Such actions
shall include, but not be limited to: employment; upgrading demotion; transfer;
recruitment; advertising; layoff; termination; cancellation; pay or other forms of
compensation; and selection for training, including apprenticeship.
B. Permittee shall make its accommodations and services available to the public on
fair and reasonable terms without unjust discrimination on the basis of age; race;
creed; color; religion; sex (to include sexual orientation, gender identity, or gender
expression); national origin; ancestry; or disability as defined by the ADA, as it
may be amended. Nothing in this section shall require Permittee to furnish to the
public use of facilities or accommodations customarily provided only to Permittee’s
agents, volunteers, participants, or spectators.

C. If Permittee does not comply with this Section, OCZT or its designees may declare
it to be in violation of this Permit and ineligible for further Permits until it complies
or provides satisfactory proof of intent to comply.
20. MISCELLANEOUS
A. Complete Agreement. This Permit contains all terms agreed to by the Parties. No
Party shall be bound by any statement or representation not in conformity with this
Permit.
B. Compliance With Applicable Laws. This Permit shall be subject to applicable laws,
rules, regulations, guidelines, and policies.
C. No Joint Venture. This Permit shall not create a joint venture or agency or
employment relationship between Permittee and OCZT, or any of their officials,
agents, employees, contractors, volunteers, participants, or spectators.
D. No Third-Party Beneficiary. This Permit shall create no third-party beneficiaries.
E. Venue and Governing Law. This Permit shall be construed according to the laws of
the state of Oklahoma. Any legal proceeding regarding this Permit shall be pursued
in the appropriate court in Oklahoma County, Oklahoma. Each party shall pay its
own attorney fees and other expenses related to any such legal proceeding.
F. Validity. If any provision of this Permit is determined to be prohibited by law, such
prohibition shall not affect the validity of the other provisions of this Permit, which
shall remain in full force and effect.
G. Force Majeure. No party shall be liable for any delay, interruption, or prevention of
operations, maintenance, or service caused by lawsuits or appeals; zoning or other
governmental approvals; any injunction or equitable writ; riot; insurrection; war;
terrorism; severe weather; fire; Acts of God; or the unforeseeable act or omission
of any entity.

Improvement Projects on January 13, 2026. The City and its trusts are
authorized by state law to use CMAR according to the Public Construction
Management Act for Political Subdivisions, 61 O.S. § 215 et seq for projects
that require a public construction contract as defined in the Public Competitive
Bidding Act of 1974, 61 O.S. § 101 et seq.
The CMAR method permits the City and its trusts to solicit a Construction
Manager to provide pre-construction services for public improvement
projects, such as design review, cost control, constructability evaluation, and
preparation and coordination of bid packages. This method also provides an
opportunity for the Construction Manager to assume a financial obligation to
timely administer the construction of the projects for a guaranteed maximum
price and to execute subcontracts for the work with those subcontractors
awarded by the City or its Trusts.
The Public Construction Management Act requires Construction Managers to
be selected based on professional qualifications and technical experience, not
by bid. The City and its Trusts may negotiate contracts with the highest
qualified Construction Managers.
The Oklahoma City Zoological Trust desires to adopt the City’s standards and
procedures for soliciting and contracting with Construction Managers for
CMAR Public Improvement Projects.

ADOPTING THE CITY OF OKLAHOMA CITY’S STANDARDS AND

Background:

RESOLUTION
RESOLUTION ADOPTING STANDARDS AND
PRESCRIBING PROCEDURES FOR SOLICITING AND
CONTRACTING WITH CONSTRUCTION MANAGERS
FOR CONSTRUCTION MANAGEMENT AT-RISK PUBLIC
IMPROVEMENT PROJECTS.
WHEREAS, The City of Oklahoma City (“City”) and its public trusts (“Trusts”) are
authorized by state law to use the construction management at-risk (“CMAR”) delivery method
(“CMAR Method”) pursuant to the Public Construction Management Act for Political
Subdivisions, 61 O.S. §§ 215 et seq (“Construction Management Act”) for those projects that
require a public construction contract as defined in the Public Competitive Bidding Act of 1974,
61 O.S. §§ 101 et seq (“Public Improvement Projects” or “Projects”); and
WHEREAS, the CMAR Method permits the City and its Trusts to solicit a Construction
Manager to provide pre-construction services for Public Improvement Projects, such as design
review, cost control, constructability evaluation, and preparation and coordination of bid packages;
and
WHEREAS, the CMAR Method also provides an opportunity for the same Construction
Managers to assume a financial obligation to timely administer the construction of the Projects for
a guaranteed maximum price and to execute subcontracts for the work with those subcontractors
awarded by the City or its Trusts; and
WHEREAS, the Construction Management Act requires Construction Managers to be
selected based on professional qualifications and technical experience, not by bid; and
WHEREAS, the City and its Trusts may negotiate contracts with the highest qualified
Construction Managers; and
WHEREAS, the City desires to establish specific procedures for soliciting and contracting
with Construction Managers for City and Trust CMAR Public Improvement Projects.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the City of
Oklahoma City that the following standards and procedures for soliciting and contracting with
Construction Managers for City and Trust CMAR Public Improvement Projects be adopted:
1. SCOPE
A. This resolution establishes general policies and procedures for the City and its Trusts to
solicit Construction Managers and execute CMAR Contracts. The purpose of this
resolution is to provide uniformity in internal processes and Construction Manager
experience with the City and its Trusts.

B. The City Manager shall have the authority to waive or modify the procedures herein on a
case-by-case basis, based on the articulable written justification as to why such waiver or
modification outweighs the benefits of uniformity in internal processes and Construction
Manager experience with the City and its Trusts.
2. DEFINITIONS
“CMAR Contract” means a contract executed or to be executed between the City or its
Trusts and an awarded Respondent to provide CMAR services for a City or Trust Public
Improvement Project pursuant to the Construction Management Act.
“Construction Manager” means the individual or construction entity awarded or to be
awarded a CMAR Contract by the City or its Trusts.
“Contract Administrator ” means the Contract Administrator of the Public Works
Department, or designee.
“Electronic Bidding System” means the electronic bidding system managed by the City
Clerk to advertise and receive all bids, proposals, and qualifications and responses to
solicitations and all related communications, or other such bidding systems that comply
with applicable laws as approved by the City Manager.
“Evaluation Committee” or “Committee” means the committee responsible for evaluating
and ranking Respondents for CMAR Public Improvement Projects, which shall be
composed of at least three voting members, to include: (i) the Public Works Director, who
shall act as Chairperson, (ii) a representative of the City Manager’s Office, and (iii) the
Requesting Department Director if the Project is for a Requesting Department, otherwise
an additional representative designated by the Public Works Director; and which should
include the Project architect in a non-voting capacity.
“Public Works Department” or “Public Works” means the City Public Works Department.
“Public Works Director” or “Director” means the Director of the Public Works
Department, or designee.
“Respondent” means the individuals or entities responding to solicitations or requests for
qualifications for CMAR services pursuant to the Construction Management Act.
“Responses” means the information and documentation submitted through the City’s
Electronic Bidding System in response to City or Trust solicitations for CMAR services.
“Requesting Department” means a Trust or City department other than Public Works.
“Requesting Department Director” means the highest position of authority within each
Trust or City department other than Public Works, or designee.

“RFQ” means request for qualifications for a Construction Manager for a CMAR Contract.
“RFQ Packet” means a set of documents containing information and requests that
comprise the formal notice to potential Construction Managers to provide CMAR services
for Public Improvement Projects, which will include, but is not limited to:
1. A general description of the CMAR services to be performed;
2. A description and scope of the Project;
3. All relevant deadlines for the solicitation process;
4. An estimated construction cost;
5. An anticipated Project schedule and any particular time restraints;
6. Any prequalification requirements;
7. The funding source and phasing of funds expected to pay for the Project and any
related requirements and restrictions;
8. Any applicable insurance and bonding requirements;
9. An Anti-Non-Collusion Affidavit, Business Relationship Affidavit, Certificate of
Non-Discrimination, and Firearm Non-Discrimination Verification;
10. Requests for information and documentation regarding Respondent’s knowledge,
experience, expertise, qualifications, certifications, and any other information or
documents relevant to assessing professional qualifications and technical
experience related to CMAR projects and eligibility to enter into a CMAR Contract
with the City or its Trusts; and
11. Any other information or documentation necessary to demonstrate eligibility under
state and local law or as determined by the Public Works Director or Requesting
Department Director, as applicable.
3. CMAR PROJECTS
A. The CMAR Method generally provides the greatest benefit for large and complex Public
Improvement Projects, particularly where cost certainty and adherence to strict time
constraints are critical. The CMAR Method may not provide a benefit in all Projects and
should be applied only where its advantages align with the specific needs and objectives of
a given Project.
B. When determining whether the CMAR Method is appropriate for a given Project, the
following factors should be considered:
1. The complexity or specialization of the Project;
2. The importance of early or timely completion of work;
3. The need for cost certainty;
4. Whether Project funding will only be available in phases; and
5. An exceptional or particular need to shift risk to a Construction Manager.
C. The factors should be assessed in totality. No single factor is controlling. Nothing herein
shall be construed as requiring the City or its Trusts to use the CMAR Method for a
particular Project.
D. The CMAR Method may be used by the Public Works Department or by Requesting
Departments. The Public Works Director is responsible for determining whether the
CMAR Method will be used for Public Works Projects. Requesting Department Directors

are responsible for determining whether the CMAR Method will be used for Requesting
Department Projects.
4. DEVELOPING RFQ PACKET
A. Once it is determined that the CMAR Method is appropriate for a particular Project, the
Contract Administrator will develop an RFQ Packet for the Project.
B. When the CMAR Method is being used by a Requesting Department, the Requesting
Department will coordinate with the Contract Administrator to develop the project scope,
budget, and schedule and provide other information as necessary to prepare the RFQ Packet
for publication.
5. PUBLICATION OF RFQ PACKET
A. Once the RFQ Packet is complete and approved by the Public Works Director or
Requesting Department Director, as applicable, the Contract Administrator will publish
notice of the RFQ at least once in a daily newspaper of general circulation published in
Oklahoma City and publish the RFQ Packet in the City’s Electronic Bidding System.
B. The RFQ will remain open in the Electronic Bidding System for at least 14 days from the
date it is published.
6. ELIGIBILITY
A. To be eligible for consideration for a CMAR Contract, Respondents must satisfy all the
requirements set forth in the RFQ Packet and submit a complete and timely response
through the Electronic Bidding System in accordance with all noticed instructions,
deadlines, terms, and conditions.
B. Respondents who fail to meet all such requirements will not be considered or evaluated.
7. EVALUATION
A. Upon expiration of the response submission period, the Contract Administrator will
identify and tabulate the names of all eligible Respondents and retrieve Responses from
the Electronic Bidding System.
B. Thereafter, the Contract Administrator will form and facilitate an Evaluation Committee to
evaluate and rank eligible Respondents. The Evaluation Committee will review and
consider each eligible Response in accordance with the RFQ’s evaluation criteria. The
Evaluation Committee may, at its sole discretion, investigate and verify Responses or any
portion thereof.
C. Each member will rank all eligible Respondents using the criteria outlined in the CMAR
Ranking Form, attached hereto as Exhibit A, as amended and approved by the Public Works
Director and the City Manager. The Respondents with the three highest ordinal scores (or
all Respondents if there are less than three Respondents) may be selected for interviews
and further consideration.
D. The Contract Administrator will notify all eligible Respondents whether they have been
selected for interviews and additional consideration.

E. The Contract Administrator may request additional information or responses from selected
Respondents. If such additional requests are made, the selected Respondents must respond
fully and timely to remain eligible for consideration.
8. INTERVIEWS AND SELECTION
A. The Contract Administrator will schedule interviews for selected Respondents and provide
written notice of the time and location of the interviews.
B. The Contract Administrator will form and facilitate an Evaluation Committee to evaluate
Respondents selected for interviews and additional consideration. The interviews should
run continuously and consecutively to the extent reasonably practical.
C. The Evaluation Committee will review and consider each Respondent interviewed. The
Evaluation Committee may investigate and verify any or all the statements or
representations provided by selected Respondents.
D. Each Committee member will score all Respondent interviews using the criteria outlined
in the CMAR Interview Evaluation Form, attached hereto as Exhibit B, as amended and
approved by the Public Works Director.
E. After all interviews are complete, the Contract Administrator will identify the top three
scores and rank the Respondents in order of the highest score to the lowest score.
9. CONTRACT NEGOTIATIONS
A. After interviews are complete, the Public Works Director (for City projects) or the
Requesting Department Director (for Requesting Department Projects) will initiate
negotiations with the highest ranked Respondent to establish a reasonable fee and terms
and conditions for the CMAR Contract.
B. If a reasonable fee and terms and conditions cannot be negotiated with the highest ranked
Respondent, the Public Works Director or Requesting Department Director, as applicable,
may terminate negotiations with the highest ranked Respondent and initiate negotiations
with the second highest ranked Respondent.
C. If a reasonable fee and terms and conditions cannot be negotiated with the second highest
ranked Respondent, the Public Works Director or Requesting Department Director, as
applicable, may terminate negotiations with the second highest ranked Respondent and
initiate negotiations with the third highest ranked Respondent.
D. At any point during the negotiation process, the Public Works Director or Requesting
Department Director, as applicable, may terminate negotiations by written notice and:
1. Re-solicit for CMAR services; or
2. Abandon the CMAR Method for the Project altogether.
10. CONTRACT APPROVAL
A. The City and its Trusts may award a CMAR Contract to the highest qualified Respondent
for which a fair and reasonable fee and terms and conditions are agreeable.
B. The CMAR Contract must be approved in writing by the awarded Respondent and the City
or Trust. All subsequent amendments thereto will require the same.

11. MISCELLANEOUS
A. Forms. The Public Works Director will maintain CMAR solicitation and contracting forms
for CMAR Projects. Requesting Departments will use Public Work’s CMAR forms or other
such forms as approved by the Public Works Director or the City Manager.
B. Complaints. Respondents may file a written complaint concerning compliance of the
Evaluation Committee with this Resolution to the City Manager’s Office, 200 N. Walker
Avenue, 3rd Floor, Oklahoma City, OK 73102.
C. Rights Reserved. Notwithstanding anything contrary herein, the City and its Trusts
reserve the right to waive formalities, irregulates, and defects in any or all Responses,
except as otherwise provided herein or required by law. The City and its Trusts also reserve
the right to reject any or all Responses in accordance with terms herein or otherwise as
allowed by law, to terminate the solicitation process at any time, to revise RFQ Packets or
re-solicit CMAR services at any time, and to abandon the CMAR Method altogether.
BE IT FURTHER RESOLVED, nothing in this Resolution shall affect the validity of any
solicitations, selection, negotiation, or contracting of CMAR Contracts in existence as of the
effective date hereof; to the extent any part of this resolution is found to be invalid or contrary to
applicable law, the remainder of this resolution remains valid and in effect.
