13565 MINUTES of a regular meeting of the Mayor and the Board of Trustees of the Village of Skokie, Cook County, Illinois held in the Council Chambers at 5127 Oakton Street at 8 p.m. on Monday June 20, 2022 Effective July 18, 2022, Village Board meetings will begin at 7:30 p.m. Mayor Van Dusen called the meeting to order. Pledge of Allegiance led by Village Clerk Pramod C. Shah. The Clerk called the Roll. Those present were Trustees Sutker, Robinson, Khoeun, Johnson, Pure Slovin , Klein and Mayor Van Dusen Mayor Van Dusen made a unanimous request to make Juneteenth a holiday in the Village of Skokie. This request is consistent with the federal holiday. The Board agreed to the unanimous consensus required. Mayor read a prepared statement removing the Resolutions from the Agenda. Motion to approve the Consent Agenda. Moved: Trustee Sutker Seconded: Trustee Pure Slovin Ayes: Sutker, Robinson, Khoeun, Johnson, Pure Slovin, Klein and Mayor Van Dusen Nays: None. Absent: None. CentralSquare Public Safety Software Maintenance Contract – CentralSquare, Lake Mary, Florida – $148,498.76. Motion to award a contract to CentralSquare, Lake Mary, Florida- in the amount of $148,498.76 for the CentralSquare Public Safety Software Maintenance Contract. Omnibus vote. Kimberly Polka, Gail Schechter, Emi Yamauchi, Jill Manrique, Ted Smulker, Ambria Banish, Michelle Patt, Noelle Sullivan, Robert Klein, Doug Scofield, Carrie Bradean, Callie Folke, Roxane Delgado read a comment from Michela Sutton, Maggie Vandemeer, Jasmine Sebagalla, a letter from London Summerville, Lisa Khabeer read comments from Laura Williams and Susanne Strassberger, Lauren Grodnicki, Erice Badasky, Vicky Wolfinger, a resident from 8500 St. Louis, and Jackie Erlich. These comments included thanking the Mayor for withdrawing the Resolution, some residents not happy about the Village government, Juneteenth, Sustainability, climate change, emissions, Skokie Alliance for Reform, Police officers, children safety, housing, Carvana, and the Skokie Caucus Party Adjournment. Adoption of the FY2023 Budget The FY2023 General Fund Budget equates to $63,743,384. All Funds, including Water, Pension, Economic Development, Motor Fuel and Local Fuel Tax, Self-Insurance, Generaj Obligation Bonded Debt, Tax Increment P'inancing, Federal Aid, Performing Arts Center, Convention and Visitors Bureau, Special Service Areas, Wireless Alarms and Capital Improvement Program total $155,019,193. Judy Mendel commented on the Village ofSkokie budget hearings, co-responder program, review of the pilot program. Village Manager Lockerby responded to her questions. Kimberiy Polka also commented on transparency of the local government, keeping residents informed, budget hearings and the Public relations position on the budget. Manager Lockerby explained the need for the position. Motion to request Mayor and Board approval of the FY2023 Budget. School Crossing Guard Services - Andy Frain Services, Aurora, Illinois. Manager Lockerby explained the difficulties and challenges in slaffmg of the school crossing guards. He answered questions from the Board and residents. Motion to award a contract to Andy Frain for school crossing guard services for a quoted rate of $27,43 per hour. Lauren Grodmcki continued her illustrations regarding climate change. 2 Public Comments were received after the May 16 Board Meeting, Jili Franklin concerning Carvana license and Frank Sacks concerning the Business District Development and Redevelopment Sales Tax. These are Public comments received for the June 7, 2022 Meeting. These residents spoke about Carvana Linda LaBuda, Noreen Winningham-aiso commented about Public relations and co-responder; Susan Lindahl, Mary Ellen Scandate, Laurie Kabb, Martha Ruschnian, The Fuja Family, Pat Piene, Brad Fox also commented on the bike lanes on Crawford., Jim Hosfield; Melisa Reyes, Cynthia Michalak, Leonie Deutsch. Matt Temkin sent an email regarding school crossing guard and appointment to Village Commissions, Kelly Oldfield thanked the Village for approving body cams. Jen-y Meyers had concerns about car crashing into store fronts. Lisa Silverman and Linda Ortolano conimenled about biweekiy garbage pick-up. These residents commented about hiring the Public Relations person-Bill Goldberg, Linda Sanchez, Linda Ortolano, Con-ine Kawecki, Kimberly Poika a!so commented about co- responded and crossing guards M'aggie Vandermeer commented on the budget, housing and crossing guards. Judy Mende] commented on transparency issues. Craig Bomgaars commented on loud exhaust system noise from cars. All the Public Comments can be view at tile Clerk's office. Mayor Van Dusen expressed condolences to the family on the passing ofMarlene Williams who served as the Village Clerk for many years. The Bureau was formed in 2002 after a regional task force, that included Skokie representatives, determined that a regional approach to bringing visitors to the area would result in economic benefits for member communities. According to the national tourism association data, every dollar invested in tourism nets $9 spent in the local economy. The new three-year agreement stipulates that the Village's base annua! membership fee is $83,152 and would increase by no more than $20,788 annually for the second and third years of the agreement. With this formula applied in its entirety, the Village's FY25 dues would reach $124,724, the same amount paid in FY20. The fee is paid through hotel tax collections. The Board will note that Nick Wyatt, Assistant Village Manager and Ann Tennes, Director of Marketing and Communications represent the Village on the Bureau's Executive and Finance Committees, and on the Board of Directors. I view this as a wise investment, as the membership leverages hundreds of thousands of additional dollars annually to market members including the entire community as well as attractions, restaurants, hotels and businesses that are Bureau members. Ail Skokie hotels are Bureau members, and the general managers or staff of each also serves on the Bureau Board of Directors. While uncertainties with the State of Illinois funding continue, the Bureau expects to receive as least $935,153 from the State in FY23. Gina Speckman is the Executive Director of the Bureau. The draft agreement is modeled afEer the existing agreement that was originally approved by the Village Board in 2002 and that has been renewed with Village Board approval every three years through 2021, at which time a one-year agreement was approved. A copy of the June 20, 2022 Resolution authorizing the Mayor to execute the original agreement also is attached. New Agreement Overview The new agreement draft is nearly identical to prior agreements, and a three-year term has been reinstated. In 2021, a one-year term was recommended to provide time for increased certainty on the future of the tourism and hospitality industry that incurred significant losses during 2020 and 2021. The industry is currently rebounding from these losses, with growth expected to continue over the next several years to attain and eventually exceed pre-pandemic levels. In FY21, as a result of leadership from Village of Skokie staff, dues for all Bureau municipal members were reduced by fifEy percent due to the extreme negative impact of the pandemic on the local economy. This reduction remained in effect in FY22. Again, based on leadership from Village staff, the Bureau's board has approved a budget that would gradually increase dues over a three-year period so that by FY25, municipal contributions will reach pre-pandemic amounts paid in FY20. If approved by the Village Board, the new agreement would commence on July 1, 2022. Hotels pay $25 per room annually for Bureau membership. Reports on hotel committee meetings are given at each quarterly Bureau board meeting. In addition to hotels, an estimated 52 Skokie restaurants and hospitality-related businesses also belong to the Bureau, with dues ranging from $200 to $600 annually. Examples of Skokie businesses that have opted for Bureau membership include Hampton Social, Makisu Sushi Lounge & Grill; Village Inn Pizzeria, Sports Bar & Grill; Kneads & Wants Artisan Bakery; Ignite Gaming and more. During 2020 and 2021, the Bureau promoted numerous restaurants, unique shops and other businesses in the community that might appeal to residents staying close to home during the pandemic. These promotions were done without regard to Bureau membership. While a membership requirement has returned for Bureau promotions, this relaxed policy during the first two years ofpandemic conditions was of tremendous benefit to the Skokie business community. Right to Review Other Member Agreem The 2022 agreement includes language that grants the Village the right to review the Bureau's municipal agreements and to incorporate any terms that are more favorable into Skokie's agreement. This language has been included in all Village/Bureau agreements since 2005. Board and Executiye._CommjtteeRepre^ The drafE resolution names Nick Wyatt and Ann Tennes as the Village's representatives to the Bureau executive committee and/or board of directors. Ann has previously served as the Bureau s finance committee chairman and remains a member of the committee. She also serves on the Bureau's executive committee and annual nominating committee. The new resolution will name Nick and Aim as the Village's two board representatives and allows for either or both representatives to also sit on the Bureau's executive committee. The new agreement continues to provide Skokie with nine seats on the Bureau board, including two municipal seats and seven business representatives as defined in the Bureau s by-laws according to the amount of municipal funding given annually, with FY20 fanding being applied to maintain the Village's level of board representation. The municipal funding formula is based on annual hotel receipts. Skokie continues to have the highest number of board seats of any Bureau member municipality. As stated above, two ofSkokie's board members are categorized as municipal members and are appointed by the Mayor. Currently, those seats are held by Cara Hardiman, Double Tree Hotel North Shore; Toni MengarelU, Holiday Inn North Shore; Michael Pauken, North Shore Center for the Performing Arts in Skokie; Noah Cmikshanlc, Illinois Holocaust Museum & Education Center; Gayle Gleespen, Westfield Old Orchard and Richard Sasso, Hampton Inn & Suites. The two vacancies will be filled in coming months. Bureau Members and State Funding The Bureau has a total of 10 member communities, including Skokie, Evanston, Glencoe, Glenview, Northbrook, Northfield, Prospect Heights, Wheeling, Wilmette and Winnetka. While uncertainties with State of Illinois funding continue, the Bureau expects to receive at least $935,156 from the State in FY23. The Bureau's FY23 budget totals $1,371,531. In anticipation of variables in state funding, the Bureau has accrued nearly $421,321 in a reserve fund. These reserve funds have never been used. While it was expected that the Bureau would need to tap the reserve fund for FY21, the potential need was offset by additional federal and state funds received during the pandemic. The reserve fund has been accrued by annual contributions ranging from $10,000 to $60,000 (exception during FY21 and FY22), and from new-community equity fees equal to 50 percent of annual dues assessed to communities that joined the Bureau after 2012. The Bureau board and finance committee are committed to using them only as necessary to meet administrative expenses if state funding is delayed or in other emergency circumstances. The Bureau's offices are at 8833 Gross Point Road, Skokie. The Bureau's offices have always been located in Skokie, first at Westfield Old Orchard and then in Downtown Skokie prior to the move to its current office space in 2018. Conclusion According to national tourism association data, every dollar invested in tourism nets $9 spent in the local economy. Prior to the pandemic, the Village of Skokie regularly participated in Bureau advertising opportunities, including a full-page ad in the Bureau's annual visitor's guide that is placed in all area hotels and at visitor's centers around the state, as well as ads on the home and events pages of the Bureau's website that draws some 30,000 unique monthly visitors and in the Bureau s monthly e-blast that is sent to more than 12,000 subscribers. The Skokie Park District belongs to the Bureau and has historically secured advertising for the Backlot Bash. The Bureau hosts member events at Skokie businesses, such as Ignite Gaming, Hampton Social and more. We recommend that the new agreement draft be presented to the Village Board at the June 20, 2022 Board Meeting at which Bureau Executive Director Gina Speckman will be present to answer questions from the Village Board. Ayes: _____________________________________ Village Clerk Nays: Absent: Approved by me this day of Attest: June, 2022. ___ Village Clerk Mayor, Village of Skokie Page 2 of 5 VOSDOCS-#598729, Resolution, Membership Agreement, Chicago’s North Shore Convention & Visitors Bureau (CNSCVB), 2022- 2025 Return to Mgr Rpt Exhibit 1 AN AGREEMENT BETWEEN THE VILLAGE OF SKOKIE AND CHICAGO’S NORTH SHORE CONVENTION AND VISITORS BUREAU 1 THIS AGREEMENT made this 1st day of July 2021, between the Village of Skokie, an 2 Illinois municipal corporation (hereinafter “Skokie”) and Chicago’s North Shore Convention 3 and Visitors Bureau (hereinafter “Bureau”), an Illinois not-for-profit corporation that promotes 4 tourism in the north suburban Chicago area; and 5 6 WHEREAS, Skokie supported the creation of the Bureau in 2002, and continues to 7 support its efforts to promote tourism and conventions in the north suburban Chicago area; 8 and 9 10 WHEREAS, in recognition of the benefits of a convention and visitors bureau, Skokie 11 elects to utilize a portion of the tax revenue generated by the tax levied on the renting of 12 rooms by hotels and motels in Skokie to support the functions and activities of the Bureau; 13 and 14 15 WHEREAS, the Bureau is organized for the purpose of promoting the travel and 16 tourism industries of Evanston, Glencoe, Glenview, Northbrook, Northfield, Prospect Heights, 17 Skokie, Wilmette and Winnetka and encourages new business development throughout the 18 area, including the conduct of marketing efforts to promote the area as a visitor destination; 19 and 20 21 WHEREAS, Skokie and the Bureau are desirous of entering into an agreement for the 22 purpose of establishing the rights, responsibilities and obligation of the parties; 23 24 NOW THEREFORE, the parties hereto, in consideration of the mutual promises 25 contained herein, do hereby agree to the following terms and conditions: 26 27 1. The above stated recitals are restated and incorporated herein as if stated in 28 full. 29 30 2. Skokie will continue to designate the Bureau as its convention and visitors 31 bureau of record with the Illinois Bureau of Tourism during the term of this 32 Agreement. It is expressly agreed by and between the parties hereto, that 33 Skokie shall be a member of the Bureau, in return for the payment of the 34 contributions set forth in paragraph 3. 35 36 3. Skokie adopted an ordinance on May 6, 2002, pursuant to Article 8 of the Illinois 37 Municipal Code, 65 ILCS 5/8-3-14 (2002), increasing its base hotel-motel tax 38 from 3 to 3-1/2% of gross rental or lease charges, the collection of which shall 39 continue upon the execution by the parties of this Agreement. 40 4. Notwithstanding paragraph 2 above, the annual contribution by Skokie to the 41 Bureau’s budget for the Bureau’s FY2023 shall be $83,152 and will increase by 42 no more than $20,788 annually for the 2nd and 3rd years of the Agreement. 43 Page 3 of 5 VOSDOCS-#598729, Resolution, Membership Agreement, Chicago’s North Shore Convention & Visitors Bureau (CNSCVB), 2022- 2025 Return to Mgr Rpt 1 5. The parties do further agree that Skokie shall not responsible for the payment of 2 any additional membership fees or charges to the Bureau, except for the 3 provisions set forth herein. 4 5 6. Skokie shall be entitled to appropriate inclusion with other municipalities that are 6 members of the Bureau in advertisements, promotional materials and 7 presentations developed by the Bureau at no additional charge. 8 9 7. Governance: 10 11 A. A Board of Directors shall govern the affairs and operations of the Bureau. 12 Skokie will have a total of nine (9) appointments to the Board of Directors 13 which will include two (2) Skokie staff representatives and 7 (seven) 14 appointments from the business community. 15 16 B. The Skokie staff representatives to the Board of Directors shall be 17 appointed by the Mayor of the Village of Skokie. The Board of Directors 18 shall appoint the business community representatives. 19 20 C. The Executive Committee shall implement the policies of the Board of 21 Directors. One of the two Skokie staff representatives shall serve on the 22 Executive Committee. If one of Skokie’s staff representatives serves as an 23 officer, the second staff representative may also serve on the Executive 24 Committee at the Village’s sole discretion. 25 26 8. The Bureau expressly agrees to utilize the funds provided by Skokie only for 27 those purposes permitted by the applicable laws. 28 29 9. The Bureau is a legal entity separate and apart from Skokie and is not an agent 30 or a contractor of Skokie. The Bureau is solely responsible for its debts and 31 obligations and is responsible for the payment of all taxes, including but not 32 limited to payroll taxes, and all other obligations in relation to its employees or 33 operations. 34 35 10. The Bureau agrees to indemnify and hold Skokie harmless from any and all 36 claims, damages, lawsuits or obligations that may arise from or in connection 37 with the conduct or activities of the Bureau or the Bureau’s officers, employees, 38 agents or contractors. 39 40 11. The Bureau shall have the sole right to determine the appropriate use of the 41 revenues provided by Skokie, provided, however, all revenues shall be used in 42 compliance with applicable law and the Bureau’s by-laws. 43 44 12. At any time, Skokie reserves the right to review agreements for any and all other 45 municipal members, regardless of the date the municipal member joins the 46 Bureau. Should any of the agreement terms be more favorable than those 47 afforded to Skokie in this Agreement, Skokie reserves the right, at its sole 48 discretion, to incorporate those terms into this Agreement. The Bureau will deliver to Skokie certified copies of its annual audit within sixty 5 (60) days of receipt by the Bureau. 6 7 14. The Bureau shall be responsible for a full and complete accounting of all 8 revenues contributed by Skokie and shall provide an accounting for all purposes 9 for which the said revenues were expended. 10 11 15. The Bureau does further expressly agree to provide Skokie copies of the annual 12 budget, program proposals, and goals and objectives for the coming year, prior 13 to the commencement of the Bureau’s fiscal year. 14 15 16. The Bureau will further report annually to Skokie, within ninety (90) days of the 16 end of the Bureau’s fiscal year, on the activities of the Bureau for the year and 17 the results of those activities in relation to the objectives and goals of the 18 Bureau. 19 20 17. Neither this Agreement, nor any interest or right of any of the parties hereto, 21 may be assigned, pledged or transferred in any manner without the prior 22 express written consent of the parties hereto. The Bureau may not delegate any 23 of its duties to a third party without the consent of Skokie. 24 25 18. The term of this Agreement is three (3) years commencing on July 1, 2022. 26 Either party may terminate this Agreement at any time, without cause, with sixty 27 (60) days prior written notice, as directed by formal action of the Board of 28 Trustees of the Village of Skokie, or by the formal action of the Board of 29 Directors of the Bureau, and by written notification to the other. Skokie’s 30 membership in the Bureau shall cease upon receipt of the termination notice by 31 either party. 32 33 20. Lockerby, Village^Manager FROM: Aleksic, Assistant Finance Director "om^z Tarasiuk, IT Director DATE: June 8, 2022 SUBJECT: CentraISquare Public Safety Software Maintenance Contract Agenda Item - June 20, 2022 Board Meeting Background In Fiscal Year 2012, the Village contracted with SunGard Corporation for the licensing and use of the SunGard Public Safety System. This system includes modules for Computer Aided Dispatch, Records Management, Mobile Computer Terminal, and Mobile Field Reporting. In September of 2018 the name of the company was changed to CentralSquare. The software maintenance contract for these various modules of CentralSquare Public Safety software is up for renewal. In that regard, it is necessary to renew the contract in order to provide for uninterrupted support of the software applications used by the Village's Police and Fire departments. Budget & Account: $159,862.50 #OR31002 020-6000-403.03-20 Recommendation: It is recommended that a contract be awarded to Central Square, Lake Mary, Florida, for support and maintenance ofCentralSquare Public Safety software, in the amount of $148,498.76 Comments: CentralSquare provides the Village with computer software used in the Public Safety areas. An integral component to the successful operation of the CentralSquare software is the support and maintenance agreement, which provides for support and help desk services, as well as free upgrades and "fixes" of any of the modules owned by the Village.
