A special meeting of the Board of Aldermen was held Thursday, January 5, 2012, at 7:20 p.m. in the
Nashua High School North Board Room.
President Brian S. McCarthy presided; Deputy City Clerk Patricia Piecuch recorded.
Prayer was offered by Deputy City Clerk Patricia Piecuch; Alderman Melizzi-Golja led in the Pledge to
the Flag.
The roll call was taken with 12 members of the Board of Aldermen present; Aldermen Sheehan and
Cookson were not in attendance. Alderman Craffey arrived while the roll was being taken.

MOTION BY ALDERMAN DEANE TO AMEND R-11-169 IN ITS ENTIRETY BY REPLACING IT
WITH THE GOLDEN ROD COPY PROVIDED WITH THE AGENDA
ON THE QUESTION

The amendment is in the body of the resolution where the wrong RSA was titled by the Legal
Department when they drafted the resolution, and that amendment was made. You can see it in
paragraph 4, RSA 47:1-B and it can be found when you flip it over in the next paragraph. It has also
been amended there. I forget exactly what the other RSA was, but it doesn’t really matter.

My understanding is it cited the powers of towns rather than the one for cities.

Is there any further discussion of the motion to amend?
Alderman Pressly
We have been assured by the President of the Board and by legal counsel and all of the experts of
today that this covers it all. What worries me is what is going to happen 40 years from now, 80 years
from now when hopefully the bond will be paid off and somebody is going to say wouldn’t it be nice if
we could use some of that Pennichuck money for a city purpose. I think it is important for me that I
want, the only thing people can do when that happens is to go back to the record that we are going to
be making today so I know I want to make it clear into the record that my understanding of this
language that at no time in the future, ever, be it 40, 140 years from now will it ever be the intention
that any revenue that is generated from the Pennichuck Corporation can ever be diverted to a
unrelated city function.
That is my understanding of it that is what everyone has stated…

That is not precisely correct…

Then would you…
President McCarthy
…what is correct is this; money from the water rate cannot be used for anything but payment for the
infrastructure for the water and that is by statute because of the PUC regulation. The reason I bring
that up is the discussion of the reimbursement of the city’s $5 million that reimbursement will come
from what looks like the holding company’s profit. It is true that the monies of Pennichuck Water
Works Incorporated cannot be put to any city purpose…

Correct.
President McCarthy
…the profit of the holding company, Pennichuck Corporation, could in fact be used for that, which is
the intended way of reimbursing the cost of the acquisition to the city.
Alderman Pressly
Correct. And I believe that is spelled out somewhere. I’m not sure exactly where, but I believe that is
recorded that that can be done. What concerns me is that some of the objections over the last 10
years people have been afraid that somehow in the near future, far future there would be a meshing

of funds or that their water rates would somehow be comingled with the city budget. Does this
language prevent that from ever happening?
President McCarthy
No, the RSA that empowers the Public Utilities Commission to regulate utilities stops that from
happening because they can’t allow that rate to be used for anything but payment of the costs of
operating the water system.
Alderman Pressly
Okay. I just want it clear that my vote tonight is with the understanding that the revenue, other than
what is owed the City for the City’s contribution to the purchase, cannot be used for any other city
function any time in the future forever. Is that fair to say?
President McCarthy
That is how I would say it probably.

Thank you Mr. President, I appreciate it. I wanted to take this opportunity tonight, as the last board
meeting with all of the Aldermen present, to recognize both Alderman Ben Clemons and Alderman
Jeff Cox, and to thank you both for your service to the City.
I have very much enjoyed working with both of you. I have learned things from both of you and
hopefully the feeling is mutual. I just wanted to take a moment to present you with a little something
to remember our work together.

Mr. President, since the Mayor is here could we have an update on the Pennichuck bonding? Is there
any news at all on that? We’re into a new year.

We’re still on schedule and working on the timeline that we’ve planned. We anticipate that we will
close before the end of the month.

Great.
Alderman Craffey
Thank you. I just wanted to remind the people of Ward 4 who are voting on Tuesday the 10th that the
voting place has changed due to construction at the Ledge Street School. We will be voting at Milette
Manor at 72 Vine Street in the basement. If you show up at Ledge Street and nobody is there that is
why, we are at Vine Street behind St. Louis Church. Thank you.
