Free parking is available on the west side of the Rosser Conservation Education Center. It is the policy of the Oklahoma City Zoological Trust to ensure that communications with participants and members of the public with disabilities are as effective as communications with others. Anyone with a disability who requires an accommodation, a modification of policies or procedures, or an auxiliary aid or service in order to participate in this meeting should contact the Zoo at 405-425-0231 or TDD 405-297-2020 as soon as possible, but not later than 48 hours (not including weekends or holidays) before the scheduled meeting. The Zoo will give primary consideration to the choice of auxiliary aid or service requested by the individual with disability. If you need an alternate format of the agenda or any information provided at said meeting, please contact the Zoo at 405-425-0231 at least 48 hours prior to the scheduled meeting. ADDRESSING THE OKLAHOMA CITY ZOOLOGICAL TRUST Citizens may address the Trust on certain items by signing up to speak and providing the agenda item number, their reason for appearing, and their address, but all comments must be relevant to the item. Citizens may also address the Trust at the end of the agenda under “Citizens to be heard.” Please contact the Zoo at 405- 425-0231 at least 48 hours prior to the meeting, and leave a message that includes your name, the agenda item number, and the reason you would like to speak. Staff will submit requests received to the Chair. Please limit your comments to three (3) minutes or less. The Chair or presiding officer may, in his or her discretion, prohibit a person from addressing the Trust, or have any person removed from the Auditorium, if that person commits any disorderly or disruptive behavior. Disorderly conduct includes, but is not limited to, any of the following: speaking without being recognized by the Chair or presiding officer; continuing to speak after notice that the speaker’s allotted time has expired; presenting comments or material not relevant to the item under discussion; failing to comply with the lawful instructions of the Chair or presiding officer; or engaging in other conduct, activity, or speech that delays, disturbs, interferes, or disrupts the effective or timely conduct of the meeting, or is otherwise violent, 1 threatening, abusive, obscene, or jeopardizes the safety of self or others. A person may also be subject to arrest and removal from the Auditorium for violation of Oklahoma City Municipal Code 2020, § 30­81 – Disorderly conduct and/or violation of 21 Okla. Stat. § 280 – Willfully Disturbing, Interfering With or Disrupting State Business, Agency Operations or Employees. TRUST ACTIONS Official action can be taken only on items which appear on the agenda. The Trust may adopt, approve, ratify, deny, defer, recommend, amend, strike, or continue any agenda item. Other actions may also be taken. When more information is needed to act on an item, the Trust may refer the matter to the Executive Director/CEO or the Municipal Counselor. The Trust may also refer items to standing committees of the Trust for additional study. Under certain circumstances, items are deferred to a specific later date or stricken from the agenda entirely. Verification of Compliance with Open Meeting Act Chair Keith Peters called the meeting to order at 4:33pm and asked if the Trust is compliant with the Open Meeting Jerod Beatty replied affirmatively. CFO Bob Mathew provided information on the financial report of March 2022. MOVED. Moved by Trustee Laura Johnson. Seconded by Trustee Vicki Howard. AYES: Trustees Keith Peters, Vicki Howard, Heather Ross, Laura Johnson, Nikki Nice, Pama Palmer. IV. Items for Individual Consideration A. Extension of Sublease and Management Agreement among The City of Oklahoma City, the Oklahoma City Zoo- logical Trust, and 3Horse Productions, LLC and amendment of Oklahoma City Zoo Amphitheatre Approved Pol- icies and Procedures. Since the Pandemic started several concerts were canceled and rescheduled to this year and next on top of the already scheduled line-up. This amendment allows 3Horse to hold more concerts. The extension of the agreement to later this year also allows us time to consider our next step in the operations for the Zoo Amphitheatre and if we need to take a pause to make updates or move forward with an RFP. One Trustee asked how we can prioritize a more diverse line-up to truly reflect the community? The extension of the 3Horse agreement could give the time to reflect on how to pursue this was the reply. MOVED. Moved by Trustee Vicki Howard. Seconded by Trustee Pama Palmer. AYES: Trustees Keith Peters, Vicki Howard, Heather Ross, Laura Johnson, Nikki Nice, Pama Palmer. B. Change Order No. 1, Project WA-2663, Oklahoma City Zoo Waterline Extension, increase of $6,681.68. This is the first and last Change Order for the Waterline Extension. The vault that contains the meter for the waterline lies within 50th Street outside of the Administration offices. During the project the city requested the lid on the vault be reinforced to carry weight of traffic. MOVED. Moved by Trustee Laura Johnson. Seconded by Trustee Vicki Howard. Trustee Laura Johnson commented that the trail by the Softball Hall of Fame is moving forward nicely. B. Chair Keith Peters recognized Dwight Lawson as one of the most admired CEO’s by the Journal Record– Mandy was recognized too by the OKC Friday as one of the 50th Most powerful Young Professionals. VII. Staff Reports A. Construction- Two CO’s for Africa coming next month. B. Animal Care- Still monitoring the Avian Flu, vets assessing risk to slowing releasing certain birds soon. 6 C. Human Resources-Turnover has been steady, but not too concerning. Our new Volunteer Coordinator is doing great, group volunteer numbers are high. D. Marketing-March attendance was over projection and general admission is stronger than membership numbers. We are working with DHS to put together program discount. Our Fall attendance numbers were strong, numbers fell a bit January and February, then back on target in April. Recently we have shifted some of our marketing to Texas to take advantage of high amount of website traffic coming from the Dallas area. E. Zoo Happenings- Animal encounters numbers are up and birthday numbers are strong. We recently renewed part- nerships with OBI. We have an ASL interpreter coming to the Zoo every third Saturday of every month. F. OZS Update-March membership numbers ahead, out of membership levels the family is the strong. Currently half of memberships are new. We launched a Bricklive promotion. Development updates- We received a little over $100,000 from the Kirkpatrick Foundation, $35,000 from Devon, and $25,000 from Work Express Employment. Over $90,000 out in Grant requests. We recently expanded our Zoo Troup and now we have over 100 members! Ostrich Egg Breakfast is coming up. Zoo Gala only has 18 tickets left and After Party tickets will go on sale soon. VIII. Background: A summary of the Oklahoma City Zoological Trust budget totaling $86,597,018. Actual revenues and expenditures for Fiscal Year 2020-2021 and the budget for Fiscal Year 2021-2022 are also provided for comparison purposes. Admissions and Membership The admissions and membership budget of $7,990,000 is an increase of $3,260,000 (68.9%) over projected admissions and membership this year. Operating Revenue The operating revenue budget of $16,381,131 is an increase of $4,620,931 (39.3%) over projected revenue this year. Total Revenue and Carryover The total revenue and carryover budget of $86,597,018 is an increase of $99,533 (.12%) over projected revenue and carryover this year. This Audit Contract provides for an independent audit of the Oklahoma City Zoological Trust for Fiscal Year 2021-2022.
