MINUTES - SPECIAL CALLED MEETING JOINT DEVELOPMENT AUTHORITY OF THE UNIFIED GOVERNMENT OF ATHENS-CLARKE COUNTY, GEORGIA AND THE CITY OF WINTERVILLE Wednesday, June 3rd, 2020 – 10:30 am Held remotely via WebEx and streamed at https://youtu.be/ifav8aCbIVU Attendees: Erica Cascio Simone Cifuentes Dodd Ferelle Kelly Girtz Stephanie Lynn David Matthews-Morgan Tim Pierce-Tomlin Dan McRae, Attorney, Seyfarth Shaw Ilka McConnell, Economic Development Director, Athens-Clarke County Unified Government A. Call to Order: Ilka McConnell welcomed the members and called the special called meeting to order. B. Matters for Directors 1. Approval of Agenda: Motion to approve: Dodd Ferelle Second: Erica Cascio 2. Adoption of Bylaws (includes meeting schedule and approval of seal): Dan McCrae shared and explained the bylaws, and described the seal, which has been ordered but not yet delivered. As the group had not had time to read or carefully review the Bylaws in advance of the meeting, there was discussion regarding courses of action, as not all members were comfortable to vote. Motion to adopt bylaws: Erica Cascio Second: Stephanie Lynn Substitute motion to table approval of the bylaws: Kelly Girtz Second: Dodd Ferelle Second: Unanimous, by roll call vote 3. Election of Chair, Vice-Chair, and Secretary or Secretary-Treasurer: There was discussion related to election of officers, and the members indicated that they would like to wait until the next meeting to do so, to better understand who is best suited. Ilka McConnell will create and share a document with short bios of each JDA member, including their background and strengths. C. Joint Development Authority Orientation Dan McRae presented information as an orientation to joint development authorities including JDA hierarchy, structure, mission, powers, allowable use of funds, and other matters. D. New Business 1. RLF Process and Timeline: Ilka McConnell shared information about outreach and information gathering that has been done to develop a draft of the Revolving Loan Fund (RLF) for JDA members to consider. Dan McRae is currently reviewing and providing legal feedback on the draft. There was some discussion related to the RLF, lending, business needs, and other related considerations. McConnell will share RLF draft document with JDA members for them to review and consider prior to the next JDA meeting. 2. Next meeting: Weds, June 10 at 3:30 pm. The meeting will be held virtually.
