Call to Order (as regular meeting): David Matthews-Morgan, Chair B. Approval of Agenda: Directors Motion:David Matthews-Morgan Second: Stephanie Lynn Unanimously approved by the Directors C. Approval of Minutes of Last Meeting: Directors Motion: Stephanie Lynn Second: Dodd Ferelle Unanimously approved by the Directors D. Old Business: None E. New Business: Directors: Discussion of utilizing remaining funds in the Turntable Revolving Loan Fund for a 3rd round of loans or other assistance to small businesses; discussion of JDA use of Google Drive and toolset Dan McCrae shared that Intergovernmental Agreement (IGA) between ACCGov and JDA related to establishment of initial revolving loan fund and grant programs stipulates that use funds must be to provide aid to small businesses for economic development, and uses must be approved by ACCGov Manager. No grants to be offered, only loans. Discussion of loan criteria: small businesses and nonprofits with 20 or fewer employees, whether to include impact from COVID as an eligibility criteria (yes), what number of years of occupation tax filing to require (2 years; either 2019 & 2020, OR 2020 & 2021), what tax and financial documentation to require with a loan application (2019 & 2020 tax returns, or a 2020 pro forma). Change to be made to the criteria is that a business does not need to evidence a 25% loss due to COVID, just to confirm a loss. 63270438v.2 Motion to re-open loan program: Dan Matthews-Morgan Second: Stephanie Lynn Unanimously approved by the Directors Timeline to re-open the grant program: Mon, May 24 - June 4: Open application period June 6: Finish application scoring and provide final list June 9: JDA meeting to approve final list of loan awards June 10: Notification of loan recipients June 17: Send list to bank to begin closing loans June 18: Loans available Ilka McConnell to talk with First American Bank & Trust to ask if they're willing to continue as loan servicer/administrator. Will advise response to JDA Board. Ilka McConnell to talk with community partners and ACCGov Public Information Office to coordinate sharing information about JDA loans and application link with the business community. F. Counsel Report: Dan McRae, Attorney Update on public Authority and use of virtual meetings to conduct business. Now must have a quorum in person, but individuals can participate virtually due to health reasons or if they are not physically in the locality. Ilka McConnell will identify and book a meeting room at City Hall if available, and learn about requirements for video or streaming of in-person meetings. Need to meet posting requirements at the alternate meeting location if not held at City Hall. Mayor Dodd Ferelle and David Matthews-Morgan offered the Winterville Depot or City Hall as an alternate meeting space because of adequate space and ventilation to be able to socially distance. G. Staff Report: Ilka McConnell, Economic Development Director, Athens-Clarke County Unified Government No updates. H.
