Call to Order: David Matthews-Morgan, Chair, welcomed the members and called the special called meeting to order. B. Approval of Agenda Motion to approve: Stephanie Lynn Second: Timothy Pierce-Tomlin Directors unanimously approved the motion C. Approval of Minutes of Last Meeting Motion to table minutes: Stephanie Lynn Second: Timothy Pierce-Tomlin Directors unanimously tabling minutes. D. New Business (Directors) 1. Sam Latimer presented the Draft Report for the JDA Annual Audit. Brokedown report’s findings and steps are taken to resolve sources of concern. 2. Stephanie Lynn and Sam Latimer presented their work on the JDA uncollectable loan policy. Motion to approve with modifications: David Matthews-Morgan Second: Timothy Pierce-Tomlin Stephanie Lynn clarified that this procedure would not be implemented until closing the previous fiscal year.  Motion passes unanimously. 3. Motion to approve the resolution in the form presented: David Matthews-Morgan Second: Timothy Pierce-Tomlin Stephanie and the board wish to emphasize that no bookkeeping, accounting, or any other fiduciary responsibilities in regards to the Food Bank’s property will be held against the JDA. Group discussed specific of JDA’s role and responsibilities. Motion passes unanimously. E.
