Regular Meeting of the Balsam Lake Board of Trustees, Monday January 6, 2014 at 7:00 pm

1. Call to order.

3. Conducting Village Board Meeting-There will be no public input or questions to the Board after
public comments.

22. Go into closed session under Wis. Stat. Section 19.85(1)(e) and 19.85.(1)(c). The Village Board will
go into closed session for two reasons:
A. 19.85(1)(e). Deliberating or negotiating the purchasing of public properties, the investing of public funds, or
conducting other specified public business, whenever competitive or bargaining reasons require a closed
session.
The purpose of this closed session is to discuss a strategy for proposing and negotiating a possible (i)
build-to-suit lease with option to purchase or (ii) purchase transaction with a business that may be
interested in locating in the Village’s industrial park. In connection with this, the Board will discuss
construction, lease, loan and purchase option terms.
B. 19.85(1)(c). Considering employment, promotion, compensation or performance evaluation data of any
public employee over which the governmental body has jurisdiction or exercises responsibility.
23. The Village Board will return to open session.
24. Consider and possibly approve a Letter of Intent and preparation of a Developer’s Agreement and
related agreements for a business interested in locating in the Village’s Industrial Park.
25. Consider and possible approve hiring a company or individual to perform personal consulting
services for the Village on a potential build-to suit construction project in the industrial park. In
connection with this, the Board may consider authorizing the Village attorney and a designated
representative of the Board to negotiate the terms of a personal consulting services agreement.
26. Authorize the items required to submit loan application packages to lenders and to negotiate terms
of a loan all with respect to the possible build-to-suit project described in items 22-25 above.
27. Adjournment.
