BAXTER ECONOMIC DEVELOPMENT AUTHORITY MINUTES Tuesday, March 04, 2025 at 6:00 PM “A Growing Community” Baxter City Hall, 13190 Memorywood Drive, Baxter, MN CALL TO ORDER President Cross called the meeting to order at 6:00 p.m. ROLL CALL President Mark Cross, Vice President Zach Tabatt, Treasurer Connie Lyscio and Member Patrick Sundberg were present. Member Darrel Olson was absent. Executive Director Brad Chapulis, Secretary Kelly Steele, Assistant Treasurer Jeremy Vacinek, Josh Doty, Matt Maier, and Trevor Walter were present. MINUTES 1. Approve EDA Minutes from December 5, 2023 MOTION by Treasurer Lyscio, seconded by Vice President Tabatt to approve the EDA minutes from December 5, 2023. Motion carried unanimously. OLD BUSINESS NEW BUSINESS 2. Election and Appointment of EDA Officers President Cross explained this item is for the appointment of EDA officers. The positions of president, vice president, and treasurer must be held by an elected official. The positions of executive director, secretary, and assistant treasurer can be held by city staff. MOTION by Vice President Tabatt, seconded by Treasurer Lyscio to keep the same slate of officers as previously held. Motion carried unanimously. 3. Clearwater Road Property Real Estate Listing Discussion Executive Director Chapulis explained he is looking for feedback on whether the EDA or the city council should take the lead on these potential real estate transactions. Staff members are currently soliciting local realtors to submit their proposed fee structure and contract terms. The proposals are being reviewed, and staff intends to forward with a recommendation for approval on March 18th. Staff recommends the transfer of ownership of the property to the EDA. Executive Director Chapulis is looking for a consensus from the EDA, a formal motion is not needed, if the properties should be transferred to the EDA. Staff will work with the city attorney to prepare the necessary documents and will bring the agenda item back in March. 3/4/2025 Economic Development Authority Minutes Page 2 EDA BOARD MEMBER COMMENTS AND DISCUSSION Comments received may be placed on a future meeting agenda for consideration.
