UTILITIES COMMISSION MEETING MINUTES Thursday, August 07, 2025 at 5:30 PM Baxter City Hall, 13190 Memorywood Drive, Baxter, MN “A Growing Community” CALL TO ORDER The regular meeting of the Baxter Utilities Commission was called to order at 5:30 p.m. by Chairman Rock Yliniemi. ROLL CALL Members Present: Commissioner Douglas Stenberg, Douglas Wolf, Chairman Rock Yliniemi and Council Liaison Mark Cross. Members Absent: Commissioners John Brenny and Jack Christofferson. CONSENT AGENDA 1. Approve the Utilities Commission Minutes from July 2, 2025 MOTION by Commissioner Stenberg, seconded by Commissioner Wolf to approve the Utilities Commission minutes from July 2, 2025. Motion carried unanimously. BUSINESS ITEMS 2. Accept the Project Timber Wolf Municipal Improvements as Outlined in the Development Agreement Assistant City Engineer Thompson informed the commission that the developer has completed the Project Timberwolf Municipal Improvements in accordance with the Development Agreement and to the City’s satisfaction. The contractor submitted a performance bond with the project which will be converted to a warranty bond for the warranty period. Mr. Thompson stated the developer has submitted asbuilts which are currently being reviewed by engineering staff. MOTION by Commissioner Stenberg, seconded by Commissioner Wolf to accept the Project Timber Wolf Municipal Improvements as Outlined in the Development Agreement. Motion carried unanimously. 3. Recommend Planning and Zoning Commission Approve the Les Schwab Tire Center Conditional Use Permit with the Conditions listed in the Staff Recommendation 8/7/2025 Utilities Commission Meeting Minutes Page 2 Assistant City Engineer Thompson reviewed the Les Schwab Conditional Use Permit for automobile repair use and amending the joint access and parking. The development will require the installation of a gate valve and curb stop on the water line and the relocation of a hydrant. The gate valve and curb stop will be installed on a stub into the lot from the access road, the hydrant will include adding a fitting and extending the hydrant lead to move the hydrant to accommodate the site plan. There is an existing sanitary sewer service that will be utilized. The watermain stubbed into the lot extends beyond the easement, a new easement will be required to place the gate valve, and the curb stop within the easement ensuring the City maintains the rights to exercise the valves and access the valves. The hydrant relocation will place the hydrant in the corner of the existing utility easement; a new easement will be required to accommodate the hydrant relocation. Staff recommends the Planning and Zoning Commission approve the Conditional Use Permit with the conditions listed below:  Provide a Watermain Easement around the water improvements prior to issuing a building permit.  Enter into an Escrow Agreement prior to issuing a building permit.  Enter into a Stormwater Facilities Maintenance Agreement prior to issuing a building permit. MOTION by Commissioner Wolf, seconded by Commissioner Stenberg to recommend Planning and Zoning Commission approve the Les Schwab Tire Center Conditional Use Permit with the conditions listed in the staff recommendation. Motion carried unanimously. 4. Approve Les Schwab Tire Center Escrow Agreement for Inspection Services and Asbuilts Assistant City Engineer Thompson reviewed the Les Schwab Escrow Agreement for Inspection Services and Asbuilts. The inspection services include inspecting the water main improvements, working with the contractor on completing testing (bacteria and pressure), inspecting the sanitary sewer service, inspecting the stormwater improvements, and completing a final walk thru of the project. Asbuilts are required to show the storm sewer improvements, impervious surface calculations, water main improvements (gate valve and curb stop), connection to sanitary sewer service. Mr. Thompson noted that Hobby Lobby has existing stormwater underground chamber system that Les Schwab will tie into. Public works Director/City Engineer Walter stated the stormwater flows to the ditch on T.H. 371 and flows easterly. Mr. Thompson had no concerns with the agreement and recommended approval. MOTION by Commissioner Stenberg, seconded by Commissioner Wolf to approve Les Schwab Tire Center Escrow Agreement for Inspection Services and Asbuilts. Motion carried unanimously. 5. Approve Stormwater Facilities Maintenance Agreement with Access Rights and Covenants for Les Swab Tire Center Assistant City Engineer Thompson reviewed the Les Schwab Stormwater Facilities Maintenance Agreement with Access Rights and Covenants the City uses for all developments. The Stormwater Facilities Maintenance Agreements is a requirement under Section 20.3 of the Municipal Separate Storm Sewer System (MS4) permit. 8/7/2025 Utilities Commission Meeting Minutes Page 3 Mr. Thompson had no concerns with the agreement and recommended approval. MOTION by Commissioner Wolf, seconded by Commissioner Stenberg to approve the Les Schwab Stormwater Facilities Maintenance Agreement with Access Rights and Covenants. Motion carried unanimously. 6. Accept 2025 PASER Ratings Bolton & Menk Consulting Engineer Drown reviewed the 2025 PASER Street Ratings. The rating system is done every three (3) years and ratings are based on a 1 to 10 scale with 10 being a newly paved street. The city wide PASER rating considering local and MSA streets shows the system holding steady with an overall slight decrease from 6.94 to 6.89 rating. As listed in the City Pavement Management Program, most cities strive to maintain their streets at an average condition rating of 7 to 8. MOTION by Commissioner Stenberg, seconded by Commissioner Wolf to accept the 2025 PASER Street Ratings. Motion carried unanimously. 7. 2026 Clearwater Road, North Lynndale Area, & Brentwood Circle Street & Utility Improvements Monthly Update SEH Consulting Engineer Heinonen informed the commission that City Council tabled adopting Resolution No. 2025-062 Ordering Improvements and Preparation of Plans for the 2026 Clearwater Road, North Lynndale Area, & Brentwood Circle Street & Utility Improvements Project until the August 19th council meeting. 8. 2025 Water Supply Improvements - Wells 5 & 6 Monthly Update SEH Consulting Engineer Young gave an update on the status of the well drilling. The wells are pumping lower than the expected 700 gpm. Traut Wells will be onsite Friday, August 8th to jet the screens to see if this will increase water production. A discussion was held regarding flow and capacity. Chair Yliniemi updated Commission Wolf on the steps that had been taken to eliminate any known problems that were learned when the wells were first drilled back in 2007, such a testing for the correct screening on the wells, utilizing sonic bags etc. Chair Yliniemi inquired on why the flows were combined and not even equivalent to what was expected from one well. Especially after what the City had invested into the preliminary work. Mr. Young said the preliminary work was still beneficial, noting the original location of one of the wells would have likely been worse then what the City’s current situation is. Mr. Young said he is hopeful the production will increase with the jetting but said it likely won’t get to the 700 gpm per well. 9. Approve Pratt’s Affordable Excavating Inc. Partial Pay Estimate No. 3 in the amount of $231,262.66 for work completed on Contract B related to the 2025 Water Supply Improvements – Wells 5 & 6, Municipal Project No. 6011-45040 SEH Consulting Engineer Young reviewed the Pratt’s Affordable Excavating Inc. Partial Pay Estimate No. 3 in the amount of $231,262.66 for the 2025 Water Supply Improvements – Wells 5 & 6 Contract B, Municipal Project No. 6011-45040. 8/7/2025 Utilities Commission Meeting Minutes Page 4 The Contractor has earned $768,841.79 for electrical construction within the Water Plant and exterior electrical improvements, installation of watermain piping, installation of meter vaults, and turf restoration. The retainage is being held at 5% of the contract which results in a payment of $231,262.66. Mr. Heinonen has no concerns with Partial Pay Estimate No. 3 and recommends approval. MOTION by Commissioner Wolf, seconded by Commissioner Stenberg to approve Pratt’s Affordable Excavating Inc. Partial Pay Estimate No. 3 in the amount of $231,262.66 for work completed on Contract B related to the 2025 Water Supply Improvements – Wells 5 & 6, Municipal Project No. 6011- 45040. Motion carried unanimously. 10. Approve Traut Companies Partial Pay Estimate No. 2 in the amount of $186,223.75 for work completed on Contract A related to the 2025 Water Supply Improvements – Wells 5 & 6, Municipal Project No. 6011-45040 SEH Consulting Engineer Heinonen reviewed the Traut Companies Partial Pay Estimate No. 2 in the amount of $186,223.75 for the Water Supply Improvements – Wells 5 & 6. The payment includes well construction items for Well 5 and for Well 6, in addition to development hours for each well. The Contractor has earned $209,875.00 to date, which represents approximately 51% of the contract value. Per the contract, the retainage is 5 percent which results in a payment of $186,223.75. Mr. Heinonen has no concerns with Partial Pay Estimate No. 2 and recommends approval. Partial Pay Estimate No. 1 in the amount of $131,702.40 for work completed on Contract C related to the 2025 Water Supply Improvements – Wells 5 & 6, Municipal Project No. 6011-45040 SEH Consulting Engineer Heinonen reviewed the Integrated Process Solutions, Inc. Partial Pay Estimate No. 1 in the amount of $131,702.40 for work completed on Contract C related to the 2025 Water Supply Improvements – Wells 5 & 6, Municipal Project No. 6011-45040. The payment includes payment for eighty-five percent (85%) of the contract amount per the payment schedule in the contract documents. Mr. Heinonen has no concerns with Partial Pay Estimate No. 1 and recommends approval. MOTION by Commissioner Wolf, seconded by Commissioner Stenberg to approve the Integrated Process Solutions, Inc. Accept the Well Nos. 1 and 4 Pump Replacement Project Summary Memorandum for the 2025 Well 1 and Well 4 Pump and Motor Replacement Project SEH Consulting Engineer Heinonen informed the commission that the memorandum summarizes the results of the 2025 Well Nos. 1 and 4 pump replacements. The report contains pumping results, well field capacity summary and recommendations. Mr. Heinonen has no concerns with the memorandum and recommends acceptance. MOTION by Commissioner Stenberg, seconded by Commissioner Wolf to accept the Well Nos. 1 and 4 Pump Replacement Project Summary Memorandum for the 2025 Well 1 and Well 4 Pump and Motor Replacement Project. Motion carried unanimously. 14. Approve the Eaton Corporation Quote in the Amount of $22,860.00 for Replacement of Automatic Transfer Switch (ATS) Controller ATC-900 related to the Water Treatment Plant Emergency Generator SEH Consulting Engineer Heinonen reviewed the Eaton Corporation Quote for the replacement of the Automatic Transfer Switch Controller. The original water treatment facility was constructed and commissioned in 2006/2007. At that time, an Eaton ATC-600 Automatic Transfer Switch (ATS) and controller were installed to facilitate automatic transfer between utility power and generator power. However, no upgrades or reprogramming of the existing ATS controller were performed during the subsequent installation of a new generator in 2018. On May 8, 2025, a site meeting was held with City of Baxter personnel, SEH Civil and Electrical staff, Holden Electric, Ziegler CAT, and Eaton Electrical to assess these recurring issues. The consensus among stakeholders was that the operational faults are directly attributable to limitations in the programming and functional capacity of the Eaton ATC-600 controller. The controller executes power transfers in an open transition (break-before-make) mode without synchronization, and the transition timing is abrupt—failing to provide adequate time for controlled plant shutdown or startup. These rapid transfers can cause electrical process loads to experience under-voltage or inrush events, which result in faulted conditions, particularly during generator testing or actual outages. The ATC-600 controller also lacks a Time-Delay Neutral (TDN) feature, which allows for a programmable intermission between power source disconnection and reconnection. This delay is critical for allowing full system de-energization and water treatment plant ramp-down prior to electrical load re-engagement. Additionally, the ATC-600 does not support closed transition (make- before-break) transfers, which require source phase synchronization and are common in mission- critical infrastructure to ensure uninterrupted power during transfers. Consultation with Eaton and Ziegler CAT confirmed that the ATC-600 controller is obsolete, no longer supported, and not capable of upgrades to enable TDN or closed transition functionality. However, it has been verified that the existing switchgear and breakers at the facility are compatible with newer control systems that support advanced transfer modes. Mr. Heinonen stated the recommended corrective action is to replace the legacy ATC-600 controller with a current-generation model, such as the Eaton ATC-900. This modern controller provides programmable time-delay functions, supports both open and closed transition modes, and includes in- phase monitoring to facilitate smoother and safer power source transitions. Implementation of this upgrade is expected to mitigate the VFD faults and operational disruptions observed during power transfer events, including those occurring during monthly generator exercise cycles. 8/7/2025 Utilities Commission Meeting Minutes Page 6 Quotes were solicited from two vendors for the supply and installation of the proposed ATC-900 controller. Eaton Corporation will perform the installation, programming, and testing of the new ATC- 900 Unit. This includes a full shutdown of the water treatment plant for the installation of the unit and restarting the plant the same day. Testing will commence the next morning with representatives from Eaton, Holden Electric, Ziegler CAT, SEH, and City staff ready to troubleshoot if issues were to arise during testing. MOTION by Commissioner Wolf, seconded by Commissioner Stenberg to approve the Eaton Corporation quote in the amount of $22,860.00 for replacement of the automatic transfer switch (ATS) controller ATC-900 related to the Water Treatment Plant Emergency Generator. Motion carried unanimously. 15. Fats Oils and Grease Program Update Monthly Update There was no new information or questions from the commission or the public. 16. Approve the SEH Fee Amendment No. 1 in the Not To Exceed Amount of $16,210.00 for Additional Professional Services related to the Fats, Oils and Greases (FOG) Program Updates SEH Consulting Engineer Heinonen stated SEH recently completed the comprehensive review and preparation of recommended revisions and updates to the Fats, Oils and Grease (FOG) programs in the Baxter City regulations, FOG Best Management Practices and FOG Design Manual. During the course of the work, additional efforts were made to develop the program to define enforcement practices and update the program. Mr. Heinonen noted that additional work is necessary to finalize the documents. This fee amendment represents additional hours for program updates and also includes scope to prepare a FOG Toolkit. Assistant City Engineer Thompson state that these updates to the FOG program are critical in assisting with the reduction of biosolids before it enters into the wastewater treatment plant. MOTION by Commissioner Stenberg, seconded by Commissioner Wolf to approve SEH Fee Amendment No. 1 in the Not To Exceed Amount of $16,210.00 for Additional Professional Services related to the Fats, Oils and Greases (FOG) Program Updates. Motion carried unanimously. 17. 2024 South Forestview Improvements Project Monthly Update SEH Consulting Engineer Heinonen stated the contract has been working on the punch list items. River Vista has some ditching concerns that are being addressed. 18. Approve SEH Fee Amendment No. 1 in the Not To Exceed Amount of $50,000.00 for Professional Services during the Construction Phase related to the 2024 South Forestview Improvements Project, Municipal Project No. 4138 SEH Consulting Engineer Heinonen informed the commission that the project is nearing completion, but several punch-list and project closeout items still need to be resolved. The current engineering work to date is approximately $12,000 over the original contract amount. Additional work and project closeout tasks remain for the project; thus, additional engineering services are necessary. Motion carried unanimously. 19. 2024 CSAH 77 Utility Improvements Project Monthly Update Widseth Consulting Engineer Welch informed the commission that construction has been completed. 20. Approve Pratt’s Affordable Excavating, Inc. Partial Pay Estimate No. 4 in the amount of $46,175.31 for the 2024 CSAH 77 Utility Improvements Project, Municipal Project 4118 Widseth Consulting Engineer Welch reviewed the Pratt’s Affordable Excavating, Inc. Partial Pay Estimate No. 4 in the amount of $46,175.31 for the 2024 CSAH 77 Utility Improvements Project. The payment is for payment is for work completed between March 25, 2025, and July 24, 2025. The Contractor has earned $547,032.10 which represents 98.4% of the revised contract value. In accordance with the contract documents, retainage is being withheld in the amount of 5% of the current contract value or $27,785.50. The amount due this period is $46,175.31. Accept the 20-Year Maintenance Plan (2026-2045) for Sanitary Sewer and Stormwater Lift Stations WiDSETH Consulting Engineer Welch reviewed the 20-Year Maintenance Plan Update (2026 – 2045) for Sanitary Sewer and Stormwater Lift Stations. The plan addresses the 24 sanitary sewer lift stations and 2 stormwater lift stations, 3 portable generators and 1 stationary generator. Mr. Welch stated the report will be used as a resource to provide direction and budgeting on future project and maintenance activities. MOTION by Commissioner Stenberg, seconded by Commissioner Wolf to accept the 20-Year Maintenance Plan (2026 – 2045) for Sanitary Sewer and Stormwater Lift Stations. Motion carried unanimously. 22. 2024 Mill & Overlay and Full Depth Reclamation Improvements Project Monthly Update There was no new information or questions from the commission or the public. 23. Approve the Knife River Corporation – North Central Change Order No. 7 to Extend the Final Completion Date to November 14, 2025 for the 2024 Mill & Overlay and Full Depth Reclamation Improvements Project, Municipal Project Number 4424 WiDSETH Consulting Engineer Welch reviewed the River Corporation – North Central Change Order No. 7 to Extend the Final Completion Date to November 14, 2025 for the 2024 Mill & Overlay and Full Depth Reclamation Improvements Project. Change Order No. 7 includes the following items: 8/7/2025 Utilities Commission Meeting Minutes Page 8  Due to additional work items that have been requested to address ditching that is holding water, staff is requesting to extend the final completion date to November 14th of 2025. The additional items include ditch correction due to lack of infiltration and adding black dirt to smooth out rough areas. By extending the final completion date, this allows the contractor to finish the additional work. An estimated cost for the additional items has been included in the projected project budget. Adopt Resolution No. 2025-XXX Relating to No Parking on Hinckley Road Assistant City Engineer Thompson informed the commission that Hinckley Road from Berrywood Drive to Douglas Fir Drive is a two-way street that has both commercial and multifamily residential developments. There have been issues with parking on the road, staff has worked with the sources of the on-street parking and believe the issue is resolved. However, in order to be proactive, staff is recommending adoption of the resolution on Hinckley Road and install signage if requested by the Police Chief or Assistant Chief. MOTION by Commissioner Wolf, seconded by Commissioner Stenberg to adopt Resolution No. 2025- XXX relating to No Parking on Hinckley Road from Berrywood Drive to Douglas Fir Drive. Motion carried unanimously. 25. Adopt Resolution No. 2025-XXX Relating to No Parking on Independence Road Assistant City Engineer Thompson informed the commission that Timberwood Drive to the end of the cul-de-sac is zoned Industrial Office. Independence Road is a two-way street that does not provide adequate width for parking on both sides of the street. There have been issues with on-street parking where the shoulder is lower than the paved shoulder and turf establishment is an issue. Staff has worked with the sources of the on-street parking and believe the issue is resolved. However, in order to be proactive, staff is recommending adoption of the resolution on Timberwood Drive and install signage if requested by the Police Chief or Assistant Chief. Adopt Resolution No. 2025-XXX Relating to No Parking on Timberwood Drive Assistant City Engineer Thompson informed the commission that Timberwood Drive, located off of Trunk Highway 210, serves Simonson Lumber, Brock White and the new Amazon Facility and is a two- way street that does not provide adequate width for parking on both sides of the street. Timberwood Drive was not constructed to accommodate on street parking. Signage was installed by the contractor with the construction of the road and paid for by the developer. Ironwood Drive is a two-way street that does not provide adequate width for parking on both sides of the street and was not constructed to accommodate on street parking. Mr. Thompson is recommending adoption of the resolution on Ironwood Drive and install signage if requested by the Police Chief or Assistant Chief.
