SPECIAL MEETING
OF THE MUNICIPAL COUNCIL OF THE CITY OF BAYONNE, IN THE COUNTY OF
HUDSON, NEW JERSEY, HELD IN THE COUNCIL CHAMBER, MUNICIPAL BUILDING,
630 AVENUE C, ON THURSDAY, APRIL 8, 2021
The Council met at 6:01P.M.
The President announced: “I would like to advise all those present that notice of this
Special Meeting of the Municipal Council of the City of Bayonne of December 29, 2020
has been provided to the public in accordance with the provision of the Open Public
Meetings Act of the State of New Jersey. Notice of time and place of this meeting was
posted and filed with the city clerk and forwarded to the Jersey Journal and the Star
Ledger by fax on December 22, 2020.
And NOTICE WAS HEREBY GIVEN that the Municipal Council of the City of Bayonne
will conduct the following meetings of the Annual Meeting Schedule for the purpose of
conducting City business for 2020 through VIRTUAL/REMOTE communications
equipment in conformance with the directives of the State of New Jersey:
Notice of this change in the format of the meeting was provided to the Jersey Journal
and the Star Ledger on April , 2020 in accordance with the law and applicable
Executive Orders.
The Regular Meeting of the Municipal Council of the City of Bayonne is now in session.
The clerk called the roll.
Present were: Council Members Carroll, La Pelusa, Perez, and President Nadrowski.
Absent – Council Member Guallace.
The Council President led the Pledge of Allegiance.

Dear Ms. Medina:
There is a need for a Special Meeting of the Bayonne Municipal Council on Tuesday,
December 29, 2020 at 7:00 P.M. for the following items to be addressed:
1. A resolution Authorizing the Mayor and Clerk to enter into an agreement
with Bespoke, LLC of 2109 Broadway #541, New York, NY 10023 to
provide community outreach to the population of Bayonne (“Community
Outreach”), call center operations (“Call Center”) and COVID-19
Vaccinations (“Vaccination Services”) for individuals designated by
Bayonne on behalf of Medical Providers.
2. A resolution authorizing the Mayor and Clerk to enter into an Affiliation
Agreement with Hudson County Community College for the purpose of
providing supplemental nursing related services in connection with the
City's Covid-19 vaccination programs at no cost to the City of Bayonne.

02. The Council as a whole moved the following resolution, which was read by the
Clerk and adopted.
WHEREAS, due to the COVID-19 pandemic, the City is in need of professional
medical services to provide and administer COVID-19 vaccinations for the City of
Bayonne and provide the reporting of such vaccines and perform related services; and
WHEREAS, Bespoke Health, LLC, located at 2109 Broadway #541, New York,
New York 10023 is ready, willing and able to provide the City with the aforementioned
professional medical services and has provided the City with a COVID-19 Vaccination
Program Proposal dated March 9, 2021 that satisfies the City’s needs; and
WHEREAS, Executive Order No. 103 contemplates that the spread of COVID-19
would disrupt the timely delivery of goods and services necessary for the life, safety and
health of the public; and
WHEREAS, Executive Order No. 103 further addresses the difficulty in
procuring of goods and services by relaxing public contract laws at the State level; and
WHEREAS, similarly, Local Finance Notice (LFN 2020-06) addresses the
emergency procurement of such goods on the local level and provides, “[i]n
circumstances where an emergency affecting public health, safety or welfare requires
the immediate delivery of goods or the performance of services, a contract may be
awarded without public bidding regardless of the bid threshold. N.J.S.A. 40A:11-6
(Local Public Contracts Law) …”; and
WHEREAS, LFN 2020-06 further provides that pursuant to N.J.S.A. 19:44A-
20.12, emergency contracts awarded for purposes of coronavirus response are excepted
from Pay-to-Play due to public exigency, and municipalities are not required to file an
“emergency procurement report” with the State; and
WHEREAS, the timely procurement and administration of COVID-19
vaccinations is essential for the health, welfare and safety of the citizens of Bayonne;
and
WHEREAS, it is contemplated that any and all funds expended by the City of
Bayonne in connection with this vaccine distribution plan will be reimbursable under
the Stafford Act; and
WHEREAS, it is in the best interests of the citizens of the City of Bayonne to
retain the services of Bespoke Health, LLC to administer the aforesaid COVID-19
Vaccination Program for an amount not to exceed $900,000.00 which includes an initial
payment of no more than $75,000.00; and
WHEREAS, pursuant to N.J.A.C. 5:30-5.5(e), the award of the contract shall be
subject to the availability and appropriation of funds in the CY2021 budget in Account
#1-01-27-330-0000-028; now, therefore, be it
RESOLVED, by the Municipal Council as follows:
1. The Mayor and City Clerk are hereby authorized to execute an Agreement
with Bespoke Health, LLC, 2109 Broadway #51, New York, NY 10023 for
professional medical, related and ancillary services to provide and
administer COVID-19 vaccinations for the City of Bayonne and provide
the reporting of such vaccines and perform related services pursuant to
its COVID-19 Vaccination Distribution Plan dated March 9, 2021 for an
amount not to exceed $900,000.00.
2. The Municipal Treasurer be and is hereby authorized and directed to
issue an initial payment to Bespoke Medical, LLC in the amount of
$75,000.00.
3. Funds shall be chargeable to Account No. 1-01-27-330-0000-028.
4. Pursuant to N.J.A.C. 5:30-5.5(e), the award of the contract shall be
subject to the availability and appropriation of funds in the
CY2021 budget in account No. 1-01-27-330-0000-028.

03. The Council as a whole moved the following resolution, which was read by the

WHEREAS, due to the COVID-19 pandemic, the City is in need of
professional medical and/or nursing services to provide and administer COVID-
19 vaccinations for the City of Bayonne; and
WHEREAS, due to an increase in the number of vaccinations that may
become available and the decrease in the number of nursing staff available to
administer same, it is in the best interests of the City of Bayonne to avail itself
of alternative nursing staff capabilities; and
WHEREAS, Hudson County Community College, located at 70 Sip
Avenue, Jersey City, New Jersey 07306, is ready, willing and able to qualified
provide student nurses to augment the City with the aforementioned alternative
nursing staff capabilities at no cost to the City of Bayonne via an Affiliation
Agreement with the City of Bayonne; and
WHEREAS, the timely procurement and administration of COVID-19
vaccinations is essential for the health, welfare and safety of the citizens of
Bayonne; and
WHEREAS, it is in the best interests of the citizens of the City of
Bayonne to retain the services of Hudson County Community College via an
Affiliation Agreement with the City of Bayonne so that the City can augment its
nursing staff capabilities in furtherance of the administration of its vaccine
distribution program; now, therefore, be it
RESOLVED, by the Municipal Council as follows:
1. The Mayor and City Clerk are hereby authorized to execute an
Affiliation Agreement with Hudson County Community College,
located at 70 Sip Avenue, Jersey City, New Jersey 07306 for the
provision of alternative nursing staff capabilities in connection
with the City’s COVID-19 vaccine distribution program and that
said Affiliation Agreement shall be in form and substance
satisfactory to the Law Director and at no cost to the City of
Bayonne.
