Minutes of the July 13, 2021 meeting Motion by Alderman Chris Blockburn, second by Alderman Mike Hallquist to approve the minutes of the July 13, 2021 Board of Public Works meeting. Motion carried 5-0. 4. Unfinished Business a) Solid Waste Collection and Disposal contract for 2022 Mr. Grisa provided updates on the changes to the contract. Exhibit A discusses the County and local fees. Exhibit E had a typo regarding the delay on pickup trucks. Alderman Blackburn asked about the requirement for residents to bring their trash cans down to the road for three months. Mr. Grisa advised that the garbage collectors will go up to collect the can if not within 25 feet of the road. Alderman Owen clarified Mr. Grisa recommends a 7 year contract with Green for Life. Mr. Grisa indicated there is a proposed change of service with the contract. The proposed change has 5 days of service versus the current routes that are done in 4 days of service. If the changes are approved the residents will be notified by mail. Motion by Alderman Scott Berg, second by Alderman Chris Blackburn to approve the Solid Waste Collection and Disposal contract for 2022. Motion carried 5-0. New Business a) Rejection of the Woodbridge and Santa Maria Bridge Decks project SW-21-03 Alderman Hallquist asked if the Capital plan needs to be changed by putting off this project. Mr. Grisa responded that the City may be able to use existing City crews to complete the project. Motion by Alderman Chris Blackburn, second by Alderman Mike Hallquist to approve the rejection of bids for the Woodbridge and Santa Maria Bridge Decks project SW-21-03. Motion carried 5-0. b) Parking restrictions on Hoffman Avenue at Brookfield Road Mr. Grisa stated the Community Development Department is asking the board to be aware they could consider time of day parking restrictions so people can park there in the morning. Motion by Alderman Mike Hallquist, second by Alderwoman Jenna Meza to approve the No parking restrictions on Hoffman Avenue at Brookfield Road. Motion carried 5-0. c) Parking restrictions on 186'h Street and Pleasant Street (Cottage Commons PDD) Alderman Meza stated the yield signs are appropriate for this area. Motion by Alderwoman Jenna Meza, second by Alderman Chris Blackburn to approve the No parking restrictions on 1861" Street and Pleasant Street {Cottage Commons PDD}. Motion carried 5-0. 6. Fiscal Impact: Design Phase $ 42,707.00 Construction Phase $ 43,574.00 TOTAL $ 86,281.00 Source of Funds: CIP 61211301 703122 {Enterprise Ave. Bridge Funds) $ 80,000.00 CIP 61211301 703122 ST193 (Corporate Dr. North) $ 6,281.00 Rationale: Gebhardt Road Bridge is located on Gebhardt Rd., west of Pilgrim Parkway, and crosses over the Dousman Ditch. The existing pre-stressed concrete bridge was c:;onstructed in 1966. The 2020 bridge report identified numerous large spalls with exposed pre-stressed steel and delamination in the channel girder stems at the beam ends. It is expected that the rate of decay will continue and a full bridge replacement is the most cost-effective solution. The replacement structure will be placed in the same general location/alignment; as such, it is anticipated that the new bridge will be approximately the same length and width. The proposed design will also provide an equivalent capacity. Work History: Public Works Department has worked with RA Smith on numerous projects. They have completed the project accurately, within budget and on-time. Funding: Originally, the Gebhardt Rd. bridge was scheduled for design in 2022, and the Enterprise Ave. bridge was scheduled for design in 2021. However, the Enterprise Ave. bridge may qualify for federal funds; as such, the projects were switched. Switching the two projects  provides the City the opportunity to submit an application for funds for Enterprise Ave. under the Wis DOT Local Bridge Improvement Assistance program. Ponto Attested: City Clerk Kelly Michaels Page 1 of 1  C I T Y O F BROOKFIELD PROFESSIONAL SERVICES AGREEMENT CITY OF BROOKFIELD GEBHARDT ROAD BRIDGE REPLACEMENT Theresa Caven, P.E., CFM Project Manager J:\Projects\2021\STORM - Gebhardt Road Bridge\Consultant Contract  AGREEMENT FOR GEBHARDT ROAD BRIDGE REPLACEMENT This is an agreement for professional services between the City of Brookfield, a Wisconsin municipal corporation, (hereinafter "CITY"), and raSmith (hereinafter "PROVIDER"). 1. SCOPE OF SERVICES The services to be performed by the PROVIDER ("Project") on behalf of the CITY, including the time of performance, are described in Exhibit A, which is attached hereto and incorporated herein by this reference. The obligations and responsibilities of the CITY to provide information and support to the PROVIDER are also described in Exhibit A. Time is of the essence in the performance of all phases of this Agreement. Any other general contract provisions that may be in the exhibits are overridden by the terms of this Agreement. 2. COMPENSATION AND PAYMENT The CITY agrees to pay PROVIDER an amount not to exceed $86,281 or for the services set forth herein. Rates and fees when charged on time and expense basis shall be those listed in Exhibit A. PROVIDER will submit to the CITY a detailed billing invoice on or before the first day of each month during the term of this Agreement. It shall be directed to the attention of the Project Manager. Invoices will show the total amount being invoiced and hours of service, nature of work, and previous invoiced amounts where applicable. The CITY will endeavor to make payments on or after the third Friday of the month for services provided and for billing received prior to the first day of that month. A purchase order will be prepared and will become a part of this Agreement. 3. COMMENCEMENT OF WORK PROVIDER shall commence the work to be performed under this Agreement upon receipt of written authorization to proceed from the CITY. 4. COMPLETION OF WORK PROVIDER shall complete the work to be performed under this Agreement within the time specified in Exhibit A. If none is specified, the PROVIDER shall complete the work within a reasonable time for the type of work involved. Gebhardt Road Bridge Replacement 2 Revised Date: 2/2019 5. ADMINISTRATION AND NOTICE The Project Manager, Theresa Gaven, P.E., CFM, will administer this Agreement on behalf of the CITY. All written notices shall be sent to the attention of the Project Manager at City Hall, 2000 North Calhoun Road, Brookfield, WI 53005. This Agreement will be administered on behalf of the PROVIDER by: Gary Raasch, P.E., CFM. All notices shall be directed to the attention of the PROVIDER at: 16745 W. Bluemound Road, Brookfield, WI 53005. 6. INSURANCE A. PROVIDER shall maintain insurance as specified below. Authorization to commence work on the Agreement will not be given until proof of insurance required has been submitted approved by the CITY. All insurance shall remain in force until the work is completed and the length of time that is specified, if any, in the Agreement or listed below, whichever is longer. 1. Commercial General Liability Insurance. The PROVIDER shall maintain the coverage listed below with the following minimum limits: i. Each Occurrence - $1,000,000 ii. Personal and Advertising Injury - $1,000,000 iii. General Aggregate - $2,000,000 iv. Products- Completed Operations - $2,000,000 v. Products-Completed Operations coverage shall be maintained for two years after acceptance of completed work. vi. If the work involves the use of or operation of any watercraft, then Watercraft Liability insurance must be in force with a limit of $1,000,000 per occurrence for bodily injury and property damage. 2. Automobile Liability Insurance. The PROVIDER shall maintain business auto coverage with a combined single limit per accident for bodily injury and property damage for "any auto" basis - $1,000,000. 3. Worker's Compensation Insurance. The PROVIDER shall maintain coverage as required by the State of Wisconsin and Employers Liability Insurance with the following minimum limits: i. $100,000 each accident ii. $500,000 disease policy limit iii. $100,000 disease - each employee iv. Employer's Liability insurance limits must be sufficient to meet umbrella liability insurance requirements. 4. Umbrella Liability Insurance. The PROVIDER shall maintain coverage at least as broad as the underlying Commercial General Liability Insurance, Automobile Liability, and Employers' Liability with the following minimum limits: i. Each Occurrence - $5,000,000 Gebhardt Road Bridge Replacement 3 Revised Date: 2/2019  ii. General Aggregate - $5,000,000 iii. The self-insured retention cannot exceed $10,000. 5. Aircraft Liability Insurance. If the work includes the use of or operation of any aircraft or helicopter, the PROVIDER shall maintain aircraft liability insurance with a minimum limit of $3,000,000 per occurrence for bodily injury and property damage, including passenger liability and liability for any slung cargo. 6. Unmanned Aircraft Liability Insurance. If the work includes the use of or operation of any unmanned aircraft, the PROVIDER shall carry unmanned aircraft liability insurance with a minimum limit of $1,000,000 per occurrence for bodily injury liability, property damage liability, and invasion of privacy liability. 7. Professional Liability Insurance. In addition to the other coverages set forth herein, if the work includes the services of an accountant, advertising agency, architect, consultant, engineer, financial advisor, graphic designer, information technology consultant, insurance professional, investment advisor, legal advisor, management consultant, medical professional, public relations firm, real estate agent or broker, software developer, or other professional, the PROVIDER shall maintain the coverage below with following minimum limits: 1. $1,000,000 each claim ii. $1,000,000 annual aggregate iii. Must continue coverage for two (2) years after final acceptance of work. 8. Cyber Risk/Privacy Insurance. If the work includes electronic data transfer of protected health information, as defined in 45 CFR 160.103, or personal identifying information, as defined in Wis. Stat. Sec. 943.201(1)(b), the PROVIDER shall carry cyber risk/privacy insurance with a minimum limit of $3,000,000 per occurrence that includes coverage for liability incurred from alleged or actual theft, dissemination, and/or use of personal or confidential information and any related forensic costs, crisis management costs, investigation costs; (ii) network security liability arising from the unauthorized access to, use of, or tampering with computer systems, including hacker attacks or inability of an authorized third party to gain access to services, including denial of service, unless caused by a mechanical or electrical failure; (iii) liability arising from the introduction of a computer virus into, or otherwise causing damage to, a customer's or third person's computer, computer system, network, or similar computer related property and the data, software, and programs thereon; (iv) any government investigations resulting from the alleged or actual Gebhardt Road Bridge Replacement 4 Revised Date: 2/2019  disclosure of personal or confidential information or network security liability event; and (v) non physical business interruption. B. For All Insurance: 1. All insurance must be primary and non-contributory to any insurance or self-insurance carried by the CITY. Proof of such shall be provided to the CITY. 2. Insurance is to be placed with insurers who have an A.M. Best rating of no less than A- and a financial size category of no less than Class VII, and who are authorized as an admitted insurance company in the State of Wisconsin. 3. The following must be named as additional insureds on all liability policies, except for worker's compensation and errors and omission insurance: "The City of Brookfield, its elected and appointed officials, officers, employees, authorized representatives, and authorized volunteers." Endorsements evidencing such additional insured coverage shall be provided to the CITY. For commercial general liability insurance, form CG 20 10 07 04 for ongoing operations and form CG 20 37 07 04 for products completed operations hazard, or forms containing language with equivalent coverage, shall be endorsed to the policy on the CITY's behalf and shall be provided to the CITY. 4. Waivers of Subrogation in favor of CITY must be endorsed on the PROVIDER'S coverages for all insurance required and provided to the CITY. 5. Any deductible or self-insured retention shall be declared to CITY. 6. Prior to the CITY'S execution of the Agreement, the PROVIDER shall file with the CITY a certificate of insurance (ACORD form or equivalent for all coverages) signed by the insurer's representative evidencing the coverage required by this Agreement. If any of the policies required above expire while this Agreement is still in effect, PROVIDER shall provide renewal certificate(s) to the CITY for approval. 7. All insurance, except for professional errors and omissions, shall be written on an occurrence basis. 8. All insurance policies shall be endorsed to provide the CITY with 30 days notice of cancellation of insurance and 10 days notice of non-renewal. Such endorsements shall be provided to the CITY prior to the CITY'S execution of the Agreement. 9. The CITY reserves the right to request a certified copy of any insurance policy required of the PROVIDER under this Agreement. 7. INDEMNIFICATION AND HOLD HARMLESS A. To the fullest extent allowable by law, PROVIDER hereby indemnifies and shall defend and hold harmless ("Indemnity Provision") the CITY, its elected and appointed officials, officers, employees, authorized representatives, and authorized volunteers and each of them from and against any and all suits, Gebhardt Road Bridge Replacement 5 Revised Date: 2/2019  actions, legal or administrative proceedings, claims demands, damages, liabilities, interest, attorneys' fees, costs, and expenses of whatsoever kind or nature whether arising before, during, or after completion of the work hereunder and in any manner directly or indirectly caused, occasioned, or contributed to in whole or in part or claimed to be caused, occasioned, or contributed to in whole or in part, by reason of any act, omission, fault, or negligence, whether active or passive, of PROVIDER or of anyone acting under its direction or control or on its behalf in connection with or incident to the performance of this Agreement. PROVIDER'S aforesaid indemnity and hold harmless agreement shall not be applicable to any liability caused by the sole fault, sole negligence, or willful misconduct of the CITY, its elected and appointed officials, officers, employees or authorized representatives, or authorized volunteers. This Indemnity provision shall survive the termination or expiration of this Agreement. In any and all claims against the CITY, its elected and appointed officials, officers, employees or authorized representatives, or authorized volunteers by an employee of PROVIDER, any subcontractor, or anyone for whose acts any of them may be liable, the indemnification obligation under this paragraph shall not be limited in any way by any limitation on the amount or type of damages, compensation, or benefits payable by or for the PROVIDER or any subcontractor under worker's compensation, disability benefit, or other employee benefit laws. No part of this Indemnity Provision shall give rise to any duties not otherwise provided for by this Agreement or by operation of law. No part of this Indemnity Provision shall be construed to negate, abridge, or otherwise reduce any other right or obligation of indemnity that would otherwise exist as to the CITY, its elected and appointed officials, officers, employees, authorized representatives, or authorized volunteers under this Agreement or any other contract. This clause is to be read in conjunction with all other indemnity provisions contained in this Agreement. Any conflict or ambiguity arising between any indemnity provisions in this Agreement shall be construed in favor of indemnified parties except when such interpretation would violate the laws of Wisconsin. PROVIDER shall reimburse the CITY, its elected and appointed officials, officers, employees, authorized representatives, and authorized volunteers for any and all legal expenses and costs incurred by each of them in connection therewith or in enforcing the indemnity herein provided. PROVIDER'S obligation to indemnify shall not be restricted to insurance proceeds, if any received by the CITY, its elected and appointed officials, officers, employees, authorized representatives, or authorized volunteers. B. CITY agrees to indemnify, defend, and hold harmless PROVIDER and its subcontractors, consultants, agents, directors, and employees from and against all claims, suits, damages, and losses, including, but not limited to, Gebhardt Road Bridge Replacement 6 Revised Date: 2/2019  those claims, suits, damages, or losses caused or arising out of, relating to, or based upon the sole fault, sole negligence, or willful misconduct conduct of CITY in connection with or incident to the performance of this Agreement. C. Nothing contained within this AGREEMENT is intended to be a waiver or estoppel of the CITY or its insurer to rely upon the limitations, defenses, and immunities contained within Wisconsin Statutes Sections 893.80 and 345.05. To the extent that indemnification is available and enforceable, the CITY or its insurer shall not be liable in indemnity, contribution, or otherwise for an amount greater than the limits of liability for municipal claims established by Wisconsin law. 8. INDEPENDENT CONTRACTOR A. It is agreed that PROVIDER at all times shall be considered an independent contractor in the performance of its duties under this Agreement and its employees and agents shall not be considered employees of the CITY for any purpose whatsoever. B. The CITY agrees that the PROVIDER shall have sole control of the method, hours worked, and time and manner of any performance under this Agreement other than as specifically provided herein. For work occurring on CITY or public property, the CITY reserves the right to inspect the job site or premises for the purpose of insuring that the performance is progressing or has been completed in compliance with the Agreement. The CITY takes no responsibility for supervision or direction of the performance of the Agreement to be performed by the PROVIDER or the PROVIDER'S employees or agents. The CITY further agrees that it will exercise no control over the selection, dismissal, or management of the PROVIDER'S employees, consultants, directors, or agents. 9. ASSIGNMENT AND SUBCONTRACTING A. Subcontracting or assignment by PROVIDER of any portion of the services described in this Agreement without the express written approval of the Common Council is prohibited. If the Project Manager does approve subcontracting or assignment, the subcontractor or assignee shall be subject to the same insurance requirements as PROVIDER as outlined in Section 6 of this Agreement and shall not commence any work until the CITY has reviewed and approved its insurance. B. Nothing under this Agreement shall be construed to give any rights or benefits in this Agreement to anyone other than the CITY and the PROVIDER, and all duties and responsibilities undertaken pursuant to this Agreement will be for the sole and exclusive benefit of the CITY and the PROVIDER and not for the benefit of any other party. LICENSES AND PERMITS PROVIDER shall be responsible for obtaining any licenses or permits required to perform its obligations under this Agreement. 11. RECORDS PROVIDER shall keep all of its records arising out of this Agreement for a period of seven (7) years after receipt of the final payment under this Agreement and shall provide any such records to the CITY at the CITY's request. PROVIDER understands that such records may constitute public records subject to disclosure under the provisions of Wisconsin law relating to public records, Wis. Stats. §§19.31-19.39 and any successor statutes and regulations. 12. OWNERSHIP OF DOCUMENTS All of the reports, information, data, diagrams, plans, etc. (hereinafter "Work Product"), whether they are finished or unfinished, prepared or assembled by the PROVIDER under this Agreement are the property of the CITY. The PROVIDER agrees that the Work Product shall not be made available to any individual or organization without the prior written approval of the CITY, unless such disclosure is required by law. PROVIDER hereby assigns to the CITY any and all copyrights in and to the Work Product. The PROVIDER agrees to limit the use of any reports, information, data, diagrams, plans, etc., supplied by the CITY to the services being provided under the terms of this Agreement. In addition, the PROVIDER will not copy or alter the data in any way. 13. PRESS RELEASES The PROVIDER may not issue press releases or provide information to any third party regarding the Project without the prior written approval of the CITY, except as required by federal or state regulations, or court order. 14. SITE ACCESS; DATA A. Unless the Scope of Work provides otherwise, the CITY shall obtain or provide reasonable access for the PROVIDER to the project site, if applicable, when necessary and at any reasonable time requested. B. The CITY shall attempt to provide the PROVIDER with all relevant data and information in its possession regarding the project site. However, in providing such data and information, the CITY or the PROVIDER assumes no responsibility for its accuracy, reliability, or completeness. STANDARD OF PERFORMANCE The PROVIDER'S services shall be performed with the usual thoroughness, skill and competence of the consulting profession, in accordance with the standard for professional services prevailing at the time those services are rendered. 16. ERRORS AND OMISSIONS The PROVIDER shall be responsible for the accuracy of its work performed under the Agreement and shall promptly make necessary revisions or corrections resulting from its negligent acts, errors or omissions without additional compensation. 17. DISCLOSURE AND CONFLICT OF INTEREST A. The PROVIDER warrants it has no public or private interest, and shall not knowingly acquire directly or indirectly any such interest, which would conflict in any manner with its performance under the Agreement. B. The PROVIDER shall not employ any person employed by the CITY for any work included under the provisions of this Agreement. C. If the Agreement is discovered to be in violation in Wis. Stat. Sec. 946.13, this Agreement is voidable by the CITY. 18. APPLICABLE LAW AND VENUE. This Agreement shall be governed in all respects, whether as to validity, construction, capacity, performance, or otherwise, by the laws of the State of Wisconsin, the ordinances of the City of Brookfield, the rules and regulations of the CITY, and any codes, specifications, or requirements related to the performance of the work under this Agreement. Any suit, proceeding, or other action arising out of or related to this Agreement shall be commenced and maintained only in a court of competent jurisdiction in the state court located in Waukesha County, Wisconsin or federal court located in Milwaukee County, Wisconsin. Each party irrevocably consents to submit to the exclusive jurisdiction of such courts. 19. SOLE AGREEMENT This document contains the entire agreement between the parties. Any previous communications or agreements pertaining to the subject matter of this Agreement are hereby superseded. The Agreement may not be modified except by a written agreement signed by the duly authorized agents of the CITY and the PROVIDER. In the event of a conflict between this Agreement and any Exhibit, the terms of this document shall control. Gebhardt Road Bridge Replacement 9 Revised Date: 2/2019 20. FORCE MAJEURE No party shall be responsible to the other party for any resulting losses and it shall not be a default of this Agreement if the fulfillment of any of the terms of this Agreement is delayed or prevented by revolutions or other civil disorders, wars, acts of enemies, strikes, fires, floods, acts of God, unusual adverse weather conditions, or by any other cause not within the control of the party whose performance was interfered with and which by the exercise of reasonable diligence such party is unable to prevent, whether of the class of enumerate causes or not, and the time for performance shall be extended by the period of delay occasioned by any such cause. Upon the occurrence of a force majeure, written notice to the other party shall be given as herein provided. If the period of non-performance exceeds thirty (30) days from the receipt of the notice, the party whose ability to perform has not been so affected may, by written notice, terminate this Agreement without penalty. 21. NO WAIVER OF CONDITIONS The failure of either party to insist on strict performance of this Agreement does not constitute a waiver of any of the provisions of this Agreement or a waiver of any default of the other party. 22. TERMINATION A. Termination for Convenience of the CITY. This Agreement may be terminated by the CITY, in whole or in part, without penalty, in its sole discretion, with or without cause, upon 10 days written notice to the PROVIDER. Notice of termination shall be delivered to PROVIDER by either personal delivery or by certified mail, return receipt requested. In the event of termination, the PROVIDER shall be paid in full for any services performed satisfactorily to the date of that termination. B. Termination for Cause. If, through any cause, the PROVIDER shall fail to fulfill in a timely and proper manner its obligations under this Agreement or if the PROVIDER shall violate any of the covenants, agreements, or stipulations of the Agreement, the CITY shall have the right to terminate this Agreement by giving written notice to PROVIDER of such termination and specifying the effective date thereof, at least five (5) days before the effective date of such termination. The PROVIDER shall be entitled to payment for any services performed satisfactorily to the date of termination; however, the PROVIDER shall not be relieved of liability to the CITY for damages sustained by the CITY, and CITY may withhold any payments to the PROVIDER for the purpose of setoff until such time as the exact amount of damages due to the CITY from the PROVIDER is determined. C. Upon actual receipt of the notice of termination or three days after the notice of termination was sent via certified mail, return receipt requested, whichever event occurs earlier, the PROVIDER shall promptly discontinue all affected work (unless the notice of termination directs otherwise), and deliver or otherwise make available to the CITY all data, drawings, specifications, reports, estimates, Gebhardt Road Bridge Replacement 10 Revised Date: 2/2019  summaries, and such other information and materials as may have been accumulated by the PROVIDER in performing this Agreement, whether completed or in progress. 23. DEFAULT A. The occurrence of any of the following shall constitute a default ("Default") by PROVIDER. 1. PROVIDER'S failure to adequately and timely perform or deliver the required services; 2. PROVIDER becomes insolvent or does not or cannot pay or admits in writing to its inability to pay its debts as they mature; 3. PROVIDER makes an assignment for the benefit of creditors or to an agent authorized to liquidate any substantial amount of assets; 4. PROVIDER becomes the subject of an "order for relief" within the meaning of the United States Bankruptcy Code or files a petition in bankruptcy, for reorganization, or to affect a plan or other arrangement with creditors; 5. PROVIDER has a petition or application filed against it in bankruptcy or any similar proceeding or has such a proceeding commenced against it, and such petition, application, or proceeding shall remain undismissed for a period of ninety (90) days or the PROVIDER files an answer to such petition or application, admitting the material allegations thereof; 6. PROVIDER applies to a court for the appointment of a receiver or custodian for any of its assets or properties or has a receiver or custodian appointed for any of its assets or properties, with or without consent, and such receiver shall not be discharged within ninety (90) days after his appointment; 7. PROVIDER adopts a plan of complete liquidation of its asset; 8. PROVIDER makes a material misrepresentation to CITY; 9. PROVIDER fails to perform any material provision of this Agreement. B. The occurrence of any of the following shall constitute a default by CITY: 1. CITY makes a material misrepresentation to PROVIDER; 2. CITY fails to perform any material provision of this Agreement. 24. REMEDIES A. Upon a Default by PROVIDER, the CITY shall have the following rights and remedies, which shall be cumulative to the fullest extent permitted by law: 1. Bring an action for specific performance; 2. Terminate this agreement upon notice to PROVIDER, whereupon the PROVIDER and CITY shall have no further rights, obligations, or liabilities hereunder, except for those agreements, which by their terms, expressly survive termination of this Agreement; and/or 3. SEVERABILITY The provisions of this Agreement are severable and if a court of competent jurisdiction holds any portion of this Agreement unconstitutional or invalid, the remainder of this Agreement shall not be affected and shall remain in full force and effect. 26. INTERPRETATION Unless the context requires otherwise, all words used in this Agreement in the singular number shall extend to and include the plural, all words in the plural number shall extend to and include the singular, and all words in any gender shall extend to and include all genders. 27. CONSTRUCTION Each party and its counsel have had the opportunity to review and revise this Agreement. The normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement or any amendments or exhibits hereto. 28. SURVIVAL These general terms and conditions shall survive the completion of the services under this AGREEMENT and the termination of this AGREEMENT for any cause. 29. SUCCESSORS AND ASSIGNS The CITY and the PROVIDER each bind themselves, their partners, successors, assigns, and legal representatives to the other party to this Agreement and to the partners, successors, assigns, and legal representatives of the other party with respect to all covenants of this Agreement. By: Date: __________, 2021 Robert Scott, Director of Finance Gebhardt Road Bridge Replacement 13 Revised Date: 2/2019 r Smith EXHIBIT A Project Understanding We understand that the City of Brookfield intends to reconstruct the Gebhardt Road bridge (P-67-731) over the Dousman Ditch. The existing bridge was constructed in 1966, and the deterioration indicates full bridge replacement is the most cost-effective solution. The replacement structure will be in the same general location and alignment, and approximately the same length and width. The City anticipates a road closure to facilitate the bridge reconstruction in 2022. The City of Brookfield will obtain all required permits from the Wisconsin Department of Natural Resources (WDNR). The City will also prepare the final bid documents, advertise for bids, and evaluate the bids, along with selecting a contractor and awarding the contract. Project Approach Initial Tasks raSmith will begin the design process with data gathering and coordination with the City. We will perform a field survey of topography, waterway, Diggers Hotline marked utilities, structures, roadway, and trees with a six inch and larger diameter within the area between the centerlines of Pilgrim Parkway East and Pilgrim Parkway West, and approximately 40 feet upstream and downstream of the bridge. We will also engage our geotechnical subconsultant, ECS Midwest, LLC, to perform subsurface investigations as soon as we are authorized. We anticipate conducting two borings, each approximately 60 feet deep, working from the roadway. The investigation includes visual classification of the samples, basic index laboratory testing, and a report documenting the field exploration and testing, and providing design recommendations for structure foundation, and general geotechnical-related design information. Roadway The RFP indicates a preference to maintain the existing 44-foot bridge width. The existing Gebhardt Road typical section across the bridge includes a wide shoulder adjacent to the westbound lanes acting as a bicycle/pedestrian accommodation, and a tapered eastbound approach to the Pilgrim Parkway signalized intersection. We will review the existing traffic count data to determine the most appropriate eastbound lane geometry at the signalized intersection and follow Facilities Development Manual (FDM) guidance regarding turn-lane widths and tapers. We will refer to the WisDOT Bicycle Design Manual as we weigh various options for the westbound bicycle accommodations that will best match the existing designated bicycle lane west of Pilgrim Parkway. The preferred design will provide a balance of providing safe, efficient operations for vehicular and bicycle traffic while not reflecting an overdesigned bridge. Consideration may be given to widen the bridge slightly to a 45-foot width. This would allow an 8-foot raised bicycle/pedestrian accommodation, 11-foot westbound lane, 11-foot eastbound shared through/left turn lane, 11-foot eastbound right-turn lane, and 2-foot shy distances on each side of the travel lanes. If current traffic volumes are shown to not warrant the eastbound shared through/left and exclusive right­ turn lane, the bridge could be initially striped as a two-lane facility, as it is today. In the future, if the Gebhardt/Pilgrim intersection is improved, the bridge infrastructure would be set up to allow for two eastbound approach lanes (shared through-left/exclusive right, or exclusive left/shared through-right). Hydraulics Dousman Ditch at the Gebhardt Road crossing has a mapped regulatory floodplain. We will obtain the regulatory floodplain hydraulic model and perform a hydraulic design analysis consistent with City of Brookfield and WDNR floodplain zoning requirements. Based on the regulatory flood elevations, the existing bridge is not over topped during a regional flood event, as shown in the following cross section. The analysis will verify that the proposed replacement structure would not increase the flood elevations for the 1 % annual chance, 100-year recurrence interval flood event. Current regulatory flood flows will be evaluated, and the results of the hydraulic analysis will be documented in a report. A Letter of Map Revision (LOMR) should be submitted to FEMA within six months of construction to comply with the City's floodplain ordinance. As an additional service, raSmith would complete an as-built record survey, prepare the LOMR application documents, and submit to WDNR and FEMA for their approval. We will coordinate with the agencies during their review and address any review comments. 1 r Smith Structural We have reviewed the project scope, researched available information for the site and existing bridge, and considered how to best serve the City on this project. Based on our understanding of the project, we feel the structure replacement design must achieve the following objectives: Meet applicable WisDOT FDM and BOS design standards for service life, load capacity, detailing, and bridge geometry. • Avoid increases in the floodplain elevations. • Minimize right-of-way impacts and construction costs. • Provide in-stream aquatic organism passage. • Provide safe and efficient conveyance for pedestrian and bicycle traffic. • Maintain roadway horizontal alignment and minimize vertical profile adjustments. Considering the above objectives, the preliminary structure design of the bridge replacement will include an alternatives analysis to determine the best design solution for the replacement structure. We will evaluate various superstructure types and span lengths as part of this analysis. Superstructure types to be evaluated include concrete flat slab and prestressed concrete girder. Each structure span length configuration considered will be based on the hydraulic capacity needed to convey the required design flow without increasing the floodplain elevations. For the substructure, we will evaluate pile foundations including reuse of the existing piles. Reusing the existing piles in the replacement structure would offer the City significant savings in construction with upwards of $40,000 in potential savings. Development of the preliminary structure design alternatives will include coordination with the other design disciplines including survey, geotechnical, hydraulic, and roadway design. The evaluation criteria for the replacement structure will include estimated construction cost, utility and right-of-way impacts, roadway vertical profile changes, constructibility constraints, and conveyance of pedestrian and bicycle traffic. We will provide the City with a summary of the various design alternatives for review, which will include structure type, size, layout, and an estimated construction cost. Final design will commence once a preferred design alternative is selected. As the structure design progresses, various other design challenges will be addressed. Utilities will need to be coordinated and those in conflict relocated. This includes evaluation of overhead lines within the vicinity of the bridge and utilities attached to the underside of the existing bridge. Removal of the existing structure will need to minimize impacts to the waterway while maintaining the stream flow. This can be accomplished by constructing the proposed abutments behind the existing abutment and using the existing abutments as a temporary channel. The installation of any piling and sheeting will need to consider vibrational impacts to adjacent buildings. The structural design and plans will be prepared in accordance with the AASHTO LRFD Design Specifications, the WisDOT BOS Bridge Manual, WisDOT Standard Specifications, and applicable City of Brookfield standards. The preliminary structure design submittal will include general plan, cross-section, and subsurface sheets. The final structure design submittal will include final structure plans, design calculations, bid item quantities, and any special provisions necessary for work not covered by the standard specification. It is staff understanding that the Common Council can change a street name by Resolution, declaring the new name and limits, and directing staff to take such administrative actions as are necessary to implement same. In addition to fabricating and installing new street name signs, there are a number of administrative tasks that would be necessitated by the name change. Most of the tasks are associated with the change of address that would result for each parcel of record on the street. Many of the City's information systems and data records are tied to parcel addresses and therefore would have to be updated or cross-referenced. I have attached a memo from my staff that identifies these tasks and the estimated staff time to do so. While we have not quantified these tasks to any great detail, it would appear to be in excess of 400 hours of time with an associated cost in the lO's of thousands of dollars. There are a number of outside agencies that would have to update their systems as well, including Waukesha County Dispatch, Waukesha County Land Information System, Elmbrook School District, the US Postal Service, WE Energies Electric and Gas, Spectrum, AT&T and possibly others. The Board may want to consider that there is a potential risk that one of these record updates is overlooked or not completed in a timely fashion. The consequences for such an omission range from very bad in the case of the County 911 Dispatch to minimal. For this reason, staff generally does not honor individual requests for an address change. Six of these thirteen addresses reside in a condominium community which has current values that well exceed $500,000 per home. All thirteen homeowners have been surveyed about changing the street name. 12 out 13 residents have agreed that they prefer the name "Waverly Place" to "N 186th st" for their street address. In addition the developers who are adding residents to this street strongly support a new name to reflect the added value to this area. These future developments have already been approved. I am making this request now to save staff time by accomplishing this name change prior to future home construction. The current residents and developers feel that the value of their homes would increase because they no longer have a block and grid street name.
