RECOMMENDATION Receive staff report and conduct study session . BACKGROUND AND DISCUSSION In 2016, The City Council appointed an ad hoc Council Committee to discuss the creation of a Joint Powers Authority with Napa County for the Napa County Fairgrounds, pursuant to which the City and the County would jointly operate the Fairgrounds. In March 2018, following the reordering of priorities by the County, the ad hoc committee shifted focus and began discussions with the County related to the purchase by the City of some or all the Fairgrounds. Over the course of two years the City and County negotiated for the City to purchase approximately 34.3 acres of the Fairgrounds property (the "Property") in Calistoga located at 1435 and 1601 N. Oak. The Property was at that time the home to the Napa County Fair in Calistoga, the Calistoga Speedway, the St Helena RV Park, several buildings, and other community facilities. Page 3 of 19 On January 23, 2019, the Planning Commission considered the location, purpose, and extent of the acquisition of the property pursuant to Government Code 65402(a) and confirmed that the acquisition was in conformity with the City's General Plan. The Planning Commission confirmed through Resolution No. 2019-03, that the purchase of the Property was consistent with General Plan Objective OSC-4.5, "Enhance the visual appeal and recreational facilities of the Napa County Fairgrounds"; General Plan Policies P4.5-1, "The importance of the Napa County Fairgrounds should be recognized as both a recreational resource and as a location for community activities"; P4.5-2, 'The City shall encourage the shared use of the Napa County Fairgrounds as a local venue for recreational and cultural activities"; and A4.5-1, "Implement a program to beautify the campground at the Fairgrounds and to add landscaping, a sidewalks and bike path along the Oak and Grant Street perimeter roads." On August 8, 2019, the City's negotiating team consisting of the Mayor, City Attorney and City Manager completed negotiation of the major terms and conditions of a Purchase and Sales Agreement (PSA) with a future revenue sharing provision. On August 20, 2019, the Calistoga City Council adopted Resolution 2019-077 authorizing the Mayor to execute the agreements for the purchase and sale of a portion of the Napa County Fairgrounds in Calistoga. Under the terms of the PSA, the City would have acquired approximately 34.3 acres of a portion of the Fairgrounds property for $225,000 per acre, in an "as is condition", for the total estimated price of $7,717,500 - subject to final parcel configuration. The subject property included certain community facilities such as the Arts, Tubbs, Tucker and Ag Pavilion buildings, the Calistoga Speedway, grandstands, bleachers, the RV Park, several out-buildings, and a single-family residence near the RV Park. The County would have retained a portion of the Fairgrounds which included the golf course, the clubhouse, and a single-family residence on Grant. During the due diligence period, the City identified significant maintenance and infrastructure needs for the property. The City intended to fund the Fairgrounds purchase through the issuance of bonds that would have provided the City with $9 million to be used for the acquisition, as well as the completion of key improvements and repairs to the property. In a report to Council in November 2019, the City Manager identified specific repairs and associated costs that would need to eventually be undertaken on the property. Included in the more than $2 million of total identified costs were $600,000 of roof replacements, $500,000 of Americans with Disabilities Act improvements, and more than $1 million of water and sewer improvements. Approximate potential revenues from the event center, speedway, and RV Park of $600,000 a year were also identified. Should the sale have closed, it was further anticipated that the City would have needed to contract operations and maintenance of the property, with annual costs expected at around $500,000. In May 2020, due to the unprecedented financial conditions associated with the COVID- 19 Pandemic, the City of Calistoga, and the County of Napa mutually concurred that the transaction contemplated by the PSA should not move forward due to changed Page 4 of 19 circumstances related to the COVID-19 crisis; accordingly, the City and County both moved to terminate the PSA. Until recently, the Calistoga Recreation Department rented office space at the Fairgrounds. The County has ended that lease agreement and the Recreation Department has relocated to other office space away from the Fairgrounds property. An ad hoc committee consisting of Mayor Canning and Councilmember Williams, along with City Manager Mike Kirn have continued a dialog with Napa County about the future of the Fairgrounds property. CONSISTENCY WITH CITY COUNCIL GOALS AND OBJECTIVES This item supports Council Goal 1: Maintain and enhance the economic vitality of the community and the financial stability of the City, and specifically Priority Project Number 4: Support long-term land stewardship of the Napa County Fairgrounds. The Fairgrounds has provided Calistogans and visitors alike a wealth of events over the decades: the Fair, the (real} Mustard Festival, the CEF (Calistoga Education Foundation) Auctions, sprint car races, high school football games, the Christmas Faire, the Soroptimist Crab Feed, Firefighter's Bingo, Red Cross Evacuation Center during the fires, staging center for the Fire Dept's while the last 2 devastating fires happened, the food give-away center during COVID, the Golf Course, the RV Park, the Art Center.... and there are more uses that I'm not remembering or even aware of. We smile when we remember the Fair Days back in the late 70s and 80s, when Calistoga had a real Fair: animals, 4H exhibits, the carnival rides, q ui lts, canned goods, arts & crafts exhibits, and the food and beers. We moved here in 87, and as our two daughters grew up, remember dropping them at the Fair for their all-day fun with friends. We need the Fairgrounds, and the Fair. We were so happy when we learned that Calistoga was in the process of purchasing the Fairgrounds, knowing that local control would be better for the overall management of this property. Greetings Council Members, We are Laurie and Jeff Bounsall, residents of Calistoga for 45 years and 63 years respectively, residing presently at 414 Foothill Blvd. We're grateful for the opportunity to be part of the ongoing discussions surrounding our city and the potential purchase of the Calistoga Fairgrounds, Campground and Golf course (hereafter referred to as the 'Fairgrounds'.) As long as we can remember, this 71 +/- acre community property and home to more incredible events than we can list, has been an important and integral component to our local community and economy. We've attended weddings, memorial services, Quinceanera's, crab feeds, CEF education auctions, bingo nights, sprint car races, concerts, vintage car shows, chili cook offs, 4th of July fairs, livestock shows, and so many more. We've golfed more times on our little 9 hole course than can be counted. We've seen the fairgrounds house the staging area for locally devastating wildfires and COVID food coordinating and distribution. The potential for this property to provide a source of revenue for the city is an untapped well. Imagine Friday Night Food Trucks where locals can gather safely on the big lawn to eat and hear live music. Small kind conventions could be had where visitors stay locally, eat locally, spend money locally. All will buoy our local economy. Endless possibilities. Calistoga has such a unique history and as of late, it certainly feels as if we're losing our identity and becoming a 'gentrified' and 'elitist' (think Carmel) community where the ongoing improvements don't really serve locals. (grandiose hotel complexes/spas, wineries, additional resorts etc). Our son is a 7th generation Calistogan, his ancestors built our city hall, were the first town constable and fire marshal!, owned the local hardware store etc. This family has known Calistoga for generations and can attest to the changes that have taken place that do not serve ALL of our community. Granted new wineries or resorts may employ a few locals but it's just that. a few. This property can serve the entire local population while additionally serving our neighboring communities and visitors from afar. It is our hope that the city of Calistoga re-enter negotiations to purchase the ENTIRE Fairgrounds property including the golf course, not just the Fairgrounds portion. In addition, the following are paramount; - the need to install management that will not run it into the ground - increase activities to bring in revenue - bring back the parade and fair that ran for the better part of a week - bring in more races, special events, local events, local sports and so on - repair the necessary infrastructure and create improvements where needed 1 Page 8 of 19 - create a network of volunteers to provide oversight, ideas, act as community liaisons - encourage our Chamber to advertise and market the property in all of its capacity for local events, It's also important to remember that this property needs to serve our Calistoga community. Wednesday, April 21 , 2021 City Council Meetin~ Special Session, Thursday, April 22, 2021 Re: Fairgrounds Dear Mayor and Councilmembers, It is imperative that the citizens of Calistoga own the entire fairgrounds and take complete control of its destiny for many reasons, some of which I'll list below. I am asking that City Council & Staff explore all options to obtain the fairgrounds from Napa County. I'm asking that we all think-outside-the-box in these explorations. Nothing short of asking the County nicely just to give it to us for $1 - no avenue should be declared a dead end in our pursuit. Some of the ideas that immediately come to mind are: a general obligation bond, a long-term lease with the County, a committed purchase agreement where the County holds the paper for a prescribed term, City/Private partnerships and privatizing operations at the RV park, racetrack, public facilities, & golf course. Let's get this rolling. Let's be cordial but firm in our commitment. Put the County Board of Supervisors on notice that we want progress. Hold them accountable for postponing action and neglecting standards with the upkeep of this important property. The pandemic might have been a good excuse to park it but it's time to move forward. If we're an incessant ·pain-in-the-side' they may decide to expedite negotiations just to get us off their backs. Look for the opportunities. Oh, and for the record, I don't believe that City Council will single-handedly carry out developing housing on the fairgrounds - but until we own it that concern remains a reality. We need to maintain control of Calistoga's future and prevent the needs of Napa County from steering that future for us. The fairgrounds/golf course/racetrack/RV park are important for many reasons. These are some: 1.) The golf course provides open space & habitat in a park-like setting centrally located in the City. It serves as a wetland for migrating geese and other w ildlife. I've been told that there was once a Mustang Golf Team that introduced our kids to the sport and extended opportunities to many that otherwise may have never have had the chance. The two new resorts (400 Silverado T rail+ Calistoga Hills) as well as planned expansion at Indian Springs, Doc Wilkinson's, Calistoga Motor Lodge, & Solage all have much to gain from accommodating their guests with a well-manicured 9-hole municipal golf course within close reach. 2.) It serves as a defensible space of immeasurable value in the middle of Calistoga. A sanctuary for the refugees of wildfires, a command post for first responders as witnessed most recently in 2020. It was strangely comforting to have Cal Fire located there during these trying w ildfires. Imagine the leadership that had the foresight to create Central Park In the midst of New York City or Golden Gate Park in San Francisco? What a legacy. 3.) It's where we use & release reclaimed/treated waste water to water the greens and landscaping. A greenbelt with a guaranteed water supply for irrigation. 1 Page 10 of 19  4.) It's a place for us to hold philanthropic events and gatherings that help promote cohesion in our town. It serves to help fund valuable community service programs sponsored by the Firefighters Assoc. , Native Sons and Daughters, Rotary, and Soroptomists to name a few. It has also been the location for important cultural and family events, Not to forget the County Fair and July 4th Fireworks. 5.) The RV Park is another valuable resource that promotes tourism in a city that is a tourist destination. It serves to add a whole dimension of diversity and accessibility for many. It too has a solid footing as a revenue base for Calistoga. 6.) Our racetrack, a half-mile dirt track, is a very unique commodity. It has a rich history and is of merit to Calistoga . It's a well known to motorsports fans all over the west. These types of facilities are vanishing in many urban and suburban communities due to the pressures of development. Not only does it benefit an under-served group of enthusiasts it's a place to hold our Mustang football games and graduations. I sincerely urge our current leadership to have the vision and tenacity to do what's right for the health & safety, recreation, and longevity of the community. The fact that this wonderful space is shuttered and off base to the community is a travesty. Save the fairgrounds, forever in perpetuity! The very first part of the negotiations should include the requirement that it include the entire property, including the golf course. The second requ irement should be that the purchase price be based on its current status, which is a dilapidated, poorly maintained public use property, not a theoretical "highest and best use" valuation. I say this because the County has completely neglected any improvements to the property for decades. Plus an extremely large number of citizens have already voiced opinions about keeping the facility as the current (pre-pandemic) use. Since the City controls the zoning, the County needs to be reminded that a future zoning change will be a very hotly contested legal challenge. The County has never expressed any interest in running a golf cou rse in the past, and their voiced intentions are highly suspicious. The County further needs to be challenged why the citizens of Calistoga should be taxed to pay for a property that from all data reviewed so far, indicates the County never paid for the property in the first place. As you are already aware, Friends of Napa County Fairgrounds is organizing currently to steer the future of the Fairgrounds property. The group promises to be very active and vocal in our support of the facility. Dear Calistoga City Council, As Calistoga residents of 40+ years, and members of the newly-formed Friends of Napa County Fairgrounds, we wholeheartedly support the City of Calistoga purchasing the Fairgrounds, in its entirety, from Napa County. For more than a decade after our arrivals, the Fairgrounds were a highlight of the town, along with spas and wineries. The Napa Co. Fair was a wonderful almost week-long affair that brought 1000s+ of locals and visitors to our gorgeous top end of the Valley. We watched the gradual dismantling of the Fair with dismay; more disappointing to notice diminishing interest from the County (it seemed) - made especially evident with lack of maintenance and the inception of the Napa Town & Country Fair (without regard for conflicting dates). Auto races, golf course, RV park, and events (chili cook-offs, beer tastings, crafts fairs, classes) benefitted local residents, businesses and visitors. More recently, specialty concerts drew interest from various parts of the community, while the actual July 4th/Napa Co. Fair shrunk to 3 days and eventually 1 day. Over the last several years other important uses arose: rental facilities for parties and events; distribution point for food to local residents in need; and in particular, staging areas for Firefighters in the area to protect our Valley and neighboring areas from the devastating wildfires. We envision so many uses for the Fairgrounds: from reinvigorating an actual county-type Fair, to wine and food events (a Harvest Fair to partner with the Harvest Table event), movies, crafts fairs, classes, concerts, meeting rooms, and yes, continued staging for CalFire when needed, perhaps even a training arena for firefighters and other emergency personnel (e.g. CPR classes). The Napa County Fairgrounds has had a long history as a major attraction for bringing business to the City and could be again as the Calistoga Fairgrounds. It seems to us the County neglected its share of responsibility to maintain and upgrade the Fairgrounds property, and should be enticed to sell the entire property at a reasonable price, taking into account degraded grounds and shirked responsibility.
