Attachments: Conflict Waiver (Grapevine) CITY OF CARSON Page 3 Housing Authority/Successor Agency/City Council AGENDA TUESDAY, OCTOBER 16, 2018 Item No. 15. 2018-762 CONSIDER A LETTER AGREEMENT WITH ORRICK, HERRINGTON & SUTCLIFFE LLP ("ORRICK"), TO SUPPLEMENT THE EXISTING CONSULTING AGREEMENT WITH ORRICK REGARDING THE FILING AND PROCESSING OF A VALIDATION ACTION TO OBTAIN A COURT'S DETERMINATION ON THE LEGAL ENFORCEABILITY OF CERTAIN TRANSACTIONAL AGREEMENTS AMONG THE CARSON RECLAMATION AUTHORITY, THE CITY OF CARSON, AND CAM-CARSON, LLC (CITY COUNCIL) Recommendation: 1. APPROVE a Supplemental Consulting Agreement between the City of Carson, the Authority, and Orrick, Herrington & Sutcliffe LLP ("Orrick"), to expand the scope of services under the existing Consulting Agreement with Orrick with regards to the filing and processing of a validation action on behalf of the City of Carson regarding the legal enforceability of the payment obligations of the City to the Authority under the Cooperation Agreement in a form acceptable to Authority Counsel; 2. Authorize the City Manager to execute all documents related to this agreement. Attachments: Orrick Engagement Letter Item No. 16. 2018-777 APPOINTMENT OF INTERIM FINANCE DIRECTOR (CITY COUNCIL) Recommendation: The Council should appoint Mr. Robert Torrez to the position of Interim Finance Director while the City recruits for the permanent position. APPROVE utilizing Choura Event Services to decorate the Civic Center for the 2018 holiday season. 2. APPROVE an amendment to the Choura Event Services contract in an amount of $28,131.75 to decorate the Civic Center for the 2018 holiday season. 3. REVIEW additional decoration items for consideration and select which items it wants and APPROVE the amendment to the Choura Event Service contract for the total amount ($28,131.75 + cost of any additions) to decorate the Civic Center for the 2018 holiday season with direction to the City Attorney's office to revise the contract for execution accordingly.
