COOKEVILLE CITY COUNCIL REGULAR MEETING FEBRUARY 20, 2025 5:30 PM The Cookeville City Council met in regular session on Thursday, February 20, 2025, at 5:30 p.m., in the Municipal Building, 45 E. Broad Street. CALL TO ORDER AND ROLL CALL Mayor Wheaton called the meeting to order. Additional information: Appendix 7A There were no public comments concerning this item. City Manager James Mills explained the lease between the City and the Public Building Authority (PBA) relating to the Leslie Town Centre (LTC), and pointed out this request was not included in the FY 2025 budget. Mr. Mills recommended a $15,000 special appropriation to the PBA for lighting improvements at the Leslie Town Centre. 2  Cookeville City Council Minutes February 20, 2025 Councilman Walker made a motion to authorize a $15,000 special appropriation to the PBA for lighting improvements at LTC as recommended. The motion was seconded by Vice-Mayor Eldridge. Kathryn Manila, representing the PBA, detailed the needed lighting repairs and explained other repairs the PBA had undertaken at LTC the past few years, with some repairs paid for partially or entirely by the City, and other repairs paid for solely by the PBA. Ms. Molina shared the PBA was currently putting back $5,000 per year for repairs and currently had $44,000 saved for repairs. Mr. Mills shared that an upcoming repair to a storm pipe on the LTC property would cost the City approximately $30,000 and the PBA approximately $10,000. City Council discussion included that the PBA should evaluate how they will pay for future repair projects for LTC, and that upcoming repair projects need to be included in the City's budget process. Councilman Bagci made a motion to amend to include a $20,000 appropriation to the PBA for lighting improvements at LTC in the FY 2026 budget, instructing City staff to coordinate with the PBA to evaluate upcoming repair needs to be included in the City's budget process. The motion was seconded by Councilman Walker. Upon call for a vote on the motion as amended, authorizing a $15,000 special appropriation to the PBA for lighting improvements at LTC, including a $20,000 appropriation in the FY 2026 budget to the PBA for lighting improvements at LTC, and instructing City staff to coordinate with the PBA to evaluate upcoming repair needs to be included in the City's budget process, the motion carried with the following voting: Councilman Bagci: aye Councilman Walker: aye Mayor Wheaton: aye Vice-Mayor Eldridge: aye Councilman Gilbert: aye Consider approval of Engineering Contract Amendment #2 for the Water Treatment Plant Expansion Project - Water Quality Control Department. HEARING FROM OFFICERS, COUNCILMEN AND CITY MANAGER City Mayor Laurin Wheaton announced the cancellation of the March 20th, 2025 City Council Meeting. City Manager James Mills spoke briefly about new permits that will be required for excavation of street and rights-of-way. "Over the past several months we have had some issues with unauthorized excavations within our streets and rights-of-way. This has resulted in unannounced street closures and unnecessary damage to our streets. The City's policy is to require, whenever possible, boring under a street instead of open cutting. As I am sure several of our citizens would testify, a street is never the same once it has been cut. 5  Cookeville City Council Minutes February 20, 2025 Title 16, Chapter 5, Section 16-502 provides that it is unlawful for any person, firm corporation, association, or others, including utility districts to make any excavation in or under any street, alley, or public property without having first obtained an excavation permit. There are two primary reasons for requiring a permit. First, it is simply to make sure the City is aware. Second, the permit process will allow us to determine if there is an alternative to excavating the street or right-of-way. City staff have developed a new permit form. All companies that we are aware of having previously done work within our streets are being notified by the Public Works Department about the new permit form and the requirements for obtaining a permit. The new permit form will be required effective tomorrow. If you have any questions, I will try to answer them." MAYOR'S COMMENTS No comments. The ability to assign an experienced project manager to the job.  LESLIE TOWN CENTRE - BID DOCUMENTS The Public Building Authority of the City of Cookeville has encountered a problem with the lighting system in the Estes Williams Business Centre at the Leslie Town Centre and is seeking bids to replace/upgrade with an LED system for our can lights, linear fluorescent lights, wall sconces and stage track lighting. The bid needs to include new lighting materials, controllers and will need to interface with dimmer controls to improve the current ambiance of the room. All bids received shall guarantee to meet or exceed specifications listed. If quoting other than specified, pictures, description and specifications shall accompany all bids. The bidder shall specify the make and model quoted. The work consists of furnishing all labor and performing all work connected with the project described in the contract documents. The contractor will be responsible for wiring and installation and will be required to provide both payment and performance bonds acceptable to the Public Building Authority if awarded the contract. All required lighting materials and fixtures must meet or exceed the specifications indicated on the quotation sheets and shall be purchased tax-free from the distributor by the Public Building Authority. All items delivered shall be free from defects in materials and workmanship. Items not conforming to or exceeding specifications may be rejected and returned at the distributor's expense at no cost to the Public Building Authority. A recommended pre-bid conference for the project has been scheduled for 2 p.m. (CST) on January 14, 2025, at the Leslie Town Centre, One West First Street in Cookeville, TN for the purpose of discussing the scope of the project and answering questions. Immediately afterward, a site visit will be conducted to familiarize bidders with existing conditions. According to the Leslie Town Centre event schedule, work shall begin on June 16, 2025, and be completed by June 25, 2025. Liquidated damages will be $500.00 per day. Each bidder must furnish a list of references and prior jobs with their bids; these references will be checked to determine the experience and capacity of the bidder. Bids shall remain in force for a period of 180 calendar days after the actual date of the accepted bid. The installer shall guarantee their work for three years after the installation of the lighting system. Sealed bids will be received by the Public Building Authority at the Leslie Town Centre until 3:00 p.m. (CST) on January 21, 2025, at which time all bids will be opened and read aloud. Bids received after this time will not be accepted. Contractors will be required to ensure that employees and applicants for employment are not discriminated against because of race, creed, color, religion, national origin, sex, or handicap status. This amendment modifies the amounts for construction administration and resident project representative (full time). When the last engineering amendment was approved last February, it basically brought us through the end of 2024, but the construction contract was later changed by contract amendment to May 17, 2025. Also, the Contractor has supplied a schedule showing they estimate to be done by the end of July, but based on conversations and observations we do not see them being complete before September. This contract amendment will carry the Construction Administration and Resident Project Representation (RPR) through September 2025. This contract amendment adds $94,200 for Construction Administration and adds $124,000 for RPR service. The sewer line will extend sewer to 42 existing parcels, most of which are in the Park West Subdivision, as well as to the developers subdivision. The total estimated engineering and construction cost is $653,000, with $147,000 of that being to install taps to the residents that the sewer line will be going by. Based on the estimates the Developers cost will be $253,000 and the City's cost would be $400,000 ($253,000 + $147,000). The developer would be responsible for all utility extensions within the subdivision and for the capacity fees and tap fees for his development. The developer will be responsible for hiring the engineer and the contractor. When they have construction bids we will use the actual prices to determine the City's share, but the City share is capped at $400,000. The City will not be making any payment until the sewer line is installed. A copy of the agreement, which includes an estimate and drawing of the project area is attached. Feel free to call me or email me at bturner@cookeville-tn.gov with any questions.  COST SHARE AGREEMENT This Agreement made and entered into by and between the City of Cookeville, Tennessee, a Tennessee municipal corporation ("City") and Cookeville I, LLC of of Brentwood, Tennessee ( 155 Franklin Road, Suite 150, Brentwood TN 37027), ("Developer") on the day and date opposite the respective signatures of the parties below. WITNESS ETH: WHEREAS, the Developer desires to develop a residential subdivision inside the City limits of the City; and WHEREAS, City has made a determination that it is in the best interest of the City to share the cost of extending the City's sewage facilities from the City's existing sewer line in the Park West Subdivision to the proposed new residential subdivision; and WHEREAS, the Developer is responsible for all sewer line installation and costs of said lines within the subdivision; and WHEREAS, Developer desires to construct sewage facilities in accordance with the plans for the development which are being prepared by Clinton Engineering, which will deliver the sewage to the City from the subdivision and other areas in its vicinity. NOW THEREFORE, for and in consideration of the mutual promises contained herein the parties agree as follows: I. Developer shall furnish to the City engineered sewer plans for review, for the proposed sewer line along Park West Drive, Nova Circle, and Mine Lick Creek Road as is generally shown on Attachment# I. Upon approval from the City, the Developer is responsible to get state approval on the plans.  2. Any easements, rights-of-way or licenses will be acquired by the Developer and deeded to the City prior to construction. The City must approve the path of the sewer and any and all laterals and ancillary equipment, such as pump stations. In the event the Developer is not able to acquire the necessary easements, the City shall condemn the necessary easements, or if deemed in the City's best interest allow an alternate route. The Developer is responsible for all costs and expenses associated with contacting property owners and negotiating easements. The City is not obligated to acquire any easements or property by eminent domain unless the City agrees that the sewer and/or ancillary structures are necessary on the property proposed to be acquired. All lateral lines, which the City requires to be installed, shall be installed by the Developer at the cost of the Developer. After dedication of the facilities, the Developer shall make no alterations, modifications, or additions to the facilities without the express written consent of the City. The cost of acquiring the rights-of-way will be split between the Developer and the City equally, with each party responsible for one-half of the cost of the actual rights- of-way, construction easements, and slope easements acquisition and any eminent domain proceedings, including expert witness fees, attorneys' fees and interest for any property acquired for the sewer project. If an eminent domain proceeding is necessary, the City may require the Developer to deposit an amount of money sufficient to cover its anticipated one-half of the cost and/or obtain a Letter of Credit to cover its anticipated one-half of the cost. If the Developer cannot deposit the money to cover its anticipated one-half of the cost or provide a Letter of Credit to cover its anticipated one-half of the 2  costs, the City may terminate the project in its discretion. The performance bond provided by the Developer will cover any expenses incurred to cover this item. Anything to the contrary nowithstanding, the City reserves the right, in its sole and absolute discretion, to determine whether eminent domain will be used to acquire any property rights necessary for the sewer line, and the path of the sewer line. The decision of the City is discretionary and is final. 3. Developer shall construct sanitary sewage facilities as described on the State Approved Plans, including junction connections for all connecting roads along the route and taps for all existing houses. All the installation shall be done in accordance with the City of Cookeville Specifications, and must be approved by the City of Cookeville. The sewer system installed shall be a low pressure, grinder type sewer system and shall not be a gravity sewer system. 4. Developer will be responsible for all costs and expenses related to the design, as-built drawings, property acquisition, construction and maintenance of the facilities until they are accepted by the City. Anything to the contrary notwithstanding, the Developer may not start construction unti I it posts a performance bond in an amount of $500,000 satisfactory to the City and a Certificate oflnsurance naming the City as an additional named insured for liability purposes of not less than $2 million dollars. The City's decision on the form of the bond is in the City's discretion and said decision is final. 3  5. The City will perform the usual engineering services during construction, including review of shop drawings, observation of construction and final inspection and approval of the facilities. 6. Upon completion of construction, inspection, testing and approval by the City's engineer, and submittal and approval of the Record Drawings, the City will accept the facilities, which shall then be dedicated by the Developer to the City and shall become City property. Since some the lines are being installed outside of the subdivision, a separate dedication letter is required as opposed to the dedication on the subdivision plat. 7. The estimated cost of the portion of the sewer extension to be shared is $506,000, with the additional cost for the sewer connections for other properties that this line passes being $147,000, for a total estimated project cost of $653,000, as shown on Attachment #2. The City and the developer will share equally the cost of all construction items, excluding the cost of for the sewer connections for properties that this line passes. The estimated cost for those sewer connections is $147,000. As estimated, the Developer's share would be $253,000 and the City's cost would be $400,000. 8. The Developer shall take prices from contractor's and the City reserves the right to evaluate the pricing,. The contractor shall have a valid contractor's licence. 9. Costs for the Developer and the City shall be based on actual construction costs and not on the estimates contained herein. With the approval of this agreement the City is committing to up to $400,000 for the construction. If, based on the bids, the City share should be over $400,000 the Developer may pay the additional amount, or may terminate the agreement. 4  10. Payment will be made upon the completion of the Work and acceptance by the City of Cookeville. In no event is the City obligated to pay more than $400,000 toward the completion of this project, with the exception of the cost of easement acquisitions, which are borne by the Developer and the City on an equal basis. 11. Payments by the City shall be made as follows: Upon completion of construction, satisfactory testing of the work and the assignment of any easements, rights- of-ways or licenses and dedication of the sewer line to the City, the City shall pay 95% of the amount of its contribution. Upon receipt of a notarized release of lien waivers or other satisfactory proof of the payment of all contractors and subcontractors and the receipt of as-built drawings, the City shall pay the remaining 5%. 12. The Developer shall bear the responsibility for any patching that is required for disturbance from this project including any that is done by its sub-contractors toward this sewer project. 13. After dedication of the facilities to the City, and acceptance thereof by the City, the Developer shall warrant the materials and workmanship of all facilities for a period of one year. Nothing herein shall be construed to permit the Developer to deviate from the requirements of the Cookeville City Code regarding subdivisions. Developer's payment and performance bond shall guarantee this one year obligation. 14. It is the intention of the parties that this project be developed and dedicated at no cost to the City except as set forth in Paragraphs 7 and 9 above. Accordingly, the Developer agrees to hold the City harmless from any cost or expense arising out of the development of this project, including the City's reasonable attorney's fees, court costs and discretionary costs - this also includes any cost increase of materials 5  or labor for the installation of the improvements. Developer will provide a performance bond to secure this obligation. 15. All lots in the proposed subdivision subdivision shall pay full price for the sewer tap fee for cost share lots in accordance with Cookeville Municipal Code Title 18- 208(4). 16. Since the City is not making any payment toward this contract until the sewer line project is complete, the City and the Developer agree that the Developer may terminate this contract at any time prior to the City making any payment. Any notice to terminate this contract shall be in writing to the City Manager. If terminated under this provision the Developer will reimburse the City for any costs it has incurred regarding this proposed project. 17. This Contract shall be binding upon and shall inure to the benefit of each of the parties hereto, their respective heirs, successors, assigns, beneficial owners and representatives. The rights of Developer under this Contract shall not be freely transferable or assignable by Developer, in whole or part, to any entity owned or controlled by the Developer without the specific written approval of the City Council - and then on such terms and conditions as the Council imposes .. Any assignment of this contract must be approved in writing by the City in its sole and absolute discretion. 18. Anything to the contrary notwithstanding in this Agreement, any dispute arising out of this contract will be governed by the laws of the State of Tennessee and shall be decided in the Chancery Court of Putnam County, Tennessee, as the sole and exclusive venue and jurisdiction for the resolution of any said claims. The parties may voluntarily agree to a non-binding mediation in Cookeville, Putnam County, Tennessee, 6 to resolve any dispute prior to litigation, but are not obligated to do so. Each party shall be responsible for its own fees and costs, except that the Developer may be responsible for the City's attorney's fees and expenses as provided herein. 19. This Contract shall not be construed more strictly against one party than against another merely by virtue of the fact that it may have been prepared by counsel for one of the parties, it being acknowledged that both City and Developer have substantially and materially contributed to the preparation hereof. 20. The Plan of Services specifies that sanitary sewer will be provided based upon the same criteria, standards and policies used to determine the expansion of sanitary sewer service in the unserved portions of the present corporate limits. The installation of electric, gas, water and sewer service in the Highlands Business Park was completed in 2012/2013. All of the water customers in this area that were served by Double Springs Utility District became City of Cookeville customers in November 2021. South of 1-40, all water customers have been acquired and now receive water from the City of Cookeville, therefore the city serves all the water customers in this annexed area. The design for the replacement of the water line along Mine Lick Creek Road and on several streets off Mine Lick Creek Road to improve fire protection in the area has been completed. When the potential realignment of portions of Mine Lick Creek Road was discussed as part of long-range planning, WQC delayed bidding the job to evaluate areas where easements should be acquired to potentially avoid future conflicts. Parts, if not all, of this project will be bid in 2025. A sanitary sewer extension project was completed from 1-40 through parts of the Park West subdivision and to parcels near the 1-40 interchange, allowing 40 parcels to access sewer. The Cookeville Energy Department has determined that the area is fully served by electric service and street lighting. SHAG RAG ROAD AREA All services have been provided to this area as specified in the Plan of Services with the exception of sanitary sewer. The Plan of Services specifies that sanitary sewer will be provided based upon the same criteria, standards and policies used to determine the expansion of sanitary sewer service in the unserved portions of the present corporate limits. A project which was completed in 2024, providing sanitary sewer to 22 parcels along Shag Rag Road. This leaves five (5) parcels in this area without sanitary sewer service. REBECCA PLACE/BUN KER HILL ROAD AREA All services have been provided to this area as specified in the Plan of Services with the exception of sanitary sewer. The Plan of Services specifies that sanitary sewer will be provided within 20 years after the effective date of annexation. Sanitary sewer service has been provided to two (2) parcels in the Rebecca Place Subdivision in 20 I 0. In 2024, a house in Rebecca Place, Phase Ill experienced septic issues and sanitary sewer service was extended to serve the home. Bids are scheduled to be opened on January 27, 2025 for a construction project to extend sanitary sewer to an additional three (3) parcels in this area. An engineering contract was approved in May 2024 which will include the design for the remaining unsewered parcels in this area. BUN KER HILL ROAD/LOVELADY ROAD AREA All services have been provided to this area as specified in the Plan of Services with the exception of sanitary sewer. The Plan of Services specifies that sanitary sewer will be provided within 20 years after the effective date of annexation. In 2023, a sewer construction project provided sewer access to 20 parcels in this area as well as a new residential subdivision under development. Bids are scheduled to be opened on January 27, 2025 for a construction project to extend sanitary sewer to the remainder of the unsewered parcels in this area. FREE HILL ROAD/NORTH WASHINGTON AVENUE AREA All services have been provided to this area as specified in the Plan of Services with the exception of sanitary sewer improvements. The Plan of Services specifies that sanitary sewer will be provided within 25 years after the effective date of annexation. SOUTH WILLOW A VENUE AREA All services have been provided to this area as specified in the Plan of Services with the exception of sanitary sewer service. The Plan of Services specifies that sanitary sewer will be provided based upon the same criteria, standards and policies used to determine the expansion of sanitary sewer service in the unserved portions of the present corporate limits. BENNETT ROAD EXTENSION AREA All services have been provided to this area as specified in the Plan of Services with the exception of sanitary sewer. The Plan of Services specifies that sanitary sewer will be provided based upon the same criteria, standards and policies used to determine the expansion of sanitary sewer service in the unserved portions of the present corporate limits. A sanitary sewer line, under Interstate 40, which is required to provide service north of the Interstate, was completed in 2016. In 2018 a low-pressure sewer system was installed which provided sewer service to 79 tracts along Highway 70 and adjacent roads. In 2022 a sanitary sewer extension provided service to two (2) parcels along Highway 70 and Locust Grove Rd. In 2023 a sanitary sewer extension provided sewer service to two (2) parcels, one of which will be the future home of the Putnam County Fairgrounds. 2 OLD STEWART ROAD AREA All services have been provided to this area as specified in the Plan of Services with the exception of sanitary sewer service. The Plan of Services specifies that sanitary sewer will be provided based upon the same criteria, standards and policies used to determine the expansion of sanitary sewer service in the unserved portions of the present corporate limits. As a pai1 of the 1-40 Interchange project, a sewer line was installed along Tennessee Avenue (formerly Bennett Road) serving five (5) parcels and eliminated the pump station that served Academy Sports. A sanitary sewer extension was completed in 2022, which leaves only three (3) parcels (includes the City of Cookeville tract and an Academy Sports outparcel) without sewer. MACKIE FARM ANNEXATION AREA All services have been provided to this area as specified in the Plan of Services with the exception of, sanitary sewer service and streetlights. The Plan of Services specifies that sanitary sewer will be provided when economically feasible and based upon the same criteria, standards and policies used to determine the expansion of sanitary sewer service in the unserved portions of the present corporate limits. Construction began in December 2024 for a project that will provide sanitary sewer access to six (6) parcels in this area. Cookeville Electric Department is continuing to work with UCEMC for the completion of the installation of street lighting. PUTNAM COUNTY FAIRGROUNDS ANNEXATION AREA Sanitary sewer service was provided to the annexation area upon the effective date of annexation. All City services have been proved to this annexation area as stipulated in the Plan of Services, no future reports will be given for this annexation area. NELSON NORTH DRIVE ANNEXATION AREA Water service is provided by Double Springs Utility District. Sanitary sewer service was provided to the annexation area upon the effective date of annexation. The City has limited sewer capacity in the Cane Creek sewer drainage basin and no additional units are permitted until sewer capacity is added to the Cane Creek Pump Station.
