The meeting was open to the public. Public participation was available by live broadcast on the City’s website. Approval of Minutes: The motion was made by Council Member Johnson and seconded by Council Member Woolsey to approve the minutes of the City Council Regular Session of June 22, 2026. The motion passed 5-0. Public Forum: Scott McCreary – 629 North Main – (903) 654-2241 – Spoke of working together to control the number of unlicensed contractors and those working under another company’s license in the city. 5 Tim Covais – 3205 Hillsdale Street – Spoke to the Council about not receiving a call back from one of the City’s departments. Public Hearings: Hearing: Receive public input regarding the creation of Tax Increment Financing Reinvestment Zone Number 4. Presented by Assistant City Manager, John Boswell Kurt Burnett – 629 N 25th Street – Spoke about repairing the current neighborhood streets versus paying for new streets. Mr. Boswell reassured the Council that the tax payers will not be paying for the streets within the development. Hearing: Receive public input regarding amending Chapter 1, General Provisions, of the City Code of Ordinances to add Article 1.4500, Decorum Policy, Sections 1.4501- 1.4505 Presented by Assistant City Manager, John Boswell Barbara Kelley – 800 Northwood – Stated the need to adapt to change. Kurt Burnett – 629 N 25th Street – Spoke against the Decorum Policy and based it on past court cases. Ordinances: Ordinance No. 3222 (approved) The motion was made by Council Member Woolsey and seconded by Council Member Smith that Ordinance No. 3222, consider approving the creation of Tax Increment Financing Reinvestment Zone Number 4, be passed and approved. ORDINANCE NO. 3222 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF CORSICANA, TEXAS CREATING TAX INCREMENT FINANCING REINVESTMENT ZONE NUMBER 4, CITY OF CORSICANA; DESCRIBING THE BOUNDARIES THEREOF; DESIGNATING THE BOARD OF DIRECTORS AND PROVIDING FOR THE NUMBER OF DIRECTORS OF THE BOARD; PROVIDING FOR AN EFFECTIVE DATE AND A DATE OF TERMINATION; ASSIGNING A NAME OF THE ZONE; ESTABLISHING A TAX INCREMENT FUND FOR THE ZONE; SPECIFYING THE CITY’S PARTICIPATION RATE; AND ADOPTING THE PROJECT AND FINANCING PLANS. WHEREAS, the City Council of the City of Corsicana has determined that the economic well-being of the City of Corsicana is of primary concern; and 6  WHEREAS, Chapter 311, Texas Tax Code, known as the Texas Tax Increment Financing Act, provides that the City of Corsicana has the authority to create reinvestment zones within the City for the purpose of economic development; and WHEREAS, the City Council of the City of Corsicana has determined that development of the property would not occur solely through private investment improvements in the Zone will significantly enhance the value of all the taxable real property in the Zone, and will be of general benefit to the municipality and county; and WHEREAS, the City Council of the City of Corsicana has determined that the 142.112-acre site outlined in enclosures “A” and “B” meet the requirements of section 311.005(a)(2) of the tax code of the State of Texas; and WHEREAS, the City Council of the City of Corsicana received a Preliminary Financial Plan and Preliminary Project Plan, and called a Public Hearing for the 13th day of July, 2026 to consider the creation of “Tax Increment Financing Reinvestment Zone Number 4, City of Corsicana”; and WHEREAS, the City Council has determined the zone to be feasible; and WHEREAS, the City of Corsicana will deliver copies of the Preliminary Project and Finance Plan to each affected local government taxing entity and likewise will formally present the Preliminary Project and Finance Plan to the governing body of each entity and request a resolution of participation from each entity; and WHEREAS, on the 1st day of July, 2026, notice was published in the Corsicana Daily Sun stating that a public hearing would be conducted by the City Council of the City of Corsicana on the 13th day of July, 2026, to consider the creation of a tax increment reinvestment zone herein described in Exhibit “A” and pictured in Exhibit “B” as a reinvestment zone; and WHEREAS, it is the finding of the City Council of the City of Corsicana, following the public hearing, that the creation of a reinvestment zone for the above stated property would significantly enhance the value of all taxable real property in the proposed Zone, attract major investment within the Zone, contribute to the expansion of primary employment within the Zone, and will be of general benefit to the City of Corsicana. BE IT THEREFORE ORDAINED that the City Council of the City of Corsicana hereby finds that “Tax Increment Financing Reinvestment Zone Number 4, City of Corsicana” (the property herein described in Exhibits A and B) meets the requirements of Section 311.005 of the Texas Tax Increment Financing Act, as specified in Section 311.005(a)(4) of the same Act, and therefore is designated to take effect immediately upon passage; and BE IT ORDAINED that the City Council of the City of Corsicana hereby creates a board of directors for the Zone as provided in Section 311.009(a), comprised of the following eight (8) members: City of Corsicana – four (4) members; Navarro County – one (1) member; Navarro College – one (1) member; Corsicana Industrial Foundation – one (1) member; and Corsicana/Navarro County Chamber of Commerce – one (1) member of which shall be the same as members appointed for TIF Zone Number 3; and BE IT ORDAINED that Tax Increment Financing Reinvestment Zone Number 4, City of Corsicana will remain in effect until December 31, 2049, or when the cost of approved public infrastructure construction within the Zone has been repaid to the developer, whichever occurs first; and BE IT ORDAINED that a tax increment fund is hereby established, with the City of Corsicana participating at a rate of fifty (50) percent of its share of the incremental increase in property tax value in the Zone going into the tax increment fund. PASSED and APPROVED on this the 13th day of July, 2026. 7 Ordinance No. xxxx (tabled) The motion was made by Council Member Smith and seconded by Council Member Woolsey to consider amending the creation of Tax Increment Financing Reinvestment Zone Number 4 and deleting “subject to the same guidelines” from 1.4505e, be passed and approved. With unanimous consent, the City Council removed the motion and accepted Council Member Smith’s motion to withdraw, seconded by Council Member Woolsey. The motion was then made by Council Member Pannell to table this item, seconded by Council Member Woolsey. The motion passed 5-0. RESOLUTION NO. 4633 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CORSICANA, TEXAS, TO AWARD THE CONTRACT FOR THE 2026 CAPITAL STREET IMPROVEMENT PROJECT. WHEREAS, notice to bid was duly advertised for Capital Street Improvement Services for July 2026 through September 30, 2026; and WHEREAS, four (4) bids were received, opened, and read aloud at 10:00 a.m. on Tuesday, June 16, 2026; and WHEREAS, Knife River submitted the lowest bid of $2,254,664.35 meeting all specifications and requirements; and WHEREAS, funding will be provided from 2099-58230 CAP EXP-STREET IMPROVEMNTS – Street Maintenance and Reconstruction Fund. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORSICANA, TEXAS, THAT Knife River be awarded the 2026 Capital Street Improvement Project. Resolution No. 4634 (approved) Presented by Police Chief, Ronnie McGaha and CISD Law Enforcement Officer and Instructor, Mark Mahoney 8 The motion was made by Council Member Pannell and seconded by Council Member Johnson that Resolution No. 4634, consider declaring certain property as surplus and authorizing the City Manager to execute the donation and transfer of ownership of said property, be approved. The motion passed 5-0. RESOLUTION NO. 4634 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CORSICANA, TEXAS, DECLARING CERTAIN PROPERTY AS SURPLUS, AND AUTHORIZING THE CITY MANAGER TO EXECUTE THE DONATION AND TRANSFER OF OWNERSHIP OF SAID PROPERTY. WHEREAS, the City of Corsicana desires to alleviate the City of said surplus property; and WHEREAS, the City of Corsicana has legal title to said surplus property; and WHEREAS, the Corsicana Police Department is requesting one 2020 Chevrolet Tahoe (Unit 2002) to be declared as surplus; and WHEREAS, the City of Corsicana desires to donate and transfer ownership of the said surplus property listed on the attached Exhibit “A”. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORSICANA, TEXAS, that the City declares the attached Exhibit “A” as surplus property and authorizes the City Manager to execute the donation and transfer of said property. The motion passed 5-0. RESOLUTION NO. 4635 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CORSICANA, TEXAS, NOMINATING THE CITY MANAGER TO SERVE ON THE TML INTERGOVERNMENTAL RISK POOL BOARD OF TRUSTEES. WHEREAS, the TML Intergovernmental Risk Pool Board of Trustees is comprised of fifteen voting members, twelve of whom are elected by the Pool’s membership to serve staggered, six-year terms of office; and WHEREAS, current terms for Trustees in Places 1 to 4 expire October 1, 2026; and WHEREAS, Jim Holgersson, City Manager, meets the candidate qualification to be nominated for the Board of Trustees in Place 3; and WHEREAS, the governing body must certify that a nomination is cast by an official action; and NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORSICANA, TEXAS, that City Manager Jim Holgersson is nominated to serve on the TML Intergovernmental Risk Pool Board of Trustees. 9  PASSED and APPROVED by majority vote of the City Council of the City of Corsicana, Texas, this 13th day of July, 2026. Resolution No. 4636 (approved) Presented by Planning and Zoning Manager, Clayton Taylor The motion was made by Council Member Pannell and seconded by Council Member Woolsey that Resolution No. 4636, consider approving changings to the Housing Infill Program Priorities, Policies and Procedures, Unimproved Property Contract, and Infill Housing Program Application, be approved. The motion passed 5-0. RESOLUTION NO. 4636 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CORSICANA, TEXAS, APPROVING CHANGES TO THE INFILL HOUSING PROGRAM POLICY AND DOCUMENTS AS PRESENTED AND ALLOWING THE CITY TO REQUEST APPROVAL OF THE CHANGES TO THE DOCUMENTS FROM OTHER INTERLOCAL ENTITIES. WHEREAS, the City of Corsicana, in partnership with Navarro County, Navarro College, and the Corsicana Independent School District, has maintained an Infill Housing Program to sell struck-off lots within the city limits to applicants to build new homes on these “infill” lots; and WHEREAS, a Townhall Meeting was held on June 4, 2026, in which the City Council and the public requested changes to the Housing Infill Program Priorities, Policies and Procedures, Unimproved Property Contract, and Infill Housing Program Application documents. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Corsicana, Texas that the proposed changes to the Housing Infill Program Priorities, Policies and Procedures, Infill Housing Program Application, and Unimproved Property Contract documents be approved and that the City may request approval of these changes by the other entities within the Interlocal Agreement. The Decorum Policy would establish proper rules of procedure and guidelines to ensure that City business may be conducted by the City Council during public meetings without intimidation, discrimination, personal attacks and other obstructions. (This item was tabled July 13, 2026.) Comments: The proposed amendment to the existing ordinance is shown below: CHAPTER 1: GENERAL PROVISIONS Article 1.4500 – Decorum Policy Sections 1.4501-1.4505 Article 1.4500 Decorum Policy Section 1.4501 Purpose The City Council is tasked with the governance of the City. It is critical that proper rules of decorum are established for the efficient governance of meetings of the City Council. The decorum policy protects civil discourse, free from intimidation, discrimination, and personal attacks. Section 1.4502 Council Members While the Council is in session, the members must preserve order and decorum, and a member shall neither, by conversation or otherwise, delay or interrupt the proceedings or the peace of the Council nor disturb any member while speaking or refuse to obey the orders of the Council or its Presiding Officer, except as otherwise herein provided. Section 1.4503 Attendee Any person making personal, impertinent, or slanderous remarks or who shall become boisterous while addressing the Council shall be forthwith, by the Presiding Officer, 13 subject to loss of speaking privileges unless permission to continue be granted by a majority vote of the Council. A. Reactions from the audience following the recognition and rewarding of citizens and special guests is considered appropriate and encouraged. Disruptive verbal and/or non-verbal reactions from the audience during staff presentations to the Council and during debate between Councilpersons are inappropriate and are not permitted. The Presiding Officer will ensure that the decorum of the meeting is maintained and is appropriate. B. It is not the intention of the City Council to provide a public forum for the demeaning on any individual or group. Neither is it the intention of the City Council to allow a member (or members) of the public to insult the honesty and/or integrity of the City Council as a body, the proceedings of the City Council, or any member or members of the City Council, individually or collectively. The Mayor and Council will endeavor to ensure that meetings are conducted in a courteous manner, and in an atmosphere free of defamation, intimidation, personal affronts, profanity, or threats of violence. C. Members of the public shall not engage in any of the following in the meeting room during a City Council Meeting: 1. Shouting, unruly behavior, distracting side conversations, or speaking out when another person is talking. 2. Defamation, intimidation, personal affronts, profanity, or threats of violence. 3. Use of phones, pagers, or radios. 4. Booing, hissing, foot stomping, ripping of paper, parading, singing, inappropriate hand gestures or other similar behavior that impedes or disrupts the orderly conduct of the meeting. D. Members of the public shall not attempt to provide direction regarding rules of procedure, order of business, or otherwise direct the City Council on how to properly conduct a meeting. The Mayor and the City Council are the formal authority to determine what is, or is not: in order, out of order, or the correct way to conduct the business of the City. The Mayor, any Council Member, the City Manager, City Attorney and the City Secretary are the only individuals permitted to call a point of order or make recommendations as to how a meeting will be conducted. Outbursts and shouts to direct the meeting are unacceptable and will not be tolerated. E. No offensive, vulgar, or distracting placards, banners, signs, or apparel shall be permitted to be erected or displayed by persons in attendance in the City Council Chambers or in any other room in which the City Council is holding a meeting. Exhibits, displays, and visual aids used in connection with the presentations to the City Council are permitted. 14 Section 1.4504 Enforcement Disturbances, transgressions of the rules or disorderly conduct in the Council Chamber may cause the transgressor to be removed from the meeting. The Presiding Officer of the meeting, shall exercise control over persons who disrupt the meeting in the following ascending order of action: A. Call the person to order, advising that person of the infraction. B. Advise the person that the infraction must cease immediately or the person will be ordered to leave the building for the remainder of the meeting. C. Order the person to leave the building. If the offending person is a member of the Council, the Presiding Officer shall call for a vote on the expulsion of that member from the meeting, and such vote requires a majority for adoption. D. A police officer may remove an individual or individuals for disrupting a meeting as authorized by Texas Penal Code Section 42.05. E. The Chief of Police, or such member or members of the Police Department as he may designate, shall be Sergeant-at-Arms of the Council meetings. He/she shall carry out all orders and instructions given by the Presiding Officer for the purpose of maintaining order and decorum at the Council meeting. Upon instructions of the Presiding Officer unless otherwise directed by a majority vote of the Council, it shall be the duty of the designated Sergeant(s)-at-Arms to remove any person who violates the order and decorum of the meeting. Section 1.4505 Audience Participation At meetings of the City Council, the business of the City of Corsicana is conducted between the members of the Corsicana City Council and by those members of the staff, elected officials, department heads, consultants, experts and/or members of the public requested to be present and participate. While the public is invited and encouraged to attend all meetings of the City Council, excluding Executive Sessions, and to ensure that meetings of the City Council are conducted in a way that allows the business of the City to be effectively conducted, the public’s participation therein is to be governed by the following: A. Audience participation is limited to the role of observers except for during the Public Comment portion or Public Hearing portion of the meeting. B. Members of the public in attendance at any Regular, Special, Emergency, and/or Workshop meeting of the City Council shall conduct themselves with proper respect and decorum in speaking to and/or addressing the City Council, in participating in public discussions before the City Council, and in all actions 15  in the presence of the City Council. Members of the public speaking during comment periods or invited to speak shall remain behind the podium while speaking and must limit comments to three (3) minutes. Attendees must be physically present at a meeting to address the City Council. Comments by proxy are not allowed. C. City Council members shall not have discussions during the Public Comment and Public Hearing portions of the agenda, nor take any action thereon other than to refer the item to City staff for research and possible future action. D. It is the intention of the City Council to provide open access to the resident and affected persons of Corsicana to address the City Council and express themselves on issues under consideration by the City Council. In accordance with such, members of the public in attendance at City Council meetings must be respectful of individuals making public comments before, during, and after such comments are made. E. Persons may present printed material to be included in the Council agenda packets one week prior to a meeting. It is critical that proper rules of decorum are established for the efficient governance of meetings of the City Council. The decorum policy protects civil discourse, free from intimidation, discrimination, and personal attacks. Section 1.4502 Council Members While the Council is in session, the members must preserve order and decorum, and a member shall neither, by conversation or otherwise, delay or interrupt the proceedings or 17 the peace of the Council nor disturb any member while speaking or refuse to obey the orders of the Council or its Presiding Officer, except as otherwise herein provided. Section 1.4503 Attendee Any person making personal, impertinent, or slanderous remarks or who shall become boisterous while addressing the Council shall be forthwith, by the Presiding Officer, subject to loss of speaking privileges unless permission to continue be granted by a majority vote of the Council. A. Reactions from the audience following the recognition and rewarding of citizens and special guests is considered appropriate and encouraged. Disruptive verbal and/or non-verbal reactions from the audience during staff presentations to the Council and during debate between Councilpersons are inappropriate and are not permitted. The Presiding Officer will ensure that the decorum of the meeting is maintained and is appropriate. B. It is not the intention of the City Council to provide a public forum for the demeaning on any individual or group. Neither is it the intention of the City Council to allow a member (or members) of the public to insult the honesty and/or integrity of the City Council as a body, the proceedings of the City Council, or any member or members of the City Council, individually or collectively. The Mayor and Council will endeavor to ensure that meetings are conducted in a courteous manner, and in an atmosphere free of defamation, intimidation, personal affronts, profanity, or threats of violence. C. Members of the public shall not engage in any of the following in the meeting room during a City Council Meeting: 1. Shouting, unruly behavior, distracting side conversations, or speaking out when another person is talking. 2. Defamation, intimidation, personal affronts, profanity, or threats of violence. 3. Use of phones, pagers, or radios. 4. Booing, hissing, foot stomping, ripping of paper, parading, singing, inappropriate hand gestures or other similar behavior that impedes or disrupts the orderly conduct of the meeting. D. Members of the public shall not attempt to provide direction regarding rules of procedure, order of business, or otherwise direct the City Council on how to properly conduct a meeting. The Mayor and the City Council are the formal authority to determine what is, or is not: in order, out of order, or the correct way to conduct the business of the City. The Mayor, any Council Member, the City Manager, City Attorney and the City Secretary are the only individuals permitted to call a point of order or make recommendations as to how a meeting will be conducted. Outbursts and shouts to direct the meeting are unacceptable and will not be tolerated. 18  E. No offensive, vulgar, or distracting placards, banners, signs, or apparel shall be permitted to be erected or displayed by persons in attendance in the City Council Chambers or in any other room in which the City Council is holding a meeting. Exhibits, displays, and visual aids used in connection with the presentations to the City Council are permitted. Section 1.4504 Enforcement Disturbances, transgressions of the rules or disorderly conduct in the Council Chamber may cause the transgressor to be removed from the meeting. The Presiding Officer of the meeting, shall exercise control over persons who disrupt the meeting in the following ascending order of action: A. Call the person to order, advising that person of the infraction. B. Advise the person that the infraction must cease immediately or the person will be ordered to leave the building for the remainder of the meeting. C. Order the person to leave the building. If the offending person is a member of the Council, the Presiding Officer shall call for a vote on the expulsion of that member from the meeting, and such vote requires a majority for adoption. D. A police officer may remove an individual or individuals for disrupting a meeting as authorized by Texas Penal Code Section 42.05. E. The Chief of Police, or such member or members of the Police Department as he may designate, shall be Sergeant-at-Arms of the Council meetings. He/she shall carry out all orders and instructions given by the Presiding Officer for the purpose of maintaining order and decorum at the Council meeting. Upon instructions of the Presiding Officer unless otherwise directed by a majority vote of the Council, it shall be the duty of the designated Sergeant(s)-at-Arms to remove any person who violates the order and decorum of the meeting. Section 1.4505 Audience Participation At meetings of the City Council, the business of the City of Corsicana is conducted between the members of the Corsicana City Council and by those members of the staff, elected officials, department heads, consultants, experts and/or members of the public requested to be present and participate. While the public is invited and encouraged to attend all meetings of the City Council, excluding Executive Sessions, and to ensure that meetings of the City Council are conducted in a way that allows the business of the City to be effectively conducted, the public’s participation therein is to be governed by the following: A. Audience participation is limited to the role of observers except for during the Public Comment portion or Public Hearing portion of the meeting. 19  B. Members of the public in attendance at any Regular, Special, Emergency, and/or Workshop meeting of the City Council shall conduct themselves with proper respect and decorum in speaking to and/or addressing the City Council, in participating in public discussions before the City Council, and in all actions in the presence of the City Council. Members of the public speaking during comment periods or invited to speak shall remain behind the podium while speaking and must limit comments to three (3) minutes. Attendees must be physically present at a meeting to address the City Council. Comments by proxy are not allowed. C. D. WHEREAS, the City Council has been presented a Right-of-Way Agreement between the City of Corsicana, Texas and Nexus Data Centers, LLC providing for use of the public right-of-way, a copy of which is attached hereto and incorporated herein by reference (hereinafter called "AGREEMENT"); and WHEREAS, upon full review and consideration of the AGREEMENT, and all matters attendant and related thereto, the City Council is of the opinion that the terms and conditions thereof should be approved, and that the Mayor shall be authorized to execute it on behalf of the City of Corsicana. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CORSICANA, TEXAS: Section 1. The terms and conditions of the proposed AGREEMENT, having been reviewed by the City Council of the City of Corsicana and found to be acceptable and in the best interests of the City of Corsicana and its citizens, are hereby in all things approved. Section 2. The Mayor is hereby authorized to execute the AGREEMENT and all other documents in connection therewith on behalf of the City of Corsicana, substantially according to the terms and conditions set forth in the AGREEMENT. Section 3. That this approval and execution of the AGREEMENT on behalf of the City is not conditional upon approval and execution of any other agreement. Section 4. This Resolution shall become effective from and after its passage. WHEREAS, Nexus Data Centers, LLC has been granted a Texas state-issued Service Provider Certificate of Authority (“SPCOA”) by the Public Utility Commission; and WHEREAS, Chapter 283 of the Texas Local Government Code allows Nexus Data Centers, LLC to install, construct, and maintain a high speed fiber optic network capable of high speed transmission of voice and data for residential and business customers (“the System”) within a municipality’s public right of way (“Public Rights-of-Way”), all as set forth in Chapter 283, as it may be amended from time to time; and WHEREAS, the City reserves to itself the right and ability to exercise its police powers as allowed by applicable law and as it may be amended from time to time; and WHEREAS, the City and Nexus Data Centers, LLC desire to memorialize the rights and responsibilities with respect to those police powers in this Agreement. SECTION 2. CONSTRUCTION, MAINTENANCE, OPERATION & RELOCATION OF THE SYSTEM: A. Nexus Data Centers, LLC shall lay, maintain, construct, operate, and replace its equipment and System to minimize interference with traffic, place or cause to be placed appropriate barriers to mark excavations or obstructions, and restore to approximate original condition all Public Rights- of-Way that it may disturb. In the event of a conflict between the location of the proposed facilities of Nexus Data Centers, LLC and the location of the existing City facilities or other users of Public Rights-of-Way within Public Rights-of-Way that cannot otherwise be resolved, City or an authorized agent of City shall resolve, in its sole discretion and in accordance with 36  applicable law, the conflict and determine the location of the respective facilities within the Public Rights-of-Way. Nexus Data Centers, LLC or contractors working on behalf of Nexus Data Centers, LLC shall be required to pay for street cutting, street excavation or other special permits related to excavations in Public Rights-of-Way in connection with Nexus Data Centers, LLC operations in Public Rights-of-Way in the same manner as other occupants of the Public Rights-of-Way. City shall notify Nexus Data Centers, LLC as soon as reasonably practicable of any projects that will affect the Nexus Data Centers, LLC System located in the Public Rights-of-Way. When required by City to remove or relocate its System or other facilities lying within Public Rights-of-Way, Nexus Data Centers, LLC shall do so, at its sole expense, as soon as reasonably practical with respect to the scope of the proposed project. Except in times of emergency, Nexus Data Centers, LLC shall not be required to remove or relocate its facilities in less than ninety (90) days from the time notice is given to Nexus Data Centers, LLC by City. Nexus Data Centers, LLC or contractors working on behalf of Nexus Data Centers, LLC shall be required to camera sewer lines before and after when working below ground in the vicinity of City sewer lines or facilities. The City may waive the camera requirement on a permit by permit basis if the City, in its sole discretion, determines that the proposed work does not pose a threat to the City sewer lines and Facilities.. B. If City requests that Nexus Data Centers, LLC remove or relocate its System and other facilities lying within Public Rights-of-Way to accommodate the construction, widening, realignment, or improvement of a highway, road, street, or to accommodate the construction, installation, maintenance, or repair of City sewers, drainage, water lines, streets, or utilities, Nexus Data Centers, LLC shall do so at its own expense. If the work is for the primary purpose of accommodating a private developer, such private developer may pay the expense. Facilities are 37  deemed to be in conflict to the extent that the proposed City facilities are determined by the City, in its sole discretion, to be in conflict with existing or proposed uses. C. If City abandons any Public Rights-of-Way in which Nexus Data Centers, LLC has facilities, Nexus Data Centers, LLC may, except to the extent prohibited by applicable law, have the right to maintain its use of the former Public Right-of- Way. D. All worked performed by or on behalf of Nexus Data Centers, LLC shall be performed by licensed contractors. All such work shall be performed in accordance with all federal, state, and local laws and regulations. Nexus Data Centers, LLC and any contractors performing work for it shall also obtain and maintain liability insurance coverages in standard, reasonable amounts to insure against the risks that may be encountered in connection with performing such work, including but not limited to general liability, automobile and worker’s compensation coverages. All such policies shall name the City as an additional insured and Nexus Data Centers, LLC shall provide the City with proof of such additional insured status. E. Prior to construction, Nexus Data Centers, LLC shall provide notice to affected residents and businesses. The notice shall be in both English and Spanish and shall, at a minimum, include a door hanger and/or any other approved notice. SECTION 3. INDEMNITY & INSURANCE: NEXUS DATA CENTERS, LLC SHALL, INDEMNIFY AND HOLD CITY AND ITS OFFICERS AND EMPLOYEES HARMLESS AGAINST ANY AND ALL CLAIMS, LAWSUITS, JUDGMENTS, COSTS, LIENS, LOSSES, EXPENSES, FEES (INCLUDING REASONABLE ATTORNEY’S FEES AND COSTS OF DEFENSE), PROCEEDINGS, ACTIONS, DEMANDS, CAUSES OF ACTION, LIABILITY, AND SUITS OF ANY KIND AND NATURE, INCLUDING PERSONAL OR BODILY INJURY (INCLUDING DEATH), 38  PROPERTY DAMAGE, OR OTHER HARM FOR WHICH RECOVERY OF DAMAGES IS SOUGHT THAT IS FOUND BY A COURT OF COMPETENT JURISDICTION TO BE CAUSED SOLELY BY THE NEGLIGENT ACT, ERROR, OR OMISSION OF RISE, OR ANY AGENT, OFFICER, DIRECTOR, REPRESENTATIVE, EMPLOYEE, AFFILIATE, OR SUBCONTRACTOR OF RISE, OR THEIR RESPECTIVE OFFICERS, AGENTS, EMPLOYEES, DIRECTORS, OR REPRESENTATIVES, WHILE INSTALLING, REPAIRING, OR MAINTAINING THE SYSTEM IN THE PUBLIC RIGHTS-OF-WAY. THIS INDEMNITY DOES NOT APPLY TO ANY LIABILITY RESULTING FROM THE NEGLIGENCE OF THE MUNICIPALITY, ITS OFFICERS, EMPLOYEES, CONTRACTORS, OR SUBCONTRACTORS. THIS INDEMNITY ALSO SPECIFICIALLY COVERS COSTS, LOSSES DAMAGES AND EXPENSES CAUSED TO THE CITY BY NEXUS DATA CENTERS, LLC AND ITS SUBCONTRACTORS SUBJECT TO THE INDEMNIFICATION LIMITATIONS IN THIS SECTION. IF NEXUS DATA CENTERS, LLC AND THE CITY ARE FOUND JOINTLY LIABLE BY A COURT OF COMPETENT JURISDICTION, LIABILITY SHALL BE APPORTIONED COMPARATIVELY IN ACCORDANCE WITH THE LAWS OF TEXAS WITHOUT, HOWEVER, WAIVING ANY GOVERNMENTAL IMMUNITY AVAILABLE TO THE CITY UNDER STATE LAW AND WITHOUT WAIVING ANY DEFENSES OF THE PARTIES UNDER STATE LAW. Nexus Data Centers, LLC shall also obtain and maintain insurance with a reputable company in order to insure its indemnity obligations. 39  SECTION 4. Nexus Data Centers, LLC use of Public Rights of Way as provided herein is subject to the City’s police power. In addition, Nexus Data Centers, LLC shall be required to register with the City and maintain a reliable point of contact. SECTION 5. Nexus Data Centers, LLC shall also comply with all other requirements imposed on it by applicable law, as it may be amended from time to time, including paying chargeable right-of-way fees, performing indemnity obligations and other obligations imposed by applicable law. SECTION 6. PARAGRAPH HEADINGS. CONSTRUCTION: The paragraph headings contained in this agreement are for convenience only and shall in no way enlarge or limit the scope or meaning of the various and several paragraphs hereof. Both parties have participated in the preparation of this agreement and this agreement shall not be construed either more or less strongly against or for either party.
