Chair Tracey Barnes was present and presiding. She called the meeting to order at 12:40 p.m. Roll Call Present 5 - Lou Morrison, Sheryl Webb, Tracey Barnes, Rob Patton, and Ethan Hadley Absent 2 - Mark Moore, and Brock Hill Others present include Attorney Randy York, Larry Kidwell, Valerie Hale, Rob Harrison, R.J. Crawford, Art Gernt, Jessica Cellabos, Jessie Brooks, Nathan Clouse, and Baylee Rhea. Ben Regen joined via Zoom. Public Comment There were no comments made. Other Business 1. Discussion and action regarding organizational matters Due to the timing of the filing of the Charter, appointment of members by City Council, and the passing of several resolutions, several times must be addressed regarding organizational matters. i. The board’s appointment of one of its members to serve as its chairman; ii. Adoption of bylaws; iii. Appointment of members of the board of directors to the offices of Chair, Vice Chair, Secretary, and Treasurer, as well as such other officers as the board may deem expedient; iv. Approval of the corporation’s establishment of such bank accounts and other financial relationships as the board may deem expedient; v. Adoption of an official seal of the corporation; vi. Designation of a registered main office and principal place of business and appointment of a registered agent for service of process upon the corporation at such location; vii. Establishment of a schedule of regular meetings of the board of directors and causing such schedule for the first year to be published in a newspaper of general circulation; viii. Appointing counsel to the Sports Authority; ix. Appointing a Municipal Advisor in connection with the issuance of the Sports City of Crossville Page 1 Sports Authority of the City of Minutes October 22, 2024 Crossville Authority’s not to exceed $39,500,000 Public Facility Revenue Bonds, Series 2024A (Tax-Exempt) and its $500,000 Public Facility Revenue Bonds, Series 2024B (Federally Taxable) (collectively and severally, the “Series 2024 Bonds”) and approving his contract; x. Appointing bond counsel in connection with issuance of the Series 2024 Bonds and approving engagement letter. A motion was made by Rob Patton, seconded by Ethan Hadley, to approve a resolution regarding organizational matters. The motion carried by the following vote: Aye: 5- Morrison, Webb, Barnes, Patton and Hadley Absent: 2- Moore and Hill A motion was made by Lou Morrison, seconded by Sheryl Webb, to approve a resolution regarding the appointment of bond counsel and a municipal service advisor. The motion carried by the following vote: Aye: 5- Morrison, Webb, Barnes, Patton and Hadley Absent: 2- Moore and Hill 2. Approval to ratify all actions taken by the Sports Authority of the City of Crossville A motion was made by Ethan Hadley, seconded by Lou Morrison, to approve a resolution ratifying all actions taken by the Sports Authority of the City of Crossville. The motion carried by the following vote: Aye: 5- Morrison, Webb, Barnes, Patton and Hadley Absent: 2- Moore and Hill 3. Approval to ratify decision made by a designee A motion was made by Tracey Barnes, seconded by Sheryl Webb, to ratify the decisions made by the designee. The motion carried by the following vote: Aye: 5- Morrison, Webb, Barnes, Patton and Hadley Absent: 2- Moore and Hill 4. Discussion and action of other relative matters relating to the issuance of bonds A motion was made by Rob Patton, seconded by Ethan Hadley, to approve Revenue Code Section 147(f) resolution.
