Discussion ensued regarding the locations needing easements. Report of Standing Committees None. Reports of Special Committees None. Reports of the Board Ms. Peacock inquired about the bus stop on Commerce Street and whether or not the shelter would be replaced or a bench could be put in its place. Ms. Puryear noted that Public Works does not intend to replace the shelter at this location to encourage riders to use the hub site at Heritage Park. Discussion ensued with a few members of the Board Public Transportation Board Minutes Page 1 October 23, 2025 Page 3 of 9 voicing their displeasure with the decision to not replace the shelter. Staff will take the Board’s comments to Public Works and the Town Manager. Ms. Frazier requested that Staff ensure that the placard that was at the Commerce Street shelter is still in the Town’s possession. Report of Town Staff Ms. Puryear reminded the Board that the next meeting is the combined November and December meeting that will be held December 4th as decided by the Board at the previous meeting. Intergovernmental Reports None. Petitions and Communications None. New Business Ridership Report: Mr. Socha noted that the ridership goal for September was slightly missed but overall has been positive. Mr. Socha did not provided the Stevensburg route numbers as it has just started. He noted positive impacts of the new Stevensburg route. Mr. Socha stated VRT has modified the route so they will have the ability to get riders from Stevensburg and Brandy Station to the new community pool. Bus Shelter at Heritage Park: Mr. Socha provided the details of the proposed shelter. Noted that it will have a leaning rail as opposed to a bench and can accommodate 10-12 people. He will work with Public Works to get the shelter installed. Other Business Discussion regarding amendment to the agenda format or possible bylaw change: Ms. Puryear shared options for potential agenda structure and also possible bylaw language that would allow for a flexible agenda layout as needed for meeting business. Discussion ensued with the Board agreeing to amend the bylaws. The Board discussed potential agency name changes and formatting amendments to make to the bylaws. It was brought to the Board’s attention that there was a proposed bylaw amendment from April 2024 that encompasses some of the changes discussed. Mr. Rothamel stated that the Board of Supervisors approved the previous change. However, Ms. Puryear stated the changes were not approved by Town Council. The Board agree to review the bylaws as a whole and make any approved changed for the Board to discuss at their next meeting. Public Comment None. Adjournment The meeting adjourned at approximately 3:40 p.m. Date Chairman Public Transportation Board Minutes Page 2 October 23, 2025 Page 4 of 9 Transit Management Report December 4th, 2025  Mr. Mike Socha retired officially from Virginia Regional Transit on October 31st, 2025. VRT staff hosted several meals and gatherings with Mr. Socha to express our gratitude for his 6+ years as Transit Manager.  Mr. Steven Bagley Jr. of Remington VA accepted the role of Transit Manager for the VRT Central Region effective November 11th, 2025. Mr. Bagley has been travelling around the area to meet Town and County representatives and to learn more about the routes and services VRT provides.  Ridership metrics are provided at the end of this report and indicate an overall increase in ridership compared to the same month / previous year of approximately 9%.  On November 6th, 2025, VRT advertised to vendors an RFQ for the provision of one (1) 6’ x 12’ open front bronze color bus stop shelter which is to include a “lean” bench and barrel style roof. The deadline for quotes is December 6th. This shelter will be purchased and provided for the Town of Culpeper to install at the new Downtown Parking Area. Installation of the bus stop shelter will be performed by the Town of Culpeper Public works as “in-kind” local match.  VRT will be assisting the Town of Culpeper with parking area shuttle services for “Wreaths Across America” on December 13th, 2025  VRT has also agreed to assist with a “Holiday Light Tour” December 15th, 2025, to promote the Town and the Culpeper Transit System.  Outside of the PTB footprint, but notable regarding VRT’s dedication to the health and wellbeing of our veteran population, VRT has been asked to assist the County of Fauquier with parking shuttles for a ribbon cutting and dedication service for the Puller Veterans Care Center in Vint Hill VA on December 16th, 2025.  Central Region has begun an exhaustive review of route maps and timetables for all transit services. VRT management is additionally focused on the Stevensburg / Brandy Station hybrid Fixed Route. Currently ridership utilization of this new route is low. Direct mailers to all addresses in Stevensburg were sent providing route maps, timetables and contact information.  Central Region hosted VRT’s in person company wide safety training on November 15th, 2025. ARTICLE I That there is hereby created a body to be known as the Public Transportation Board for the Town and County of Culpeper, hereinafter referred to as the “Board.” ARTICLE II Purpose The Board shall serve as an advisory body to the Town Council and/or the Culpeper County Board of Supervisors and as a liaison between the Town government and citizens of the community. The Board shall advise the Town government on matters affecting public transportation policies, programs, and transit services. ARTICLE III Membership Section 1 The Board shall consist of six (6) members appointed by Town Council representing the following agencies and entities: 1) Culpeper County Department of Human Services; 2) Rappahannock – Rapidan Community Services Board Community Oriented Services Organization; 3) Culpeper Chamber of Commerce; 4) Town of Culpeper Parking Authority; 5) Local organization representing health, wellness, or older adults; 6) one (1) Town citizen rider; and 7) one (1) member appointed by the Board of Supervisors representing; 7) one (1) County citizen rider. The following are ex-officio non-voting, participants serving the Board: 1) a representative of Virginia Regional Transit, or other provider of bus service in the Town; 2) the Town Manager, or his designee; 3) the Chief of Police, or his designee; 4) a representative of the Rappahannock Rapidan Regional Commission; and 5) The County Administrator, of his designee. These participants are entitled to participate in meetings of the Board, but are not entitled to vote. The presence of an ex-officio member does not count towards a quorum. Additionally, the Town Manager and County Administrator shall select staff to act as facilitators and advisors to the Board. A quorum consists of a majority of members currently serving; vacancies do not count toward the number of members for calculation of a quorum. Section 2 Members of the Public Transportation Board shall serve a term of four (4) calendar years beginning in March 10, 2009, with staggered terms for the initial members are to expire on March 9 of their respective term expiration year. Members may be reappointed by the Town Council or Board of Supervisors following the first term. Page 6 of 9 Section 3 The Town Council may remove any member at its pleasure. Section 4 Vacancies occasioned by removal, resignation, or otherwise vacated shall be reported to the Town Council. The Town Council shall make an appointment for the unexpired term. The Board of Supervisors shall make recommendations concerning County matters. Section 5 Board members shall serve without monetary compensation. To the extent that funds are available, members shall be reimbursed for travel and subsistence to professional meetings, conferences, and workshops, or reasonable expenses as approved by the PTB Board. Such reimbursements shall be made in compliance with the general policies with prior approval of the Town of Culpeper. Section 6 All members are expected to attend the meetings of the Board on a regular basis. Failure to attend 50% of the meetings over a six (6) month period shall lead to a recommendation for dismissal, upon a majority vote of the Board. Duly appointed members shall advise the Chairman three (3) days prior to the meeting it they are unable to attend. ARTIVLE IV Officers Section 1 The Chairman and Vice Chairman shall be elected from the voting members of the Board at the regular meeting in April to serve for one year. No officer shall serve more than two consecutive terms. If the position of any office is vacated, a replacement will be elected by the Board at the next regular meeting. The Chairman cannot succeed himself/herself without a majority vote of the Board. ARTICLE V Meetings Section 1 Regular meetings shall be held on a monthly basis. All regular meetings will be open to the public. The Chairman shall designate the time and place for the regular or special meetings. Special meetings may be called by the Chairman or on written request of at least four (4) members, the time and place to be designated in the notice of such call. The Public Transportation Board shall meet on the fourth Thursday of the month at 2:30 p.m. unless the Board sets another date and/or time after notice to all the Board members and the ex officio participants and staff. Section 2 Meetings shall be conducted in accordance with Robert’s Rules of Order Robert’s Rule of Order Newly Revised, current edition, procedures prescribed in the bylaws, and decisions reached only after full consideration and debate on the issue in question. Section 3 The following shall be the order of business of the Board unless altered by motion of the Board or by unanimous consent components may be included at the discretion of the Chair who shall develop the agenda in conjunction with staff: - Call to Order - Roll Call Page 7 of 9 - Approval of the Agenda - Consideration of minutes of last regular meeting and of special meetings held subsequently and their approval or amendment. - Unfinished Business - Reports of standing committees - Reports of special committees - Reports of the Board - Report of Town staff - Intergovernmental Reports - Petitions and communications - New business - Other business - Public comment - Adjournment ARTICLE VI Duties and Responsibilities of the Board Section 1 The Public Transportation Advisory Board shall serve as an advisory resource to Town Council and/or the Board of Supervisors. The Board is created to successfully implement public transportation services for the Town of Culpeper and the unincorporated portion of Culpeper County. The Board will develop marketing approaches to ensure that citizens of the community are aware of the bus service and to encourage high ridership. The Board will also work with Virginia Regional Transit, or the provider of the transit service, to ensure that routes and service times are effective in meeting the needs of the community. Stops, routes, and times may be modified by the Town Council and/or the Board of Supervisors. Such action requires a recommendation based on data submitted by PTB the Board. Section 2 The Board may solicit financial support commitments from local businesses and civic organizations along the bus route(s). Donation opportunities include, but are not limited to, bus shelters, brochures, and advertising. Section 3 Prior to the initiation of new service route(s), the Board shall prepare a report containing, at least, the following information: - Title for service; - Designating routes and/or service; - Designating stops; - Developing appropriate marketing tools such as logo, colors, bus time tables, and brochures; - Soliciting financial support commitments from local businesses and civic organizations; and - Additional information deemed necessary for the planning or implementation of the service. This information shall be presented to the Town Council and may also be presented to the Board of Supervisors. Section 4 The Committee shall make public, statistics related to: - Ridership; Page 8 of 9 - Operating Expenditures; - Marketing Actions taken; - Recommendations on continuing the service into the next fiscal year; - Recommendation on continuing the Board. Minutes that have been approved by the Board are available for inspection at the Town of Culpeper, Department of Planning and Community Development, 400 South Main Street, Suite 301, Culpeper, VA 22701. Section 5 The Board may advise Town Council and/or Board of Supervisors of any offers or opportunities for any grant, gift bequest or donation, any personal or real property offered or made available for public transportation purposes. The Board will also assure that the appropriate application forms are completed in a timely manner and presented for Town Council and/or Board of Supervisors action. ARTICLE VII These bylaws may be amended by the County and the Town, after notice to the Committee and an opportunity for the Board to give a recommendation to the County and the Town on such amendment. Otherwise, these Bylaws may be amended by the County and the Town upon request and recommendation of a majority of the members of the Board. Any such amendments shall be effective when approved by both the County Board and the Town Council.
