ELLWOOD CITY BOROUGH COUNCIL SPECIAL MEETING – 5:00 P.M. – COUNCIL CHAMBERS August 3, 2023 MINUTES CALL TO ORDER President George Celli called the meeting to order. ROLL CALL Present: Mr. Barry, Mr. Cragle, Ms. Dici (via phone), Ms. Lamenza (via phone), and Mr. Celli Also Present: Borough Manager Kevin Swogger, and Solicitor Ed Leymarie Absent: Mr. Ovial, Ms. Williams, and Mayor Anthony Court FLAG SALUTE VISITORS None ITEMS OF BUSINESS 1. Ordinance – PennVest Loan ($2,500,000) (Wampum Avenue Pump Station Project) A motion was made by Mr. Cragle, seconded by Mr. Barry, to adopt an ordinance, as submitted, increasing the indebtedness of the Borough of Ellwood City, Lawrence and Beaver Counties, Pennsylvania, by the issuance of a guaranteed revenue bond in the maximum principal amount of $2,500,000 for the purpose of paying a portion of the costs of a project consisting of the (i) construction of a new pump station with a sewage grinder, approximately 2,300 feet of gravity sewer line to the new pump station and an additional 5,200 feet of force main to the Borough’s existing primary lift station, and a screening unit replacement at the primary lift station and (ii) related financing costs; fixing the form, dates, interest, and maturity thereof; making a covenant for the payment of the debt service on the bond; providing for the filing of the required documentation with the Department of Community and Economic Development to incur and exclude additional debt of the governmental unit; providing for the appointment of a sinking fund depository for the bond; providing for the authorized signatories and authorizing execution, sale and delivery thereof. Roll call vote; all in favor. Motion carried. 2. Resolution – Reimbursement Resolution (Wampum Avenue Pump Station Project) A motion was made by Mr. Barry, seconded by Ms. Lamenza, to adopt a Resolution, as submitted, making a declaration of official intent to reimburse general funds, general capital reserve funds, sewer funds and/or sewer capital reserve funds, as applicable, used to construct improvements to its sewer system with funds received from the Pennsylvania Infrastructure Investment Authority; authorization to accept assistance from Pennvest and execute the Pennvest funding agreement and related documents. Roll call vote; all in favor. Motion carried. ADJOURNMENT There being no further business, the meeting adjourned on a motion by Ms. Lamenza, seconded by Ms. Dici. Voice vote; all in favor.
