The Stormwater Summer Interns spoke about their experiences while in this program and
what they learned.

Micro Transit Pilot Program.
Fort Mill Economic Partners gave a power point presentation on their new Micro Transit
Pilot Program.
Key summary of the program:
• Freebee’s microtransit program is uniquely positioned to drive economic impact by
seamlessly connecting key commercial hubs: Baxter Village, Kingsley, and
Downtown Fort Mill, ensuring businesses can attract more customers while
reducing congestion and enhancing mobility.
• This program will not only provide a convenient mobility option but also serve as a
localized community guide, actively promoting businesses, and local events to
riders helping to stimulate spending and foot traffic in targeted areas.

Dye Branch Stream Bank Restoration presentation.
LeeAnn Clark with the Stormwater Department gave a presentation on the need for
restoration of the banks of the Dye Branch. Issues include severe erosion/undercutting,
walking trail safety concerns, park infrastructure, water quality and stormwater runoff
issues.

First Reading: An ordinance authorizing staff to enter into a lease agreement with the Fort Mill
History Museum for office space located at 111 South White Street.
Chis Pettit, Assistant Town Manager, explained that this was a lease agreement for the
Caboose at 111 South White Street.
Councilman Wolfe made a MOTION to approve First Reading of an ordinance authorizing
staff to enter into a lease agreement with the Fort Mill History Museum for office space
located at 111 South White Street. SECONDED by Councilman Garrison. Passed 7-0.
New Business Item #2
Consideration of approval of Town Hall Renovations – CMAR Contract Amendment 001 –
Guaranteed Maximum Price.
Cary Vargo, Town Manager, explained to council that CMAR Contract is the Guaranteed
Maximum Price (GMP) Amendment 001 for the Fort Mill Town Hall Renovation Project.
This amendment establishes the final GMP, project schedule, insurance and bonding
requirements, and related clarifications for the balance of construction services.
Key Highlights:
Contract Value
• The Guaranteed Maximum Price (GMP) is $5,771,003.24.
• This includes the initial Phase 1 work and change orders ($346,503) and
the balance of construction services ($5,424,500).
• The GMP incorporates contingencies, allowances, and all trade packages as
outlined in Exhibit C.
Project Schedule
• Construction commencement: 14 days following the later of (1) full
execution of the GMP Amendment or (2) receipt of all applicable permits.
• Substantial Completion: 378 calendar days from commencement. This is a
target with previously communicated project timelines.
• Liquidated Damages: $500 per day beyond the scheduled substantial
completion date.
Councilman Moody made a MOTION to approve Town Hall
Renovations – CMAR Contract Amendment 001 – Guaranteed
Maximum Price. SECONDED by Councilman Hudgins. Passed 7-0.
New Business Item #3
Request to approve a façade improvement grant for 219 Main Street, Suite 101.
Penelope Karaguonis, Planning Director, explained to council that the applicant indicates
that allotted funds would be applied toward the cost of a projecting sign along with new
window and door signage. The applicant received a certificate of appropriateness (COA)

from the Town of Fort Mill Historic Review Board (HRB) for this signage on June 10th,
2025. HRB approved this signage.
Below are the job quotes from the three required vendors for this project

This is the amount included on the façade grant application, as projected project cost. The
total amount also includes the $250.00 HRB review fee which has been paid by the
applicant. The town’s façade improvement grant guidelines permit the applicant to include
the HRB review fee within the total project cost. Grant Amount Requested $1,940.49 ---
The amount requested is based upon the town’s façade improvement grant guidelines which
indicate that for projects under $10,000 in value, the applicant shall be eligible for a 50%
reimbursement.

A committee of three town staff consisting of Planning Director Penelope Karagounis,
Building Official Kenn Jackson, and Senior Planner Alex Moore, met on June 25th, 2025,
to review the application. This application was deemed eligible based on the location of the
proposed project and façade improvements. After discussion, a motion to recommend
approval of the façade grant application to the Fort Mill Town Council was made and
seconded. The Committee voted 3-0 to recommend approval of the application to the Fort
Mill Town Council.
Councilwoman Cook made a MOTION to approve a façade improvement grant for
219 Main Street, Suite 101. SECONDED by Councilman Garrison. Passed 7-0.

Background Information
Background Staff was approached by the Fort Mill History Museum to inquire about
the possibility of continuing their lease of the office space located at 111
South White Street (caboose) for another two-year period. The office
space has been occupied by the Fort Mill History Museum since October
of 2024.
A draft lease is attached for Town Council’s review. Two readings of an
ordinance is required to formally authorize staff to enter into a lease. At
this time, no Town use for the office space has been identified. The draft
lease would not auto-renew at the end of the leasing period, which would
give staff another opportunity to review for Town use in the future.

AN ORDINANCE AUTHORIZING STAFF TO ENTER INTO A LEASE AGREEMENT WITH THE FORT MILL
HISTORY MUSEUM FOR OFFICE SPACE LOCATED AT 111 SOUTH WHITE STREET
WHEREAS, the Town of Fort Mill owns real property located on York County Tax Map
Number 020-06-01-055 , in Fort Mill, South Carolina (the “Property”); and,
WHEREAS, S.C. Code § 5-7-40 and § 5-7-260(6) provides the Town with the power to lease
its real property by way of ordinance; and
WHEREAS, by way of Ordinance No. 2024-36, the Fort Mill Town Council authorized the
execution of a lease of a portion of the Property to the Fort Mill History Museum for a period of
one year; and
WHEREAS, the Fort Mill Town Council finds that a subsequent lease of a portion of the
Property pursuant to the terms and conditions contained in the lease attached as Exhibit A is in
the best interest of the Town;
NOW, THEREFORE, pursuant to the authority granted by the Constitution and the General
Assembly of the State of South Carolina, BE IT ORDAINED BY THE TOWN COUNCIL FOR THE TOWN
OF FORT MILL:
SECTION I. Authorize Lease. The Fort Mill Town Council hereby authorizes the lease of a
portion of the Property located on York County Tax Map Number 020-12-01-022, Fort Mill, South
Carolina (more specifically the office space located within the caboose) in accordance with the
terms and conditions contained in the lease attached as Exhibit A. The Town Manager is
authorized to execute the lease and any other appropriate documents and agreements necessary
to complete the lease of the Property.
SECTION II. Effective Date. This ordinance shall take effect upon the date of its adoption.

Exhibit A – Lease Agreement

COUNTY OF YORK )
THIS AGREEMENT made and entered into on the ______ day of ___________, 2025,
by and between TOWN OF FORT MILL, a South Carolina municipal corporation, hereinafter
referred to as LESSOR, and the FORT MILL HISTORY MUSEUM, a South Carolina non-
profit corporation, hereinafter referred to as LESSEE.
CONSIDERATION
In consideration of the mutual promises and covenants herein contained, the parties hereby
agree to the provisions set forth below.
LEASE OF PREMISES
LESSOR leases to LESSEE the train caboose located at 111 S. White Street, Fort Mill,
South Carolina 29715, together with all personal property and furnishings located within the
premises. The LESSEE shall also have the use of the adjacent parking lot with the restriction that
no more than four (4) vehicles may be parked on the premises at any given time. It is
acknowledged by the parties that the caboose is situated on real property owned Norfolk Southern
Railway, and is subject to the terms and conditions of that certain Lease entered into between the
Town of Fort Mill and Norfolk Southern Railway, dated October 29, 2008.
TERM
The Lease will begin on the 1st day of October, 2025 and end on the 31st day of October,
2027, unless terminated earlier as hereinafter provided. To terminate this lease, the LESSOR or
LESSEE must give the other party a written thirty (30) day notice of lease termination. The
LESSEE may only terminate their Lease on the last day of any month and the LESSOR must
receive written notification of termination at least thirty (30) days prior to the last day of that
month. If LESSEE plans to leave on or after the first of any month, they are responsible for that
month’s full rent. If LESSEE does not provide the LESSOR with a written thirty (30) day notice,
they shall forfeit their full deposit amount. This Lease shall not automatically renew. In order for
there to be a renewal of this Lease, LESSEE must request a renewal not later than sixty (60) days
proper to the termination of the initial one year term. LESSOR shall have obligation to renewal
this Lease for any additional term, but may do so in the sole and absolute discretion of LESSOR.
DEPOSIT AND RENT
Upon execution of the within Lease, the sum of Six Hundred and 00/100 ($600.00) Dollars
which was paid to the LESSOR at the time of the original lease, shall be retained by the LESSOR
as the security deposit. The deposit shall be refundable upon termination of the within Lease
provided the LESSEE is not in arrears and has not violated any terms and conditions herein. The
security deposit shall also be available to the LESSOR for damages and repairs to the premises.
During the term of the within Lease, LESSEE shall pay to LESSOR as rent for the above premises
the sum of Two Hundred and 00/100 ($200.00) Dollars per month, beginning October 1, 2025 and
continuing on the same day of each month thereafter. Any monthly rent payments received over
fifteen (15) days after the due date shall incur a late fee penalty of fifty ($50) Dollars, to be added
onto the balance due.
PURPOSE OF THE LEASE AND USE OF THE LEASED PREMISES
The purpose of this Lease if to provide LESSEE with a private office for its executive
director. The Lease specifically provides that the premises may be used for administrative
meetings, provided said meetings to not violate the Fire Marshall’s maximum occupancy
requirements. In no case shall the premises be open to the public for meetings or tours.
LESSEE shall not violate any laws, ordinance, orders or regulation of any lawful authority
having jurisdiction over the demised premises or the adjacent public streets. LESSEE shall not
permit or cause any noxious, disturbing, or offensive odors, fumes, gases, or any smoke, dust,
steam or vapors, or any loud or disturbing noise or vibrations to originate in or to be emitted from
the premises. LESSEE further agrees there shall be no smoking within the premises and there
shall be no pets allowed on the leased premises.
LESSEE shall take possession of the premises in “as is” conditions, and there are no
representations or warranties by LESSOR of any kind or nature relating to the condition of the
premises or any part thereof.
QUIET ENJOYMENT
LESSOR hereby covenants and agrees that LESSOR has full authority to execute this
Lease and further agrees that LESSEE, upon paying the rents specified herein, and performing the
covenants of this Lease, shall and may quietly have, hold and enjoy the leased premises, together
with all and singular the appurtenances, rights, privileges and easements there unto appertaining,
during the term of this Lease.
SURRENDER OF PREMISES
Except as may be otherwise provided in this Lease, LESSEE shall surrender the premises
at the end of the Lease term, or any renewal thereof, in the same condition as when LESSEE took
possession, allowing for reasonable use and wear.
UTILITIES
To the extent that there are charges for gas, water, electricity and other utilities brought to
or used upon the premises during the Lease term, the LESSEE shall have said utilities placed in
their name and shall bear the full cost for these charges.
REPAIRS AND MAINTENANCE
During the term of this Lease, any permanent repairs which the LESSEE desires to make
shall first be approved, in writing, by the LESSOR. The approval shall require the LESSOR to
consent to the proposed repair and to consent to the cost associated with that repair. The cost of
said repairs, once approved by LESSOR, shall be a credit toward future rent payments. This credit,
however, shall not extend past the Lease term and shall not result in LESSEE’S entitlement to any
reimbursement.
The LESSEE agrees and understands that it shall have no right to make exterior
improvements, whether it be painting the exterior of the premises, installing fencing in and around
the premises or installing exterior signage at or around the premises, without first obtaining express
written permission and approval of such improvements from the Town of Fort Mill.
INSURANCE REQUIREMENTS
Prior to taking possession of the premises under this Lease and for the duration of this
Lease and any renewals, if any, of this Lease, the LESSEE shall provide to LESSOR, in writing,
a Certificate of Insurance, evidencing insurance coverage for the premises in the form of general
liability for a minimum of $300,000.00 and insurance coverage related to the tangible personal
property the LESSEE may place in the premises. On any liability policy, the Town of Fort Mill
shall be a named additional insured.
CONDEMNATION
In the event that any or all of the Leased premises shall be taken by any authority having
the power of eminent domain, if such taking and resulting damages render the remainder of the
property substantially unusable for LESSEE’S intended purposes, then LESSEE may terminate
this Lease. In the event that a portion of said premises shall be so taken without thereby rendering
the Leased premises substantially unusable for LESSEE’S intended purposes, then this Lease
continue as to the remainder of said premises under the same terms and conditions herein provided.
Only the LESSOR will have the authority to negotiate the condemnation damages and LESSEE
will have no authority or dealings with condemnor except through the LESSOR.
SUBLEASING AND ASSIGNMENT
LESSEE shall have no right to sublease or assign rights under this Lease and any attempt
to do so shall be void without prior written approval of LESSOR.
INDEMNIFICATION OF LESSOR
LESSEE shall indemnify and hold LESSOR harmless against all damages and liability
arising upon the leased premises from accident or injury to any person or damaged property arising
out of the use, occupation and control of the leased property by the LESSEE, their heirs, assigns,
successors or agents, employees or business invitees.
RIGHT OF ENTRY
LESSEE shall permit LESSOR, LESSOR’S agents, and other employees, to have access
to and to enter the leased premises at all reasonable and necessary times to inspect the premises
for any purpose connected with the repair, improvement, care and management of the premises or
for any other purpose reasonably connected with LESSOR’S interest in the premises and to
perform any work or other act found necessary on such inspection. In this event, LESSOR or
LESSOR’s agents will make reasonable efforts to provide notice to LESSEE of impending entry
ahead of time.
GENERAL PROVISIONS
(a) Entire Agreement. It is mutually agreed that the terms, covenants and conditions
herein contained are the entire agreement of the parties and all prior or contemporaneous oral or
written agreements are merged herein.
(b) Governing Law. This Agreement shall be governed, construed and enforced in
accordance with the laws of the State of South Carolina.
(c) Lease Binding. All the terms, conditions and covenants hereof shall inure to the
benefit of and be binding upon the parties hereto and their heirs, administrators, executors,
successors and assigns.
(d) Number and Gender. When reference is made to LESSOR or LESSEE, the singular
shall include the plural and the masculine shall include the feminine or the neuter.
(e) Notice. All notices in connection with this Lease shall be deemed to be sufficient
if in writing and delivered to or mailed to the parties the following addresses:

Title
A resolution accepting the streets within the Waterside at the Catawba subdivision into the Town
of Fort Mill Street Maintenance System.
Background Information
Discussion The Town’s Street Acceptance Policy, which was adopted by council on
April 11, 2016 and last amended on May 14, 2018, includes the eligibility
requirements, application procedures, and the review inspection and
approval process for all streets offered to the Town for public ownership
and maintenance.
An application was submitted by Chris Rabel, Lennar Carolinas, LLC for
Waterside at the Catawba subdivision. All roads were recorded before the
establishment of the Street Acceptance Policy and are therefore exempt
from the inspection fee and surety bond.
The Planning Department has reviewed the application for completeness
and accuracy. The Waterside at the Catawba subdivision is 100% built out,
which meets/exceeds the requirements of the street acceptance policy.
A maintenance agreement for non-standard pavement and landscape
medians was recorded.
The Public Works and Utilities Departments have reviewed the roads
submitted for acceptance and found them to be in compliance with the
Town’s specifications and requirements.
Should Town Council vote to approve this resolution accepting the streets,
the developer would enter into a one-year warranty period during which
time they are responsible for any maintenance on the streets. Upon the
closing of the warranty period, the Town would take over the maintenance
responsibility for the streets.

A RESOLUTION ACCEPTING THE STREETS WITHIN THE WATERSIDE AT THE CATAWBA SUBDIVISION INTO
THE TOWN OF FORT MILL STREET MAINTENANCE SYSTEM
WHEREAS, Section 32-115(b) of the Code of Ordinances for the Town of Fort Mill requires that all
streets which are offered for acceptance into the Fort Mill Street Maintenance System shall be subject to the
Town’s Street Acceptance Policy; and
WHEREAS, Town Council adopted a resolution to establish a Street Acceptance Policy for the Town
of Fort Mill on April 11, 2016; and
WHEREAS, Town Council amended the Street Acceptance Policy so as to exempt streets which were
recorded prior to April 11, 2016 from the one-time street inspection fee, and authorizing alternative testing
methods when testing and inspection reports are not available, and exempt a surety bond or letter of credit
at their meeting on September 25, 2017; and
WHEREAS, Town Council further amended the Street Acceptance Policy so as to add clarifying
language relating to Town Council’s authority for approvals at their meeting on May 8, 2018; and
WHEREAS, an application has been submitted that was deemed complete, the streets were
determined to meet the requirements as established by the Zoning Ordinance, Code of Ordinances and Street
Acceptance Policy;
NOW, THEREFORE, BE IT RESOLVED, that the Mayor and Council of the Town of Fort Mill will accept the
following street(s) into the Town of Fort Mill Street Maintenance System: Talon Point Circle, Elmview Lane, Winhall
