MEETING OF THE FRISCO COMMUNITY DEVELOPMENT CORPORATION BOARD OF DIRECTORS GEORGE A. PUREFOY MUNICIPAL CENTER MCCALLUM ROOM 6101 FRISCO SQUARE BLVD. FRISCO, TEXAS 75034 6:00 PM THURSDAY, DECEMBER 16, 2021 MINUTES CALL TO ORDER Vice President Karen Cunningham called the meeting to order at 6:01 P.M. Board of Directors present included Vice President Karen Cunningham, Director Chad Brubaker, Director Khushboo Rawlley, Director Joshua Meek and Director Ed Szczebak. Directors absent included President Mike Barber and Secretary/Treasurer Ed Mahoney. City staff present included City Manager George Purefoy, Deputy City Manager Henry Hill, Assistant City Manager Ben Brezina, Director of Parks and Recreation Shannon Coates, Arts and Special Events Manager John Chalfant, Discovery Center Supervisor Paige Points and Controller Derrick Cotten. Director Ed Szczebak made the motion to recess into closed session. Director Chad Brubaker seconded the motion, and the motion was unanimously approved 4-0. The meeting recessed into closed session at 6:01 P.M. CLOSED SESSION 1. Recess into Closed Session in compliance with Section 551.001 et. seq. Texas Government Code, to wit Page 1 of 5  A. Section 551.071. Meeting with City Attorney regarding a matter(s) in which the duty of the City Attorney under the Texas Disciplinary Rules of Professional Conduct of the State Bar of Texas conflicts with the Open Meetings Act regarding: i. Receive legal advice regarding transition of Exide property. B. Section 551.072. To deliberate the purchase, exchange, lease or value of real property located: i. South of Main Street, north of Stonebrook Parkway, west of Preston Road, and east of Legacy Dr. ii. South of US 380, east of Dallas North Tollway, west of Preston Road, and north of Main Street. South of Warren Parkway, north of Texas Highway 121, east of iii. Legacy Dr and west of Preston Road. C. Section 551.087. Deliberation regarding commercial or financial information that the City has received from a business prospect and to deliberate the offer or other incentives to a business prospect. 2. Reconvene into Regular Session and take any action necessary as a result of the Closed Session. Director Khushboo Rawlley made the motion to reconvene into regular session. Director Joshua Meek seconded the motion, and the motion was unanimously approved 4-0. The meeting reconvened into regular session at 6:19 P.M. REPORTS 3. Parks and Recreation Monthly Report. Director of Parks and Recreation Shannon Coates advised updates from the Parks and Recreation Monthly Report. 4. Financial and Budgetary update. Controller Derrick Cotten discussed monthly sales tax collections for October 2021 and advised on the financial statements for November 2021. CITIZEN INPUT Page 2 of 5 None REGULAR AGENDA 5. Consider and act upon approval of the Minutes of the November 18, 2021 Regular Meeting of the Board. Director Chad Brubaker motioned to approve the Minutes of the November 18, 2021 Regular Meeting of the Board. Director Joshua Meek seconded the motion, and the motion was unanimously approved 4-0. 6. Consider and act upon approval of an Amendment to the Frisco Community Development Corporation (FCDC) Fiscal Year 2022 Budget. Controller Derrick Cotten advised this was the first amendment to the fiscal year 2022 budget and was required to include the additional of a Sr. Accountant position to assist was the accounting requirements of the former Exide property. Director Khushboo Rawlley motioned to approve an Amendment to the Frisco Community Development Corporation (FCDC) Fiscal Year 2022 Budget. Director Ed Szczebak seconded the motion, and the motion was unanimously approved 4-0. 7. Consider and act upon approval of an agreement by and between the Frisco Community Development Corporation and Frisco Stadium, LLC providing one- time funding as a sponsor of the Frisco Classic event to be held at Toyota Stadium on December 23, 2021. Controller Derrick Cotten advised this City of Frisco will be hosting a last-minute additional bowl game (one time) at Toyota Stadium. This was an unexpected bowl game which was created to take care of the additional bowl eligible teams this year, UNT and Miami (Ohio). Due to the late announcement, there is no financial support established for the game. Director Chad Brubaker motioned to approve an agreement by and between the Frisco Community Development Corporation and Frisco Stadium, LLC providing one-time funding as a sponsor of the Frisco Classic event to be held at Toyota Stadium on December 23, 2021. Director Khushboo Rawlley seconded the motion, and the motion was unanimously approved 4-0. 8. Public Hearing: regarding the Frisco Community Development Corporation's intent to undertake a project to contribute funds in the amount of $300,000 for materials and construction of the Museum of the American Railroad (MAR), an expansion of the current facility for entertainment facilities and other purposes permitted by law (the "Project"). Page 3 of 5  Director Joshua Meek motioned to open the public hearing. Director Ed Szczebak seconded the motion, and motion was unanimously approved 4-0. The public hearing opened at 6:30 P.M. Museum of the American Railroad board member Gary Carley advised the board of the project plans and scope. He also discussed the grant matching program this agreement would help secure. Director Joshua Meek motioned to close the public hearing. Director Khushboo Rawlley seconded the motion, and motion was unanimously approved 4-0. The public hearing closed at 6:34 P.M. 9. Consider and act upon approval of a Performance Agreement by and between the Frisco Community Development Corporation and the Museum of the American Railroad. Assistant City Manager Ben Brezina advised on the terms of the performance agreement. Director Ed Szczebak confirmed the agreement required ADA accommodations. Director Joshua Meek motioned to approve a Performance Agreement by and between the Frisco Community Development Corporation and the Museum of the American Railroad. Director Khushboo Rawlley seconded the motion, and the motion was unanimously approved 4-0. 10. Discovery Center Update. Discovery Center Supervisor Paige Points advised the board on the Discovery Centers performance for calendar year 2021. 11. Continued discussion and updates regarding the former Exide property. City Manager George Purefoy advised on the trust agreement timeline and updates at the property. 12. Discussion regarding future agenda items. Deputy City Manager Henry Hill advised a Library status update will be on the next meeting agenda. ADJOURN Director Chad Brubaker made the motion to adjourn.
