Attachment A Gallup Business Improvement District, Inc Employment Agreement FY25 Executive Director Francis Bee is renewed for a one-year term, effective from June 24, 2024 to June 23, 2025. On the anniversary of the Effective Date and on subsequent anniversary thereafter, this Agreement shall automatically renew and extend for a period of twelve months (each such 12-month period being a “Renewal Term”) unless written notice of non-renewal is delivered from either party to the other not less than 90 days prior to the expiration of then-existing Renewal Term. Executive Director may take two weeks’ vacation, not to be taken consecutively. The BID manager shall manage the daily operations of the corporation as outlined in the corporation work plan and shall be responsible for coordinating the implementation of the corporation policies, projects and events and such other duties as the Board of Directors may require per the BD work plan. The BID manager shall work with committees of the board to maintain all records and reports to document the work of the Gallup Business Improvement District… 5. The BID manager is authorized to receive, deposit, and account for funds of the corporation in fulfillment of the corporate purpose, to prepare, with BID accounting firm, checks with backup documentation for signature by two of the corporation officers, to solicit fund-raising and loan applications, and to be responsible to produce periodic updates, via a newsletter, and an annual report to District property owners. 5. The BID manager shall be responsible to and governed by the board, shall report to and advise the board on all significant matters of the corporation, and shall put into effect all board orders and resolutions. 6. Gallup BID Management Board, in closed session, approved an increase in Executive Director F. Bee‘s salary to $57,520.23. annually. Motion to approve: J. Sanchez; 2nd: S. Dowling. Roll call: A. Discussion items: Lexington Hotel status - update by City of Gallup - Former Lowe’s Plaza property - update by City of Gallup, F Chiapetti. A measuring device that was installed in the Lowes Plaza structure shows that the building is not currently moving. Recently there was a small fire on the roof of the building. Damage was minimal. Lighted Streetliner project - DiPauli Engineering will provide the engineering drawings in late February. F. Chiapetti stated that City of Gallup may have poles that are suitable for this installation. Discussion about the current number of BID Board members. BID Board members are unanimously in favor of having a seven member Board of Directors. F. Chiapetti, L. Bonaguidi and L. Garcia will review this item with City Council members. Coal Avenue Commons 2025 planning may begin soon. Gallup Metropolitan Redevelopment Plan (MRA) proposed project to relocate BNSF tracks to the north in order to free up land for development. F. Chiapetti said that City has been awarded a $2 million grant for the planning study for this project. BID Downtown Development concepts & renderings as provided by Dekker, Perich, Sabatini. BID will resume feasibility study for these potential projects.e Extension of Coal Avenue Commons - one block west and one block east Coffee With the Director monthly meeting series will begin in February 2025 Sammy C’s Sports Bar and Restaurant has closed. It is available for sale or lease. Beautification/Signage Repaint/replaced the painted Welcome portion of the BID’s monuments at gateway locations - work was completed by Dynamic Signs Company. Security Red Rock Security patrol hired for Arts Crawl, Friday Night Rides events, Annual Ride Flight Cruise event; Bicycle security patrols hired from mid-June until September 4th 5. Events BID provided $2500.00 to Gallup Main Street Arts & Cultural District Downtown Event Marketing Reimbursement Grant for Levitt AMP Music Concert Series, which takes place monthly at the Courthouse Plaza. 6. Economic Development I-40 Corridor Study Gallup Master Plan Route 66 parking issues and NM DOT Safety Plan With Sherman McCorkle, presented TRC funding request to NM Legislature STTC Committee Meetings with owners of 201 W. Rt 66. Second examination of building with structural engineer Bill Druc and third with architect Tina Reames, Both Druc and Reames will return to the property at the end of February and will provide completed reports. Tina Reames walk-through of Sammy C’s Sports Bar and Pub Indian Jewelry Supply building on East Coal Avenue status update - transfer of building to UNM Foundation delayed by protest of neighboring property owner. 7.
