All members being present, Councilmember Tackett led the pledge after a moment of silence. 1. Minutes A motion was made by Councilmember Stone and seconded by Councilmember Singer Eardley to approve the minutes from the City Council meeting November 11, 2019. The motion was unanimously approved. 2. Acknowledgement Receipt of Check Register Mayor Prather requested that council acknowledge receipt of the check register. Council members all acknowledged such receipt. 3. GMWSS Approval of change order #3 for WWTP sand filter project. A motion for approval was made by Councilmember Thompson and seconded by Councilmember Tingle- Sames. The motion was unanimously approved. 4. City Attorney a) Second reading of annexation ordinance 1140 East Main Extended. A motion for approval was made by Councilmember Tackett and seconded by Councilmember Singer Eardley. The motion passed 8-0. b) Second reading of Zone Change Ordinance 1140 East Main Extended. A motion for approval was made by Councilmember Showalter and seconded by Councilmember Tackett. The motion passed 5-3. Council members Singer Eardley, Thompson and Tingle-Sames voted no. c) First reading of amendment to Human Rights commission ordinance. d) Resolution accepting CDBG funds. A motion for approval was made by Councilmember Tackett and seconded by Councilmember Thompson. The motion was unanimously approved. e) Municipal Order approving contract with palmer Engineering for CDBG cultural historic study. A motion for approval was made by Councilmember Stone and seconded by Councilmember Singer Eardley. The motion was unanimously approved. f) Municipal Order approving a contract with Blaze Enterprises for code enforcement demolition services. A motion for approval was made by Councilmember Lusby and seconded by Councilmember Tackett. The motion was unanimously approved. A motion to return to regular session was made by Councilmember Tackett and seconded by Councilmember Tingle-Sames. The motion was unanimously approved. City shall remit the invoiced amount within thirty (30) days of invoice. 7. Timeline: Contractor shall complete the project, to City’s satisfaction, by or before May 1, 2020. Reasonable requests for time extensions shall be submitted in writing for the City’s approval. Contractor shall outline the circumstances that merit the extension (ex: two consecutive weeks of rain). 8. In order to induce City to enter into this Contract, Contractor makes the following representations: a. Contractor has examined and carefully studied the Contract Documents. b. Contractor has visited the Site and become familiar with and is satisfied as to the general, local, and Site conditions that may affect cost, progress, and performance of the Work. c. Contractor is familiar with and is satisfied as to all federal, state, and local Laws and Regulations that may affect cost, progress, and performance of the Work. d. Contractor does not consider that any further examinations, investigations, explorations, tests, studies, or data are necessary for the performance of the Work at the Contract Price, within the Contract Times, and in accordance with the other terms and conditions of the Contract Documents. e. Contractor is aware of the general nature of work to be performed by City and others at the Site that relates to the Work as indicated in the Contract Documents. Contractor has correlated the information known to Contractor, information and observations obtained from visits to the Site, reports and drawings identified in the Contract Documents, and all additional examinations, investigations, explorations, tests, studies, and data with the Contract Documents. g. The Contract Documents are generally sufficient to indicate and convey understanding of all terms and conditions for performance and furnishing of the Work. 9. Contractor’s Insurance Coverage: For all work the Contractor performs pursuant to this Contract, the Contractor shall carry and provide the City with proof of liability and worker’s compensation insurance coverage satisfactory to the City with respect to the carrier or underwriter, the amount of coverage and the terms of coverage, including exclusions and riders. In addition, Contractor shall, at the City’s request, have the City named as an additional insured under the insurance coverage addressed in this paragraph. Failure to have and maintain satisfactory insurance or otherwise comply with this paragraph is cause for immediate termination. Compliance with this paragraph does not relieve Contractor of the obligation to indemnify and hold the City harmless described in Paragraph 13, below. 10. Assignment of Contract: No assignment by a party hereto of any rights under or interests in the Contract will be binding on another party hereto without the written consent of the party sought to be bound; and, specifically but without limitation, moneys that may become due and moneys that are due may not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under the Contract Documents. 11. Successors and Assigns: City and Contractor each binds itself, its partners, successors, assigns, and legal representatives to the other party hereto, its partners, successors, assigns, and legal representatives in respect to all covenants, agreements, and obligations contained in the Contract Documents. 12. Hold Harmless and Indemnification: To the extent caused by Contractor’s negligent acts, errors, or omissions, Contractor agrees to hold harmless and indemnify City, its elected and appointed officials and officers, employees, and agents from all liability, claims, damages, losses, and expenses, including court costs and attorneys’ fees, arising out of or resulting, directly or indirectly, from Contractor’s (or Contractor’s subcontractors’) performance or breach of the Contract. This Hold Harmless and Indemnification Clause shall in no way be limited by any financial responsibility or insurance requirements and shall survive the termination of this Contract. WHEREAS, the estimated balance of contingency for the Lanes Run Business Park Infrastructure Improvement Project, after Change Orders 1-8, is approximately $43,223.71; and WHEREAS, HDR Engineering, Inc. recommended removal of a pump station and manhole from the system and addition of a new manhole and 8” pipe for gravity sewers, and the City of Georgetown issued an Invitation to Bid for said work; and WHEREAS, the lowest responsive bid was submitted by Leak Eliminators in the amount of $36,735.00; and WHEREAS, the City of Georgetown is responsible for approximately $25,485.00 of this cost, and Scariot Equipment Co. is responsible for the remaining $11,250.00 of the bid price; and WHEREAS, the remaining contingency budget after execution of this agreement will be $17,738.71; and WHEREAS, the award of the contract is contingent upon payment from Scariot Equipment Company for their share of the cost; no notice to proceed will be issued until the City of Georgetown has received Scariot’s payment of $11,250.00; NOW THEREFORE, IT IS HEREBY ORDERED by the Georgetown City Council that the agreement for Leak Eliminators, LLC for the Pump Station Abatement in the total amount of $36,735.00, a copy of which is attached hereto and incorporated herein by reference, is hereby approved, and the Mayor is authorized to sign all relevant documents.
