October 28, 2025, at 7:00 PM, in the Committee Meeting Room, with the following members

WHEREAS, the Open Public Meetings Act provides that the Township Committee may
enter into Executive Session to discuss matters that are of a confidential nature, pursuant to
N.J.S.A. 10:4-12; and
WHEREAS, it is recommended by the Township Attorney and Township Administrator
that the Township Committee enter into Executive Session to discuss matters set forth
hereinafter which are permissible for discussion in Executive Session.
NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township

GOVERNING BODY CERTIFICATION OF THE ANNUAL AUDIT
FORM OF RESOLUTION
WHEREAS, N.J.S.A. 40A: 5-4 requires the governing body of every local unit to have made an
annual audit of its books, accounts and financial transactions, and
WHEREAS, the Annual Report of Audit for the year 2024 has been filed by a Registered Municipal
Accountant with the Municipal Clerk pursuant to N.J.S.A. 40A: 5-6, and a copy has been received by each
member of the governing body; and
WHEREAS, R.S. 52:27BB-34 authorizes the Local Finance Board of the State of New Jersey to
prescribe reports pertaining to the local fiscal affairs; and
WHEREAS, the Local Finance Board has promulgated N.J.A.C. 5:30-6.5, a regulation requiring that the
governing body of each municipality shall, by resolution, certify to the Local Finance Board of the State of New
Jersey that all members of the governing body have reviewed, as a minimum, the sections of the annual audit
entitled “Comments and Recommendations; and
WHEREAS, the members of the governing body have personally reviewed, as a minimum, the
Annual Report of Audit, and specifically the sections of the Annual Audit entitled “Comments and
Recommendations, as evidenced by the group affidavit form of the governing body attached hereto; and
WHEREAS, such resolution of certification shall be adopted by the Governing Body no later than
forty-five days after the receipt of the annual audit, pursuant to N.J.A.C. 5:30-6.5; and
WHEREAS, all members of the governing body have received and have familiarized themselves
with, at least, the minimum requirements of the Local Finance Board of the State of New Jersey, as stated
aforesaid and have subscribed to the affidavit, as provided by the Local Finance Board; and
WHEREAS, failure to comply with the regulations of the Local Finance Board of the State of New
Jersey may subject the members of the local governing body to the penalty provisions of R.S. 52:27BB-52, to
wit:
R.S. 52:27BB-52: A local officer or member of a local governing body who, after
a date fixed for compliance, fails or refuses to obey an order of the director
(Director of Local Government Services), under the provisions of this Article,
shall be guilty of a misdemeanor and, upon conviction, may be fined not more
than one thousand dollars ($1,000.00) or imprisoned for not more than one year,
or both, in addition shall forfeit his office.
NOW, THEREFORE BE IT RESOLVED, That the Committee of the Holmdel
Township, hereby states that it has complied with N.J.A.C. 5:30-6.5 and does hereby submit a
certified copy of this resolution and the required affidavit to said Board to show evidence of said
compliance.

RESOLUTION APPROVING PROCUREMENT FROM SHI FOR SECURITY CAMERAS AND
ACCESS SYSTEM FOR HOLMDEL’S MUNICIPAL BUILDING
WHEREAS, procurements completed by the Township of Holmdel (“Township”) are governed
by the provisions of the Local Public Contracts Law (“LPCL”), N.J.S.A. 40A:11-1 et seq: and
WHEREAS, pursuant to Section 10 of the LPCL, N.J.S.A. 40A:11-10, the Township is
authorized to enter into joint agreements with other contracting units in the State of New Jersey for the
provision and performance of goods and services; and
WHEREAS, pursuant to this authority, the Township is a member of the Bergen County
Cooperative Pricing System which satisfies the foregoing statutory criteria; and
WHEREAS, the Township seeks to complete a procurement with SHI through Bergen County
Cooperative Pricing System for Security Cameras and Access System for Holmdel’s Municipal Building
in the amount of $164,249.09, as set forth in the proposals attached hereto as Exhibit A; and
WHEREAS, to the extent required by the provisions of N.J.S.A. 19:44A-20.4 et seq., the entity
shall complete and submit a Business Entity Disclosure Certification which certifies that they have not
made any reportable contributions to a political or candidate committee in the Township of Holmdel in
the previous one year, and that the contract will prohibit same from making any reportable contributions
through the term of the contracts, pursuant to N.J.S.A. 19:44-20.5 et seq., which shall remain on file for
10 days prior to the Township entering into any contract with the entity.
NOW, THEREFORE, BE IT RESOLVED that the Township Committee of the Township of

RESOLUTION APPOINTING
SPECIAL LAW ENFORCEMENT OFFICER
WHEREAS, N.J.S. 40A:14-146.8 et seq. authorizes the appointment of Special Law
Enforcement Officers under the supervision and direction of the Chief of Police for terms not to
exceed one (1) year; and
WHEREAS, the Chief of Police has recommended the appointment of the following
individual to serve as Special Law Enforcement Officer III Per Diem for a term ending August
15, 2026 with compensation as indicated:

NOW, THEREFORE BE IT RESOLVED by the Township Committee of the Township
of Holmdel, in the County of Monmouth, as follows:
1. The individual referenced above and the indicated salary, is hereby approved for
appointment as Special Law Enforcement Officers effective October 28, 2025.
2. Class 3 Special Law Enforcement Officers shall serve as unclassified employees and
shall be scheduled in accordance with the agreements for services between the Township
and school; and shall not be eligible for health care benefits or enrollment in any State-
administered retirement system pursuant to N.J.S. 40A:14-146(d).

RESOLUTION TO AMEND THE CASH MANAGEMENT PLAN
WHEREAS, the 2025 Cash Management Plan was adopted by Resolution 2025-17 by the
Township Committee on January 2, 2025; and
WHEREAS, it is the desire of the Township Committee, of the Township of Holmdel,
County of Monmouth to amend the Cash Management Plan to insert new bank accounts; and
NOW, THEREFORE, BE IT RESOLVED, by the Township Committee, that Section X,
Subsection A, of the Cash Management Plan be amended to include an additional bank account
with Ocean First Bank for an HRA Account.

WHEREAS, procurements completed by the Township of Holmdel (“Township”) are typically governed
by the provisions of the Local Public Contracts Law (“LPCL”), N.J.S.A. 40A:11-1 et seq.; and
WHEREAS, notwithstanding the provisions of the LPCL, N.J.S.A. 52:34-6.2(b)(3) authorizes the
Township to “make purchases and contract for services through the use of a nationally-recognized and accepted
cooperative purchasing agreement that has been developed utilizing a competitive bidding process; and
WHEREAS, pursuant to this authority, the Township is a member of the Sourcewell National Joint Powers
Alliance Cooperative System membership # 28049, commonly known as “Sourcewell” which satisfies the foregoing
statutory criteria; and
WHEREAS, the Township seeks to complete Township procurement through Sourcewell with Jesco, for
the provision of a 2025 John Deere Skid Steer Loader for Holmdel’s Department of Public Works in the amount of
$183,628.00, as set forth in the proposal attached hereto as Exhibit A and incorporated by reference; and
WHEREAS, the Township has determined that the use of the cooperative purchasing agreement with
Sourcewell for this procurement, “shall result in cost savings, after all factor, including charges for service, material,
and delivery, have been considered,” as required by N.J.S.A. 52:34-6.2(b)(3); and
WHEREAS, to the extent required by the provisions of N.J.S.A. 19:44A-20.4 et seq., Jesco shall complete
and submit a Business Entity Disclosure Certification which certifies that they have not made any reportable
contributions to a political or candidate committee in the Township of Holmdel in the previous one year, and that the
contract will prohibit same from making any reportable contributions through the term of the contracts, pursuant to

RESOLUTION EXTENDING PROPERTY TAX GRACE PERIOD DUE TO EXTENDED
FEDERAL GOVERNMENT SHUTDOWN PURSUANT TO P.L. 2019, C. 491
WHEREAS, P.L. 2019, c. 491 authorizes municipalities to adopt an extended property
tax grace period if a taxpayer, or the taxpayer’s spouse/civil union partner/domestic partner, is
either: (1) an employee of a federal government agency who is furloughed because of a
shutdown, and receives unemployment benefits during the shutdown or who works during a
shutdown but is not paid because of the shutdown; or (2) a contractor whose pay is received
through a contract with a federal government agency but whose payment is delayed or
diminished because of a shutdown, provided that the contractor receives unemployment benefits
during the shutdown;
WHEREAS, under P.L. 2019, c. 491, a “shutdown” is defined as any period in which
there is more than a 24-hour lapse in appropriations for any federal government agency as a
result of a failure to enact a regular appropriations bill or continuing resolution due to an impasse
between the President and the Congress of the United States or between the two Houses of
Congress; and
WHEREAS, under P.L. 2019, c. 491, a municipality shall not charge interest to a
delinquent taxpayer who is an eligible resident or who resides with a spouse, partner in a civil
union, or domestic partner who is an eligible resident if a shutdown remains in effect for more
than 21 days and either ends less than 14 days prior to the date upon which a property tax
installment is payable, or remains in effect on the date that the property tax installment is due and
payable; and
WHEREAS, the federal government shut down on October 1, 2025, and remains shut
down at the present time; and
WHEREAS, the Township of Holmdel (“Township”)’s next property tax installment
payment is due on November 1, 2025; and
WHEREAS, the federal government shutdown will not end less than 14 days prior to the
date upon which the Township’s next property tax installment is payable; and
WHEREAS, the Township desires to extend the property tax grace period to eligible
residents in the Township pursuant to P.L. 2019, c. 491.
NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the
Township of Holmdel as follows:

1. The property tax grace period for eligible residents is extended until the conclusion of
the federal government shutdown, pursuant to the authorization for the same under
P.L. 2019, c. 491, and the Township shall not charge interest to taxpayers who are
eligible residents for the pendency of the federal government shutdown.
2. In order to qualify for the property tax grace period, an eligible resident must provide
proof to the Tax Collector that the eligible resident’s pay, or the pay of the eligible
resident’s spouse, partner in a civil union, or domestic partner, is derived from a
federal government agency that is affected by the shutdown, as follows:
a. In the case of a federal government employee, the proof shall be demonstrated
by a pay stub showing employment by a federal government agency that is
affected by a shutdown.
b. In the case of a contractor whose pay is received through a contract with a
federal agency, the proof shall be the most recent 1099 form, federal income
tax return, state income tax return, or any other proof that the Tax Collector
may require.
3. This grace period authorized pursuant to this Resolution shall not be applicable to any
other local assessments or municipal charges.
4. This Resolution shall be effective immediately.
5. The Township Clerk shall forward a copy of this Resolution to the New Jersey
Department of Community Affairs, Division of Local Government Services no later
than the third (3rd) business day following adoption of this Resolution.

WHEREAS, the Township of Holmdel desires to offer a voluntary high-deductible
health care plan for plan year 2026 as administered by the State Health Benefits Program to all
Township employees in order to achieve cost savings for both the employees and Township; and
WHEREAS, the Township further seeks to authorize the Township Administrator to take
the necessary steps to execute the Sidebar Agreements as well as any and all steps necessary to
effectuate the implementation of the voluntary high-deductible health care plan for plan year
2026 to all Township employees; and
WHEREAS, certain Township employees are represented by recognized bargaining
units pursuant to collective bargaining agreements (“CBAs”) with the Township: the Holmdel
Township Senior Officers Association, Holmdel Township Police Sergeants PBA Local 239,
Patrol Officers of the Township of Holmdel, PBA Local 239, CWA 1075 (White Collar), and
IUOE Local 68-68A-68B (collectively, “Unions”), as authorized under the New Jersey
Employer-Employee Relations Act, N.J.S.A. 34:13A-1 et seq. (the “Act”); and
WHEREAS, in order to offer the voluntary high-deductible health care plan to
employees covered under the CBAs, it is warranted that the Township enter into into addendums
(“Sidebar Agreements”) to the CBAs with the Unions to memorialize the voluntary high-
deductible health care plan that will be made available to unionized Township employees
pursuant to the CBAs.
NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the
Township of Holmdel as follows:
1. The foregoing recitals are hereby incorporated as if set forth at length.
2. The Township hereby authorizes the implementation of the high-deductible health
care plan as administered by the State Health Benefits Program for plan year 2026,
consistent with the foregoing.

POLICE
WHEREAS, pursuant to N.J.S.A. 40A:14-118, Sections 2-26.1 and 2-26.5 of the
Revised General Ordinances of the Township of Holmdel establish the position of Chief of
Police and, among other things, sets forth the duties and responsibilities therein; and
WHEREAS, Chief of Police Frank Allocco has provided the Township of Holmdel with
notice of his retirement effective November 1, 2025; and
WHEREAS, under the relevant statutes and regulations governing the Civil Service
Commission appointment process, N.J.S.A. 11A:4-13(b) and N.J.A.C. 4A:4-1.5, a provisional
appointment may be made to a title in the competitive division of the career service when: (i)
there is no complete certification/list of eligibles for that title; (ii) the appointee meets the
minimum qualifications for the title at the time of appointment; and (iii) failure to make the
appointment would seriously impair the work of the appointing authority; and
WHEREAS, consistent with same, the Township Committee seeks to promote Captain
Jeffrey Ackerson to the position of Provisional Chief of Police effective November 1, 2025; and
WHEREAS, it is anticipated that this appointment will become permanent following the
receipt of necessary approvals including receipt of a complete certification/list of eligibles from
the New Jersey Civil Service Commission.

issuance of said bonds and to temporarily finance said improvements or purposes, negotiable
notes of the Township in a principal amount not exceeding $571,428 are hereby authorized to be
issued pursuant to and within the limitations prescribed by the Local Bond Law.

SECTION 3. (a) The improvements hereby authorized and purposes for the financing of
which said bonds or notes are to be issued, are improvements to the Holmdel Township School
District Facilities, including, but limited to, Roof Repairs, HVAC Repairs, Upgrades To Security And
Alarm Systems, Upgrades To Sewage Plant, Upgrades And Repair To Boiler System, Lab
Renovations, Flooring Replacement, Replacement Of Custodial Equipment, Upgrades To
Auditorium Theater And Gymnasium; miscellaneous improvements to other School District facilities
as deemed necessary by the District; and shall include all work, materials, equipment, labor and
appurtenances necessary therefor or incidental thereto.
(b) The estimated maximum amount of bonds or notes to be issued for said
improvements or purposes is $571,428.
(c) The estimated cost of said improvements or purposes is $600,000, the
excess thereof over the said estimated maximum amount of bonds or notes to be issued therefor is
the down payment for said improvements or purposes in the amount of $28,572.
SECTION 4. In the event the United States of America, the State of New Jersey, and/or
the County of Monmouth make a contribution or grant in aid to the Township, for the improvements
and purposes authorized hereby and the same shall be received by the Township prior to the
issuance of the bonds or notes authorized in Section 2 hereof, then the amount of such bonds or
notes to be issued shall be reduced by the amount so received from the United States of America,
the State of New Jersey and/or the County of Monmouth. In the event, however, that any amount
so contributed or granted by the United States of America, the State of New Jersey and/or the
County of Monmouth, shall be received by the Township after the issuance of the bonds or notes
authorized in Section 2 hereof, then such funds shall be applied to the payment of the bonds or
notes so issued and shall be used for no other purpose. This Section 4 shall not apply, however,
with respect to any contribution or grant in aid received by the Township as a result of using funds
from this bond ordinance as “matching local funds” to receive such contribution or grant in aid.

SECTION 5. All bond anticipation notes issued hereunder shall mature at such times as
may be determined by the Chief Financial Officer of the Township, provided that no note shall
mature later than one (1) year from its date or otherwise authorized by the Local Bond Law. The
notes shall bear interest at such rate or rates and be in such form as may be determined by the
Chief Financial Officer. The Chief Financial Officer shall determine all matters in connection with
the notes issued pursuant to this bond ordinance, and the signature of the Chief Financial Officer
upon the notes shall be conclusive evidence as to all such determinations. All notes issued
hereunder may be renewed from time to time in accordance with the provisions of the Local Bond
Law. The Chief Financial Officer is hereby authorized to sell part or all of the notes from time to
time at public or private sale and to deliver them to the purchaser thereof upon receipt of payment
of the purchase price and accrued interest thereon from their dates to the date of delivery thereof.
The Chief Financial Officer is directed to report in writing to the governing body at the meeting next
succeeding the date when any sale or delivery of the notes pursuant to this bond ordinance is
made. Such report must include the principal amount, the description, the interest rate, and the
maturity schedule of the notes so sold, the price obtained and the name of the purchaser.
SECTION 6. The Capital Budget of the Township is hereby amended to conform with the
provisions of this bond ordinance to the extent of any inconsistency herewith. In the event of any
such inconsistency, a resolution in the form promulgated by the Local Finance Board showing full
detail of the amended Capital Budget and capital programs as approved by the Director of the
Division of Local Government Services, New Jersey Department of Community Affairs will be on
file in the office of the Clerk and will be available for public inspection.
SECTION 7. The following additional matters are hereby determined, declared, recited
and stated:
(a) The improvements or purposes described in Section 3 of this bond ordinance
is not a current expense and is an improvement which the Township may lawfully undertake as a

general improvement, and no part of the cost thereof has been or shall be specially assessed on
property specially benefited thereby.
(b) The average period of usefulness of said improvements or purposes within
the limitations of the Local Bond Law, according to the reasonable life thereof computed from the
date of the said bonds authorized by this bond ordinance, is 15.00 years.
(c) The Supplemental Debt Statement required by the Local Bond Law has
been duly made and filed in the Office of the Clerk of the Township and a complete executed
duplicate thereof has been filed in the Office of the Director of the Division of Local Government
Services, New Jersey Department of Community Affairs, and such statement shows that the gross
debt of the Township as defined in the Local Bond Law is increased by the authorization of the
bonds or notes provided for in this bond ordinance by $571,428 and the said bonds or notes
authorized by this bond ordinance will be within all debt limitations prescribed by said Local Bond
Law.
(d) An aggregate amount not exceeding $120,000 for items of expense listed in
and permitted under section 20 of the Local Bond Law is included in the estimated cost indicated
herein for the purpose or improvement hereinbefore described.
SECTION 8. The full faith and credit of the Township are hereby pledged to the punctual
payment of the principal of and the interest on the obligations authorized by this bond ordinance.
The obligations shall be direct, unlimited obligations of the Township, and the Township shall be
obligated to levy ad valorem taxes upon all the taxable property within the Township for the
payment of the principal of the obligations and the interest thereon without limitation as to rate or
amount.
SECTION 9. The Township hereby declares the intent of the Township to issue the bonds
or bond anticipation notes in the amount authorized in Section 2 of this bond ordinance and to use
proceeds to pay or reimburse expenditures for the costs of the purposes described in Section 3 of

this bond ordinance. This Section 9 is a declaration of intent within the meaning and for purposes
of Treasury Regulations §1.150-2 or any successor provisions of federal income tax law.
SECTION 10. The Township Chief Financial Officer is hereby authorized to prepare and
to update from time to time as necessary a financial disclosure document to be distributed in
connection with the sale of obligations of the Township and to execute such disclosure document
on behalf of the Township. The Township Chief Financial Officer is further authorized to enter into
the appropriate undertaking to provide secondary market disclosure on behalf of the Township
pursuant to Rule 15c2-12 of the Securities and Exchange Commission (the “Rule”) for the benefit
of holders and beneficial owners of obligations of the Township and to amend such undertaking
from time to time in connection with any change in law, or interpretation thereof, provided such
undertaking is and continues to be, in the opinion of a nationally recognized bond counsel,
consistent with the requirements of the Rule. In the event that the Township fails to comply with its
undertaking, the Township shall not be liable for any monetary damages, and the remedy shall be
limited to specific performance of the undertaking.
SECTION 11. The Township covenants to maintain the exclusion from gross income
under section 103(a) of the Code of the interest on all bonds and notes issued under this
ordinance.

SECTION 12. This bond ordinance shall take effect twenty (20) days after final adoption
as provided by the Local Bond Law.

Ordinance 2025-28
ORDINANCE APPROVING SHORT-TERM LEASE AGREEMENT RELATIVE TO
PORTION OF BLOCK 10.01, LOTS 7 AND 11 (108 MIDDLETOWN ROAD)
WHEREAS, the Township of Holmdel acquired Block 10.01, Lots 7 and 11, commonly
known as 108 Middletown Road (the “Property”), from St. Catharine’s Church, Holmdel, N.J.,
pursuant to a deed dated March 11, 2025 and delivered on April 9, 2025, the terms of which are
hereby incorporated by reference; and
WHEREAS, in the relevant period preceding to the Township’s acquisition of the
Property, Ondrush Farms was tenant to a portion of the Property for farming purposes, with St.
Catharine’s Church serving as landlord; and
WHEREAS, the Township desires to lease a portion of the Property to Ondrush Farms
(“Ondrush”) for farming purposes, pursuant to a lease agreement; and
WHEREAS, the Township’s issuance of a lease of its own real property is governed by
the Local Lands and Buildings Law, N.J.S.A. 40A:12-1 et seq. (“LLBL”), to which it has
adhered, including its salutary purposes, at all times; and
WHEREAS, the LLBL at N.J.S.A. 40A:12-14.1 provides as follows:
when a municipality acquires real property that, immediately prior
to the acquisition, was leased from the prior owner by a private
person for agricultural or horticultural use, and the municipality
determines that, until such time as the real property is needed for
public use, the temporary continuance of the private agricultural or
horticultural use would not compromise that public use, it may
lease the real property to the prior lessee for agricultural or
horticultural use for such period, consideration, and other terms
and conditions as shall be mutually agreed upon
; and
WHEREAS, the Township seeks to authorize a lease agreement with Ondrush pursuant
to the foregoing statutory authority, finding that a) the property was formerly leased by Ondrush
from St. Catharine’s Church for agricultural or horticultural use, b) the real property is not
currently needed for public use, and c) the temporary continuance of the private agricultural or
horticultural use will not compromise the public use.
NOW, THEREFORE, BE IT ORDAINED by the Township Committee of the
Township of Holmdel in the County of Monmouth, State of New Jersey, as follows:

SECTION 1. Lease Agreement between Township and Ondrush.
a. The Township hereby approves entry into a lease agreement or similar instrument
between the Township and Ondrush Farms through December 31, 2026, and subject to two (2)
one-year extensions by mutual assent, upon the terms approved by the Township Committee in
executive session, subject to final negotiations and the review and final approval of the
Township Attorney as to legal form.
b. The Mayor is hereby authorized to execute the lease agreement on behalf of the
Township.
c. The Mayor, Township Administrator, and all other relevant Township officials
are hereby authorized to take all actions necessary to effectuate the purposes of this section.
SECTION 2. Severability.
The provisions of this Ordinance shall be severable. In the event that any portion of this
Ordinance is found to be invalid for any reason by any Court of competent jurisdiction, such
judgment shall be limited in its effect only to the portion of the Ordinance actually adjudged
invalid and shall not be deemed to affect the operation of any other portion thereof, which shall
remain in full force and effect.
SECTION 3. Repealer.
All ordinances and resolutions and parts of ordinances and resolutions which are
inconsistent with provisions of this ordinance shall be, and are hereby, repealed to the extent of
any such inconsistency.
SECTION 4. Effective Date.
This ordinance shall take effect upon final adoption and publication under law.
