Call to Order Mayor Basil called to order the special meeting of Hudson City Council at 7:00 p.m., in accordance with the Sunshine Laws of the State of Ohio, O.R.C. Section 121.22. 2. Pledge of Allegiance to the Flag 3. Roll Call Present: 6 - Mrs. Bigham, Mr. DeSaussure, Mr. Hanink, Mr. Kelemen, Dr. Williams and Mr. Wooldredge Absent: 1 - Mr. Weinstein Mrs. Bigham entered the meeting at 8:25 p.m. 4. Appointment of Jane Howington as Clerk of Council Pro Tempore A motion was made by Mr. Kelemen, seconded by Dr. Williams, that Ms. Howington be appointed Clerk of Council Pro Tempore. Public Comments None. 6. Executive Session A motion was made by Mr. Wooldredge, seconded by Dr. Williams, to enter into executive session for the purchase and acquisition of land for public purpose. Mayor Basil recessed the meeting at 7:03 p.m. after the motion carried by the following vote: Aye: 5 - Mr. Hanink, Mr. Kelemen, Dr. Williams, Mr. Wooldredge and Mr. DeSaussure Excused: 1 - Mrs. Bigham Mayor Basil reconvened the Special Council meeting at 7:25 p.m. 7. Legislation A. 18-187 A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO BOTH A PURCHASE AND SALE AGREEMENT WITH THE HUDSON CITY SCHOOL DISTRICT AND RELATED DONATION AGREEMENT WITH AN ANONYMOUS DONOR TO ACQUIRE AND IMPROVE REAL PROPERTY LOCATED AT 34 NORTH OVIATT STREET (PERMANENT TAX PARCEL NO. 32-00118) IN THE CITY OF HUDSON FOR PUBLIC PURPOSES AND ALSO AUTHORIZING THE CITY MANAGER TO ADVERTISE FOR COMPETITIVE BIDS FOR THE PURPOSE OF IMPROVING THE PROPERTY LOCATED AT 34 NORTH OVIATT STREET; AND DECLARING AN EMERGENCY. Executive Summary: The School District currently owns the land on which the old elementary school once stood. A local benefactor has indicated a desire to move this property into permanent open space with passive recreational upgrades and landscaping improvements. Due to legal restrictions that the School District must comply with when looking at the disposition of property, this donor transaction cannot be made directly from the Schools and the donor. Therefore, both parties have requested the third-party involvement of the City. The proposed outcome of this request is for the School District to transfer ownership of the property to the City, and the City would then become responsible for the property, subject to restrictions set forth by the donor. Attachments: Site Plan - Hudson Old School Green 12142018 Resolution No. 18-187 Mayor Basil read the title of Resolution No. 18-187, which constituted its first reading. A motion was made by Mr. Wooldredge, seconded by Mr. Kelemen, to suspend the rule requiring three readings to allow for passage of Resolution No. 18-187. The motion failed by City of Hudson, Ohio Page 2 City Council Meeting Minutes - Final December 11, 2018 the following vote: Aye: 3 - Mr. Kelemen, Dr. Williams and Mr. Wooldredge Nay: 2 - Mr. Hanink and Mr. DeSaussure Excused: 1 - Mrs. Bigham There being no further business, Mayor Basil adjourned the Special Council meeting at 7:28 p.m., and turned the meeting over to Mr. Wooldredge. Council Workshop - 7:30 p.m. 8. Correspondence and Council Comments Mr. Kelemen stated that he attended the Ad Hoc Committee for Community-Wide Fiber meeting that was held on December 10, 2018, and the Committee asked for clarification on Council's definition of a business plan. Mr. Wooldredge asked that this item be added to a future workshop. Mr. Wooldredge stated that there are many interviews scheduled for the Ward 2 position, as well as for various boards and commissions. He asked that the Council liaisons for each Board and Commission, make the current termed out members aware that they are to continue to serve until their seat is filled or they are re-appointed. 9. Discussion Items A. 18-0116 Downtown Phase II Discussion Attachments: Downtown Phase II Resource Information - DRAFT 12042018 Discussion included: 1.) Topics Council would like to discuss with Mr. Joel Testa at the Council meeting on December 18, 2018, 2.) ballot language, and 3.) overall timeline. Mrs. Bigham entered the meeting at 8:25 p.m. This matter was discussed. 10. Items to be Added to Future Agendas 11. Executive Session - 8:30 p.m. A motion was made by Mr. Wooldredge, seconded by Mr. DeSaussure, to enter into Executive Session to interview applicants for the Ward 2 Council position.
