DOWNTOWN DEVELOPMENT AUTHORITY SPECIAL CALL MINUTES Tuesday, March 31, 2020 Virtual Meeting 1:00 PM 70 S. Clayton St, GA 30046 Call to Order Chairman Merritt called the special call meeting to order at 1:08 pm after recognizing a quorum. PRESENT Board Member Victoria Jones Board Member Linda Nash Board Member Katrina Fellows Board Member Brad Cox Board Member Lee Merritt ABSENT Board Member Donald Thrower Board Member Jeremy Higginbotham GUESTS Kyle Parker, IT Director with City of Lawrenceville, GA Joe Krolikowski, Dentons Chris Holbrook, Mahaffey Pickens, Tucker, LLP Approval of Agenda Motion to approve the agenda made by Board Member Cox, Seconded by Board Member Jones. Voting Yea: Board Member Jones, Board Member Nash, Board Member Fellows, Board Member Cox, Board Member Merritt. Downtown Development Business Chairman Merritt read the Resolution of the Downtown Development Authority of the City of Lawrenceville, Georgia approving providing a loan in an amount not to exceed $7,830,000 to finance a portion of the costs of the construction of a parking deck; entering into a loan and security agreement in connection with the project with Rio Lawrenceville, LLC; and for related purposes. (Resolution is attached). Chairman Merritt verified that Lee Thompson, Attorney for the City of Lawrenceville is reviewing all the documents concerning this loan, etc. Motion to adopt resolution made by Board Member Cox, Seconded by Board Member Nash. Voting Yea: Board Member Jones, Board Member Nash, Board Member Fellows, Board Member Cox, Board Member Merritt.
