HOOPER RENWICK LEGACY PRESERVATION COMMITTEE - SPECIAL CALL MINUTES Saturday, December 19, 2020 Zoom Meeting 10:00 AM 70 S. Clayton St, GA 30046 Call to Order Chair Theresa Bailey called the meeting to order at 10:03 am. 1. Prayer Committee Member Gwen Taylor led the prayer. 2. Quorum/Roll Call Committee Member Joyce Moore completed a roll call of the Committee Members and confirmed a quorum. Discussion Regarding IGA Acknowledgement of Additional Meeting Participant – Chair Theresa Bailey Committee Chair Bailey acknowledged the presence of Lee Thompson, Attorney at Law, serving as attorney for the City of Lawrenceville, who would be participating in the review of the IGA (Intergovernmental Agreement). Parliamentary Process for Review of the IGA– Joyce Moore Committee Member Moore communicated the process by which the review of the IGA would be conducted by Chair Bailey with input from Attorney Thompson as follows:  Committee Member Moore would serve as the parliamentarian to keep the meeting moving in timely manner.  Committee Chair Bailey would go through the IGA Provisions 2, 4, 7, 9, 11, and 12 only as they were the most relevant to the project.  Committee Chair Bailey would summarize each of the sections after which Committee members would have the opportunity to ask questions.  Sections termed “boilerplate”, meaning that they were standard stipulations for similar contracts, depending upon the need(s) of the project, were omitted from the review based on previous consultation between Chair Bailey and Attorney Thompson. General Provisions Discussion – Chair Theresa Bailey Chair Bailey commenced the review of the Intergovernmental Agreement (IGA) as afore prescribed. Significant questions and points of discussion are noted below:  Provision 2 – Design of the Library The architectural renderings previously shared with the HRLPC were not the final design of the Library. The County will contract with an architect firm to finalize the design and the City, in partnership with the HRLPC, will be provided the opportunity to review and  make recommendations on the Development and Construction documents before they are finalized.  Provision 4 - Construction of Other Project Improvements As the County has as the sole right to name the Library, it was agreed that the Committee would be afforded the opportunity to add a “sub-name” that more effectively reflects the cultural and historic theme and content of the Library. Discussion of the “sub-name” was tabled for a future meeting.  Provision 7 – Title to the Library Site and Closing The closing date for the Library is projected to be April 1, 2021.  Provision 9 – Funding of Library Construction No significant questions or issues were raised.  Provision 11 – Construction and Completion of Project There was general discussion on when visitation to the site would be permitted. It was clarified that requests for site visitations by HRLPC members would be coordinated through the City.  Provision 12 - Library Exhibits The County will hire an Interpretive Resource Project Coordinator to serve as liaison between the City, HRLPC, and the Gwinnett County Library System assisting with the collection of artifacts, etc. Some artifacts will be on loan, while some will be donated to Hooper-Renwick. Chair Bailey compared the provisions of the IGA versus those of the Joint Resolution and concluded that the majority of HRLPC requests documented in the Resolution were provided for/addressed in the IGA, i.e., “We got most of what we asked for!” In addition, the Library will offer a genealogy site that affords citizens the opportunity to research their ancestry. A capability that was not part of our original request. Discussion was generated by Members Brown and Lott which ultimately supported Chair Bailey’s summation and conclusion. Attorney Thompson reiterated the most significant points of the IGA as covered by Chair Bailey and entertained questions from the Committee. The most repeated question from several members pertained to Mr. Thompson’s comment that the project would move forward. They wanted to know exactly what he meant. Attorney explained that “move-forward” meant that we will proceed, as planned, pursuant to the agreement (IGA) established between Lawrenceville City and Gwinnett County Government.  Member Neal shared her apprehension that the Hooper-Renwick School’s fate would fall into the possession of Gwinnett County which may change the whole concept/perception of what/who Hooper-Renwick really is/was. Chair Bailey called for a vote for the Committee to accept the terms of the IGA approved by Gwinnett County on December 16, 2020. Motion to accept the Intergovernmental Agreement as presented was made by Committee Member Dunnigan, Seconded by Committee Member Maxey. Voting Yea: Committee Member Bailey, Committee Member Brown, Committee Member Taylor Crawford, Committee Member Dunnigan, Committee Member Glenn, Committee Member Johnson, Committee Member Lott, Committee Member Maxey, Committee Member Moore, Committee Member Neal, Committee Member Brown Taylor, Committee Member Summerour-Daniel. Member Daniel thanked Mayor Still for his passion and commitment to the Hooper-Renwick Legacy Preservation Committee and their vision for the preservation of the Hooper-Renwick School building. She thanked him, particularly, for keeping close the content of the Committee’s Business Plan Summary and the Joint Resolution and allowing it to guide his negotiations in the finalization of the IGA. Comments – Mayor David Still Mayor Still thanked the Committee and reaffirmed the City’s support of this project. He stated his intention to bring the IGA up for a vote before the City Council as soon as possible. Final Adjournment Chair Bailey adjourned the meeting.
