After performing a courtesy review of the Stubblefield Visitors Center the following
changes will need to be made in order to rent this property out as an event center. Currently the
visitors center is designated as a type B occupancy, changing to a event center will change the
occupancy to a type A occupancy. If the city chooses to purse this, the building will have to be
brought up to meet current fire code. The following items will need to be addressed;
1. Installation of a commercial monitored fire alarm.
2. Elevator will need to be inspected and in compliance with state standards.
3. Exit lights will need to be of the combo emergency lighting/exit lighting type.
4. Main entry door will need to be changed from a inward swinging to a outward
swinging door.
5. Entry way to conference room must comply with ADA standards.

STUBBLEFIELD BUILDING USE AGREEMENT
THIS AGREEMENT is made and entered into on this date by and between the Meeting
Room User and the City of Liberty Hill.
NOW, THEREFORE, in consideration of the mutual promises contained herein, the
parties hereto agree as follows:
1. Schedule and Payment. User may lease and use the Stubblefield Building at the
location and on the date, time, and at the applicable fees as stated in the Schedule
2. Use of Premises. User shall inspect the premises and facilities and accept the
premises and facilities in their present condition and shall not alter or change the facilities
without written approval of the City of Liberty Hill. User will not put any holes into or use any substance
that would leave residue on doors, windows, walls, furniture or fixtures or equipment in and
about the premises. User shall bring in and remove all equipment used in connection with the
function or event for which the meeting room is leased in such a manner as not to interfere
with the normal operation of Stubblefield, and will remove all such equipment promptly, or pay
usage or storage fees as may be determined appropriate by the City of Liberty Hill. Upon
the termination of the use, the premises shall be returned in the same condition as received by
the User. Stubblefield is available only during published days and hours; and, the User, including all
members and invitees of User, must vacate the building at approved time. Setting up and cleaning up
must be completed within rental hours.
3. Right to Cancel. Termination of Agreement. The City may at any time, up to and
including the time of the scheduled use, cancel without penalty or obligation any
reservation for the use of a meeting room if the space is needed for City purposes, if the
User has at any time violated Stubblefield policies respecting the use of its building, or if
the full amount of any fees due hereunder have not been paid. The City may also cancel
without penalty any reservation on account of any act of God or for any conditions beyond the
reasonable control of the City such as damage to all or any part of the Stubblefield premises, any
malfunction or suspension of services or utilities, severe weather conditions, a catastrophic
event, closing of the building for public use, or for any reason related to the usability or safety
of the building. In the event the City cancels a reservation or use of Stubblefield premises under
this paragraph, any prepaid fees will be refunded to the User. If User cancels a reservation, the
User shall be liable for any out-of-pocket costs incurred by the City specifically in
preparation for the City fulfilling this agreement to make meeting room space and Stubblefield
premises available for use by User. The City will refund any prepaid fees if notice of
cancellation is received at least 48 hours before the time scheduled for use.
4. Indemnity and Damages. All Users and persons attending User sponsored events
using Stubblefield facilities take the premises "as is" and assume all risks of loss, damage, or injury,
including death or property damage, resulting from the use by User of the City facilities services under
this agreement. Stubblefield "facilities" and "premises" includes not only meeting
rooms but the entire building, parking lot and grounds.
The City assumes no liability whatsoever for any property placed by the User or any
person attending a User sponsored event in or about Stubblefield buildings or properties. User

agrees that all persons on Stubblefield premises because of User's event (participants, members,
invitees, etc.) are under the direct and complete control of the User. As such, the User is liable
for all damages resulting from a participant's use of Stubblefield’s facilities and services. User
shall reimburse the City for all damages to its facilities or equipment resulting from the use
of the same.
No alcohol can be provided for a fee (“cash bar”) unless full licensing is obtained through TABC. The
user’s insurance policy must provide coverage for Host Liquor Liability.
THE USER SHALL INDEMNIFY, HOLD HARMLESS AND DEFEND THE CITY, LIBERTY HILL CHAMBER OF
COMMERCE, ITS MAYOR, CITY COUNCIL MEMBERS, AND EMPLOYEES FROM AND AGAINST ANY AND ALL
LIABILITY OR FINANCIAL LOSS, COSTS OR EXPENSES (INCLUDING REASONABLE
ATTORNEY'S FEES AND LEGAL COSTS) RESULTING FROM ANY SUIT, CLAIM, LOSS OR
ACTION BROUGHT AGAINST THE LIBRARY, ITS BOARD OF TRUSTEES, OFFICERS, AND/OR
EMPLOYEES WHICH ARISES OR RESULTS DIRECTLY OR INDIRECTLY FROM THE USE OF
THE LIBRARY'S FACILITIES OR SERVICES UNDER THIS AGREEMENT BY THE USER OR ITS
SPONSORS, SPECTATORS, PARTICIPANTS, MEMBERS, OFFICERS, DIRECTORS OR
AGENTS.
Notwithstanding the foregoing, if the User is a governmental entity or a public
employee acting within the scope of his or her employment, then the provisions of this Section
4 will not apply so as to increase in any way the combined aggregate liability of the User as
limited under I.C. 34-13-3-4.
5. Use of Stubblefield Building. The use of any Library meeting room is subject to the terms
and conditions of this "Meeting Room Agreement." The use of any Library meeting room is
also subject to all governmental laws, ordinances, regulations as well as the “Library Meeting
and Study Room Policy" and all Library rules. Library rules applicable to Library buildings and
meeting rooms include but are not limited to the following:
a) No controlled substance is permitted on or about any Stubblefield;
b) Smoking and tobacco products are only permitted outdoors;
c) No solicitation or gambling on City property;
d) Fireworks, explosives, highly flammable candles and aerosol sprays are prohibited;
e) Attendees cannot exceed stated room capacity;
f) Users who misrepresent an event or affiliation to avoid compliance with these policies or with
the general policies of the City may have reservation privileges suspended and may incur
additional fees or charges;
g) Stubblefield premises must be vacated by rental end time.
User will use best efforts to obtain compliance by all persons involved with or attending any
meeting under this Agreement. City reserves the right to enter any facility or meeting room
on City business at any time when deemed reasonably necessary by the City.
Organizations claiming nonprofit status may be asked to provide a copy of their IRS Form
501(c)(3), Articles of Incorporation, or a Tax-Exempt Certificate.
For-profit and business users will provide the City with a Certificate of Liability Insurance in

the amount of $1,00,000. The Certificate of Insurance must list City of Liberty Hill as Certificate Holder
and as an additional insured. The policy must include coverage for rented property at $100,000
minimum. Depending on the nature of the event, the Certificate of Liability requirement may be waived
at the discretion of the location manager.
6. Affirmative Action Policy. It is the policy of the City to be in full compliance with
all Federal, state, and local non-discrimination and equal opportunity laws, orders and
regulations relating to race, sex, creed, religion, color, culture or ethnicity, sexual orientation,
individual lifestyle, political affiliation, physical limitation, age, national origin, or status as a
disabled veterans or veterans of the Vietnam era.
7. Compliance with Americans with Disabilities Act. The User agrees to comply with all
applicable requirements of the ADA in assuring the availability of auxiliary aids and services
required by any employees and attendees of any event. The User shall be solely responsible for
the cost of any such auxiliary aids and services. The User agrees to indemnify, hold harmless,
and defend the City of Liberty Hill, its City Council & Mayor, officers and employees from and against any
claims resulting from the User's failure to comply with ADA standards for access to its
programs and services.
8. Financial Considerations. User shall pay all fees in advance by credit/debit card when
a Meeting Room Request is submitted; or by cash/check within forty-eight (48) hours of requesting the
reservation. If any required fee or sum is not paid promptly when due or in the event the User shall
violate any of the terms of the Meeting Room Agreement, User shall be required to vacate the premises
and the City shall retain all sums received prior to such termination. Early termination of this agreement
shall not relieve User of any liability for acts prior to User vacating the premises or as a consequence of
User occupying or arranging for occupying the premises.
9. Kitchen Use. These rules apply:
a) The group must bring its own food and beverages, all dishes and cutlery.
b) The group itself must also supply disposable items such as napkins and paper cups or plates.
c) The refrigerator, dishwasher, microwave oven and other appliances may be used during rental
hours.
d) The group may use the sink to clean utensils, dishes and table service, but they must provide
their own dishcloths, towels and detergent.
e) The kitchen and meeting room must be left clean and in order.
f) Trash and garbage must be disposed of in the dumpster behind Stubblefield, and trash can liners
must be replaced.
10. Youth and Children. Children may use Stubblefield only if they are
properly supervised by an adult. Children without adult supervision may be denied. The Stubblefield
Agreement must be signed by an adult (someone age 18 or
older) who undertakes the responsibility as “User” under the Agreement.
12. Assignment. User may not assign or in any way transfer its rights under this
agreement. Nothing in this agreement shall imply any sponsorship, partnership, joint venture,
or other association between the City and the User. The User shall have sole responsibility
for the content and the conduct of its activities on Stubblefield property. The Stubblefield's name shall
not be used to suggest co-sponsorship or endorsement of any activity without prior written

approval of the City.
13. Additions and Deletions to Agreement. Extra charges may be assessed for services,
whether requested by User or deemed reasonably necessary by the City, outside the scope
of the initial agreement. These charges must be approved by both parties prior to incurring the
additional charges. Any modifications of this Agreement must be in writing signed and dated
by both parties and if modifications are made on the face of this Agreement such modification
must be initialed and dated by both parties.

General Description of Services or Project:
The City of Liberty Hill ("City" or "Owner") intends to design and construct pedestrian facilities in
the downtown area. Steger Bizzell (“Engineer”) will perform surveying and engineering to prepare
plans and specifications and will provide construction management services for this project. The
project includes approximately 5,880 linear feet of sidewalk, ramps, driveways, crosswalks, and
other miscellaneous items. The project limits are shown as Phase 3 the attached Exhibit “A”.
The goal of this project is to construct TAS-compliant sidewalks.
City Provided Information or Work: The City shall provide the following services or perform
the following work:
• City shall provide timely review comments to plans and documents submitted by
Engineer.
• City Attorney, or other designed individual or firm, shall perform the required legal
drafting to prepare easement documents, as necessary.
• City shall coordinate any public input and/or project notifications.
Any documents or information related to the Work/Services provided by the City to the Engineer,
including, without limitation, engineering studies, maps, reports, filed data, notes, plans,
diagrams, sketches, or maps (the “Information”) is and shall remain the property of the City, and
Engineer shall have no ownership or other interest in same. The Engineer shall deliver to the City,
if requested, a written itemized receipt for the Information, and shall be responsible for its safe
keeping and shall return it to the City, upon request, in as good condition as when received,
normal wear and tear excepted.
Scope of Services: Engineer shall provide the following services or perform the following work:
Design Phase Services
1) Request utility locates (811 call) prior to survey.
2) Field surveying to locate relevant topographic data.
3) Post-survey drafting to establish CADD model of existing conditions.
4) Perform preliminary site visit to identify design constraints.
5) Prepare preliminary engineering sketches to be reviewed by City prior to continuing with
detailed design.

6) Prepare final engineering plans for construction of approximately 5,880 linear feet of
sidewalk and ramps. Plans will include cover sheet, general notes, estimated quantities,
sidewalk plan view layouts, erosion control, and standard details.
7) Coordinate with TxDOT area office to inform them of the project and provide draft plans
as requested. No permitting process is anticipated.
8) Prepare quantity take-offs and prepare opinion of probable construction cost.
9) Prepare project manual and technical specifications in accordance with CDBG regulations
and requirements.
10) Prepare and submit TDLR project registration.
Bidding Phase Services
1) Assist with bid advertisement and management
2) Hold a pre-bid meeting, bid opening, and prepare a bid tabulation
3) Research bidders and make a recommendation for award of the project
4) Attend city council meetings to answer any questions regarding the award of the project

Statement Regarding Non-Collusion; Prohibited Financial Interests; Prohibited Political
Influences: (Per Article 36 in the Master Service Agreement): Professional hereby represents and
warrants to City that Professional shall not perform any work or services for a third party that is
potentially or actually related to, connected to, a part of, or integral to the work or services that it
has performed is or is performing for the City under this Task Order. Professional shall have the
affirmative duty to bring all such conflicts or potential conflicts to the attention of the City, and
Professional agrees that the City shall be the sole judge as to whether a conflict or potential conflict
of interest with work for private parties or Developer work exists. If in the judgment of the City
such a conflict or potential conflict between City work and Developer work exists, then
Professional agrees to terminate all work under the affected Task Order(s) immediately and that
