The regular meeting was called to order by Chair Cathy Metcalf at 12:05 p.m.

Motion by Commissioner Mellor to approve of the minutes of the August 16, 2022 meeting. Second by
Commissioner Hanes. Approved 8-0

Commissioner Mello nominated Commissioner Mellor for Chairperson and Commissioner Hanes
nominated Commissioner Perrault for Vice-Chairperson. Chairperson Metcalf motioned for
Commissioner Mellor to be Chair and Commissioner Hanes 2nd it. Approved 8-0. Commissioner
Mello motioned for Commissioner Perrault to be Vice-Chairperson, Commissioner Hanes 2nd it.
Approved 8-0.
D-2 Approve Arts Grants for Fiscal Year 2022/2023
Commissioner Hanes asked about approving the grants submitted and Ms. Winn explained that
each that was submitted is what is up for approval. Commissioner Metcalf motion to approve the
grants and Chair Mellor 2nd it. Approved 8-0.
D-3 Discuss and Approve Fiscal Year 2022/2023 Remaining Arts Grants Funding
Commissioner Metcalf let the commission know that there was remaining grant monies this year
and the grant sub-committee has recommended a second round of applications for the remaining
funds to be awarded. Ms. Winn updated the committee that there is $10,136 to be allocated for
more grants for future grant funding. Chair Mellor asked if the arts grants would be evaluated in
May and Commissioner Metcalf explained that the commission could set the time. Ms. Johnston
asked if what is left over normally goes to mini-grants and Commissioner Metcalf let her know
that there are typically very few mini-grants in a fiscal year cycle and this would be above and
beyond that. Ms. Johnston let the commission know that the arts grants would be open to any
amount now through May 31, 2022 and the project must be before June 30, 2023. Ms. Johnston
also asked if the current recipients would be eligible to receive more funds and Commissioner
Metcalf felt they shouldn’t. Chair Mellor suggested them to only be open to new applicants and
the mini-grants open to everyone, even current fiscal year award winners. Commissioner Metcalf
requested a motion to keep the grant applications open until May 31, 2022 including regular and
mini-grants along with different art genres. Commissioner Perrault motioned and Commissioner
Hanes 2nd it. Approved 8-0
D-4 Discuss and Approve Appropriation of Funds for the Relocation of Removed Traffic Control Art
Boxes
Ms. Winn updated the commission that there are three boxes that needed to be relocated and
they are stored at Dave Kirsten’s warehouse on East Kettleman Lane in Lodi. The Arts
Commission discussed on August 16th of 2022 to recommend relocating those boxes into parks
the staff looked into it and the commission shall discuss and approve $1,500 total - $500 per box
to submit the foundations for the relocations of the boxes. Ms. Johnston clarified that the parks
staff will determine the location. Commissioner Perrault asked when the commission will know
what parks are approved and Ms. Johnston said that she doesn’t know at this time but will have
more information at the next meeting. Commissioner Metcalf called for a motion to approve the
$1,500 to allocate funds for the foundation for the relocated traffic control boxes. Commissioner
Mello motioned and Commissioner Perrault approved. Approved 8-0.
D-5 Discuss and Approve Funds for Library Art Sculpture Repair
Commissioner Metcalf reminded the commission that Jerrod Mays, the artist who created the
sculpture, put in a bid for $275 to repair the sculpture damaged by graffiti. Commissioner Metcalf
called for a motion to approve the funds. Commission Jateen Bhakta motioned and
Commissioner Perrault 2nd it. Approved 8-0.
E. Regular Agenda Items
E-1 Discuss Proposed Meeting D/Time Change to Bylaws
Ms. Winn stated that the bylaws would need to be changed if the commission wished to meet at a
different time and date instead of the 2nd Wednesday of the month at 12:00 PM as stated in the
bylaws. Commissioner Metcalf pointed out that the time is not listed and proposed meeting on the
same day at 4:00 PM instead and the bylaws would not need to be changed. Ms. Johnston stated
that she is sure that it is in there, it’s just not in the paperwork that they have at the moment. She
continued that if the commission approves a change then it will be added to the bylaws and taken
to council for approval. Commissioner Metcalf called for a motion for the time to change to 4:00
PM on the 2nd Wednesday of the month. Commissioner Perrault motioned and Commissioner
Jateen Bhakta 2nd it. Approved 8-0.
E-2 Discuss Storm Drain Art Pilot Project Program
Ms. Winn stated that the pilot project to do multiple storm drains in town for art projects. It was
taken to the public works director. On June 8, 2022 the commission discussed and approved the
project proposed. The commission and staff have been working on the proposed project to utilize
three storm drains. Ms. Johnston spoke with director Swimley and he has agreed to allow three
proposed locations in Lodi in the downtown area. After the first year of the location’s completion,
more storm drains can be approved similar to the traffic control boxes in town. They are located
about a block in a half from each other down Pine and School. They are fairly close. The
proposed completion of those storm drains will be April 15, 2023 – National Art Day. It would be
an event and the public would be invited to watch the artists paint on the street. The project is
already approved for funding and the LAC needs to determine a committee. Chair Mellor thanked
staff for getting this started. She asked if the storm drains at Lodi Lake would be used or would it
only be the one’s downtown. Ms. Johnston answered that it would only be the ones downtown
since the ones at Lodi Lake are not suitable for this type of project. This also would keep them
closer together so they could be managed. Ms. Johnston let the commission know that from this
point on the commission would be given staff updates. Commissioner Metcalf stated that she felt
the “Call to Artists” should go out as soon as possible. Commissioner Mellor asked who will
determine the nature of the art since it could be ecology or all art. Ms. Johnston stated that the
commission can determine the direction. Commissioner suggested all art. It was decided to keep
it all art. Commissioner Mellor stressed that the materials for painting are specified and
Commissioner Metcalf stated that that should be included with the Call to Artists. Commissioner
Hanes asked about advertising and Commissioner Metcalf suggested her bring a proposal to
request LAF to spend money on advertising. Commissioner Metcalf requested that the Call to
Artists be ready by November 23rd and that it be sent out to everyone. It was decided to make the
deadline January 17, 2023. The subcommittee should meet and review sometime during the
week of January 25, 2023. The subcommittee for this project was set for Commissioners Mellor,
Clare Bhakta, Avila, and Mello.
F. Comments by Arts Commission and Staff on Non-Agenda Items
The regular December meeting at 12PM next month has been canceled and a special meeting
was set for December 7th at 4PM at Hutchins Street Square.
Commissioner Metcalf was contacted by Steve Dutra of Tree Lodi and was asked if the
Commission could be part of the Arbor Day event to judge children’s artwork again and she said
yes. More information will be available as time goes on.
Commissioner Hanes said he would love to draft and sponsor an ad. Commissioner Metcalf and
Ms. Winn thanked him and said they would be in touch.
Commissioner Metcalf asked each new commissioner to introduce themselves. Clare Bhakta said
she is excited to join the commission. She is from Lodi, a mom, an artist, and she works in
education and technology. Xander Avila said he is from the Bay Area and is a recent transplant to
Lodi in the last two years. He works in HR in manufacturing and he grew up loving the arts and is
expecting his first child. He thinks the arts are great for kids to express themselves. Geneva Mello
is a longtime Lodi resident. She has an art degree and when she is not working on art she works
in the construction industry. She volunteers with Rotary.
Ms. Johnston updated the commission regarding the Poet Laureate program. She reached out to
several literary art foundations, groups, and organizations including UOP. They have received
one applicant that qualifies so far. The proposal should be presented at the next meeting and
then it should go to the city council for approval. After that the winner should begin a one-year
term. They will present original poems at city council and at the library including possible some
school projects. There is a team poetry slam at the end of April at Hutchins Street Square.
Chair Mellor wanted to give three cheers to Commissioner Metcalf for her long and wonderful
service.

Approval.
BACKGROUND INFORMATION:
The Poet Laureate Program shall support Lodi literacy programs and foster appreciation for poetry and its
benefits through reading poetry at civic events, development of commemorative poems that express Lodi life,
and providing workshops to the community. Goals include offering poetry workshops to the community,
supporting Lodi Library’s early childhood and adult literacy programs, fostering an appreciation of poetry in the
lives of community members and increasing community awareness of the benefits and importance of poetry
and the literary arts.
Funding for the Poet Laureate is provided by the Library & Literacy Foundation for San Joaquin (Foundation)
$15,000 Grant. The Department’s Cultural Services staff will administer the Artist selection process and
oversee the Artist(s) during the three-year Poet Laureate program.
The selected Poet Laureate will become the City’s first Poet Laureate, serving as a liaison, advocate, and
leader for poetry, spoken word, and the literary arts. The Poet Laureate will leverage their artistic excellence
and literary achievements to inspire Lodi’s diverse residents to have a greater appreciation of the literary arts.
The Poet Laureate is expected to create engaging and conceptually driven, original works stimulated by and in
response to the local communities, and cultivate critical thinking, connection, and appreciation of the literary
arts through public readings, in-person literary workshops, and civic events.
PRCS issued a Call to Artist (Call) for a Poet Laureate on the city’s website, through social media posts, with
emails to the Lodi Arts Commission and Lodi Arts Foundation, and with the support of Dr. Camille Norton,
poetry professor with the University of the Pacific. Two proposals were received and evaluated by Staff for
responsiveness; one was deemed incomplete as the applicant is not a Lodi resident and did not supply a
number of proposal submission contents and the second was submitted by local teacher, Nancy Aide
Gonzalez St. Clair (Proposer).
The Commission shall review the Call from Proposer to determine whether the Proposer possesses the artistic
qualifications necessary for the satisfactory performance of the services required. Should the Commission
determine if the proposal is satisfactory, the Commission shall vote to approve the Proposer’s submission and
recommend City Council award the Poet Laureate to the Proposer.
FUNDING CONSIDERATION OR IMPACT: Grant funds in the amount of $15,000, $5,000 annually, were
appropriated at the June 15, 2022 City Council meeting to support the expenses related to the Poet Laureate
Program.
Name: Nancy Aide Gonzalez S t. Clair
Nancy Gonzalez St. Clair has lived in San Joaquin County for most of her life. She
obtained her Bachelor of Arts degree in English with a minor in History at
California State University, Sacramento, in 2000. She received her Masters Degree
in Education with an emphasis in school administration at California State
University, Stanislaus, in 2009. Nancy Gonzalez St. Clair is in the doctoral
educational leadership program at the University of the Pacific.
Nancy began writing poetry as an adult. Her work has appeared in Huizache: The
Magazine of Latino Literature, La Tolteca, Mujeres De Maiz Zine, Hinchas de
Poesia, Fifth Wednesday Journal, and several other literary journals. Her work is
featured in the Poetry of Resistance: Voices for Social Justice, Sacramento Voices:
Foam at the Mouth Anthology, Lowriting: Shots, Rides. and Stories from the
Chicano Soul, and Puro Chicanx Writers of the 21st Centuzy,
Nancy has been involved in the poetry community in Sacramento since 2010. She
is a part of several writing groups, including Escritores del Nuevo Sol, Circulo de
Poetas, and the Sacramento Poetry Alliance. Nancy Gonzalez St. Clair served on

BACKGROUND INFORMATION:
The Arts Commission bylaws were updated and adopted in February 2022. At their regular meeting on
November 9, 2022, the Commission discussed changing their meeting time from 12:00 p.m. on the second
Wednesday of the month to 4:00 p.m. on the second Wednesday.
The current Commission bylaws are attached as Exhibit A, Commissioners and staff-proposed redlined
changes as are attached as Exhibit B.
Commissioners will review and approve their proposed bylaw changes and recommend Council approve the
changes at their regular meeting in January 2023.
FUNDING CONSIDERATION OR IMPACT: None.

PURPOSE. R'OLE. SCOPE AND FUNCTION
a) All of the Commission shall meet at the call of the Chairperson or a majority of the
Commission, but not less than once every three months. A majority of the appointed members
of the Commission shall constitute a quorum. The Commission shall keep an accurate record
of its proceedings and transactions.
b) Recommend ways to maintain and increase the artistic and cultural resources of the City of
Lodi.
c) Propose methods to encourage private initiative in the fields of art and culture.
d) Assist in the solicitation of private, state, and federal funding available for the fine and
performing arts.
e) Develop and recommend methods by which to coordinate existing resources and facilities,
and to foster artistic and cultural endeavors and the use of the arts both locally and outside
of the City to promote the best interests of the City.
f) Initiate, sponsor, or conduct, alone or in cooperation with other public or private agencies,
programs to further the development and public awareness of and interest in the fine and
performing arts.
g) Advise and consult with public and private groups, schools, the City, and State or Federal
Cultural and Art Commission interested in, or having knowledge or experience in, the fields
or art and culture of the City.
h) Improve access to the arts through various programs so that the arts are within the reach of
persons of all cultural backgrounds and levels of income. The Commission shall especially
be concerned for segments of the community in which the arts are lacking and needed.
i) Call for studies and make recommendations with a view to formulating methods or ways by
which creative activity and high standards and increased opportunities in the arts and culture
may be encouraged and promoted in the best interest of the City's artistic and cultural
progress and a greater appreciation and enjoyment of the arts and culture by the citizens of
the City of Lodi and how such can be encouraged and developed.
j) Provide preliminary screening of annual requests for allocation of Community Promotion
funds for cultural and art activities and recommend a list of priorities with regard to those
requests to the City Council. The Commission recommendation shall.
I. Be listed by priority ranking to reflect the Commission's recommendations based on
thorough consideration and evaluation of information and data to be submitted by
applicant organizations to justify requested funding;
2. Be submitted in accordance with due dates to be specified by the City Manager to
insure the City Annual Budget review schedules are met; and

k) To perform such other related duties and functions as the City Council may from time to
time direct or otherwise appoint the Commission to administer or coordinate on behalf of
the City.
THE COMMISSION/COMMISSION SERVICE
a) The Commission shall consist of nine (9) members appointed by the mayor from a list of
nominees, who are registered voters in the City of Lodi at the time of their application, with
the approval of the City Council.
b) Each member of the Commission shall hold office for a term of three (3) years, except that:
I. The terms of office for all members of the Arts Commission shall be deemed to run from
July 1 of each year. Commencing on July 1, 1990, the Mayor, with the approval of the City
Council, appointed four (4) new members to the Commission. On July 1, 1991, the Mayor,
with the approval of the City Council, appointed four (4) members, and on July 1, 1992,
the Mayor, with the approval of the City Council, appointed three (3) members.
2. As terms expire, succeeding appointees shall serve for three (3) terms.
3. Current appointees to the commission who are registered to vote in the City of Lodi will
retain their appointment following adoption of these Restated Bylaws.
4. Any member appointed to fill the vacancy occurring prior to the expiration of the term for
which his or her predecessor was appointed shall be appointed for the remainder of such
term.
5. Any member whose term has expired may re-apply for a subsequent term. The mayor
may re-appoint the member who then must be approved by the City Council.
THE COMMISSION/COMMISSIONER
CHAIRPERSON
a) The Chairperson and Vice Chairperson ("Vice Chair") shall be selected by a majority vote of
the Commission at a meeting held in June of each year and shall take office on July 1. The
term of the Chairperson and Vice Chair shall be for one (1) yesIryear.
b) The Chairperson shall serve at the pleasure of the Arts Commission, but not in excess of four
(4) consecutive terms, and the provisions of this subsection shall apply to any person
appointed to fill the vacancy in the office of Chairperson or Vice Chair.
c) The Chairperson shall act as liaison between the Commission and the Parks, Recreation &
Cultural Services Director's designee and Chair the regularly scheduled commission
meetings.
d) The Vice Chair shall serve in the absence of the Chairperson or in the event the Chairperson
is unable to fulfill their duties.

SECRETARY OF THE COMMISSION
The Secretary of the Commission shall either be a member of the Commission appointed by a
majority of the Commission, or the Parks, Recreation, and Cultural Services Director's designee.
The Director shall also designate a liaison to the Commission.
STATEMENTS OF ECONOMIC INTEREST
a) Pursuant to the State of California Political Reform Act, appointees to the Lodi Arts Commission
are required to file with the City Clerk of the City of Lodi a Statement of Economic Interest (Form
700).
b) Filings must be made annually, at the time of assuming office, and at the time of leaving office.
All filings are to be made with the City Clerk of the City of Lodi and are public records and available
for inspection by the public.
MEETINGS AND RULES OF ORDER
ROLL CALL
a) Before proceeding with the business of the Commission, the Secretary shall call the roll of
members and the names of those present and those that are absent shall be entered in to the
minutes.
QUORUM
a) A majority of the Commission constitutes a quorum for the transaction of business. For the Lodi
Art Commission, a quorum would require five (5) members of the Commission to be present.
ATTENDANCE - VACANCIES
The Secretary of the Commission shall notify the City Clerk that an office of an Arts
Commissioner has been vacated if the member:
a) Is absent from three (3) consecutive regular meetings of the Commission without leave of
absence from the Commission expressed in its official minutes, or
b) Fails to meet the Commission-established minimum volunteer requirement of a specified
number of hours or events during the period July 1 through June 30 of each year. The
Commission shall not change the minimum volunteer requirement more than once per fiscal
year.
Such vacancy shall be so declared by the mayor and a new member appointed, with approval of
the City Council, to fill the remaining term.
MINUTES
a) Preparation of the minutes shall be prepared by the Cultural Services Liaison. Minutes shall be
neatly prepared with proper heading, sub-headings, and maintained in a file kept for the purpose
as a record of each type of business transacted by the commission at each meeting. A copy of
approved minutes shall be provided to the City Clerk.

b) The minutes shall include the name and address of each person that addresses the
Commission.
c) As soon as possible after the meeting, the Cultural Services Liaison shall distribute a copy of
the minutes to each member.
d) Reading of the minutes in to the record is not required unless requested by a member. Minutes
may be approved without reading as each member will receive a copy with the agenda for the
meeting at which the minutes will be approved.
GENERAL ORDER AND CONDUCT OF BUSINESS
AGENDA
a) All reports, communications, and other documents or matters to be submitted to the
Commission at their regularly scheduled meeting shall be delivered to the Cultural Services
Liaison no later than five (5) business days prior the regularly scheduled meeting.
b) The Cultural Services Liaison shall prepare an agenda according to the order of business and
shall furnish each member a copy prior to the Commission meeting.
c) The Cultural Services Liaison shall obtain the approval of the Agenda from the Chairperson
prior to distribution and submission to the City Clerk.
d) The Cultural Services Liaison shall forward a copy of the agenda to the City Clerk for posting
no later than seventy-two (72) hours prior to each meeting. No item may be added to the agenda
subsequent to the posting of the agenda by the City Clerk.

RULES OF ORDER
a) Except as otherwise specifically provided in these rules, Roseburg's most recent revision shall
guide the proceedings of the Commission in the conduct of meetings.
VOTING
a) A vote by roll call shall not be required unless a Commissioner specifically requests a roll call
vote, after a motion is made and before the Chairperson calls for the vote.
b) All members present shall vote, unless a member of the Commission audibly states their
abstention, their silence shall be recorded as an affirmative vote. An audible abstention shall be
recorded as an abstaining vote. A member may abstain from voting only if they have a conflict of
interest.

DECORUM
a) Decorum by members when meeting shall preserve order and decorum. No member shall by
conversation or otherwise, delay or interrupt the proceedings or peace of the Commission. No
member may disturb any other member while speaking or refused to the obey the orders of the
Chairperson except as provided in these Restated Bylaws.
b) Decorum by other persons making personal, impertinent, or slanderous remarks or who
become boisterous while addressing the Commission shall be forthwith barred by the Chairperson
from further audience at such meeting, unless permission to continue is granted by the majority
of the Commission.
MEETING TYPES AND PROCEDURES
REGULAR MEETINGS
a) The Lodi Art Commission shall hold regular meetings on the second (2nd) Wednesday of each
calendar month to be held at 4:00pm at Carnegie Forum located at 316 W. Pine Street Lodi
California 95240. The Commission may at any regularly scheduled meeting change the time and
location of the regular meeting which shall constitute a regular meeting for all purposes. An
agenda for said meeting(s) shall forwarded to the City Clerk of the City of Lodi for posting no
later than seventy two (72) hours prior to the meeting.
SPECIAL MEETINGS
a) Special meeting of the Commission may be called at any time by the Chairperson or by a
majority of the members of the Commission by serving a twenty-four (24) hour notice in advance
of the meeting that states the date, time, and location of the special meeting to each member with
a copy forwarded to the City Clerk of the City of Lodi for posting. Posting of special meeting must
be done no later than twenty-four (24) hours prior to the special meeting.
ADJOURNED MEETINGS
a) Any regular or special meeting may be adjourned to a time and place specified in the order of
adjournment.
CALL TO ORDER
a) The Chairperson shall take the chair at the time and place appointed for the meeting and shall
call the Commission to order. In the absence of the Chairperson or Vice-Chairperson, the
Secretary shall call the meeting to order and appoint a temporary Chairperson to lead that
particular meeting only.
THE BROWN ACT
a) All meetings of the Commission shall be subject to the provisions of the Ralph M. Brown Act
(California Government Code Section 54950 et seq.).

ORGANIZATION:
The Commission shall organize and adopt administrative rules and procedures consistent with
these Restated Bylaws if necessary, to accomplish its purposes. The Chairperson shall appoint
such officers or committees as shall be deemed necessary by the Commission. Meetings of
committees consisting of a quorum, or more are subject to the Brown Act.
ANNUAL REPORT
The Commission shall prepare and deliver an annual report to the Parks, Recreational &
Cultural Services Director, not later than one hundred and fifty (150) days after the end of
each calendar year to include an annual account of its activities and upcoming goals.
COMPENSATION
Members of the Commission, the Chairperson, and persons appointed to assist the
Commission in making its studies shall serve at no salary, but shall be reimbursed for travel
and subsistence expenses incurred in the performance of their duties while away from the
City of Lodi in accordance with the travel allowance policies adopted by the City of Lodi, but
only to the extent that appropriations for such travel allowance have been provided in the
Commission's budget and approved by the City Council. All travel must be approved in
advance by the Parks and Recreation & Cultural Services Director.
STAFF SUPPORT
The City Council may authorize, subject to the budget of the Parks, Recreational & Cultural
Services Department as approved by the City Council, such clerical and other staff
assistance, and the acquisition of such equipment and supplies as are necessary to enable
the Commission to conduct its functions and duties.
STAFF ASSISTANCE
The Commission is authorized to secure through the City Manager from any department,
officer, consultant, commission, board, employee, or other instrumentality of the City of Lodi
suggestions, estimates, and statistics for the purposes of carrying out the provisions of these
Restated Bylaws and each such department, officer, consultant, commission, board,
employee, or other instrumentality of the City of Lodi through the City Manager is authorized
and directed to furnish such information, suggestions, estimates, and statistics to the
Commission upon request made by the Chairperson of the Commission or upon the request
of any member or subcommittee of the Commission whatsoever.
MEETINGS - LOCATIONS
The Commission, or on the authorization of the Commission any subcommittee or member
thereof, may, for the purpose of conducting the provisions of these Restated Bylaws, sit and
act in such time or place within the City of Lodi as deemed necessary to the conduct of its
affairs. The deliberations of this Commission shall be held in public session, but this shall not
constitute the sessions as public hearings as a matter of right open to participation by
members of the general public at large, except at the will of the majority of the Commission.
All meetings of the Commission are subject to the Brown Act.

AUTHORITY NON-EXCLUSIVE
Nothing herein in these Restated Bylaws shall be deemed to deprive the City Council or any
board, commission, or officer of the City of any power, duty, or function which such Council, board,
commission, or officer may now have or be hereafter granted, it being the intention that the
powers and functions hereinabove provided to be exercised by the Lodi Arts Commission be non
exclusive. Also, nothing herein contained shall be deemed to require the City Council, or any
board, commission or officer, to refer or submit to the Lodi Arts Commission, or to receive from
such any report or recommendation respecting any matter hereinabove mentioned in these
Restated Bylaws before taking any action or making any decision with respect to such matter, it
being the intention of these Restated Bylaws to authorize the performance of certain functions
by said Commission and not to deprive the City Council or any board, commission or officer of
any power, duty or privilege which it now may have or may hereafter be granted.
