MINUTES OF THE REGULAR BOARD OF ALDERMEN MEETING OF MONDAY, MAY 4, 2020 BY VIDEO CONFERENCING ON ZOOM AND ALSO OPEN FOR THE PUBLIC AT 200 HIGHLANDS BOULEVARD DRIVE 1. CALL TO ORDER Mayor Mike Clement called the Regular Board of Aldermen meeting to order at 7:00 p.m. 2. ROLL CALL AND STATEMENT OF QUORUM Roll call showed those present were Alderman Huether, Alderman Nolte, Alderman Hamill, Alderman Baumann, Alderman Toben, and Mayor Clement. Alderman Ottenad was absent. A quorum was present. 3. APPROVAL OF THE MINUTES a. Minutes of the Monday, April 20, 2020 Public Hearing Alderman Toben made the motion to approve the Minutes of the Monday, April 20, 2020 Public Hearing. The motion was seconded by Alderman Huether and carried unanimously, with no objections from any members of the Board of Aldermen. B. Minutes of the Monday, April 20, 2020 Regular Board of Aldermen Meeting Alderman Toben made the motion to approve the Minutes of the Monday, April 20, 2020 Regular of Aldermen Meeting. The motion was seconded by Alderman Baumann and carried unanimously, with no objections from any members of the Board of Aldermen. 4. ESTABLISHMENT OF ORDER OF ITEMS ON THE AGENDA Mayor Clement added a short report led by City Clerk Justin Klocke about small business resources and some of the updates from the State and County. He will be adding under the City Administrator’s update. Regular Board of Aldermen meeting 05-04-2020 Page 1  Mayor Clement stated that Alderman Huether will be reading Resolution 20-0744 because Alderman Ottenad is absent. Alderman Hamill made the motion to approve the Order of Items on the Agenda, as amended. The motion was seconded by Alderman Baumann and carried unanimously, with no objections from any members of the Board of Aldermen. 5. CONSIDERATION OF PETITIONS AND COMMENTS FROM THE PUBLIC a. Comments from the Public There were none. 6. REPORTS FROM THE MAYOR a. Mayoral Report Mayor Clement spent time last week with City Administrator Perney and Director of Parks and Recreation Kat Schien discussing the summer programming issues and traditions that we have at Manchester. They are trying to address those with some Resolutions that are on the Agenda tonight. He wanted to thank the staff for the help in that. Mayor Clement acknowledged that the Lafayette Areas Mayors Organization (LAMO) continues to be active in providing suggestions to the County Executive by and encouraging safety around our health but also encouraging the County to begin to look at ways to open up the businesses. Mayor Clement stated this Thursday, May 7, 2020, is National Day of Prayer. He will have a proclamation for them at that event. 7. REPORTS FROM THE CITY ADMINISTRATOR a. Discussion regarding Small Business Resources - City Clerk Justin Klocke Mayor Clement acknowledged that he, along with City Administrator Perney, asked Justin what goes on out of Jefferson City and Clayton. To pay attention as to what we need to do for the small business community. City Clerk Justin Klocke stated that today is a big day for the State, it is day one of Governor Parson’s Missouri strong recovery plan. He has been keeping an eye on daily briefings by the Governor and on Monday, Wednesday and Friday from St. Louis County Executive Sam Page. Regular Board of Aldermen meeting 05-04-2020 Page 2  City Clerk Klocke stated that on late May 4, 2020, Dr. Sam Page announced that we will likely be seeing guidelines about reopening. He will be watching to see what the County releases. Dr. Page has said repeatedly that restrictions will be lifted around mid- May. There are a few gating requirements that need to be met to have those restrictions. We are starting to see that trend that way particularly with being able to test and having the adequate amount of people and first responders and essential workers on the front line. City Clerk Klocke stated he wanted to touch on a couple things that the City staff have been working on, he thinks the key thing that he and Deputy Clerk Michelle Melugin have been working on is establishing a clear line of communication between our businesses in the City. That has included staff calling them to update them on rules that have been relaxed by either the Governor or Dr. Page or updating them on certain resources that have become available. City Clerk Klocke stated he wants the Board to know from the feedback he has received that Small Businesses viewing the City as a good resource in itself. We are very aware of what is going on and getting the proper information out there to Manchester businesses. A lot of people are appreciating what Manchester is doing and it is reflecting well on the City. Mayor Clement stated that City Clerk Klocke is really paying a lot of attention as to what is going on. He is seeing the emails and communications from the businesses and they really are appreciative of what the City is doing. He said as soon as we saw what was happening, we quickly had a formation of task force that looked at ways about five or six weeks ago to help them and will continue to help them. b. List of Paid Bills (Warrant dates of 04/21/2020 to 04/29/2020) No questions at this time. c. City Administrator Report City Administrator Larry Perney stated a lot of his work is working with Director of Finance Don Yucuis and all the department heads and looking over what we have for the budget. They have been looking over priorities and cuts that they can make to the budget. He does plan to bring those recommendations to the board at the next Board of Aldermen meeting. Tonight, they will be looking at some of the park’s programming. City Administrator Perney stated Alderman Nolte asked a question at the last Board of Aldermen meeting about general rates and sale tax revenues for this year. He stated that it is hard to get an answer from anybody. He did state that Director Yucuis was finally Regular Board of Aldermen meeting 05-04-2020 Page 3 able to get a hold of the County today, but the State is not really saying much. He did do a google search to see if people are saying anything, but the County Rep did say a 10 percent drop in sales tax revenue for March. Half of the month of March was in lock down. We still do not have a lot of information. City Administrator Perney stated by the next meeting they will have an exact amount for March and that will help a lot. He did say that a lot of people are saying without data, it is only a guess. There will definitely be some loss for sure, they are saying 10 for sure. He said they will give a full report of our sales tax revenues for March and give our recommendations for other budget cuts. 8. REPORTS FROM COMMITTEES a. Planning and Zoning Commission Alderman Hamill stated the Planning and Zoning Commission did meet and had one thing on the agenda. It was a site plan approval for an ADA ramp at 14533 Manchester Road. It was approved by the Commission. b. Veterans Commission No Report. c. Homecoming Committee No Report. d. Budget and Audit Committee No Report. 9. ACTION ON OLD BILLS a. BILL NO 20-2408 SPECIAL USE PERMIT - ATHLETIC FIELD ASSOCIATED WITH THE SEMI-PRIVATE INDOOR SPORTS FACILITY AT 14290 MANCHESTER ROAD Alderman Hamill read for the second time Bill #20-2408, entitled: “AN ORDINANCE CREATING A SPECIAL USE PERMIT AND GRANTING THE SAME TO STL PROS AND WOHLFART HOLDINGS, LLC TO OPERATE AN ATHLETIC FIELD ASSOCIATED WITH THE SEMI-PRIVATE INDOOR SPORTS FACILITY LOCATED AT 14290 MANCHESTER ROAD IN A C-1 COMMERCIAL ZONING DISTRICT,” by title only. Regular Board of Aldermen meeting 05-04-2020 Page 4  Alderman Hamill made the motion that Bill #20-2408 become Ordinance #20-2290. The motion was seconded by Alderman Toben. A poll of the Board showed: Alderman Nolte - aye Alderman Hamill - aye Alderman Toben - aye Alderman Baumann - aye Alderman Ottenad - absent Alderman Huether - aye Mayor Clement announced that the motion passed 5 - 0, with no objections from the Board of Aldermen and one absent. 10. ACTION ON NEW LEGISLATION Mayor Clement stated these Resolutions have to do with the Parks summer activities, programs and the pool. They have felt that these are amenities and not requirements for life in Manchester although they enhance living here. In a normal year all of these activities, programs and concerts would not be in question but this year, we like every community are facing cuts of 10 percent or more. Mayor Clement stated that the first Resolution closes the Manchester Aquatic Facility and the second Resolution is a partial closing of the Manchester Aquatic Facility. He is going to encourage the Board to think if you support the total closure of the aquatic center, he would encourage a vote for that first resolution 20-0743. He said if they think that the aquatic center should remain open or some portion of it you would need to oppose the Resolution and support the second one. Mayor Clement asked if there were any questions regarding these two options that they are voting on. Alderman Toben asked for a recap of the partial opening and what that entails. Director of Parks, Arts and Recreation Kat Shien answered that the idea with the partial closing, with her bias of a Parks and Recs Director, it is hard for her to imagine not offering an aquatic facility because it is so well loved but understands the fiscal impact this could have. She said in order to maximize the benefit of the aquatic center, they came up with some creative solutions. One of the creative solutions was to keep the competitive pool open because that is where the bulk of revenue comes from with swim teams, swim lessons and it allows people to swim in shallow and deep water. They can many people around the surface areas while having significantly less utilities, staff and lifeguarding She Regular Board of Aldermen meeting 05-04-2020 Page 5 is willing to open the entire facility on Memorial Day, however, we have a significant chance of incurring serious losses that way. Director Shien stated that Manchester is kind of operating in the dark. We are weather dependent, attendance dependent, but our best chance to open the facility and mitigate some of the costs is to just have the competition pool open. We are just trying to think creatively and provide some alternative to the Board other than only opening and only closing. Alderman Nolte said, can you highlight again just the difference in costs between the two resolutions? Director Shien answered that over the past four years the aquatic facility has lost an average of $47,000 dollars per year with the entire facility open. Opening the whole facility this year with the loss in revenue, to offset our cost we are looking at potentially losing between $70,000 and $100,000 dollars on the aquatic center if the entire facility is open. Director Schien stated that option one means closing the facility and probably losing between $20,000 and $30,000 dollars because we have some fixed costs when it comes to utilities and other things that we cannot avoid. However, option two is if the stay at home order is lifted and they allow groups of 50 or more to gather. Opening the pool and allowing groups in at specific times; this has the potential to lose money if we have poor weather, people are afraid and don’t want to come out but it also has the potential to break even. There is a wide gap in there for estimating with breaking even or losing up to $50,000. What they would do is watch that very closely and shift our hours and cutting staff and sending them home if we are not seeing that response. Director Schien stated they did send out a survey on Facebook and to their participants on swim teams. They saw a 60 to 62 percent group that said that they absolutely will be there. They did see a 38 percent group that said they are either not sure or I am not willing to risk it. They had about 250 to 300 responses to this survey. Alderman Baumann asked how many other communities have closed down their pools already. Director Schien answered that several others are making decisions this week. Right now, Florissant and Ellsiville have closed down. She said the ones that have said yes are Clayton, Ballwin and Webster Groves. She said some of the ones that can open manage them in house and can manage those losses more precisely. Ballwin has stated things like if we cannot have at least two hundred people, they will only be offering aquatic programming like swim lessons and swim team and not offering the opening of the facility. She said everyone is trying to find a middle ground and what is most feasible for their community. Regular Board of Aldermen meeting 05-04-2020 Page 6  Alderman Huether asked with her attendance assumptions for the budget, is she assuming that every shift will have 50 people appear and if it will be sold in a pass situation or will people be charged a fee when they come to the pool. Director Schien answered it would be a daily admission fee and they would not do passes because we could not guarantee entry for each day or at their leisure. The daily admission would be a discounted rate. The rate that they are looking at currently would be $4 dollars. She said when it comes to the amount of people entering the facility, their estimation can vary with a wide gap between break even and at max maybe $10,000 all the way to that negative $50,000 because they are not sure. She is not sure how many people will show up. She said because of the desire to get out, the safety of water because Covid cannot be transmitted through water and because other facilities are closing nearby, they might see a significant amount of people. But again, if we have a cold summer and the weather is not there we are in trouble anyways. Alderman Huether stated it is hard to make the estimation. She asked about the responses from the survey. She wondered if the respondents knew that the family of 4 would cost $16 dollars for each trip to the pool. Director Schien answered they did not know; they were simply trying to see if there was a willingness to attend in a safe environment. They really saw a complete polarization. Alderman Hamill asked if we saw the numbers were actually there and had a lot of support, logistically would it be possible in late May or early June to open up the rest of the pool or once we make the decision that is the end of it. Director Schien answered that she thinks the lifeguard company, Midwest Pools, would work with us. She does think that we would be able to accomplish that if we had a couple weeks to get the staff ready. Alderman Nolte stated that if we did a closing, is it pretty much a done deal and not changing our minds in June. Director Schien answered could not get the pool ready over a weekend but she could probably open the pool within a couple weeks. By then she is not sure our revenue would offset those costs that we have put in the facility. Mayor Clement stated he believes Director Schien did a study showing a late start and it showed a loss of $70,000. She looked at a late start in late June. Director Schien stated the loss would be about $70,000. Regular Board of Aldermen meeting 05-04-2020 Page 7  a. RESOLUTION NO. 20-0743 - A RESOLUTION CLOSING THE MANCHESTER AQUATIC FACILITY Alderman Nolte read Proposed Resolution #20-0743, entitled : “A RESOLUTION OF THE CITY OF MANCHESTER BOARD OF ALDERMEN CLOSING THE MANCHESTER AQUATIC FACILITY FOR THE SUMMER SEASON OF THE YEAR 2020 IN RESPONSE TO THE OUTBREAK OF THE COVID-19 PANDEMIC”, by title only. Alderman Nolte made the motion for the approval of Resolution #20-0743. The motion was seconded by Alderman Huether. Mayor Clement asked for a roll call vote. Alderman Nolte - aye Alderman Hamill - nay Alderman Toben - nay Alderman Baumann - aye Alderman Ottenad - absent Alderman Huether - aye Mayor Clement asked Attorney Paul Rost if this is a majority vote. Attorney Paul Rost answered yes because it is a Resolution. SInce it is 3 to 2, it is a pass. Mayor Clement stated the vote passed with a 3 to 2, with one absent. b. RESOLUTION NO. 20-0744 - A RESOLUTION AUTHORIZING THE PARTIAL OPENING OF THE MANCHESTER AQUATIC FACILITY Alderman Huether read Proposed Resolution #20-0744, entitled: “A RESOLUTION OF THE CITY OF MANCHESTER BOARD OF ALDERMEN AUTHORIZING THE PARTIAL OPENING OF THE MANCHESTER AQUATIC FACILITY FOR THE SUMMER SEASON OF THE YEAR 2020 IN RESPONSE TO THE OUTBREAK OF THE COVID-19 PANDEMIC”, by title only. Alderman Toben asked if the partial opening hypothetically could give us the opportunity to break even. But if we close it down, a cost of $20,000 to $30,000. This Resolution would give us that option. Director Schien stated that is correct, or to at least lose less than to close the whole facility. RESOLUTION NO. 20-0745 - A RESOLUTION RECOMMENDING THE OPERATION OF PARKS, RECREATION, AND ARTS DEPARTMENT SUMMER CAMP PROGRAMS Alderman Huether read Proposed Resolution #20-0745, entitled: “A RESOLUTION OF THE CITY OF MANCHESTER BOARD OF ALDERMEN RECOMMENDING THE ADVANCEMENT OF THE PARKS, RECREATION, AND ARTS DEPARTMENT’S SUMMER CAMP PROGRAMS FOR THE YEAR 2020”, by title only. Director Schien stated when she spoke with the Mayor and City Administrator Perney, they went through the programs and evaluated them on three components: compliance with State and County laws, safety of staff and patrons, and the profit and loss. When it comes to camp, they really feel that they can follow all the CDC guidelines, all the State and County guidelines while also providing a safe and fun environment for the youth in this community. It is also profit positive and they do make money off of camps and it also employment to our youth here in Manchester. Alderman Baumann asked if there was not full enrollment if Manchester could cancel the summer camp program. Director Schien answered they could cancel but the day camp program is actually 60 kids per group so what they would do modify staff ratios to children ratios. Alderman Huether made the motion for the approval of Resolution #20-0745. The motion was seconded by Alderman Baumann. RESOLUTION NO.20-0746 - A RESOLUTION CANCELLING THE MANCHESTER SUMMER CONCERT SERIES Alderman Baumann read Proposed Resolution #20-0746, entitled: “A RESOLUTION OF THE CITY OF MANCHESTER BOARD OF ALDERMEN CANCELLING THE MANCHESTER SUMMER CONCERT SERIES FOR THE YEAR OF 2020 IN RESPONSE TO THE OUTBREAK OF THE COVID-19 PANDEMIC”, by title only. Director Schien stated that she felt they could not comply with the safety and social distancing, plus these are profit negative. Manchester does not receive revenue to cover them. Alderman Baumann made the motion for the approval of Resolution #20-0746. The motion was seconded by Alderman Toben. RESOLUTION NO. 20-0747 - A RESOLUTION CANCELLING THE MANCHESTER MOVIES IN THE PARK PROGRAMS Alderman Toben read Proposed Resolution #20-0747, entitled: “A RESOLUTION OF THE CITY OF MANCHESTER BOARD OF ALDERMEN CANCELLING THE MANCHESTER MOVIES IN THE PARK PROGRAM FOR THE YEAR OF 2020 IN RESPONSE TO THE OUTBREAK OF THE COVID-19 PANDEMIC. RESOLUTION NO. 20-0748 - A RESOLUTION CANCELLING INDEPENDENCE DAY EVENTS Alderman Hamill stated he understands the City has already paid for fireworks this year. Mayor Clement and City Administrator Perney answered yes. Alderman Hamill asked what, if anything, needs to happen in the very near future to protect the City. City Administrator Perney stated that May 5, 2020 is the deadline if we want to get a refund of 90 percent. He stated that is one situation that we are looking at. They did say we could push it and pay for next year's fireworks so we could move it, which might help next year's budget, or we can do it at another time. Alderman Nolte stated that it would not make sense to refund verses moving it to next year. Director Schien stated he is happy to do give us deadline extension if we are willing to move the program to later in the year or next year. He is not willing if we are asking for a refund because he has already purchased that product. That is a significant amount of money for that product that he cannot get back. Alderman Hamill stated this is an event that we could hold and limit the amount of people in the park and it is possible to see the fireworks from a lot of different locations other than the park. Regular Board of Aldermen meeting 05-04-2020 Page 11  Director Schien answered this is not a question of safety and the numbers, the question is the City be able to bear the expense. Alderman Hamill stated when she speaks about the expense, is she speaking about the cost of the show or is she talking about staff costs associated with it. City Administrator Perney stated the fireworks are $20,000. Alderman Huether asked what the additional costs are. City Administrator Perney answered for the police around $5,000. Mayor Clement stated that he was not aware when they drafted these Resolutions that we had already spent that money. Clearly if we think that and have no problem putting this toward next year or having something later this year when things are not as tight and say no to this and move forward. We are not going to lose any money and we could use this in 2021 and it could help next year's budget. Alderman Hamill inquired if we normally do a three-year contract, is this the third year or would we be on the hook for another year as well. City Administrator Perney stated this is the first year. Director Schien stated that we would not have to pay for next year as well. She is saying, the owner recognizes this. She explained it is like three individual contracts with one year with the option to renew. Alderman Hamill stated that basically the only reason to approve this Resolution is to seek the 90 percent refund. Mayor Clement stated that is correct. City Administrator Perney asked about the rest of the Independence Day festivities. Alderman Hamill asked if the owner was getting ready to order the product since we have a deadline coming up to receive a 90 percent refund. Director Schien answered that after tomorrow we would be eligible for a 50 percent refund as opposed to a 90 percent refund. Alderman Hamill asked how long the owner will be willing to hold the product for Manchester. Director Schien stated that the owner said he has storage and will be willing to hold it for us for when we are ready to use them. Regular Board of Aldermen meeting 05-04-2020 Page 12  Alderman Huether asked if we have any concerns with the strength of this company and if we decide to carry our balance into next year. Director Schien answered she has low concerns. She said we have worked with him for 7 years. She does not feel at this point that the business is unstable. Alderman Hamill read Proposed Resolution #20-0749, entitled: “A RESOLUTION OF THE CITY OF MANCHESTER BOARD OF ALDERMEN CANCELLING THE EVENTS IN CELEBRATION OF INDEPENDENCE DAY FOR THE YEAR OF 2020 IN RESPONSE TO THE OUTBREAK OF THE COVID-19 PANDEMIC”, by title only. Alderman Huether stated that she wanted to make sure she was understanding it all. She said if they make a motion and cancel the fireworks, we will then make some sort of additional decisions as to what to do with the money in the future. Mayor Clement stated if everyone is to vote no on this Resolution, it means that the money that has already been spent for the fireworks will stay committed to these fireworks and the fireworks will be another time this year or will be used next year. He said what will be unresolved will be the expense for the band. He believes this is for the fireworks. A vote for it would mean everything is cancelled and we would get the 90 percent refund. Alderman Hamill made the motion for the approval of Resolution #20-0748. The motion was seconded by Alderman Toben. RESOLUTION NO. 20-0749 - A RESOLUTION CANCELLING THE MANCHESTER HOMECOMING Alderman Nolte read Proposed Resolution #20-0749, entitled: “A RESOLUTION OF THE CITY OF MANCHESTER BOARD OF ALDERMEN CANCELLING THE MANCHESTER HOMECOMING FOR THE YEAR OF 2020 IN RESPONSE TO THE OUTBREAK OF THE COVID- 19 PANDEMIC”, by title only. Regular Board of Aldermen meeting 05-04-2020 Page 13  Alderman Hamill asked if there is real time sensitivity and wonders if it needs to be done right now. Director Schien answered the only time sensitivity things are the contract with the rides and tent companies. She said they could put something in the contract that we have the option to cancel both of those later down the road. She does not think we have to make a decision tonight. Mayor Clement asked what other communities are doing with their festivals. City Administrator Perney answered that Ballwin is cancelled. Alderman Hamill stated that he feels we could revisit this at a later date when we have more information. Mayor Clement stated he agrees, and they could look at it later. Director Schien stated also that Homecoming is so weather permitting. Also, we are worried about turnout. On the years that it is good we might break even but the years that we have a rainout we normally see a loss. Alderman Nolte stated that he thinks we should revisit this at a later date since there is no pressing time issue. Mayor Clement asked Director Schien when the deadline is. Director Schien stated that she would need to contact the rides company and see what type of deadline they would need. Alderman Nolte stated that he is not going to bring the motion. h. RESOLUTION NO. 20-0750 - A RESOLUTION CANCELLING THE MANCHESTER COMMUNITY BAND CONCERTS Alderman Hamill read Proposed #20-0750, entitled: “A RESOLUTION OF THE CITY OF MANCHESTER BOARD OF ALDERMEN CANCELLING THE MANCHESTER COMMUNITY BAND CONCERTS FOR THE YEAR OF 2020 IN RESPONSE TO THE OUTBREAK OF THE COVID-19 PANDEMIC. Alderman Hamill made the motion for the approval of Resolution #20-0750. The motion was seconded by Alderman Huether. A roll call vote showed: Regular Board of Aldermen meeting 05-04-2020 Page 14  Alderman Huether - aye Alderman Nolte - aye Alderman Hamill - aye Alderman Baumann - aye Alderman Toben - aye Alderman Ottenad - absent Mayor Clement announced the Resolution passed with a vote of 5 - 0, with one absent. Mayor Clement wanted to thank the Board knowing this was a difficult meeting. He said that Director Schien will bring everyone up to speed on some of these answers that they still need to have to move forward. a. Comments from the Public Mr. Keith Brown, 916 Chestnut Ridge Road, stated that based on the voting that just took place, he wanted to know how this will affect public notification of those items. Mayor Clement stated they are meeting tomorrow but currently the plan is to send out a letter to the community and post it on our website and Facebook. Mr. Brown asked how the July 4th will be explained? Mayor Clement answered that he does not know if they will do a lot of promoting for the July 4 unless we hear from the County Executive this week that things are really going to open up. He said it might be where we mention to watch Manchester’s website and facebook for 4th of July information. Alderman Baumann asked if a Manchester Message will go out prior to the 4th of July. Mayor Clement stated there will be no Manchester Message before the 4th of July. There will be a Message before Manchester Homecoming. Ms. Bonnie Krueger wanted everyone to know that she is officially back to work at the paper on a limited basis, but she will be in contact with Director Schien to discuss tonight’s meeting. 11. MISCELLANEOUS a. Comments from the Public Regular Board of Aldermen meeting 05-04-2020 Page 15  There were none. 12. EXECUTIVE SESSION Alderman Hamill made the motion to go into “Closed Session: Pursuant to section 610.021 (1) of the Revised Statutes of the State of Missouri pertaining to legal actions, causes of action or litigation involving a public governmental body and any confidential or privileged communications between a public governmental body or its representatives and its attorneys.” The motion was seconded by Alderman Nolte. A poll of the Board showed: Alderman Huether – aye Alderman Nolte – aye Alderman Hamill – aye Alderman Toben – aye Alderman Baumann – aye Alderman Ottenad – absent Mayor Clement stated that the motion passed by a vote of 5-0, with no objections from members of the Bord of Aldermen. 13. ADJOURNMENT At 8:40 p.m., after the Executive Session, there being no further business, Alderman Hamill made a motion to adjourn. The motion was seconded by Alderman Baumann and carried unanimously.
