1. Call to Order

Present: 9- McMeans, Howe, Able, Sladky, Brey, Soeldner, Nickels, Kummer and Czekala
Absent: 1- Sitkiewitz
Also present were City Attorney Kathleen McDaniel, Human Resources Director Jessie Lillibridge,
Community Development Director Nic Sparacio and Deputy Clerk Deborah Neuser.
3. Public Comment
Chairperson Brey read the notices to go into closed session: Notice is hereby given that the above
governmental body may adjourn into a closed session during the meeting as authorized by Section
19.85(1)(c) of the Wisconsin Statutes, which authorizes the governmental body to convene in
closed session for the purpose of considering employment, promotion, compensation or
performance evaluation data of any public employee over which the governmental body has
jurisdiction or exercises responsibility.
The specific subject matter that may be considered in closed session is:
Resolution establishing compensation for Finance Director.
And, notice is hereby given that the above governmental body may adjourn into a closed session
during the meeting as authorized by Section 19.85(1)(g) of the Wisconsin Statutes, which
authorizes the governmental body to convene in closed session for the purpose of conferring with
legal counsel for the governmental body who is rendering oral or written advice concerning strategy
to be adopted by the body with respect to litigation in which it is or is likely to become involved.
The specific subject matter that may be considered in closed session is: Discussion on settlement
of Menard's tax assessment cases (15CV200, 16CV279 and 16CV362).
Moved by Able, second by Soeldner, to convene in closed session. The motion carried on roll call
vote: Aye: 9 - Howe, McMeans, Able, Brey, Kummer, Soeldner, Czekala, Sladky and Nickels.

Moved by Nickels, second by Able, to reconvene in open session. The motion carried on roll call
vote: Aye: 9 - Howe, McMeans, Able, Brey, Kummer, Soeldner, Czekala, Sladky and Nickels. Nays:
none.

17-0029 Settlement Agreement of Menard's tax assessment cases (15CV200, 16CV279
and 16CV362).
Moved by Nickels, seconded by Sladky, that this Action Item be entered into. The
motion carried by the following vote:
Aye: 8- McMeans, Howe, Sladky, Brey, Soeldner, Nickels, Kummer and Czekala
Nay: 1- Able
17-0028 Resolution establishing compensation for Finance Director.

Moved by Nickels, seconded by McMeans, that this Action Item be adopted. The
motion failed by the following vote:
Aye: 4- McMeans, Brey, Nickels and Kummer
Nay: 5- Howe, Able, Sladky, Soeldner and Czekala
It was then moved by Able, second by Soeldner, to place on file. The motion carried by the following
vote:
Aye: 5 - Howe, Able, Sladky, Soeldner and Czekala
Nay: 4 - McMeans, Brey, Nickels and Kummer

given to the public, to the Herald-Times-Reporter, the official newspaper of
Manitowoc, and to those news media who have filed a written request for this
notice that a meeting of the above-referenced will be held at the date, time and
location listed above.
Notice is hereby given that a majority of the Common Council of the City of
Manitowoc may be present at this meeting to gather information about the
subject matter over which they have decision making responsibility.
The above governmental body will meet to discuss and possibly take action on
the agenda items set forth below.
