Call to Order 2. Roll Call Present: 10 - McMeans, Howe, Sitkiewitz, Kummer, Czekala, Novak, Lotz, Gabriel, Williams and Brey Absent: 1- Nickels Also present: Wastewater Superindentend Mike Jaeger, Director of Public Infrastructure Dan Koski, City Attorney Kathleen McDaniel, Community Development Director April Kroner, Deputy City Clerk Mackenzie Reed-Kadow, Attorney Andrew J. Steimle 3. Public Comment Council President McMeans declared the meeting open for public input. In accordance with policy, the public input portion of the meeting is not made a part of the official record. 4. Discussion and Action Items 18-1185 Intergovernmental Agreement between the City of Manitowoc and Manitowoc Public Utilities for Management of Wastewater Treatment Facility Attachments: Agreement Post Call MPU and WWTF Services Agreement FINAL Exhibit A - Scope of Services.pdf City Attorney Kathleen McDaniel provided an overview of the negotiations and the agreement. Committee stated concerns with Section 5 covering Invoices, Payment, Hourly Rate, and Fees, specifically with the reimbursement rate of 1.8 times the actual employee hourly rate, there being no "not to exceed" language, and vagueness surrounding at what point/for what services will be billed. Moved by Alderperson Gabriel to table this item, motion fails for lack of a second. Committee agrees to set this item aside and take up later on in the meeting. The motion carried by the following vote: Aye: 11 - McMeans, Howe, Sitkiewitz, Nickels, Kummer, Czekala, Novak, Lotz, Gabriel, Williams and Brey Council President McMeans read the notice to go into closed session: Notice is hereby given that the above governmental body may adjourn into a closed session during the meeting as authorized by Section 19.85(1)(e) of the Wisconsin Statutes, which authorizes the governmental body to convene in closed session for the purpose of deliberating or negotiating the purchasing of public properties, the investing of public funds, or conducting other specified public business, whenever competitive or bargaining reasons require a closed session. The specific subject matter that may be considered in closed session is: 18-1157 Update on Acquisition of the Canadian Railroad Peninsula 5. Closed Session Moved by Brey, seconded by Howe, to convene in closed session. The motion carried by the following roll call vote: Aye: 11 - McMeans, Howe, Sitkiewitz, Nickels, Kummer, Czekala, Novak, Lotz, Gabriel, Williams and Brey 18-1157 Update on Acquisition of the Canadian National Peninsula Committee of the Whole deliberated in closed session. The motion carried by the following vote: Aye: 11 - McMeans, Howe, Sitkiewitz, Nickels, Kummer, Czekala, Novak, Lotz, Gabriel, Williams and Brey 18-1185 Intergovernmental Agreement between the City of Manitowoc and Manitowoc Public Utilities for Management of Wastewater Treatment Facility Attachments: Agreement Post Call MPU and WWTF Services Agreement FINAL Exhibit A - Scope of Services.pdf Moved by Brey, seconded by Kummer, that this Agreement be entered into subject to changes discussed around hourly rates and billing terms and referred to council.
