City of Marlborough Council on Aging Board Minutes of July 30, 2024, Meeting The regular meeting of the Council on Aging Board was held on Tuesday, July 30,2024, at 8:30 AM at the Marlborough Senior Center, 40 New Street. Board members present: Judy Benedetto, Leslie Biggar, Joseph Bisol, Kathy Faddoul, Pat Gallier, Zella Haesche, Judy Kane, Donna scalcione, Marylou Vanzint Absent - Raymond Magee - Board Member Absent - Linda Warren - Board Member Meeting adjourned at 9:25 AM Ordered: The minutes of the June 1lth meeting. Motion: Judy Kane Seconded: Chair The minutes of the June 11h meeting have been previously distributed. There were no corrections or changes to the minutes. The minutes of the June 11th meeting are approved as distributed. Executive Director's Report o cummings Foundation Grant - $75,ooo ($25,000 per year for 3 years) To be used to offset the cost of hiring a chef for the kitchen lunch program. Kennedy's will continue to provide lunches through August. The plan is to start the new lunch program in mid-september. . MA Council on Aging Grant - $Z5,OOO to be used to enhance current senior transportation program. We will now have an exclusive senior center bus five days a week. o MA Council on Aging Grant - $3,400 to be used to develop a marketing/informational packet for services available to seniors. o MetroWest Food Collaborative Grant - $1,500 to be used to purchase grocery gift cards for seniors in need. r The mailing list of the newsletter has been taken over by the senior center. The senior center will be collecting the $ 10 fee to have the newsletter mailed to homes. The newsletter is available for free at the senior center and through email for people that sign up. Discussion of Mary Grimaldi E-mail hightighting areas where the Board could provide assistance. o Mary encouraged board members to send in suggestions for ideas and also to attend activities and events. Discussion and Review of changes approved by the legal department. The following documents were reviewed. r Draft of proposed changes to by_laws o Copy of current by-laws . Copy of City Charter Chapter# 16L The proposed changes to the by-laws were approved by a unanimous vote. Chair - Updates r Springwell Updates for June and July were clistribr-ited to each Board member. e Joe informed the board that the by-laws changes approved at the meeting today will be presented for final approval at the September meeting. o Joe indicated that future Board meetings will include a discussion on the Senior Center budget process, discussion on a formal refund policy and possible speakers regarding heath care issues. I have two great ways that the Board may be able to assist me in coordinating programs for the Senior Center. The first is for Board members to suggest various ideas for programming. I am always open to hearing new suggestions. A few Board members have already done this - Pat Gallier had suggested the idea forthe BohnamsSkinnerAppraisal eventwhich we are having in June. She had seen thatthe Northborough Senior Center held a similar event. She had also suggested a Lunch and Learn featuring a PhysicalTherapist talking about dealing with neck and shoulder pain. I am currently working on this in conjunction with Marlborough Hospital. Judy Kane had given me the card of an Entertainer she had enjoyed seeing at another venue. I am keeping him in mind fora future event. Kathy Faddoul and I have collaborated on two presentations so far with the Assabet Health Technology students. These are some of the examples how the Board members have assisted me so far. lt's great to hear about programs and activities that people have thought of themselves or have seen at other senior centers, libraries, music venues, etc. A second way the Board members can assist me is to attend the various programs and activities. I would love for Board members to participate (whether it is attending a party, a Lunch and Learn event, a craft class or even a movie) and offer me feedback regarding what worked well, what didn't work well, etc. I am always looking for ways to improve on what we offer for our seniors, always making sure to keep the events both budget friendly and wallet friendly. Thank you for your assistance and I look forward to continuing to coordinate fun, entertaining and meaningful activities at the Marlborough Senior Center. Name of the organization: Marlborough Council on Aging Section 2. Responsibilities 2,1 The Marlborough Council on Aging board ("Council on Aging" or "Council") shall cooperate with the Massachusetts Executive Offlce of Aging & Independence and shall be cognizant of all the state and federal legislation concerning funding, infonnation exchange and prograrn planning which exists for the better commurrity programmrng for the elderly. 2.2 ldentify the total needs of the City of Marlborough's elderly population. 2.3 Educate the City of Marlborough and enlist support and participation of all citizens conceming the needs of the elderly. 2.4 The Council on Aging with other City of Marlborough agencies and organizations shall assist in the design, promotion, implementation, and coordination of programs and suppoft services to assist the elderly population in the City of Marlborough. 2.5 The Council on Aging shall serve as an advisory board for the Executive Director of the Council on Aging ("Executive Director") in programs planning, budget preparation and Senior Center operations. 2.6 If any member of the Council on Aging misses more than three (3) consecutive meetings within the year without a valid reason as determined by the Council, and the Council feels that the member should be replaced, the matter will be discussed with the Mayor for suitable action. BY.LAWS. DRAFT MARLBOROUGH COUNCIL ON AGING Section 3. Membership, terms, Chairperson: 3.1 At least 5 loh of the membership of the Council on Aging shall be over sixty (60) years ofage. 3.2 Council on Aging members may recommend member prospects to the Mayor for consideration. 3.3 The Council on Aging shall be composed of eleven (11) rnernbers who shall be appointed by the Mayor, subject to the confimation of the City Council, and who shall serye withollt compensation, each for a term of four years and until their successor is appointed and qualified and shall be measured from the first Monday in May next following the original appointment. The Chair-of the Council on Aging ("Council on Aging Chair" or "Chair") is to be designated by the Mayor. 3.3.1 The Chair shall: A. Regularly consult with the Executive Director B. Arrange an agenda for each meeting. C. E,nsure that there is a quorurn present for each meeting. A quorum requires that at least 6 members be present prior to calling thc rnccting to ordcr. D. Keep the agenda, entertain motions, allow discussions for motions, cnsurc formal dispositions of motions and maintain order. 3.4 Council on Aging mcmbcrs shall serve for no more than two (2) terms of fbur (4) years, however member terms may be extended by majority vote of the Council. Any tnetnber who, for any reason, cltooses to resign before their tenn is complete shall providc imrncdiatc writtcn notice of their resignation to the Chair and to the Mayor. 3.5 Whcn vacancics occrlr on thc Council on Aging, such vacancies shall be filled for the retnainder of the unexpired terms and shall be made as provided for in the original appointment. AII individuals who have expressed an interest in filling vacancies on the Council shall be considcred to fill such vacancics, including any individuals who have been recornrnended by remaining Council menrbers pursuant to Section 3.2. Rights and Powers: 4.1 Each Council on Aging mcmber, by acccpting such status, shall fbr all purposes be conclusively deerned to have accepted and to have agreed to be bound by the City of Marlborough City Code, Chapter 161, and the Council on Aging By-Laws as the same nray thcn exist or may, fiorn time to time, be amcndcd. 4.2 The Council on Aging may establish sub-committees or voluntccr committees for particular projects or to further the mission of the Council. All con,rnittees require the full vote of the board. 4.2.1The Vice Chair shall, in the absence of the Chair, ternporarily perfonn the duties of thc Chair in conjunction with the Sccretary. 4.2.2 The Secretary shal I : A. Section 6. Regular Meetings: 6.1 Rcgular open meetings shall bc held on the sccond Tuesday of cach month. Mccting dates may be changed, in a rnanner consistent with the Open Meeting Lalv, for reasons including conflicts with other events at the Senior Center. Meetings may be held rernotely in the event of a public health cmergency or a declaration of disastcr to the extcnt perrnitted by applicable law, including the Open Meering Law. 6.2 Votes takcn during Council on Aging meetings rcquire a sirnple majority of thc mernbers present. I The Council on Aging shall hold an annual tneeting ("Annual Meeting") in June of each year. 1.2 At each Annual Meeting, thc Council on Aging shall elect frorn its mcmbcrship a Vice Chairand a Secretary, who shall hold office until the nextAnnual Meeting. 7.3 In the event of a vacancy in the Vice Chair and/or Secretary positions, the Council on Aging shall, by rnajority vote, elect one of its members to fill the vacancy or vacancies. Section 8. Collateral Organizations: 8.1 The Council on Aging rncmbers shall appoint a delegate ("Delegate") to scrve on the Board of Directors of Springwell, Inc ("Springwell"). The Delegate shall attend regular board meetings of Springwell. The Council on Aging members shall also appoint an altemate delegate ("Alternate Delegate") to selve on the Board of Directors of Springwell. The Alternate Delegate shall attend regular board meetings of Springwell when the Dclcgatc is not able to attcnd. Section 9. Amendments: 9.1 These By-Laws rnay be anrended or repealed at Council on Aging nreetings, including the Annr-ral Meeting. Section 10. Conflicts: 1 0. I If any pafi of these By-Laws conflicts with municipal ordinances or state or federal law, then the applicable ordinance/law shall govern. Section 11. Agenda Item # 7 Chair Updates Springwell Update r June 2o.24 Springwell Update - July 2o.24 spri ngwell SPRINGWELL UPDATES FOR COAs June 2024 At theJune meeting, the Board received an overview of the Springwell budget and voted to approve as presented. An update was provided regarding changes at EOEA and Mass Home Care and a reminder about new Board member recruitment. In addition, the following updates wele shared: o Benefit Application Assistance: l.'unding for the program has been extended until September 30. Springwell has 2 PT Benefit Support Specialists who are available to assist with MassHealth applications. Individuals in need of assistance can access this service through Springwell's Information & Referral Department. o Nutrition: Home Delivered Meals in the MetroWest communities will be shifting from a hot meal to a chilled meal that can be reheated. The chilled meal has been used in Greater Boston communities for the last several years and has resulted in a higher quality meal for consumers. There is no date for the transition but before the change occurs, all consumers will receive notice and instructions on how to reheat meals. Care Managers will also work with consumers to ensure that everyone has the means to reheat a meal. o BayPath websites: There are still 2BayPath websites that have remained active but will soon be taken down: baypath.org and caregivingmetrowest.org. Neither BayPath website has been maintained and there are several pages from baypath.org that have already been redirected to springwell.corn. Additional redirection will begin inJuly with both websites being removed by September. The Board received an overview of how Springwell monitors vendors as well as results of annual surveys. In addition, the following updates were shared: o Options Counseling:'l'his program provides unbiased information to help people find long-term personal care, transportation services, and other resources to assist in the aging process. Options Counselors can provide guidance on where to live-whether that means staying home, moving in with family, or finding a nursing home or assisted living facility. An Options Counselor can meet in person or speak with someone over the phone and assist in determining next steps for you or your lovecl one. Referrals for Options Counseling can be made by calling Springwell's Information & Referral Department. o Home Care: EOEA has changed the name of the Respite Over Income and Over Income programs to Home Care Basic Percent Based. This is only a name change and does not change eligibility criteria or services available to consumers.
