Approved by the MEUB April 20, 2023 MASSENA ELECTRIC UTILITY BOARD MINUTES of Thursday April 6, 2023 Town of Massena Electric Department - 71 East Hatfield Street Present: James Shaw Andrew McMahon, Superintendent Rene Hart Matt Gray, Deputy Superintendent John Bogosian – via Zoom Jeff Dobbins, Treasurer Richard Maginn Margo Rochefort, Deputy Treasurer Charles Raiti Patrick Facteau, Town Liaison Eric Gustafson, Attorney Chairman Shaw opened the meeting at 8:00 am. Superintendent McMahon reviewed a proposed letter to North Edge Power, LLC regarding their participation in a NYISO demand response program. In order for North Edge to participate in the program the Department opt-in to this program as a utility with MWh sales below the minimum threshold for automatic participation. Superintendent McMahon indicated that the Department’s local counsel, Attorney Gustafson, and Tom Rudebush from DWGP, had reviewed the letter. Attorney Gustafson noted that the letter is specific to North Edge and no other customers would be eligible to participate in this NYISO program without a similar authorization from the Department. John Bogosian questioned if this would have any impact on revenues to the Department. Treasurer Dobbins responded that their participation would have a net zero impact on the Department’s financial position. Any curtailment by them would result in a corresponding decrease in energy purchased during that time period. Since the energy used is a direct pass through there would be no impact. Superintendent McMahon noted that an addendum will need to be added to the contract indicating North Edge is authorized to participate and the addendum will include language that North Edge will be responsible for any costs incurred (material, labor…) for additional equipment required by North Edge to participate in this program. RESOLUTION: The Massena Electric Utility Board hereby authorizes the Superintendent McMahon to sign the letter allowing North Edge Power, LLC to participate in the NYISO demand response program and for Attorney Gustafson to prepare an addendum to the agreement with North Edge Power, LLC.
