BUSINESS DEVELOPMENT CORPORATION FOR A GREATER MASSENA BOARD OF DIRECTORS ANNUAL MEETING MINUTES January 21, 2016 Board Members: Larry Ralston, President Chris Herrick Ron Bacon Dave LaClair Excused: Jeff Dobbins Dan Pease Paul Rufa Staff: Tom Sullivan, Executive Director Linda Williams, Secretary Call to Order BDC President, Larry Ralston, called the meeting to order at 4:35 pm. Election of Officers A motion was made by Ron Bacon to approve the below Slate of Officers for 2016;  President – Larry Ralston  Secretary – Dave LaClair  Vice President – Ron Bacon  Treasurer – Chris Herrick The motion was seconded by Chris Herrick and passed with all members present voting ‘Aye’. Re-Appointment of Committee Members President Larry Ralston said that he would retain the following roster of Committee Members, the only change being the addition of Nate LaShomb, Director of the Massena Chamber of Commerce, to the Marketing Committee.  Operations Committee ⁃ Chris Herrick ⁃ Dan Pease ⁃ Larry Ralston  Infrastructure Committee ⁃ David LaClair ⁃ Larry Ralston ⁃ Paul Rufa  Marketing Committee ⁃ Ron Bacon ⁃ Jeff Dobbins ⁃ Nate LaShomb ⁃ Larry Ralston ⁃ Trish Wilson Review of the Internal Controls Policy Tom Sullivan reviewed the changes to the Internal Control Policy regarding how checks were written. A motion was made by Ron Bacon to approve the Internal Control Policy with the noted changes, that motion was seconded by Chris Herrick; the motion passed with all members present voting ‘Aye’. Adjournment At 4:40 pm Chris Herrick made a motion that the Annual Meeting for 2016 be adjourned; the motion was seconded by Dave LaClair and passed with all members present voting ‘Aye’.
