BUSINESS DEVELOPMENT CORPORATION FOR A GREATER MASSENA BOARD OF DIRECTORS MEETING MINUTES December 15, 2016 Board Members: Larry Ralston, President Dave LaClair Ron Bacon Dan Pease Jeff Dobbins Paul Rufa Chris Herrick Staff: Tom Sullivan, Executive Director Linda Williams, Secretary Public: Sam Carbone, Town Steve O’Shaughnessy, Town Call to Order BDC President, Larry Ralston, called the meeting to order at 4:30 pm. Minutes of the September, October and November Regular Meetings A motion was made by Dan Pease to approve the September Minutes, that motion was seconded by Jeff Dobbins and passed with all members present voting ‘Aye’. A motion was made by Dan Pease to approve the October Minutes, that motion was seconded by Dave LaClair and passed with all members present voting ‘Aye’. A motion was made by Dan Pease to approve the November Minutes, that motion was seconded by Paul Rufa and passed with all members present voting ‘Aye’. Financial Reports for November 2016 A motion was made by Dan Pease to approve the November 2016 Financial Reports, that motion was seconded by Jeff Dobbins and passed with all members present voting ‘Aye’. Comparative Budget for November 2016 There were no comments regarding the November report. Operations Committee Tom: The Committee met on the 11th, discussed the Rail Spur and St. Lawrence Soyway, which is covered below. Infrastructure Committee Tom: The Committee did not meet this month. Marketing Committee Tom: The Committee did not meet this month. Alcoa Update  Tom: Alcoa had a meeting on the 6th; Arconic is now the owner of the Massena site and leases to Smelting. New Security measures have been put in place. Grasse River Blueway Corridor Tom: This project continues to move forward, developing plans for the Grasse River. Industrial Park/Rail Spur Tom: The BDC had a meeting on the 9th with CSX; CSX will maintain the switch, the installation of a pad will be safer for, as well as expedite loading/unloading. We asked CSX to provide us with proof of insurance. Massena Core of the Community Tom: This will be instituted in the first quarter of 2017. Mayor’s Leadership Council Tom: Nothing to report Moving Massena Forward Community Coalition Tom: We expect this to be in operation in early 2017. North Country Alliance Tom: They have one new loan request which they are reviewing. North Country Re-Development Task Force Tom: Nothing to report this month North Country Regional Economic Development Council Tom: The awards were announced and, although the North Country did not get any of the top awards they did get some. RACER/General Motors Site Tom: Nothing new to report Restore New York Grant Tom: Nothing new to report River Valley Re-Development Agency Tom: There was a meeting, but it was primarily an Executive Session. We did request an extension on the Rail Spur Grant. St. Lawrence County Economic Development Tom: This group met on the 14th and are in the process of reorganizing the Board. St. Lawrence Soyway Dec 15, 2016 Minutes - BDC Board Meeting Pg 2 of 3  Tom: Progress on this continues to move along and we are optimistic that it will come to fruition. Theatre Tom: NBRC representatives will be in Massena and Tom will ask about the possible of funds for the theater. Slate of Officers for 2017 The committee put forth Paul Rufa, President; Ron Bacon, Vice-President, Dave LaClair, Secretary and Chris Herrick, Treasurer. These will be voted on at the January Annual Meeting. Staff Report Tom: Nothing beyond what has been discussed above New and Other Business Tom and all the Board members thanked Larry for all his work throughout his time with the BDC, he will be missed. Liaison Reports Neither of the liaison’s present had any comments Questions from the Press No one was present this evening. Move to Executive Session At 5:30 pm Paul Rufa made a motion that the Board go into Executive Session, that motion was seconded by Dan Pease and passed with all members voting ‘Aye’. Close of Executive Session At 5:40 pm Dan Pease made a motion that the Board close Executive Session, that motion was seconded by Jeff Dobbins and passed with all members voting ‘Aye’. Adjournment A motion was made by Dan Pease to adjourn at 5:40 pm, that motion was seconded by Dave LaClair and passed with all members present voting ‘Aye’. The next meeting of the Board of Directors of the Massena Business Development Corporation will be held on Thursday, January 19 at 4:30 pm, in Room 30 of the Town Hall.
