BUSINESS DEVELOPMENT CORPORATION FOR A GREATER MASSENA BOARD OF DIRECTORS ANNUAL MEETING MINUTES January 19, 2017 Board Members: Ron Bacon, Vice President Chris Herrick Jeff Dobbins Dave LaClair Dan Pease Paul Rufa Staff: Tom Sullivan, Executive Director Linda Williams, Secretary Public: Sam Carbone, Town Steve O’Shaughnessy, Town Call to Order BDC Vice President, Ron Bacon, called the meeting to order at 4:30 pm. Election of Officers A motion was made by Ron Bacon to approve Paul Rufa as 2017 President, the motion was seconded by Chris Herrick and passed with all members present voting ‘Aye’. A motion was made by Jeff Dobbins to approve Ron Bacon as 2017 Vice President, the motion was seconded by Paul Rufa and passed with all members present voting ‘Aye’. A motion was made by Jeff Dobbins to approve Dave LaClair as 2017 Secretary, the motion was seconded by Paul Rufa and passed with all members present voting ‘Aye’. A motion was made by Jeff Dobbins to approve Chris Herrick as 2017 Treasurer, the motion was seconded by Dave LaClair and passed with all members present voting ‘Aye’. Re-Appointment of Committee Members President Paul Rufa said that for the present time the Committee Roster will remain as it is. The only change will be that the new Board member will be assigned to a Committee, and that may change the line-up; at present the is one member lacking on the Infrastructure Committee. • Operations Committee ⁃ Chris Herrick ⁃ Dan Pease ⁃ Paul Rufa • Infrastructure Committee ⁃ David LaClair ⁃ Paul Rufa • Marketing Committee ⁃ Ron Bacon ⁃ Jeff Dobbins  ⁃ Paul Rufa ⁃ Nate LaShomb ⁃ Trish Wilson Review of the Internal Controls Policy A copy of the Internal Controls will be e-mailed to the Board for review and approval. Adjournment At 4:40 pm Ron Bacon made a motion that the Annual Meeting for 2017 be adjourned; the motion was seconded by Jeff LaClair and passed with all members present voting ‘Aye’.
