Village of Massena BOARD OF TRUSTEES SPECIAL MEETING Meeting Mi nutes DATE/TIME : August 29 , 2023 (9:00 A.M.) PLACE: Town Hall Building, Massena, New York PRESENT : Village Board : Mayor Greg Paquin Trustee Christine Winston Trustee Shelyn Peets (Excused) Trustee Chad Simpson Trustee Ken McGowan (Excused) Also Present : Monique Chatland (Village Clerk/Administrator) Marty Miller (DPW Supt) Press: Residents: Mayor Paquin opened a Special Meeting of the Village Board of Trustees at 5:30 p.m. and conducted a roll call of Board members present. Trustee Simpson moved to dispense with the regular agenda. Trustee Winston seconded the motion with unanimous Board approval. RESOLUTION #45-2023: RENEW LIABILI TY INSURANCE & RISK MNGMT. SERVICES WITH A. GALLAGHER 09/01/23-09/01/24 A motion was offered by Trustee Simpson, seconded by Trustee Winston, and carried, to adopt the following resolution to wit: Resolution# 45-2023 Renew Liability Insurance and Risk Management Services Through Arthur J. Gallagher & Co. (September 1, 2023 – September 1, 2024) BE IT RESOLVED that the Village of Massena Board of Trustees hereby authorizes renewal of the Village of Massena’s insurance and risk management coverage through Arthur J. Gallagher & Co. for the period September 1,2023 through September 1,2024 in accordance with the proposal presented August 29,2023 for an annual fee in the amount of $148,579.89 ; and BE IT FURTHER RESOLVED that the Village of Massena Board of Trustees wishes to purchase Cyber Liability coverage through Arthur J. Gallagher & Co. for the period of September 1,2023 through September 1,2024 in accordance with the proposal presented August 29,2023 for an annual fee in the amount of $9,208.85 ; and NOW, THEREFORE, BE IT RESOLVED that Gregory M. Paquin, as Mayor of the Village of Massena, is hereby authorized and directed to execute any and all documents concerning this renewal. Question of the adoption of the foregoing resolution resulted as follows: AYE: Mayor Paquin, Trustee Wi nston, Trustee Simpson NAY: Mayor Paquin declared Resolution #45-2023 duly adopted (3:0). RESOLUTION #45-2023: AGREEMENT WITH PMA FOR CLAIMS HANDLING & RISK SERVICES (RUN-OFF) 2118  BOARD OF TRUSTEES MEETING August 29, 2023 ---------------------------------------------------------------------------------------------------------------------------------------------------- A motion was offered by Trustee Simpson, seconded by Trustee Winston, and carried, to adopt the following resolution to wit: Resolution# 46-2023 Authorize Professional Services Agreement with PMA Management Corp. as Third - Party Administrator for Genera l Liability a nd Auto - Claims Programs (Run Off Agreement) (September 1, 20 23 – September 1 , 2024) BE IT RESOLVED that the Village of Massena Board of Trustees hereby authorizes a Contract between the Village of Massena and PMA Management Corp. for Open Claims Currently on books for third-party insurance claims and risk management administration services until closed for the period September 1, 2023 through September 1, 2024 for an annual fee in the amount of $11,000; and BE IT FURTHER RESOLVED that Gregory M. Paquin, as Mayor of the Village of Massena, is hereby authorized and directed to execute said Contract. Question of the adoption of the foregoing resolution resulted as follows: AYE: Mayor Paquin, Trustee Wi nston, Trustee Simpson NAY: Mayor Paquin declared Resolution #46-2023 duly adopted (3:0). AUTHORIZE BUDGET MODIFICATION FOR BACKHO E DPW Supt. Miller presented the following to the board: A motion was offered by Trustee Simpson, seconded by Trustee Winston to approve permission for DPW Supt. Miller to move funds from contingency water fund to the water equipment fund to cover the additional expenses for the Backhoe. Motion Car ried 3:0 (AYE= Paquin/Winston/Simpson). RESOLUTION# 47-2023: AUTHORIZE SHARED SERVICES AGREEMENT WITH TOWN OF MASSENA A motion was offered by Trustee Simpson, seconded by Trustee Winston, and carried, to adopt the following resolution to wit:  BOARD OF TRUSTEES MEETING August 29, 2023 ---------------------------------------------------------------------------------------------------------------------------------------------------- Resolution#47-2023 Approve Shared Services Agreement Between Town of Massena & Village of Massena BE IT RESOLVED that the Village of Massena Board of Trustees hereby approves a one- year Shared Services Agreement dated August 29, 2023, between the Town of Massena and the Village of Massena wish to share services , exchange of lend materials or equipment which shall promote and assist the maintenance of Town and Village roads and streets and provide a cost savings by maximizing the effective utilization of both parties resources in accordance with the terms and conditions in said Agreement; and BE IT FURTHER RESOLVED that Mayor Greg Paquin is hereby authorized and directed to execute said agreement. Question of the adoption of the foregoing resolution resulted as follows: AYE: Mayor Paquin, Trustee Winston, Trustee Simpson NAY: Mayor Paquin declared Resolution #47-2023 duly adopted (3:0). RESOLUTION# 48-2023: AUTHORIZE SHARED SERVICES AGREEMENT WITH TOWN OF LOUISVILLE A motion was offered by Trustee Winston, seconded by Trustee Simpson, and carried, to adopt the following resolution to wit: Resolution#48-2023 Approve Shared Services Agreement Between Town of Louisville & Village of Massena BE IT RESOLVED that the Village of Massena Board of Trustees hereby approves a one- year Shared Services Agreement dated August 29, 2023, between the Town of Louisville and the Village of Massena wish to share services , exchange of lend materials or equipment which shall promote and assist the maintenance of Town and Village roads and streets and provide a cost savings by maximizing the effective utilization of both parties resources in accordance with the terms and conditions in said Agreement; and BE IT FURTHER RESOLVED that Mayor Greg Paquin is hereby authorized and directed to execute said agreement. AUTHORIZ E AGREEMENT WITH TYLER TECHNOLOGIES FOR WATER BILLING MODU LE A motion was offered by Trustee Winston, seconded by Trustee Simpson to authorize DPW Supt. Marty Miller to start the process of transferring from the current water billing system CUSI to Tyler Technologies. Total one- time fee will be $41,750.00 with recurring fees annually of $19,018.00.
