Monthly Financial Report
Mike Addington explained the current revenues received is one hundred thousand nine hundred and twenty dollars
($100,920.00). The outstanding revenue is eighteen thousand fourteen dollars and sixty-four cents ($18,014.64). One
hundred ninety thousand dollars ($190,000.00) is set aside for field turf replacement.

EMM Advertising Agency Regarding Sales and Marketing Services
Payton Layne from EMM Advertising Agency presented information about the company and what services they offer
to their customers. Layne presented the Trust with ideas of increasing the price for ads or having the companies provide
their own videos, increase banner sales and placement, and try to recruit colleges that people are transferring to after
NEO to purchase banners. Layne requested additional information including a list of previous/current sales. Layne will
go back to the company and come back with a proposal.

Miami Community Facilities Authority (also referred to as MCFA) agrees to provide advertising space on the Red
Robertson Field Video Scoreboard at Miami OK, subject to availability, to ___________________________ for the period
of July 1, 20___ through June 30, 20___. The advertiser agrees to pay $6,750 Per Year for 5 years for one 4’6” high x
5’10” wide Backlit Sponsor Panel number _S__ and two 15 sec video ads during each home NEO/Miami High School
football game. The first payment is due on the completion of this contract and the Renewal is DUE ON AUGUST 1, each
year thereafter.
_______________ agrees to provide the artwork for the sign or future video advertising production. All artwork
and video advertising must be submitted to the MCFA for prior approval before the sign or video ads are purchased.
__________________ further agrees to pay the full cost of any changes made
to the sign or video advertising during the duration of this contract.
The cost of printing the sign is included in the agreed upon contract
price as stated above and will be paid by the MCFA.

MCFA STADIUM COMPLEX
LUXURY HALF SUITE
LICENSE AGREEMENT
This License Agreement is made and entered into on this _______ day of _________________,
20___, by and between the Miami Community Facilities Authority (MCFA), a municipal beneficiary public
trust organized under 60 O.S. §176 et seq., Trusts for Furtherance of Public Functions, and other laws of
the State of Oklahoma, and
_______________________________________________________________ (Suite Holder).
WHEREAS:
1. The Miami Community Facilities Authority (MCFA) is the owner of certain accommodations
known as Stadium Suites at the Red Robertson Event Center (Stadium Suites), located in the MCFA
Stadium Complex located on the Miami, Oklahoma, campus of the Northeastern Oklahoma A&M College
(NEO).
2. MCFA desires to make Stadium Suites available to those individuals, groups, businesses, or others
who are supporters of the activities of the Miami Community Facilities Authority (MCFA). If other
individuals are involved with the suite, it is the responsibility of the Suite Holder to determine the
distribution of any associated benefits.
NOW, THEREFORE, the parties agree as follows:
1. MCFA hereby grants a license for the use of Stadium Suite Number _ #____ – Half of Suite__,
subject to availability, to Suite Holder during the 20____ through 20____ football seasons (a 5-year term)
under the terms and conditions set forth below and in accordance with any proper written amendment
hereof.
2. Suite Holder agrees to pay MCFA as shown below, payable to the Miami Community Facilities
Authority. Scheduled payments must be received prior to August 1st of each year and prior to the issuance
of any Stadium Suite tickets or other associated benefits.
Five (5) annual payments @ $5,000.00 = $25,000.00
All payments are non-refundable, regardless of circumstances including but not limited to force majeure,
Act of God or any other cause, event, or occurrence of any nature whatsoever, except in the event that the
MCFA elects to terminate as provided below and only to the extent provided in this agreement. Failure to
make an annual payment in full by the due date shall authorize the MCFA to declare the Suite Holder in
default under this agreement, to terminate the same without further obligation by MCFA to Suite Holder,
and to issue a new license agreement to a third party.
3. In exchange for the payment described above, the Suite Holder receives:
(a) Five (5) reserved suite tickets for each home NEO A&M and Miami High School varsity
football game;

(b) Food services for each home NEO A&M and Miami High School varsity football game, as
priced and described by on one or more catering menus provided annually by MCFA;
(c) Full Suite Holder will receive two (2) fifteen (15) second videos or a half suite holder will
receive one (1) fifteen (15) second video per NEO A&M and Miami High School varsity
football game.
(d) One (1) VIP parking passes for each home NEO A&M and Miami High School varsity
football game;
(e) Right of first refusal for suite level seating to all special events (e.g. concerts, band
competitions, international soccer competitions, etc.) if MCFA opens the Stadium Suites
for said event(s). In order to secure suite level seating, the Suite Holder must purchase
tickets and issue written notice to MCFA, as provided below, of intended use of the suite
no less than one (1) week in advance of the event. Failure to purchase tickets and issue
proper notice will allow MCFA to utilize the suite for the event and MCFA may charge
fees to third parties associated therewith;
(f) One (1) corporation or business sign in the designated sponsor area inside the Stadium
Complex;
(g) Corporate / Private Name posted outside the Stadium Suite;
(h) Recognition as a “Suite Level Sponsor” in the newly designed honor/donor plaza near the
entryway to the stadium;
(i) Right of first refusal for license renewal, provided the Suite Holder submits in writing to
the MCFA their intent to renew the license thirty (30) days prior to expiration; and
(j) Other benefits that the MCFA may from time to time designate.
4. This Agreement is subject to all local, state and federal laws and the rules and regulations of the
Miami Community Facilities Authority and the rules and regulations of any host, district, conference or
association which sponsors a particular event.
5. MCFA and Suite Holder further agree to the following:
(a) This agreement may be terminated by the MCFA without notice for any reason. Any
annual payments received prior to termination will be prorated for the current event year,
and any unused portion will be returned to the Suite Holder.
(b) The Stadium Suite shall be decorated and furnished by MCFA. The Suite Holder agrees
not to make furniture or decorative additions to the Stadium Suite without prior written
approval of MCFA; authorized upgrades shall be subject to the sole financial responsibility
and payment by the Suite Holder; further, donor agrees to return Stadium Suite to the
standard decoration and furnishing at donor expense upon termination of contract. The
Suite Holder shall be solely responsible for any theft, loss, or damage of any kind to
personal property in the Stadium Suite.

(c) The Stadium Suite will be open and available to Suite Holder from the time the gates of
the Stadium Complex open two (2) hours prior to game or event time. The Suite Holder is
entitled to use the Stadium Suite pursuant to the terms of this Agreement until one (1) hour
after the end of each game or event.
(d) The Stadium Suite will be open and available to Suite Holder on the day and time
designated by Sodexo prior to the NEO A&M College and Miami High School varsity
football season for servicing in accordance with the MCFA Red Robertson Event Center
Operation Manual.
(e) Occupancy of any Stadium Suite during the games and/or events is restricted to the
designated number of Stadium Suite tickets purchased for that game and/or event. This
will be strictly enforced.
(f) All occupants, including anyone under the age of 18, of any Stadium Suite must have a
Stadium Suite ticket. Anyone without the appropriate credential will be asked to leave the
Stadium Suite level.
(g) No one under the age of 21 can be in the Stadium Suite without supervision by a person
who is age 21 or older.
6. Suite Holder further agrees to the following:
(a) Suite Holder agrees to maintain the Stadium Suite in good condition and Suite Holder
agrees to reimburse MCFA for the repair of any damage to the Stadium Suite or to any
property located therein caused by Suite Holder and/or Suite Holder’s invitees, agents,
employees, or representatives.
(b) Suite Holder and Suite Holder’s invitees, agents, employees, or representatives shall
maintain proper decorum while using the Suite, shall abide by and observe all applicable
rules and regulations established from time to time by MCFA pertaining to the use of the
Suite, and shall comply with all applicable laws, ordinances, orders, rules and regulations,
now or hereafter in effect, of all governmental authorities relating to use of the Suite.
(c) Suite Holder and Suite Holder’s invitees, agents, employees, or representatives shall abide,
during the term of this agreement, by the then-current Red Robertson Event Center
Operation Manual, as amended from time to time, which is attached hereto and
incorporated herein by reference.
(d) In the event that Suite Holder elects to provide or have available alcoholic beverages for
use by Suite Holder, invitees or third parties, Suite Holder agrees MCFA shall not be liable
to Suite Holder, invitees or third parties for personal injury, property damages or loss of
any kind whatsoever resulting from the use of alcoholic beverages in connection with this
Agreement and Suite Holder agrees to indemnify and hold harmless MCFA, NEO A&M
College, the Miami Public Schools, all event sponsors, and their employees, agents,
volunteers and assigns, from any liability, damage or loss of any kind whatsoever arising
out of the use of alcoholic beverages in connection with this Agreement. For purposes of
this clause, “alcoholic beverages” shall include any beverage which contains any alcohol
whatsoever, including but not limited to low-point beer and wine. The Suite Holder further
agrees that MCFA shall not be liable for damages or loss to either the person or property
of Suite Holder, invitees or third parties in or upon the premise. All alcoholic beverages

shall be displayed, poured, and consumed solely within the Stadium Suite. All applicable
criminal and civil laws, regulations and ordinances shall remain in full force and effect and
are not affected by this provision.
7. The parties hereto agree that this agreement creates no ownership or proprietary interest in Suite
Holder that would be subject to property taxes; provided, however, should this Agreement be made subject
to any such claim by the appropriate authorities, such tax shall be the sole obligation of the Suite Holder.
MCFA retains all ownership and all rights to use of the Suite, except as otherwise permitted by this
agreement.
8. This agreement may not be assigned by the Suite Holder without prior written consent of MCFA.
This agreement may not be modified, amended, or changed in any manner except by a written document
signed by MCFA and Suite Holder.
9. This agreement shall be governed by and construed in accordance with the laws of the State of
Oklahoma, and the parties agree and consent that the venue for resolution of any dispute or action between
or among the parties, or any of them, over the terms of this agreement or for its enforcement or for damages
for its breach, shall lie in Ottawa County, Oklahoma, and the parties hereby acknowledge that the District
Court of such County has jurisdiction over the parties and the subject matter of any such dispute or action.

LUXURY SUITE
LICENSE AGREEMENT
This License Agreement is made and entered into on this ______ day of __________________,
20____, by and between the Miami Community Facilities Authority (MCFA), a municipal beneficiary
public trust organized under 60 O.S. §176 et seq., Trusts for Furtherance of Public Functions, and other
laws of the State of Oklahoma, and

WHEREAS:
1. The Miami Community Facilities Authority (MCFA) is the leasehold owner of certain
accommodations known as Stadium Suites, which are located in the MCFA Stadium Complex located on
the Miami, Oklahoma, campus of the Northeastern Oklahoma A&M College (NEO
2. MCFA desires to make Stadium Suites available to those individuals, groups, businesses, or others
who are supporters of the activities of the Miami Community Facilities Authority (MCFA) and who make
contributions to the program. If other individuals are involved with the suite, it is the responsibility of the
Suite Holder to determine the distribution of any associated benefits.
NOW, THEREFORE, the parties agree as follows:
1. MCFA hereby grants a license for the use of Stadium Suite Number __#_____, subject to
availability, to Suite Holder during the 20___ through 20___ football seasons (a 10-year term) under the
terms and conditions set forth below and in accordance with any proper written amendment hereof.
2. Suite Holder agrees to pay MCFA the contribution as shown below and made payable to the Miami
Community Facilities Authority. Scheduled payments must be received prior to August 1st of each year
and prior to the issuance of any Stadium Suite tickets or other associated benefits.
(a) One-time, up front sponsorship payment $ 85,000.00
(b) Five (5) annual payments @ $18,000.00 $ 90,000.00
(c) Ten (10) annual payments @ $10,000.00 $100,000.00
All contributions are non-refundable regardless of circumstances including but not limited to force majeure,
Act of God or any other cause, event or occurrence of any nature whatsoever. Failure to make an annual
payment in full by the due date shall authorize the MCFA to declare the Suite Holder/donor in default under
this agreement, to terminate the same without further obligation by MCFA to Suite Holder/donor, and to
issue a new license agreement to a third party.
3. CO-OP or Multiple Licenses. It is permissible to have up to, but not to exceed, four (4) donors for
each private suite. In such case, each Donor shall execute this Agreement with one (1) of the Donors to be
designated to represent the multiple donors in all matters with the MCFA. Any change made in this designee
may only be made upon written notification to MCFA with such notification bearing the signature of all
Donors. The MCFA is authorized to rely solely upon the Donor which is designated as primary

representative and any decision of the primary representative shall be binding upon all Donors. All Donors
shall be jointly and severally liable for all obligations under this Agreement.
4. With the annual gift commitment and the use of the Stadium Suite, the Suite Holder receives:
(a) Ten (10) reserved suite tickets for each home NEO A&M and Miami High School varsity
football game;
(b) Food services for each home NEO A&M and Miami High School varsity football game priced
and as described on an annual amendment to this agreement;
(c) Full Suite Holder will receive two (2) fifteen (15) second videos or a half suite holder will
receive one (1) fifteen (15) second video per NEO A&M and Miami High School varsity
football game.
(d) Two (2) VIP parking passes for each home NEO A&M and Miami High School varsity
football game;
(e) Right of First Refusal for suite level seating to all special events (e.g. concerts, band
competitions, international soccer competitions, etc.) if MCFA opens the Stadium Suites
for said event(s). In order to secure suite level seating, the Suite Holder must purchase
tickets and issue notice to MCFA of intended use of the suite no less than one (1) week in
advance of the event. Failure to purchase tickets and issue proper notice will allow MCFA
to utilize the suite for the event and MCFA may charge fees to third parties associated
therewith;
(f) One (1) reservation annually, at no additional cost, to use the suite level area for company
event, holiday function, business meeting, etc., subject to availability;
(g) One (1) corporation or business sign in the designated sponsor area inside the Stadium
Complex;
(h) Corporate / Private Name posted outside the Stadium Suite;
(i) Recognition as a “Suite Level Sponsor” in the newly designed honor/donor plaza near the
entryway to the stadium;
(j) Right of first refusal for license renewal, provided the Suite Holder submits in writing to
the MCFA their intent to renew the license thirty (30) days prior to expiration; and
(k) Other benefits that the MCFA may from time to time designate.

(a) The Stadium Suite shall be decorated and furnished by MCFA. The Suite Holder agrees
not to make furniture or decorative additions to the Stadium Suite without prior written
approval of MCFA; authorized upgrades shall be subject to the sole financial responsibility
and payment by the Suite Holder; further, donor agrees to return Stadium Suite to the
standard decoration and furnishing at donor expense upon termination of contract. The

Suite Holder shall be solely responsible for any theft, loss, or damage of any kind to
personal property in the Stadium Suite.
(b) The Stadium Suite will be open and available to Suite Holder from the time the gates of
the Stadium Complex open two (2) hours prior to game or event time. The Suite Holder is
entitled to use the Stadium Suite pursuant to the terms of this Agreement until one (1) hour
after the end of each game or event.
(c) The Stadium Suite will be open and available to Suite Holder on the day and time
designated by Sodexo prior to the NEO A&M College and Miami High School varsity
football season for servicing in accordance with the MCFA Red Robertson Event Center
Operation Manual.
(d) Occupancy of any Stadium Suite during the games and/or events is restricted to the
designated number of Stadium Suite tickets purchased for that game and/or event. This
will be strictly enforced.
(e) All occupants, including anyone under the age of 18, of any Stadium Suite must have a
Stadium Suite ticket. Anyone without the appropriate credential will be asked to leave the
Stadium Suite level.
(f) No one under the age of 21 can be in the Stadium Suite without supervision by a person
who is age 21 or older.
7. Suite Holder further agrees to the following:
(a) Suite Holder agrees to maintain the Stadium Suite in good condition and Suite Holder
agrees to reimburse MCFA for the repair of any damage caused by Suite Holder and or
suite guests to the Stadium Suite or to any property located therein.
(b) Suite Holder and Suite Holder’s invitees shall maintain proper decorum while using the
Suite, shall abide by and observe all reasonable rules and regulations established from time
to time by MCFA pertaining to the use of the Suite and shall comply with all applicable
laws, ordinances, orders, rules and regulations, now or hereafter in effect, of all
governmental authorities relating use of the Suite.
(c) Suite Holder shall abide by the Stadium Suites Handbook and its rules and regulations,
which are all incorporated herein by reference.
(d) In the event that Suite Holder elects to provide or have available alcoholic beverages for
use by Suite Holder, invitees or third parties, Suite Holder agrees MCFA shall not be liable
to Suite Holder, invitees or third parties for personal injury, property damages or loss of
any kind whatsoever resulting from the use of alcoholic beverages in connection with this
Agreement and Suite Holder agrees to indemnify and hold harmless MCFA, NEO A&M
College, the Miami Public Schools, all event sponsors, and their employees, agents,
volunteers and assigns, from any liability, damage or loss of any kind whatsoever arising
out of the use of alcoholic beverages in connection with this Agreement. For purposes of
this clause, “alcoholic beverages” shall include any beverage which contains any alcohol
whatsoever, including but not limited to low-point beer and wine. The Suite Holder further
agrees that MCFA shall not be liable for damages or loss to either the person or property
of Suite Holder, invitees or third parties in or upon the premise. All alcoholic beverages
shall be displayed, poured and consumed solely within the Stadium Suite. All applicable
criminal and civil laws, regulations and ordinances shall remain in full force and effect and
are not affected by this provision.

8. The parties hereto agree that this Agreement creates no possessory interest in Suite Holder, which
would be subject to property taxes; however, should this Agreement be made subject to any such claim by
the appropriate authorities, such tax shall be the sole obligation of the Suite Holder. MCFA retains all
ownership and all rights to use of the Suite except as otherwise permitted by this agreement.
9. This Agreement may not be assigned by the Suite Holder without prior written consent of MCFA.
This Agreement may not be modified, amended, or changed in any manner except by a written document
signed by MCFA and Suite Holder.

availability, scoreboard and/or field banner advertising service on the Red Robertson Field,
