AGENDA TITLE: Award of 5-year Agriculture Lease
BACKGROUND:
Every 5 years, the Miami Industrial Public Facilities awards a lease agreement for agricultural
use of publicly-owned land near and around the Miami Municipal Airport. This agreement is
beneficial to the City in more than one way. First, this contract is a revenue generating contract
– which is always appreciated. Second, agricultural use of the land keeps the property in a
progressive system of maintenance that keeps the Regional Airport within the growth limitations
demanded by the Federal Aviation Administration.
The legal description of the property is as follows:
A tract of land consisting of approximately 86 acres located in the S 1/2 of the NW 1/4,
lot 1 and lot 2 of Section 12, Township 28 North, Range 22 East of the Indian Meridian, Ottawa
County, Oklahoma, more particularly described as follows:
To whit: commencing at the NE corner of the S 1/2 of the NW 1/4 of
said Section 12; thence South 89 degrees 48.83 feet West for a
distance of 80.04 feet to the point of beginning; thence South 89
degrees 48.83 feet West for a distance of 2550.99 feet; thence South
00 degrees 11 feet 25.599 inches West for a distance of 1321.44 feet;
thence north 89 degrees 49.1 0 feet East for a distance of 823.50 feet;
thence South 00 degrees 11. 76 feet West for a distance of 542.09 feet;
thence South 88 degrees 28 feet 51.78 inches East for a distance of

AGRICULTURE LEASE
This Agriculture Lease (Lease) is made this ____ day of _______________, 2022, by and between
the MIPFA (Lessor), a trust authority in the County of Ottawa, State of Oklahoma, and ________________

TERMS AND CONDITIONS:
1. Lease Term and Payment Schedule. This Lease is to be construed as a five- (5) year lease ending on the
31st day of December, 2027. The Lessee shall pay to the Lessor each year’s lease payment as follows:
First year: ________________ to be paid within 30 days of signing the agreement.
Second year: ______________ to be paid on or before the 2nd day of January 2023.
Third year: ________________ to be paid on or before the 2nd day of January 2024.
Fourth year: _______________ to be paid on or before the 2nd day of January 2025.
Fifth year: ________________ to be paid on or before the 2nd day of January 2026.
2. Termination Prior to End of Lease Term. Acknowledges and agrees that after any regular election
of the City Council of the MIPFA, this Lease may be reviewed by said Council and terminated upon sixty (60)
days' written notice from Lessor to Lessee without cause.
Lessor may terminate the Lease, in whole or in part, for convenience if its Purchasing Agent determines that
termination is in the Lessor's best interest. Lessor shall terminate the Lease by delivering to the Lessee a Notice
of Termination for Convenience specifying the terms and effective date of Lease termination. The Lease
termination date shall be a minimum of sixty (60) days from the date the Notice of Termination for Convenience
is issued.
Upon the death or disability of the Lessee, the Lease shall terminate and the Lessor shall have the right to
re-enter the premises and take possession of the same in a reasonable manner.
Lessee agrees that if it should fail to observe or perform any of the requirements of this Lease, and such
default continues for fifteen (15) days after receiving written Notice of Default from the Lessor's Purchasing
Agent or another authorized representative of Lessor, the Lease shall terminate and the Lessor shall have
the right to re-enter the premises and take possession of the same in a reasonable manner.
3. Equipment, Supplies, and Expenses. Lessee shall furnish all equipment and tools necessary to farm the
land in accordance with sound agricultural practices and without damage to the Leased Premises or
surrounding premises. All seed required to plant the Leased Premises shall be furnished by and at the
expense of the Lessee. All work necessary to prepare, plant, grow, harvest and deliver the products of this
Lease, shall be performed or furnished at the expense of the Lessee.
4. Insurance and Indemnity. The Lessee shall maintain one or more liability insurance policies naming the
MIPFA, Oklahoma, as an additional named insured and having aggregate limits of no less than One Million Dollars
($1,000,000.00) per occurrence and shall provide written evidence of such policy/ies within 10 days of the date
of execution of this Lease and on an ongoing basis in a form reasonably acceptable to the Lessor. Lessee agrees
to indemnify and hold Lessor harmless against any and all claims, demands, damages, costs and expenses,
including reasonable attorney's fees for the defense thereof, arising from the conduct or management of
Lessee's business or its use of the Premises or from any breach on the part of Lessee of any condition of
this Lease, or from any act of negligence of Lessee, its agents or employees in and about the Premises.
5. Payment of Taxes, Liens, or Other Charges; Quiet Enjoyment; Reservation of Right to Sell. Lessor shall
pay all taxes, assessments, and other charges against the real estate that have been or may be assessed or
levied upon the Leased Premises and agrees that so long as Lessee shall continue faithfully to perform
under the terms and conditions of this Lease, Lessee shall enjoy quiet and peaceful possession of the Leased
Premises for the specific purposes herein set forth, subject only to those uses of the Leased Premises
necessitated by the operation of the airport facilities adjacent and/or nearby premises; provided, however,
Lessor shall not pay nor have any liability for payment of any lien against the crops or products grown on
the Leased Premises pursuant to this Lease, or any lien on the Leased Premises arising from Lessee's use of
the same, such payments and any liability therefor being the exclusive obligation of the Lessee under this
Lease; and provided, further, that the right to sell or to contract to sell the Leased Premises during the term
of this Lease shall be reserved to Lessor, who in such event shall be entitled to demand and receive
possession of the land upon payment to Lessee in an amount equal to Lessee's total previous payment(s)
to Lessor under this Lease as of the date of such demand.
6. Compliance with FAA Rules. Lessee shall abide by all FAA safety rules applicable to the Leased Premises,
including but not limited to acceding to the right-of-way of all aircraft. Copies of these rules may be
obtained at the airport office. This lease is subject to approval by the FAA.
7. General Provisions. The following general provisions shall apply to this Lease:
a. Entire Agreement. Each party acknowledges that this Lease, together with the documents
comprising the solicitation packet and the Lessor's response thereto, constitutes the complete and
exhaustive statement of the agreement between the Parties, which supersedes and merges into itself all
prior proposals, understandings, and all other agreements, whether oral or written, between the parties
relating to the subject matter of this Lease. In deciding to execute this Lease, none of the Parties is relying
on any promises, representations, or statements not expressly set forth elsewhere.
b. Notices. Any notice, demand, or other communication given or required under this Lease
shall be in writing and shall be either hand delivered or mailed by certified mail, postage prepaid to the last
known address of the intended recipient.
c. Assignment. This Lease shall not be assignable by any party without the prior written
consent of the other parties hereto, except as otherwise permitted or required by applicable law.
d. Binding Effect. The terms and conditions of the Settlement Lease shall be binding upon,
and extend to the benefit of, the heirs, successors, assigns, representatives, or agents of the Parties hereto.
e. Modification. No party may modify, alter, or otherwise change this Lease except by written
instrument executed by each of the Parties or their duly authorized representatives.
f. Applicable Law; Jurisdiction. This Lease shall be governed by and construed in accordance
with the laws of the State of Oklahoma, and the Parties agree and consent that the venue for resolution of
any dispute or action between or among the Parties, or any of them, over the terms of this Lease or for its
enforcement or for damages for its breach, shall lie in Ottawa County, Oklahoma, and the Parties hereby
acknowledge that the District Court of such County has jurisdiction over the Parties and the subject matter
of any such dispute or action.
g. Waiver. No waiver of any of the provisions of this Lease shall constitute or be deemed to
constitute a waiver of any other provision hereof, nor shall such waiver constitute a continuing waiver
unless otherwise expressly provided.
h. Severability. In the event of any provision of this Lease is invalid or unenforceable under
any applicable laws, orders and/or regulations, this Lease shall be considered divisible as to such provision,
but the remainder of this Lease shall be valid and binding as though such provision were not included
therein, and the Parties shall engage in good faith negotiations to amend this Lease to comply with the
requirements of applicable laws, orders, and/or regulations.
i. Multiple Counterparts. This Lease may be executed in one or more counterparts each of
which shall be deemed an original, but all of which together shall constitute one and the same instrument.
j. Paragraph Headings. The headings of the Paragraphs herein are inserted for convenience
and reference only and are not intended to be a part of or to affect the meaning of interpretation of this
Lease.
k. Survival. All provisions of this Lease that, by their ordinary sense and context, are intended
to survive its termination or expiration, including but not limited to any provision regarding enforcement
of this Lease or remedies with respect to its breach, shall so survive.

INSTRUCTIONS
SEALED PROPOSALS Proposers are invited to submit a proposal to the MIPFA in a sealed
envelope. The envelope must be clearly marked with the solicitation number (C22-01) and the
name and address of the person or entity submitting the proposal to perform all work
necessary to comply with the specifications and conditions contained herein.
BRIEF DESCRIPTION OF OPPORTUNITY Planting and harvesting of approximately 95 acres
as defined in the legal descriptions described in the attached agreement. A response to this
solicitation for proposals will consist of specifying the total dollar amount the Proposer will
pay the MIPFA for the right to plant and harvest in the designated areas until the 31 st day of
December, 2022. The amounts must be included in the proposer’s response to this solicitation
for proposals as evidenced by completion of the Proposal Form for RFP 22-55 and returning it
to the City Purchasing Agent by 10 a.m. Oct. 12, 2022, along with all other required documents
cited herein.
INTERPRETATION OF CONTRACT DOCUMENTS Questions regarding documents,
discrepancies, omissions, or intent of the specifications or drawings shall be submitted in
writing to the City through the Purchasing Agent at least seven (7) days prior to opening of
quotes to provide time for issuing and forwarding an addendum. Any interpretation of the
contract documents will be made only by addendum duly issued or delivered by the MIPFA to
each person receiving a set of documents. The MIPFA will not be responsible for any other
explanations or interpretation of the contract documents.
USE FORMS PROVIDED Proposals must be returned on forms provided. When submitting
additional information, please do so on a separate sheet of paper. The following must be
provided with the response:

WITHDRAWAL OF PROPOSALS Any proposals may be withdrawn at any time prior to the
hour fixed in the solicitation for sealed proposals for the opening of proposals, provided that
a request in writing, executed by the proposer, or their duly authorized representative, for the
withdrawal of such proposal is filed with the City prior to the time specified for opening of
proposals. The withdrawal of such proposal will not prejudice the right of a proposer to file a
new proposal.
PENALTY FOR COLLUSION If at any time it shall be found that the person, firm or
corporation to whom the contract has been awarded has, in presenting any proposal, colluded
with any other party or parties, then the contract so awarded shall be null and void, and the
proposer/lessee shall be liable to the City for all loss or damage which the City may suffer
thereby, and the City may advertise for new proposals for said work.
TITLE 18 COMPLIANCE To the extent applicable, Compliance with Oklahoma’s General
Corporation Act and the Limited Liability Company Act is required before a Contract will be
awarded. Each proposer representing a corporation, limited liability company, or other formal
business structure, agrees to provide upon request a Federal Employer’s Identification Number
and proof of lawful filing with the Oklahoma Secretary of State as required by Oklahoma’s
General Corporation Act and the Limited Liability Company Act. (See 18 O.S. §§ 1000 -1144,
2000-2060).
OPENING OF PROPOSALS Proposals will be opened and recorded at the time and place
indicated in the solicitation for sealed proposals. Proposers or their agents are invited to be
present.
ACCEPTANCE AND REJECTION OF PROPOSALS The MIPFA reserves the right to accept the
proposal which, in its judgment is the best offer, to reject any or all proposals, and to waive
irregularities or informalities at its discretion.
AWARD OF CONTRACT/LEASE The award of any contract/lease will be made to the
proposer offering the best value. The awarded contractor must provide the following before a
notice to proceed is issued:
• Certificate(s) of Insurance with minimum liability coverage of $1,000,000.00 and
naming the MIPFA as “additional insured.”
• Worker’s Compensation Insurance or affidavit of exempt status.
It is anticipated that approval will be received within 30 days of opening of proposals. In the
event that approvals are not received or the MIPFA cannot award or reject said proposals
within 60 days from the date of opening of proposals, participants shall have the right to
withdraw their proposals on written notice to the City.
EXECUTION OF CONTRACT/LEASE The contract/lease, executed by the successful Lessee,
together with any other required documents as stated herein, shall be returned to the
purchasing agent within 10 days from and after the date of the award of the contract /lease.
FAILURE TO EXECUTE AGREEMENT AND PROVIDE PROOF OF INSURANCE Failure of a
successful Lessee to execute the agreement and file required bonds and/or insurance (when
applicable) within the required time shall be just cause for the annulment of the award. Upon
annulment of an award as aforesaid, the City may then award the contract/lease to the
proposer offering the next best proposal.
LOCATING UNDERGROUND UTILITIES When applicable, it shall be the responsibility of the
Lessee to call OKIE before digging. To submit a locate request by phone, dial 811 or 1(800)522 -
OKIE. Lessee shall call OKIE prior to any excavation. It is the Lessee’s responsibility to locate
and preserve all utilities. The City shall not be responsible for or pay for any damage caused
by the Lessee to any utility above or below ground. All damage to City’s utilities will be billed
to Lessee at a reasonable rate. This will cover the material and manpower of the repair.
LEGAL CONTRACT Submitted proposals are rendered as a legal offer and any proposal, when
accepted by the City, shall constitute a contract/lease.
The Contract/Lease resulting from this solicitation shall include the following documents:
• Solicitation, including Agriculture Lease, as amended (if applicable); and
• Successful bid (including required certifications), to the extent the proposal does not
conflict with the requirements
EMPLOYMENT RELATIONSHIP The Contract/Lease does not create an employment
relationship. Individuals performing services required by this Contract/Lease are not
employees of the MIPFA. The Lessee's employees shall not be considered employees of the
City of Miami or MIPFA for any purpose, and accordingly shall not be eligible for rights or
benefits accruing to City or MIPFA employees; nor shall the Authority be responsible with respect
to Lessee or Lessee's employees for any Workers’ Compensation benefits or other benefits required under
state or federal law.
AGRICULTURE LEASE
This Agriculture Lease (Lease) is made this ____ day of _______________, 2022, by and between
the MIPFA (Lessor), a trust authority in the County of Ottawa, State of Oklahoma, and ________________
__________________________________ (Lessee). For and in consideration of the following covenants
and agreements made by the parties hereto and the payments to be made by the Lessee hereunder, the

1. Lease Term and Payment Schedule. This Lease is to be construed as a five- (5) year lease ending on the
31st day of December, 2027. The Lessee shall pay to the Lessor each year’s lease payment as follows:

days' written notice from Lessor to Lessee without cause.
Lessor may terminate the Lease, in whole or in part, for convenience if its Purchasing Agent determines that
termination is in the Lessor's best interest. Lessor shall terminate the Lease by delivering to the Lessee a Notice
of Termination for Convenience specifying the terms and effective date of Lease termination. The Lease
termination date shall be a minimum of sixty (60) days from the date the Notice of Termination for Convenience
is issued.
Upon the death or disability of the Lessee, the Lease shall terminate and the Lessor shall have the right to
re-enter the premises and take possession of the same in a reasonable manner.
Lessee agrees that if it should fail to observe or perform any of the requirements of this Lease, and such
default continues for fifteen (15) days after receiving written Notice of Default from the Lessor's Purchasing
Agent or another authorized representative of Lessor, the Lease shall terminate and the Lessor shall have
the right to re-enter the premises and take possession of the same in a reasonable manner.
3. Equipment, Supplies, and Expenses. Lessee shall furnish all equipment and tools necessary to farm the
land in accordance with sound agricultural practices and without damage to the Leased Premises or
surrounding premises. All seed required to plant the Leased Premises shall be furnished by and at the
expense of the Lessee. All work necessary to prepare, plant, grow, harvest and deliver the products of this
Lease, shall be performed or furnished at the expense of the Lessee.
4. Insurance and Indemnity. The Lessee shall maintain one or more liability insurance policies naming the
MIPFA, Oklahoma, as an additional named insured and having aggregate limits of no less than One Million Dollars
($1,000,000.00) per occurrence and shall provide written evidence of such policy/ies within 10 days of the date
of execution of this Lease and on an ongoing basis in a form reasonably acceptable to the Lessor. Lessee agrees
to indemnify and hold Lessor harmless against any and all claims, demands, damages, costs and expenses,
including reasonable attorney's fees for the defense thereof, arising from the conduct or management of
Lessee's business or its use of the Premises or from any breach on the part of Lessee of any condition of
this Lease, or from any act of negligence of Lessee, its agents or employees in and about the Premises.
5. Payment of Taxes, Liens, or Other Charges; Quiet Enjoyment; Reservation of Right to Sell. Lessor shall
pay all taxes, assessments, and other charges against the real estate that have been or may be assessed or
levied upon the Leased Premises and agrees that so long as Lessee shall continue faithfully to perform
under the terms and conditions of this Lease, Lessee shall enjoy quiet and peaceful possession of the Leased
Premises for the specific purposes herein set forth, subject only to those uses of the Leased Premises
necessitated by the operation of the airport facilities adjacent and/or nearby premises; provided, however,
Lessor shall not pay nor have any liability for payment of any lien against the crops or products grown on
the Leased Premises pursuant to this Lease, or any lien on the Leased Premises arising from Lessee's use of
the same, such payments and any liability therefor being the exclusive obligation of the Lessee under this
Lease; and provided, further, that the right to sell or to contract to sell the Leased Premises during the term
of this Lease shall be reserved to Lessor, who in such event shall be entitled to demand and receive
possession of the land upon payment to Lessee in an amount equal to Lessee's total previous payment(s)
to Lessor under this Lease as of the date of such demand.
6. Compliance with FAA Rules. Lessee shall abide by all FAA safety rules applicable to the Leased Premises,
including but not limited to acceding to the right-of-way of all aircraft. Copies of these rules may be
obtained at the airport office. This lease is subject to approval by the FAA.
7. General Provisions. The following general provisions shall apply to this Lease:
a. Entire Agreement. Each party acknowledges that this Lease, together with the documents
comprising the solicitation packet and the Lessor's response thereto, constitutes the complete and
exhaustive statement of the agreement between the Parties, which supersedes and merges into itself all
prior proposals, understandings, and all other agreements, whether oral or written, between the parties
relating to the subject matter of this Lease. In deciding to execute this Lease, none of the Parties is relying
on any promises, representations, or statements not expressly set forth elsewhere.
b. Notices. Any notice, demand, or other communication given or required under this Lease
shall be in writing and shall be either hand delivered or mailed by certified mail, postage prepaid to the last
known address of the intended recipient.
c. Assignment. This Lease shall not be assignable by any party without the prior written
consent of the other parties hereto, except as otherwise permitted or required by applicable law.
d. Binding Effect. The terms and conditions of the Settlement Lease shall be binding upon,
and extend to the benefit of, the heirs, successors, assigns, representatives, or agents of the Parties hereto.
e. Modification. No party may modify, alter, or otherwise change this Lease except by written
instrument executed by each of the Parties or their duly authorized representatives.
f. Applicable Law; Jurisdiction. This Lease shall be governed by and construed in accordance
with the laws of the State of Oklahoma, and the Parties agree and consent that the venue for resolution of
any dispute or action between or among the Parties, or any of them, over the terms of this Lease or for its
enforcement or for damages for its breach, shall lie in Ottawa County, Oklahoma, and the Parties hereby
acknowledge that the District Court of such County has jurisdiction over the Parties and the subject matter
of any such dispute or action.
g. Waiver. No waiver of any of the provisions of this Lease shall constitute or be deemed to
constitute a waiver of any other provision hereof, nor shall such waiver constitute a continuing waiver
unless otherwise expressly provided.
h. Severability. In the event of any provision of this Lease is invalid or unenforceable under
any applicable laws, orders and/or regulations, this Lease shall be considered divisible as to such provision,
but the remainder of this Lease shall be valid and binding as though such provision were not included
therein, and the Parties shall engage in good faith negotiations to amend this Lease to comply with the
requirements of applicable laws, orders, and/or regulations.
i. Multiple Counterparts. This Lease may be executed in one or more counterparts each of
which shall be deemed an original, but all of which together shall constitute one and the same instrument.
j. Paragraph Headings. The headings of the Paragraphs herein are inserted for convenience
and reference only and are not intended to be a part of or to affect the meaning of interpretation of this
Lease.
k. Survival. All provisions of this Lease that, by their ordinary sense and context, are intended
to survive its termination or expiration, including but not limited to any provision regarding enforcement
of this Lease or remedies with respect to its breach, shall so survive.

Project specifics: The City is seeking sealed proposals to enter into a lease agreement for agricultural use

WHEREAS, the Board of Trustees desire to delegate claims settlement and payment authority to
the City Manager of Miami, Oklahoma, which is a governmental office created by the City Charter of the
Trust Beneficiary;
NOW, THEREFORE, BE IT RESOLVED BY THE MIAMI INDUSTRIAL AND PUBLIC FACILITIES

1. The Trust Manager or designee shall have the authority to negotiate, approve, and

of twenty thousand dollars ($20,000.00) absent the approving vote of a majority of a
quorum of the Board of Trustees at a duly called meeting thereof and an additional twenty
thousand dollars ($20,000.00) with the chairperson’s written approval; and
4. The preceding paragraph notwithstanding, in extraordinary circumstances when a duly
called meeting of the Board of Trustees cannot legally be held, whether due to a lack of
quorum, or otherwise, the City Manager or designee, with the Chairperson’s written
approval, shall have the authority to approve all or some pending budgeted expenditures.
