GENERAL COUNSEL COMMISSION
SPECIAL MEETING OF AUGUST 15, 2024
Present: Council Member Blackwell, Council Member Nocera, Council Member Salafia,
and Council Member Sweeney.

1. Call to Order:
Meeting was called to order at 6:08 p.m.
2. Public Comment:
None
3. Approval of Minutes
Council Member Nocera made a motion to approve the meeting minutes and
Council Member Salafia seconded the motion. Council Member Blackwell expressed that
the commission needs to make sure motions are made and seconded. She also mentioned
that she made comments about a tracking mechanism for staff that do before labor
management and Director Richardson acknowledged that a system is being developed.
The motion passed unanimously.
4. New Business
A. Executive Session pursuant to Conn. Gen. Sta. 1-200(6)(A) to consider
settlement of Middletown
Attorney Smith explained that the commission needs two-thirds vote to go into
executive session and a majority vote to come out of executive session. Attorney Smith
then introduced Attorney Tallberg and Attorney Trumbo. He explained that they are our
insurance defense council in the Middletown Medical Associates matter.
Council Member Nocera made a motion to go into executive session and Council
Member Sweeney seconded the motion. The motion passed unanimously.
The body rose from executive session and Council Member Nocera made a motion
to approve the settlement of the Middletown Medical Associates litigation against the
City of Middletown and Council Member Salafia seconded the motion. The motion
passed unanimously.
B. Ordinance – Amendments to Tax Stabilization Agreement for 430
Saybrook Road, in favor of Medical Development Associates, LLC (272-
9.5)
C. Ordinance – Amendments to Tax Stabilization Agreement for 44
Saybrook Road, in favor of Medical Development Associates, LLC (272-
9.6
Council Member Nocera made a motion to approve the ordinances for 430 & 440
Saybrook Road and Council Member Salafia seconded the motion. The motion passed
unanimously.
D. Other
a. Recruitment Efforts
Tabled until the September meeting.
b. Baker Tilly Update
Attorney Smith explained that Justin is continuing to meet with and get feedback
from the departments. After that part is completed, Justin will provide the proposed job
descriptions to the unions and then the Council. Council Member Blackwell questioned
how many directors are left to meet with and Attorney Smith stated there are 7
departments, 7 directors. Council Member Nocera explained that Director Richardson
indicated that the Council would receive Baker Tilly’s original, the union’s position, the
supervisor’s form, and the employee’s form. More discussion ensued regarding what
documents the Council would receive. Council Member Salafia was under the
impression that the Council would receive a copy of Baker Tilly’s proposed job
descriptions, Justin’s proposed job descriptions, and then a final one after it has been
reviewed by the unions and stuff. She also questioned if there were any grades and salary
scales assigned to the JDs and Attorney Smith said not to his knowledge. More discussion
ensued regarding the compensation factor. Ultimately, more clarification from Director
Richardson is needed.

Items C and D were both tabled to the September meeting.
E. Adjournment:
Council Member Nocera made a MOTION to adjourn and Council Member
Sweeney seconded the motion. The motion passed unanimously and the meeting
adjourned.
