SPECIAL MEETING OF THE HOUSING AUTHORITY OF THE CITY OF MIDDLTOWN September 27, 2023 A Special Meeting of the Housing Authority of the City of Middletown was held in the conference Room at 40 Broad Street Wednesday September 27, 2023. Chaiman Cacciola called the meeting to order at 6:35 and called the role. PRESENT: Phil Cacciola, Chairman, Evan Noglow, Commissioner, Senova Stone Commissioner. ALSO PRESENT: William Vasiliou, Executive Director, Jason Lewllyn, Esq. ABSENT: Larry Riley, Commissioner, Al Santostefano, Commissioner PUBLIC SESSION: NONE FOLLOW-UP REOIRT: NONE APPROVAL OF MINUTES: On motion of Commissioner, seconded by Commissioner Stone it was unanimously voted to approve the minutes of the monthly meeting held on September 7, 2023. LEGAL ACTION: Discussion centered on the need for the Commissioners retain supplemental legal expertise in the arears of labor and employment law. The Commissioners reviewed information and letter of engagement submitted by Attorney John Shea. Much discussion with the Commissioners and the Housing Authority Attorney Lewllyn. Upon a motion by Commissioner Noglow and seconded by Commissioner Stone it was unanimously voted to authorize William Vasiliou, Executive Director, to execute the letter of engagement and approving Resolution 2023-10 herein noted. RESOLUTION 2023-10 Whereas, THE Housing Authority of the City of Middletown desires to obtain legal services, advice and counsel concerning labor and employment law: NOW, THREFOR BE IT RESOLVED, 1) That this Company, through its Board of Commissioners, will engage Attorney John P Shea, Jr. of the Law Firm Jackson Lewis, P.C., to provide legal services, advice, and counsel to the Company concerning labor and employment law, pursuant to the terms of the Confirmation of Engagement and Fee Agreement dated September 21, 2023. 2) RESOLVED, that William Vasiliou, the Secretary of this Company, is hereby authorized to execute the Confirmation of Engagement and Fee Agreement dated September 21, 2023 on behalf of the Board of Commissioners. Commissioners present: VOTE Phil Cacciola YES Evan Noglow yes Senova Stone yes IN WITNESS WHEREOF, I have caused the corporate seal of this Company to be hereunto affixed duly attested by me on this 27th.
